INTRODUCTION

Terra Sola Ventures W.L.L (Terra Sola Ventures) has signed a letter dated 23
December 2014 with Socit Nationale de Sidrurgie ( Sonasid) in order to provide
them with electricity through PV generated power, TSV has agreed to study and
present an offer to Sonasid that will include the design, and a commercial offer.
Terra Sola Ventures has partnered with Solon as the preferred EPC for this particular
project, Solon will prepared a predesign and a budget cost estimate.
TSV asked BSDC Consulting for a proposal to accompany them during SONASID PV
project. At this starting point of the project, TSV asked BSDC Consulting to review the
design established by its preferred technical partner SOLON, and assist them to
prepare an offer to their potential client, SONASID. This offer should take under
consideration the Moroccan specificity in term of technical regulations.
The objective of this proposal is to describe and detail the scope of work and the
budget of BSDC Consulting services.

1.1

BACKGROUND
Morocco has an ambitious solar program where state owned companies develop their
own projects. An other scheme was also adopted to encourage private renewable
energy projects, consequently private companies started investing in renewable
energies: wind and solar.
TerraNex group has signed Capital Way Conseil an agreement called Master
Agreement related to business Development in Morocco where TERRA% NEX% entrust%
CAPITAL%WAY%with%missions%of%assistance%and%support%for%this%purpose.%
BSDC Consulting, member of Capital Way Group Network is specialized in energy
generation engineering and particularly in renewable energy consulting services,
including design, procurement, engineering, financing, etc.
SONASID, a private owned company, steel melting shop company, aims to develop a
PV solar project to insure a part of its electrical energy consumption. SONASID requests
an offer from TSV to analyze the opportunity to diversify their source of electrical energy
by buying from solar producer. Thus, TSV is preparing an offer of electrical energy
supply and requested a proposal to BSDC Consulting for assistance.

Sonasid project is located in the North-east of Morocco, within the site area of the Mill
Factory.

2.2

Task #1 : Technical peer review

All technical work regarding SONASID project, performed by your partner SOLON will
be thoroughly analyzed by BSDC experts. This review should be detailed in the contract
to be signed depending on the detail required by TSV and the budget allocated to this
task.

2.3

Task#2 : Electrical energy price benchmarking $

SONASID is paying two electricity bills: ONEE and NAREVA. ONEE is a state owned
company and is the historical utility company supplying their client electricity generated
from different sources: coal, hydraulic, gas, wind, etc. However, NAREVA is private
company operating wind farms and sells their energy to private companies similar to
SONASID.
A benchmarking will be performed to compare the cost of electricity paid by SONASID
and in order to prepare the report, TSV will provide BSDC Consulting with the
information related to the price they are paying to ONEE along with the increase they
have planned in their model.
Additionally, BSDC Consulting should also perform analyzes to fix the best scheme
SONASID should take in order to have the fixed price to ONEE reduced at TSV
advantage. The methodology that will be adopted to do this analyzes will be discussed
with TSV and approved by SONASID.

Task#3$:$Technical$regulation$
BSDC Consulting will provide a summary of existing technical Regulations and advise
on procedure how to get approvals from ONEE during both construction and
connection to the grid if this is needed.

Task#4$:$LEGAL$ASPECTS$
BSDC Consulting will provide a summary of existing administrative Regulations and
advise on procedure how to get approvals from ONEE on the construction and
connection. It will also be discussed with different administrations to fix the
administrative approvals required for the solar project.

3.

SCHEDULE
The technical review should be performed within 5 working days of down payment and
reception of all technical data, etc.
The reports on pricing should be performed within 5 working days and reception of all
data regarding the electricity SONASID pays to ONEE and their assumptions related to
electricity price variation,
The summary of regulations should be given after 5 working days after the report on
pricing.

4.

FINANCIAL OFFER AND PAYMENT CONDICTIONS

For four tasks detailed above, TSV will pay 120 000 MAD, taxes (20%) and any other
fees are not included: travel fees if needed to visit the site, etc.
Payment terms are :
