This is a form of general agreement between multiple parties to conduct a business

operation and collectively participate in profit sharing together.
1. This JOINT VENTURE ("Agreement") is between CAP GROWTH FX, WENDELL
HENDERSON and the introducing broker(s) IB Name Here (IBNH) made on 7/31/16.

RECITALS
a) The above parties desire to conduct and/or contribute to a business operation
together.
b) Each party is willing to invest money, services, time, or referrals to help
finance, facilitate, grow, or operate the conduct of the operation.
c) It is agreed that the most desirable form of business for conducting the
operation is a joint venture agreement (JVA) and fee pay agreement (FPA).
For the reason recited above, and in consideration of the mutual covenants
contained in this agreement, the parties agree as follows:

2. Scope and Description

The Joint Ventures have agreed to make contributions to a common initiative for
the purpose of achieving a mix of capital appreciation, periodic income and profit by
having IBNH serve as an introducing broker, by referring business in the form of
qualified investors to the managed forex account(s) currently;

Operated by CAP GROWTH FX. This Agreement pertains solely to clients being
referred to the managed MAM/PAMM account(s) or privately managed accounts, for
the above mentioned system(s), trading at one or multiple of the following
brokerages;

AFX Capital / QUANTIC ASSET MANAGEMENT

Tallinex - For USA based clients

Scandinavian Capital Markets

(NOTE: any new additional brokerages being utilized shall be added in addenda as a
schedule to this JV / IB Agreement)

3. Conduct to be performed by IBNH

IBNH shall present/introduce clients to the managed forex accounts represented
CAP GROWTH FX with the anticipation of having the client accounts managed via
LPOA (limited power of attorney). IBNH shall only solicit clients that they are in the
confines of the law to do so with. IBNH will ensure that they keep their relationship
and all details regarding it with NOVASERVICE.

4. Conduct to be performed by CAP GROWTH FX

CAP GROWTH FX shall assist IBNH in any way they can to facilitate the participation
of IBNHs clients in the managed forex accounts offered by CAP GROWTH FX. CAP
GROWTH FX shall be responsible for the management of the foreign exchange
managed accounts (either directly or overseeing other mangers and/or
programmers) being traded on behalf of clients introduced to CAP GROWTH FX by

IBNH. While both parties are aware of the risks involved in alternative investments,
CAP GROWTH FX will ensure that safe and responsible money management and risk
management principals are always being adhered to. CAP GROWTH FX will ensure
that they keep their relationship and all of the details in effect with IBNH
confidential.
Participation in this investment initiative should be considered by all parties and
referred investors as a speculative business opportunity. All parties understand that
no degree of success can be guaranteed by the managed forex systems and it is
recommended that all parties consult with their legal, investment and tax advisors,
before deciding whether to participate collectively or refer investors in this initiative
and should specifically consider:

5. Non-Compete
CAP GROWTH FX, WENDELL HENDERSON and IBNH agree that once any client
monies are raised and accounts are funded and payments settled that the IB`s
referred client accounts at the brokerage belong to CAP GROWTH FX. IBNH will
always be entitled to his/her compensations as long as the account is opened and
trading with CAP GROWTH FX. If IBNH decides to terminate this Agreement or stop
referring accounts to CAP GROWTH FX, they will still be able to receive their regular
commission payouts on all clients still invested with CAP GROWTH FX, so long as
they are not in any violation of this Agreement. IBNH agrees that they will not
solicit clients that belong to CAP GROWTH FX other than the clients already
introduced by IBNH.

6. Book Keeping and Accountability

Once an account has been funded the clients name will be put on a list of client
names belonging to WENDELL HENDERSON and IBNH that will be documented and
maintained by CAP GROWTH FX. This list will be updated weekly or monthly as
needed and available to IBNH at anytime. Once a clients name is put on the list as
belonging to WENDELL HENDERSON and IBNH, CAP GROWTH FX will be required to
compensate IBNH on their clients of record under all circumstances. This list will be
stored by CAP GROWTH FX and/or in the FX Broker through back office software.
CAP GROWTH FX is the watchdog on the investor list and will protect IBNH and their
clients under this agreement.

7. Disputes
If a dispute arises, the parties will try in good faith to settle it on their own, or
through mediation conducted by a mediator to be mutually selected. The parties
will share the costs of the mediator equally. Each party will cooperate fully and fairly
with each other or with the mediator and will attempt to reach a mutually
satisfactory compromise to the dispute. If the dispute is not resolved within 30 days
after it is referred to the mediator, the matter shall be settled by the arbitration
administered by an agreed upon Arbitration Association in accordance with
Commercial Arbitration Rules. Judgment on the arbitration award may be entered in
any court that has jurisdiction over the matter. Costs of arbitration, including
attorneys fees, will be allocated by the arbitrator.

8. Entire Agreement
This is the entire agreement between the parties. It replaces and supersedes any
and all oral agreements between the parties, as well as any prior writings.

9. Counterparts
The parties may sign several identical counterparts of this Agreement. Any fully
signed counterpart shall be treated as an original.

10. Modification
This Agreement may be modified only by a writing signed by the party against
whom such modification is sought to be enforced.

11. Waiver

If one party waives any term or provision of this Agreement at any time, that waiver
will be effective only for the specific instance and specific purpose for which the
waiver was given. If either party fails to exercise or delays exercising any of its
rights or remedies under this Agreement, that party retains the right to enforce that
term or provision at a later time.

12. Severability
If any court having jurisdiction determines that any provision of this Agreement is
invalid or unenforceable, any invalidity or enforceability will affect only that
provision and will not make any other provision of this Agreement invalid or
unenforceable and such provision shall be modified, amended or limited only to the
extent necessary to render it valid and enforceable.

13. Assignments and Transfers

The parties shall not assign or transfer his or her position, rights or duties in the
Joint Venture without the express written consent of all parties. Any transfer or
assignment made without the consent of all parties shall not relieve the transferor
or assignor of his or her duties or obligations under this agreement.

14. Non-Disclosure and Non-Circumvention Agreement

Notwithstanding anything hereinbefore contained:

The undersigned covenants and agrees that the undersigned and his/her
corporation, partnership, trusts, divisions, subsidiaries, employees, agents or
consultants or advisors shall not make any contract with any institution,
client, individuals, or other person/s introduced by CAP GROWTH FX without
full consent of CAP GROWTH FX first.

This information is private, confidential, intended solely for the parties

participating in it and is not for public distribution. You are hereby advised
that the information and participation in this Joint Venture is strictly
confidential between the parties involved. It may change without notice and
may not be disclosed or duplicated in any way, either in whole or part.

Any corporation, firm, company or individual of which the undersigned is a

party to, member of, principal agent for, employee or otherwise that would
benefit financially from association is bound by this agreement with CAP
GROWTH FX.

The undersigned will keep confidential the name of any group, institution,
trust organization, or any provider or individuals involved herein.

This agreement is a perpetuating guarantee, is applied to any and all

transactions between the parties regardless of any outcome, and the
undersigned confirms he/she has the authority, power and ability to enter
into this agreement.

15. Representation and Warrant

IBNH, WENDELL HENDERSON and CAP GROWTH FX represent and warrant in this IB
and Joint Venture Agreement that:

They have been made aware of their right to obtain, and the desirability of so
obtaining, independent investment, taxation and legal advice prior to
entering into this JVA;

They confirm not to be in breach of any anti money laundering laws;

They have read, understood and accepted the provisions of this agreement;
and wishes of his/her/their/its own free will to be bound by such provisions
and to proceed with the Agreement;

They have not relied on any representations of other information purported to

be given on behalf of the each other, except in this Agreement;

They hereby confirm that the persons or monies used in this Agreement are
not sourced from the proceeds of any criminal, illegal narcotics, tax evasion
or terrorist activities.

By signing the signature pages, I/We the undersigned Joint Ventureres acknowledge
having received, read, and that I/We understand all pages of this entire Agreement.
