Board Processes, Board Strategic Involvement, and Organizational Performance in For-profit and Nonprofit Organizations

Abstract: Although corporate governance researchers have devoted considerable attention to the role
of boards of directors in monitoring management and providing resources, less attention has been paid
to whether and how they affect the strategic actions of firms in response to changing environments.
Taking a process-based perspective, we examine how several prevalent board processes (i.e., board
meetings, outside-board-meeting reviews and information utilization) affect the involvement of boards
in strategic decision-making and how such involvement shapes organizational performance. Moreover,
we offer an initial attempt to compare the strategic role of boards in for-profit and non-profit
organizations. An investigation of 217 for-profit and 156 non-profit organizations in Canada indicates
that different processes lead boards to different levels of strategic involvement, and that such effects
are contingent on the types of organizations concerned. Moreover, boards that are active in strategic
decision-making enhance the performance of their organizations. Our findings have implications for
board research and practice.

Abstract: In Latin America, policy debates about civil society legal frameworks are occurring in a context
of democratic transition in which the parameters of the public sphere are contested, with governments,
political parties, and nonprofits seeking to carve out territory. It is important to underline that this area
of law is often contested, with civil society advocating for a more favorable enabling environment and
the government often seeking to place restrictions on the activities and legal status of civil society
organizations, which it often perceives as a rival. Policy toward civil society and nonprofit organizations
can also be part of greater shifts to the logics of development, for example, by producing symbolic links
to national value and belief systems (Appe 2013). The question emerges, what conceptual lenses and
explanatory factors can best illuminate these variations? The cases presented here highlight a mixed bag
of regulatory environments. On the one hand, countries have outdated and/or hostile legal frameworks
and lingering distrust, misunderstanding and even animosity between government and the nonprofit
sector. On the other, they feature constitutional or legal recognition of freedom of association and the
importance of an independent sector. In this article we will draw upon the extant literature to illuminate
a complex relationship between Latin American governments and their nonprofit sectors.

Resumen: los inicios del cooperativismo costarricense se remontan al siglo XIX, con unas primeras
expresiones que perseguan la satisfaccin de necesidades de productores y trabajadores agrcolas. En el
ao 1943, ya existiendo 23 empresas cooperativas, surgi la primera legislacin a favor del sector.
Actualmente existen 594 cooperativas de adultos y escolares, y 887.335 personas asociadas a ellas. De
acuerdo con el ltimo Censo Nacional Cooperativo (Instituto Nacional de Fomento Cooperativo
INFOCOOP, 2012), el 22,2% de las cooperativas costarricenses pertenece al sector de finanzas y seguros,
ocupando el primer lugar en el ranking de principal actividad econmica de las cooperativas. Entre ellas
se encuentra CoopeAnde N1 R.L, foco de anlisis de la presente investigacin. Se trata de una entidad
que surgi en el ao 1965 con el propsito de brindar una solucin financiera a personas del sector
educacin. Actualmente cuenta con 57.000 asociados en todo el pas. A partir de un trabajo de campo
realizado a nivel nacional entre los meses de diciembre de 2013 y febrero de 2014, con una muestra
total de 2.223 casos, se pretende medir el impacto de una serie de iniciativas sociales, ambientales y
econmicas en la opinin de la base asociativa, as como su percepcin y valoracin respecto a
temticas socioeconmicas y ambientales.

parties centres sur lentreprise, le territoire et les problmatiques transverses, trois parties places
sous le titre Les crativits des entreprises de lESS . Le terme de crativit nest pas dun usage si
frquent dans lESS qui, comme on sait, est associe depuis quarante ans linnovation. Il nous invite
dplacer sensiblement notre cadre danalyse.
Clusters in the Solidarity Economy: the Strategy of Participating in Networks of Enterprises in Brazil

Resumen: la economa es siempre una construccin social y no puede separarse de la sociedad (Polanyi
2011, Laville, 2014). La Economa Solidaria prioriza el desarrollo local y humano a travs de las prcticas
de cooperacin y autogestin. El debate actual sobre la Economa Solidaria hace hincapi en la
necesidad de estrategias para fortalecer las empresas mediante la formacin de redes de cooperacin,
debido a la dificultad de acceso al mercado, lo que se pueden identificar tambin en el contexto
internacional (Spear, 2000, 2004, Borzaga 2005 Young, 2007 Grassl, 2012). El objetivo del estudio fue
investigar, mediante um enfoque cuantitativo multivariado, si la organizacin en redes de cooperacin
fortalece las empresas. Para ello, se analiz la base de datos nacional de la encuesta realizada en Brasil
durante el perodo 2010 a 2013, que comprende una muestra de 9.897 empresas. Los resultados
corroboraron con la literatura de referencia, lo que demuestra que la formacin de redes, de hecho
difiere positivamente eses emprendimientos.

Civil Society Organizations Legitimacy.

In recent decades, Civil Society Organizations (CSOs) play a central role
in the public sphere in Brazil. Criticism accompanied the expansion of
interest by CSOs. This process highlighted questions about
representation, impact, transparency and on their own legitimacy. In
this scenario, this book seeks to answer the following question: what
are the dominant reasons that support the operations and the
existence of CSOs, giving them legitimacy? To do so, the authors
perform a content analysis based on different theories of legitimacy
and the Theory of Critical Capacity (Boltanski & Thevenot, 2006). Then
they develop an analytical framework for understanding the reasons of
46 players of civil society field in southern Brazil. It is concluded that
the pragmatic and moral dimensions of legitimacy are prevalent,
encouraging the adaptation of CSOs to externally established

standards, endangering the plurality of the field. In order to strengthen

the cognitive legitimacy, organizations are encouraged to interact with
the external environment, strengthening the reflection and the debate
about the reason for its existence and performance.

If the twentieth century was only focused on the complementarity and
the opposition of market and state, the twenty-first century has now to
deal with the prominence of the third sector, the emergence of social
enterprises and other solidarity hybrid forms. The concept of civil
society organisations (CSOs) spans this diversity and addresses this new
complexity. The first part of the book highlights the organizational
dimensions of CSOs and analyses the growing role of management
models and their limits. Too often, the study of CSO governance has
been centered on the role of the board and has not sufficiently taken
into account the different types of accountability environments. Thus,
the conversation about CSO governance rises to the level of networks
rather than simple organizations per se, and the role of these networks
in setting the agenda in a democratic society. In this perspective, the
second part emphasizes the institutional dimensions of CSO
governance by opening new avenues on democracy. First, the work of
Ostrom about governing the commons provides us new insights to

think community self-governance. Second, the work of Habermas and

Fraser opens the question of deliberative governance and the role of
public sphere to enlarge our vision of CSO governance. Third, the
concepts of substantive rationality and economy proposed respectively
by Ramos and Polanyi reframe the context in which the question can be
addressed. Lastly, this book argues for a stronger intercultural
approach useful for the renewal of paradigms in CSOs research. This
