On September 30, 2014, Han Solo obtained a loan in the amount of Five Million Pesos from

Jabba D. Hutt and executed a chattel mortgage on the plane Millenium Falcon to secure the
mortgage and a promissory note in favor of Jabba D. Hutt wherein he promised to pay the latter
the said amount, with interest at the rate of ten percent (10%) per annum, in 10 monthly
installments. In addition to the promissory note, he gave 10 post-dated checks for PhP
550,000.00 each.
The checks bounced hence, on January 15, 2016, Jabba D. Hutt sent Han Solo a demand letter
asking him to pay the outstanding debt which, at that time, already amounted to
PhP550,000.00.00, inclusive of the ten percent (10%) annual interest that had accumulated over
the year. Notwithstanding the receipt of the said demand letter, Han Solo failed to settle the loan
obligation.
Hence, Jabba D. hutt filed a Complaint for collection of sum of money with prayer for
preliminary attachment/issuance of writ of replevin with the RTC of Quezon City against the
following:
1. Han Solo
2. Leia Skywalker-Solo, the wife of Han Solo
3. The Trade Federation, Inc., a corporation where Han Solo is the Chief Operating Officer
and which owns the plane Millenium Falcon
On January 30, 2016, respondents moved for the dismissal of the complaint on the following
grounds:
For defendant Han Solo:
1. the loan was not a loan as in fact it was investment of Jabba D. Hutt in the corporation as
in fact the money was deposited to the savings account of The Trade Federation, Inc.;
2. his signature on the promissory note were forged; and
3. improper venue as he is a resident of Makati City while Jabba D. Hutt is a resident of
New York, U.S.A.
For defendant Leia Skywalker-Solo
1. lack of personal knowledge of the transaction;
2. granted that the transaction took place, her consent was not asked nor given; and

3. the checking account from where the checks were taken is her personal account and while
the signatures were hers, the checks themselves were blank checks and she did not issue
them to cover the subject transaction.
For defendant The Trade Federation, Inc.
1. Han Solos act is ultra vires
