AGREEMENT TO SELL
THIS DEED OF AGREEMENT TO SELL is executed at Gurgaon on the
____January,2014
Between
MR. K.P. SINGH S/O SH. AMAR SINGH R/O 8, BIMA COLONY, BIGHAR ROAD,
FATEHABAD, HARYANA (The VENDOR), Hereinafter referred to as the FIRST
PARTY or the Party of the First Part, (which expression shall, unless repugnant to
the subject or context thereof, include his/her/their legal heirs, administrators,
representatives, executors, successors and assignees) of the ONE PART.
AND
Mrs. PRIYANKA SINGH D/O MR. BHARAT SINGH AND MRS. SUDESH SINGH
W/O MR. BHARAT SINGH R/O HOUSE NO. 4270, SECTOR-23A, GURGAON122011 (The VENDEES) Hereinafter referred to as the SECOND PARTY or the
Party of the Second Part, (which expression shall unless repugnant to the subject
or context thereof, include his/her/their heirs, administrators, representatives,
executors, successors, assigns and nominees) of the OTHER PART.
WHEREAS the FIRST PARTY is the owner of the residential Apartment bearing
individual No.
C-501, BESTECH PARK VIEW ANANDA, SECTOR 81, GURGAON. Comprising
of Living/Dining Room, Three Bed Rooms having super area of 1660 sq.ft.
Situated at Gurgaon, (Haryana) registered at the Bestech office, Sector-44,
Gurgaon. (Hereinafter called the SAID PROPERTY

Whereas the FIRST PARTY has now agreed to sell the same to the SECOND
PARTY and the SECOND PARTY have agreed to purchase all the formers rights, title,
privileges, easement, appendages and advantages whatsoever to the SAID
PROPERTY appertaining to or held, used and occupied with the same or enjoyed as
part thereof or appurtenant thereto subject to the rates, taxes and assessments
charges or imposed hereafter for a total sale consideration of Rs. 95,65,919/(Rupees Ninety five laces sixty five thousand nine hundred nineteen only)
And total sale consideration includes the followings components:Basic Sale Price @ Rs. 3000/x 1660 (Area)
= Rs. 49, 80,000.00
Premium on basic@1900/x 1660 (Area) = Rs. 31, 54,000.00
External Development & IDC@ Rs. 361 x 1660 (Area)

(a)
That the FIRST PARTY has received Rs. 16, 00,000/- (Rupees
sixteen laces only) as an Advance/Earnest Money from the SECOND PARTY. As

(b)
And the balance price of Rs. 75, 92,419/- (Rupees Seventy five laces
ninety two thousand four hundred nineteen Only) shall be paid by SECOND
PARTY to the FIRST PARTY on or before 16th February 2014.
(c) and Balance Payment of Rs. 3, 73,500/- (Rupees Three laces seventy three
thousand five hundred only) inclusive of IFMS and excluding Service as
applicable. directly to M/s Bestech India Pvt Ltd. as per the payment plan.
(d)
TDS shall be borne by the first party, the second party will deduct TDS of 1%
from the sale consideration and provide TDS certificate/ Chalan to the first parties.

That the said property is not mortgage with any bank till date of Agreement.

That second party will take loan from bank, so the first party will co operate
and provide all necessary documents to the second party or to the bank.

4.
That in case the First Party refuses to get the transfer of Sale of the said
property in favor of the Second Party within the above specified period, for any
reasons whatsoever, the Second Party can claim double the amount of the money
paid by him as stated under para 1 (a) herein before. In case, the Second Party fails
to take the said property by not making full and final payment of the said property
to the First Party within the above-specified period, the Earnest Money paid by him
will be forfeited by the First Party.

All the expenses in respect of transfer/transfer charges, interest on delay
payment, outstanding installments, shall be borne by the First Party up to the date
of transfer of Said Property. The subsequent expenses on Registration of Sale Deed,
Stamp Duty, service tax, modification charges, Registration Charges, Advance
Maintenance and other Misc. expenses shall be borne by the Second Party.
6.
That the time limits for the Transfer of Sale and final payment to the FIRST
PARTY for the said Property has been agreed mutually to be on or before 16th
February 2014.
7.
The final sale consideration will be calculated as per the Final statement of
Account taken from the Builder (M/s Bestech India pvt ltd ) and all future
installments or unpaid installments will be deducted from total sale consideration.
8.
The property to be transferred/sold under this Agreement is free from all
encumbrances such as sale, gift, charge of lien and there is no legal defect in the
title and power of the First Party to sell the same nor the First Party had already
entered into Agreement to Sell with any other party for the said property.
9.
Whereas all Previous Original Documents/Original Title Deeds i.e. Property
Buyer Agreement, Original Receipts, Original Allotment Letter and all other relevant
documents in respect of the said property shall be handed over by the First Party to
the Second Party at the time of Full and Final payment on the date of transfer of the
said property. The First Party has given the Photocopies of the Allotment Letter and
the Payment receipts pertaining to the said property to the Second Party at the time
of this Agreement to Sell.
10.
That the first party will be left with no right, title, interest or concern of any
nature what so ever in the said properties and the Second party will become the
owner of the same with the right to transfer the same by the way of sale, gift,
mortgage, lease or otherwise to use and enjoy the income for which the first party
shall not claim the same under any circumstances..
11.
In the event of the last date of this transaction falling on a Public Holiday,
Saturday, Sunday or any other Holiday if declared by the Government or unforeseen
natural calamities, M/s Bestech India pvt ltd refusing to execute the transfer for
any official reason of their own, the last date would be extended to the next working
day or the day deemed fit by M/s Bestech India pvt ltd.
12.
All disputes pertaining to the said flat shall be subject to the jurisdiction of
courts at Gurgaon.

IN WITNESS WHEREOF both the FIRST PARTY and SECOND PARTY have signed this
Agreement in taken of their accepting the terms given hereinabove.
