Definitions
Controller of Insurance
It means the officer appointed by the CG under section 2B to exercise all the powers, discharge the
functions and performs the duties of IRDA under this Act or the Life Insurance Corporation Act, 1956 or
the General Insurance Business (Nationalization) Act, 1972 or IRDA Act, 1999;
Appointment of Controller of Insurance under IRDA Act.
Sec 2B of IRDA Act
1. If at any time, IRDA is superseded u/s 19 of IRDA Act, 1999, the Central Government may, by
notification in the Official Gazette, appoint a person to be the Controller of Insurance till such time
IRDA is reconstituted.
2. In making any appointment under this section, the Central Government shall have due regard to the
following considerations, namely, whether the person to be appointed has had experience in
industrial, commercial or insurance matter and whether such person has actuarial qualifications.
Health Insurance Business
Health Insurance Business means the effecting of contracts which provide for sickness benefits or
medical, surgical or hospital expense benefits, whether in-patient or out-patient travel cover and
personal accident cover.
Indian Insurance Company
"Indian insurance company" means any insurer, being a company which is limited by shares, and,
(a) which is formed and registered under the Companies Act, 2013 as a public company or is converted
into such a company within one year of the commencement of the Insurance Laws (Amendment)
Act, 2015;

(b) in which the aggregate holdings of equity shares by foreign investors, including portfolio investors,
do not exceed 49% of the paid up equity capital of such Indian insurance company, which is Indian
owned and controlled, in such manner as may be prescribed.
Explanation For the purposes of this sub-clause, the expression
"control" shall include the right to appoint a majority of the directors or to control the management
or policy decisions including by virtue of their shareholding or management rights or shareholders
agreements or voting agreements;
(c) whose sole purpose is to carry on life insurance business or general insurance business or reinsurance business or health insurance business;
Insurance Co-operative Society
It means any insurer being a co-operative society,1. which is registered as a co-operative society under the Co- operative Societies Act, 1912 or under any
other law for the time being in force in any State relating to Co-operative Societies or under the
Multi-State Co-operative Societies Act, 1984;
2. having a minimum paid-up capital of ` 100 crore in case of life insurance business, general insurance
business and health insurance business;
3. in which no body corporate, whether incorporated or not, formed or registered outside India, either
by itself or through its subsidiaries or nominees, at any time, holds more than 26% of the capital of
such Co-operative Society
4. whose sole purpose is to carry on life insurance business or general insurance business or health
insurance business in India:
Registration
Prohibition of transaction of insurance business by certain persons.
Sec 2C - No person shall carry on any class of insurance business in India unless he is(a) a public company, or
(b) a society registered under the Co-operative Societies Act, 1912, or under any other law for the time
being in force in any State relating to co-operative societies, or
(c) a body corporate incorporated under the law of any country outside India not being of the nature of
a private company:
Section 2CB - Properties in India not to be insured with foreign insurers except with the permission of
IRDA.
1. No person shall take out or renew any policy of insurance in respect of any property in India or any
ship or other vessel or aircraft registered in India with an insurer whose principal place of business is
outside India save with the prior permission of the Authority.
2. If any person contravenes the provision of sub-section (1), he shall be liable to a penalty which may
extend to 5 crore rupees.
Registration
Sec 3. No person shall continue to carry on any such business, unless he has obtained from IRDA a
certificate of registration for the particular class of insurance business:

When the Authority suspends or cancels any registration under clause (b), (c), (j) or (k) of sub-section (4),
the suspension or cancellation, as the case may be, shall take effect on the date on which notice of the
order of suspension or cancellation is served on the insurer.
Requirements as to Capital
(1) No insurer not being an insurer as defined in sub-clause (d) of clause (9) of section 2, carrying on the
business of life insurance, general insurance, health insurance or re-insurance in India or after the
commencement of the Insurance Regulatory and Development Authority Act, 1999, shall be
registered unless he has,
(i) a paid-up equity capital of ` 100 crore, in case of a person carrying on the business of life
insurance or general insurance; or
(ii) a paid-up equity capital of ` 100 crore, in case of a person carrying on exclusively the business
of health insurance; or
(iii) a paid-up equity capital of ` 200 crore, in case of a person carrying on exclusively the business
as a re-insurer:
Provided that the insurer, may enhance the paid-up equity capital, as provided in this section in
accordance with the provisions of the Companies Act, 2013, the Securities and Exchange Board of
India Act, 1992 and the rules, regulations or directions issued thereunder or any other law for the
time being in force:
Provided further that in determining the paid-up equity capital, any preliminary expenses incurred
in the formation and registration of any insurer as may be specified by the regulations made under
this Act, shall be excluded.
(2) No insurer, as defined in sub-clause (d) of clause (9) of section 2, shall be registered unless he has net
owned funds of not less than ` 5000 crore.".

With reference to the provisions of the Insurance Act, 1938 as amended by IRDA Act, state the norms in
respect of paid up equity capital for carrying out the business of an insurer. Also state the items that are
excluded in determining the amount of paid up equity capital.
Requirements as to capital structure and voting rights and maintenance of registers of beneficial
owners of shares
Sec 6A.
No public company limited by shares having its registered office in India, shall carry on life insurance
business, unless it satisfies all the following conditions, namely:
1. that the capital of the company consists only of ordinary shares each of which have a single face
value;
2. that the voting rights of shareholders are restricted to equity shares;
3. that, except during any period not exceeding 1 year allowed by the company for payment of calls on
shares, the paid-up amount is the same for all shares, whether existing or new.
Notwithstanding anything to the contrary contained in any law for the time being in force or in the
memorandum or articles of association, the voting right of every shareholder of any public company as
aforesaid shall in all cases be strictly proportionate to the paid-up amount of the equity shares held by
him.
Deposits
Sec 7. Every insurer shall, in respect of the insurance business carried on by him in India, deposit and
keep deposited with the Reserve Bank of India, either in cash or in approved securities estimated at the
market value of the securities on the day of deposit, or partly in cash and partly in approved securities so
estimated:(a) in the case of life insurance business, a sum equivalent to 1% of his total gross premium written
direct in India in any financial year, not exceeding ` 10 crores;
(b) in the case of general insurance business, a sum equivalent to 3% of his total gross premium written
in India, in any financial year, not exceeding ` 10 crores;
(c) in the case of re-insurance business, a sum of ` 20 crores
The Reserve Bank of India shall, if so requested by the insurer,
(a) sell any securities deposited by him with the Bank under this section and hold the cash realized by
such sale as deposit, or
(b) invest in approved securities specified by the insurer the whole or any part of a deposit held by it in
cash or the whole or any part of cash received by it on the sale of or on the maturing of securities
deposited by the insurer, and hold the securities in which investment is so made as deposit.
(c) and may charge the normal commission on such sale or on such investment.
Reservation of deposits
Sec 8. Any deposit made under section 7
(a) shall be deemed to be part of the assets of the insurer but shall not be susceptible of any assignment
or charge;
(b) nor shall it be available for the discharge of any liability of the insurer other than liabilities arising out
of policies of insurance issued by the insurer
(c) nor shall it be liable to attachment in execution of any decree.
Where a deposit is made in respect of life insurance business the deposit made in respect thereof shall
not be available for discharge of any liability of the insurer other than liabilities arising out of policies of
life insurance issued by the insurer.
Refund of deposit
Sec 9. Where an insurer has ceased to carry on in India all classes of insurance business, and his liabilities
in India in respect of all classes of insurance business have been satisfied or are otherwise provided for,
the court may, on the application of the insurer, order the return to the insurer of the deposit made by
him under this Act.

supplied by him in respect of all policies issued by him.

Re-Insurance
Re-insurance with Indian reinsurers
Sec 101A.
Every insurer shall re-insure with Indian re-insurers such percentage of the sum assured on each policy as
may be specified by IRDA with the previous approval of the Central Government.
IRDA may, by notification in the official Gazette,
(a) specify the percentage of the sum assured on each policy to be reinsured and different percentages
may be specified for different classes of insurance: [Presently 10%]
(b) Provided that no percentage so specified shall exceed 30% of the sum assured on such policy.
For the removal of doubts, it is hereby declared that nothing in subsection (1) shall be construed as
preventing an insurer from reinsuring with any Indian re-insurer or other insurer the entire sum assured
on any policy or any portion thereof in excess of the specified percentage.
Examination of re-insurance treaties
Sec 101C. IRDA may, at any time
(a) call upon an insurer to submit for his examination at the principal place of business of the insurer in
India all re-insurance treaties and other re-insurance contracts entered into by the insurer;
(b) examine any officer of the insurer on oath in relation to any such document as is referred to in
C1ause (a) above; or
(c) by notice in writing, require any insurer to supply him with copies of any of the documents referred
to in Clause (a), certified by a principal officer of the insurer.
