Borough Council Legal Services Civie Centre Hartlepool ‘TS24 SAY The English Martyrs Educational Trust ‘TRUSTEES’ REPORT ‘The trustes present their annual report together withthe financial statements and auditors’ report of the charitable company forthe year ended 31 August 2015, This is the first report since the incorporation of The English Martyrs Educational Trust, a company limited by guarantee ‘registered in England and Wales (company number 8692417) on 01 May 2014, ‘The trust operates ant academy, The English Martyrs School and Sixth Form College, which opened on 1 May 2014 replacing The English Martyrs School and Sixth Form College Voluntary Aided Comprehensive School, ‘The academy is ‘operated for pupils aged 11 to 18 serving a catchment area of the diocese of Hexham and Newcastle, It has a pupil capacity ‘of 1634 and had a roll of 1530 in the school eensus on October 2014. ‘STRUCTURE, GOVERNANCE AND MANAGEMENT. Constitution ‘The Academy Trust is « company limited by guarantee and an exempt charity. The Charitable Company's memorandum and. articles of association dated 27" March 2014 are the primary governing documents of the Academy Trust. At present the only Academy within the Trust is The English Martyrs School and Sixth Form College and as such the Trust is generally referred to by this name. The trustees of The English Martyrs Educational Trust are also the directors ofthe Charitable Company for the purposes of ‘company law. ‘The Charitable Company is known as The English Martyrs Educational Trust. Deals of the Trustees who served throughout the year are included in the Reference and Administrative Details on page | Members’ Nability Ench member of the Charitable Company undertakes to contribute tothe asscts of the Charitable Company in the event oft being wound up while they are @ member, or within one year after they cease to be a member, such amount as may be required, not exceeding £0, forthe debts and liabilities contracted before they ceased to be a member. Method of recruitment and appointment or election of trustees ‘The Trustees comprise of the signatories to the original Memorandum of the Academy Trust, the Diocesan Bishop, the Director ofthe Education Services ofthe Diocese, the chairman ofthe Directors and any other such person as the Members ‘agree unanimously in writing to appoint. In the event that it proves necessary fo recruit new trustees, the reerutmment process will follow best practice and the Seven Principles of the Public Life, known as the Nolan Principles. All new Trustees receive a full induction into the ethos and core values of The English Martyrs Educational Trust. A ‘Programme of training and education isin place to ensure thatthe Trustees are able to fully and well mest their legal responsibilities and ensure good governance ofthe organisation, The English Martyrs Educational Trust TRUSTEES’ REPORT (continued) Organisational structure The trustees, both individually and as a board, are responsible forthe proper conduct and financial operation ofthe trust. They are responsible for ensuring thatthe trust's funds are used only in accordance withthe law, its articles of association, its funding agreement and the Education Funding Agency's (EFA’s) guidance. The board of trustees has wide discretion ‘over its use ofthe trust's funds, which it must discharge reasonably and in @ way that commands broad public support. It is responsible for the proper stewardship of those funds, including regularity and propriety, and for ensuring economy, efficiency and effectiveness in their use ~ the three key elements of value for money. The board of trustees is subject to the duties and responsibilities of charitable trustees and company directors as well as any ‘other conditions that the Secretary of State agrees with them. ‘These responsibilities are mutually reinforcing and are there to ‘ensure the proper govemance and conduct of the trust. The key requirements are reflected in the articles of association, the funding agreement, and the EFA guidance. The Trustees also have statutory duties to fulfil as company directors. The Board of Trustes in tu has appointed the Head teacher, Stephen Hammond, as the Accounting Officer which includes specific responsibilities for financial matters. It includes a personal responsiblity to Parliament, and to the Education Funding Agency's Accounting Officer, for the financial resources under the trust's control, Accounting Officers must be able to assure Parliament, and the public, of high standards of probity inthe management of public funds, particularly: ‘Regularity ~ dealing wit al items of income and expenditure in accordance with legislation, the terms ofthe tust’s funding agreement and compliance withthe trusts internal procedures. Propriety ~ the requirement that expenditure and receipts should be dealt with in accordance with Parliament's intentions and the principles of partiamentary control, This covers standards of conduct, behaviour and corporate governance; and Value for money ~ this is about achieving the best possible educational and wider societal outcomes, within the tust’s objectives, through the economic, efficient and effective use of resouress, the avoidance of waste and extravagance, and prudent and economical administration. A key objective is to achieve value for money not only for the trust but for ‘expayers generally Whilst the trust's accounting officer is accountable for the trust's financial affairs, for keeping proper financial records, and for the management of opportunities and risk, the delivery of the trusts detailed accounting processes has been delegated to the chief financial officer, the Finance Manager, ‘The Board of Trustees has reserved to themselves all matters not explicitly delegated to other authorities within the Academy. ‘The principle ones retained being with regard to the ability to borrow, grant security against assets, and the appointment, dismissal and level of remuneration of the Head teacher. This is reflected in the scheme of delegation and terms of reference so that there are clear lines of accountability tothe Trust. ‘The Board has delegated to the Finance and Audit Committee the responsibilty for reviewing the annual accounts, ‘governance statement and value for money statements forthe Academy. The oversight and approval of the financial policies and procedures that have been implemented in the Academy, making recommendations to the Board as regards the annul ‘budget, ongoing financial activity ofthe Academy and the oversight of the medium term financial plan. ‘The Head teacher supported by the Senior Leadership Team is responsible for the day to day operation of the Academy. Regular progress reports are made to the Local Governing Body (LGB) which has oversight of operational activities. This is achieved by means of four committees dealing mainly with finance, safeguarding and the curriculum, Connected organisations, including related party relationships ‘The Education Trust and Academy is not part of any wider organisation and as such is an independent legal entity. The ethos of the Trust, its background and inherent values do by necessity mean that it works closely with both Hartlepool Borough Council and the Diocese of Hexham and Neweastl. Risk management ‘The charity trustees have considered the major risks to which the charity is exposed and have reviewed those risks and established systems and procedures to manage those risks. A review ofthe risk and governance arrangements is regularly present to the Finance and Audit Committe for consideration, The English Martyrs Educational Trust TRUSTEES” REPORT (continued) Objectives, strategies and activities Currently only one Academy (The English Martyrs School and Sixth Form College) operates within The English Martyrs Educational Trust. ‘The Trust works in close parership with the Hexham and Neweastle Catholic Diocese Education Service and with local Schools and Academies, ‘The Trust currently provides education for students of different abilities between the ages of 11 and 19, The Trust roots its activities in the teachings ofthe Roman Catholic faith. The main objectives ofthe Trust are: ‘To provide an outstanding education, rooted in the values of the Gospel of Jesus Christ, for our young people so that they will achieve their full potential ‘+ To ensure that each young person enjoys the same high quality education in terms of resourcing, tuition and care + To ensure that Academy funding is utilised effectively to secure outstanding provision and to provide value for money ‘+ Toensure that ts Academies comply with all statutory and canonical requirements ‘© To foster and maintain close and productive working links with our educational, faith and community partners Public benefit ‘The Directors confirm that they have complied withthe duty in Section 4 ofthe Charities Act 2006 to have due regard tothe Charity Commissioner's general guidance on public benefit in exercising their powers or duties, ee The English Martyrs Educational Trust TRUSTEES’ REPORT (continued) STRATEGIC REPORT Achievements and Performance and Key Performance Indicators Introduction: © Overall, student outcomes in Years 11, 12 and 13 were extremely postive, having risen in all key performance indicators, ‘© Students continue to make a good level of progress from their starting points; this further demonstrates that their ‘outcomes are at least on or above national standards. ‘+ In order to boost the performance of students we have implemented a range of intervention strategies to make sure they all achieve ther very best. We fastidiously track and monitor students’ progress and put key strategies in place to ‘ensure students receive high-quality, day-to-day classroom experiences (for example: whole-school plant ‘framework, excellent CPD programme, an embedded culture of sharing best practice and appropriate use of teaching assistants). ‘© Students are well prepared for their future; students are offered and can acoess a wide range of opportunities, for ‘example the Hartlepool Choices Event, EMS6 Open Evening and access to exceptional Careers’ guidance, Specific areas for development: (© Maths mist improve further to match the higher attinment and progress seen in English, (© Itisalso vital to identify teaching strategies and coach students at risk of not obtaining both English and. EM (School: 62%) ra HAG 0% (School: 97%) ‘Capped Point Score 306.9 (School: 331.3) Uncapped i Point Score VA 1000+ (School: 93.7) EM Financial Review During the first 16 months of trading activity the Academy has performed in line with expectations for this initial period. ‘The financial statements reflect the costs associated withthe necessary restructuring of the organisation and the other costs associated with being an Academy. The financial statements for the sixteen months to 31 August 2015 show that we have ‘made a surplus of £473,817 on unrestricted funds before transfers, and have a Balance Sheet total of £7,212,436 and the forecasts for 2015/16 anticipate generating a modest surplus in that year. ‘The accounts have been prepared on a going concer basis using the historic cost convention. The main source of funding during the year was receipt of General Annual Grant from the Education Funding Agency (EFA). The academy also receives Special Educational Needs Funding, the use of which i also restricted to particular purpose, This was supplement bby income generated from letings and the provision of services where applicable. The Trust is looking to build up reserves such that any additional resources can be invested in secure regulated investment with mainland high stret banks. In year we have been able to invest £400,000 surplus Funding with Lloyds Bank ple- Financial and risk management objectives and policies ‘The Trust aims to minimise exposure to fluctuations in the value of financial instruments. A financial instrument is a contract that gives rise to a financial asset of on entity and a financial liability of equity instrument of another entity. The ‘exposure to credit risk and bed debts are kept to @ minimum as there is only one relatively low level of exposure to debtors at any time during the year. ‘The Trust does, like many other institutions have on-going lability in respect of the defined benefit pension schemes relation to some oftheir employees, and more information can be found regarding this in te relevant note tothe accounts. The English Martyrs Educational Trust ‘TRUSTEES’ REPORT (continued) Reserves policy ‘The Trust aim to ensure the stability of the academy's organisation operations by holding reserves which are considered prudent to maintain a level of funding available to cover unexpected and unplanned events. The governors review the reserves levels of the academy annually. This review involves consideration of income and expenditure streams. The academy's current levels offre reserves are £473,817. ‘Academy staff are members of one of two pension schemes, both of which are defined benefit schemes, the Teachers’ Pension Scheme and the Local Goverment Pension Scheme, Further details of both schemes are provided in the Notes to the Accounts. Due to the nature ofthe Teachers’ Pension Scheme itis not possible t identify the Academy's share of the ‘underlying (notional) assets and has accounted for the contributions to the scheme as if it were a defined contribution scheme. For the Local Government Pension Scheme it has been possible to identify the Academy's share of the pension assets and liabilities of the scheme. The net ofthese two balances has been identified on the Academy's Balance sheet as a liability and associated reserve. Investment policy The academy's current investment policy is to maximise income through a low risk strategy. All funds ean be accessed within 32 days so that they can be appropriately utilised. Plans for Future Periods ‘+ Our plan is to retain the high level of performance over the future & consider sponsorship of another school alongside the MAT Arrangement. ‘+ Duc to other local schools now opening 6 form centres numbers of students have and likely will continue to drop. ‘The Academy is curently increasing the range of target area for student recruitment in order to minimise the risk, © Sixth Form: ~ Aim to attract more students (open night and follow-up, visits to local schools and follow up) = Increase number of own seudents entering sixth form = Increase number of external students (Recruitment strategies) Expand “Be competitive" programme * Branding/Publicity Refresh school branding and house style (letterhead, website, publications etc.) Increase good news stories promoting the school in local press © Results GCSE results to exceed 70% 5+ A*-C including English and Maths + AMB pass rate at A Level to exceed 53% ‘+ We will continue to develop our curriculum to provide a broad and balanced range of courses which are relevant for students in the current educational and employment climate, Principal risks and uncertainties Principle risks to which the Academy is exposed are Financial, Staffing and Academic and other operational areas. The Directors review and assess these risks regularly and implement plans and procedures to mitigate these. The principle risks and uncertainties are centred on the level of funding from the EFA. The academy has considered able reliance on continued Govemment funding through the EFA. Changes to the schools funding formula may have a etrimental effet. {In addition the Academy is a member of the Local Government Pension Scheme (LGPS), which results in the recognition of| ‘deficit on the academy Balance Sheet. They have met these challenges fully and well and have been sssted in this by @ number of extemal professional advisers who have ensured that the Trust is always striving to demonstrate best practice. The accounting officer understands that value for money refers to the educational and wider societal ‘outcomes achieved in return for the taxpayer resources received, This will include (but i not limited to) taking effective measures in school to: 1, Ensure probity and the prudent, economical administration of the Academy Trust Company, 2 Establish and maintain a system of financial governance, including sound internal spending controls, keeping up- ‘to-date financial records, continuous financial monitoring and timely reporting. 3. Ensure all financial transactions represent value for money. 4. Avoid waste and extravagance ‘The accounting officer considers how the trst’s use ofits resources has provided good value for money during each academic year, and reports to the board of trustees where value for money can be improved, including the use of ‘benchmarking data where available. The accounting officer for the academy trust has delivered improved value for money daring the year by: ‘Taking steps to ensure examination results are inthe “Outstanding” category. Discussing with other Academies to souree best value pricing ‘Tender and bid processed for major purchases ‘School spend benchmarked by the Finance department using the DfE tool on the Financial Benchmarking website ‘The parpose of the system of internal control ‘The system of internal control is designed to manage risk to a reasonable level rather than to eliminate all risk of failure to achieve policies, aims and objective; it ean therefore only provide reasonable and not absolute assurance of effectiveness. ‘The system of intemal control is based on an on-going process designed to identify and prioritise the risks to the achievement of academy trust policies, aims and objectives, to evaluate the likelihood of those risks being realised and the {impact should they be realised, and to manage them efficiently, effectively and economically. The system of internal control thas been in place in throughout the 16 months to 31 August 2015 and up to the date of approval ofthe annual report and financial statements, Capacity to handle risk ‘The Board of Trustees has reviewed the key risks 1o which the Academy Trust is exposed together with the operating, financial and compliance controls that have been implemented to mitigate those risks. The Board of Trustees is of the view that there is a formal on-going process for identifying, evaluating and managing the Academy Trust’ significant risks that has been in place for the year ending 31 August 2015 and up to the date of approval of the annual report and financial statements. This process is regularly reviewed by the Board of Trustees. ‘The risk and control framework. ‘The Academy Trust's system of internal financial control is based on a framework of regular management information and ‘administrative procedures including the segregation of duties and a system of delegation and accountability. In particular, it includes: * comprehensive budgeting and monitoring systems with an annual budget and periodic financial reports which are reviewed and agreed by the board of trustees; ‘+ regular reviews by the Finance and General Purposes Committee of reports which indicate financial performance against the forecasts and of major purchase plans, eaptal works and expenditure programmes; setting targets to measure financial and other performance; clearly defined purchasing (asset purchase or capital investment) guidelines. delegation of authority and segregation of duties; ‘identification and management of risks. ar The English Martyrs Educational Trust GOVERNANCE STATEMENT The trustees have appointed RSM Risk Advisory Limited and AVEC Partnership Limited to give advice on financial ‘matters, perform a range of checks on the Academy's financial system. The Academy confirms that this function has been fully delivered inline with the EFA requirements and no material control issues arose.
