INTERIOR DESIGN SERVICES
1. Design Conception Services
1. In this stage of the Project, the Designer shall perform the following:

Discuss the clients specific design needs and preferences.

Perform an initial design study (measure floor space, prepare sketches and take
photos of existing interior).

Develop conceptual interior plans and concepts

Discuss preliminary color schemes, selections for floors, windows and walls.

Prepare initial layout indicating the location of furniture and furnishings.

Prepare a schematic plan for interior decorations and built-ins.

Develop a preliminary budget for the Project.

2. Before commencement of the Design Concept Services, Designer shall receive a

preliminary non-refundable Design Fee of Five Thousand dollars ($ 5,000). The Fee is
payable upon signing this Agreement and is in addition to other compensation payable to
Designer under this Agreement.
2. Specifications and Purchasing Services
1. After the Client approves the Design Concepts, Designer shall:

Specify design requirements for interior installations, light fixtures, accessories,


movable furniture and furnishings and hardware (Merchandise).

Plan and submit to the Client, the proposals for completing the interior
installations and supply of mMerchandise for client approval.

If Client requests to purchase Interior Installations and merchandise approved by


Designer, he/she may do so through Designer. In other instances, Designer may
ask Client to purchase from other providers pursuant to agreement stipulated in
the Project Review section of this Agreement.

All items to be purchased shall be specified in detail and shall require Clients
authorization together with 90% of the sum for each item before requesting the
order. The balance of payment including shipping charges, taxes, handling fees
and related fee thereupon, will be payable upon delivery. Proposals for wall

coverings, antiques, fabrics and other items sourced locally or in auctions shall
require full payment at the time of signing the Proposal.

No item shall be purchased by Designer until the Design Proposal is approved


by Client in written form and returned to Designer with initial payment amount
equaling ten percent (10%) of Client's set Price.
3. Project Review

If the Design Project requires the services of other contractors based upon the
drawings, concepts and design specifications of Designer not therein specified in
the initial Interior specifications, Client will sign an agreement directly with the
contractor. Designer will, however, be provided with the copies of all invoices
and contracts received from the contractors.

Designer shall regularly visit the Project site to review the work of contractors to
ascertain if the project conforms to Designers concepts. Designer shall not be
responsible for the quality, performance, delivery, materials, equipment and
timely completion by contractors because of the direct contract with Client.

Designer shall be entitled to a fee amounting to three percent (3%) of the


amount paid to each contractor using drawings, specifications and concepts of
Designer (Project Review Fees).
4. Compensation

The fee for the entire Project will be Twenty five thousand Dollars ($ 25,000).

An initial payment of five thousand Dollars ($5,000) shall be made upon


execution of this Agreement.

Billing for services shall be carried out as follows:


10% upon signing this Agreement
40% at the conclusion of the initial review discussion
40% when order of items is placed
10% when the Project is completed

Additional services requested by Client that are not covered in this Agreement will be
charged separately at $ 350 per hour.
5. Termination, sSuspension or aAbandonment

This Agreement may be terminated by either party to the Agreement upon one parts
default in performance. Termination may occur provided it may not be effected until a
written notice that specifies the level and nature of default is delivered to the concerned
party and the party does not remedy the default in performance within seven (7) days
from the date the party receives such notice.

The Agreement may be terminated by Designer through a written notice to Client if the
Project is permanently abandoned by Client for over 90 consecutive days.

If Client fails to make full payments to Designer based on this Agreement, this will be
considered as reasonable nonperformance and ground for termination.
6. Arbitration

1. Unless the parties to this Agreement agree mutually on the matters related to disputes,

claims and others related to or arising out of this Agreement or breach therefore, the
matters shall be resolved through arbitration according to the Construction Industry
Arbitration Rules.
2. A party shall file a request for arbitration to the American Arbitration Association and to
the other party to this Agreement in writing and within a reasonable time after the matter
in question has been raised.
3. No arbitration shall involve an additional entity or person not party to this Agreement
unless consent to arbitration is signed by the parties to this Agreement and the entity or
person.
4. The award rendered during arbitration shall be final.
7. Payments to the Designer
1. Direct personal expense refers to direct salaries of the Designers Project team together
with part of the cost of their customary and mandatory benefits and contributions thereof,
such as insurance, employment taxes, pensions, statutory employee benefits, sick leave
and similar benefits and contributions.
2. Reimbursement expenses are expensesthose that the Designer and his team incur during
the Project and include the following:.
Expenses of postage, reproductions and handling of specifications, drawings and
other documents.
Transportation expenses associated with the Project; travels, fees for approval
from authorities and long-distance communication.
If agreed in advance with the other party, overtime expense for work other than
regular rates.
Expenses of models, rendering, drafting equipment and computer-aided design
used in the Project.
3. Under this Agreement, the initial payment for basic services is the minimum payment.
4. Other payments for basic services shall be made monthly.

5. If the time set for the Project exceeds through no fault of the Owner or Designer,
additional compensation shall be agreed upon by both Parties to the Agreement.
6. No payment shall be held or deductions made on the Designers compensation based on
the sums withheld, liquidated damage or cost of changes in the Project other than those
agreed upon in the contract.

8. Additional Services
For additional services compensation shall be computed based on an additional
Agreement between the Client and the Designer.
