CHAPTER 3

Internal Corporate Venturing

The strategic management of internal corporate venturing (ICV) presents a major
challenge for many large, established firms. A process model conceptualization of ICV
suggests that vicious circles and managerial dilemmas typically emerge in the development
of new ventures. These problems are exacerbated by the indeterminateness of the strategic
context for ICV in the corporation, and by perverse selective pressures exerted by its
structural context. Making a firm's ICV strategy work better requires refining its structural
context, elaborating the strategic context for ICV, moderating the destructive organizational
consequences of a venture's fast growth, and facilitating the integration of different important
functional perspectives in the definition of a new business opportunity by Robert A.
Burgelman 1984.

External Corporate Venturing

An external company is one which was incorporated outside the Republic and which
conducts its activities within the Republic, irrespective of whether it is a profit or a nonprofit
entity. Corporate venture is the investment of corporate funds directly in external start-up
companies. An investment made through an external fund managed by a third party, even
when the investment vehicle is funded by a single investing company, is not considered
corporate venture.
Investing in our People ABM is dedicated to maintaining and improving our human
capital. We do this by offering training and development courses and tools that support
overall employee career progression and ensure equal opportunity in the workplace.
Programs include annual harassment prevention training, supervisor training in a variety of
topical areas, diversity and inclusion, Civil Treatment for Managers class, Safety/OSHA
standards and procedures, and online professional development and technical training.
Additionally, we offer specific technical training at the service worker level across all
divisions. ABM recognizes training and development contributes to motivating improvement.
Approximately ten hours of training are devoted to management level employees, while the
majority of ABM service team members receive on average 25 hours of training annually.
ABM supports the goal setting process and attending corporate sponsored training courses
in addition to courses offered at the divisional level nationwide emphasizing customer
service, safety practices, business ethics and professional development. We also offer
contractual training agreements to our large client base. ABM offers programs for skills
management and lifelong learning that support the continued employability of employees
and assist them in managing career endings. These programs include professional
development through tuition reimbursement, pre-retirement planning for intended retirees,
assistance transitioning to a non-working life, and retraining for those intending to continue
working. A more skilled and aware workforce enhances the organizations human capital and
contributes to employee satisfaction, which correlates strongly with improved performance.
Providing a Safe Workplace Safety in the workplace plays an extremely important
role for ABM from a financial perspective, but more importantly from a social perspective.
Ensuring happy, healthy workers remain that way while performing their duties is vital to our
way of conducting business. Our employees are the most valuable natural resource we
have, as our business cannot thrive without them. With dedicated teams specializing in
safety, workers compensation, liability claims and insurance management, our risk
management professionals work hand-in-hand with customers to promote the safest
possible environment at their facilities. All ABM employees receive general safety training as

well as specialized safety training as warranted by their assigned duties. Likewise, our staff
is trained to consider the health and safety of the people around them, such as building
occupants and visitors.
Partners ABM self performs approximately 95% of our services. In those areas where we do
not currently have an established regional or branch office or local service expertise, or
when diversity spends is a goal, we subcontract through affiliated service partners. Service
partners are subject to pre-qualification reviews to ensure they can meet ABMs customer
service requirements and have the applicable insurance, business licenses and, when
required,

diversity certification documentation. Furthermore, ABM has established

sophisticated purchasing and subcontract management systems that enable us to procure

necessary services, manage service partners effectively and saves our customers money
without sacrificing quality. ABM strongly supports diversity certified (MBE/WBE) agencies
and private organizations as a complement to our services. While the research and
certification is the responsibility of each individual company, ABM provides information to
assist and encourage companies in their diversity certification efforts. Still, certification from
any governmental agency or private organization is not a prerequisite for contracting to
provide goods and services to ABM. Our National Accounts Operations Support Team
currently reports quarterly tier two diversity spends for select national accounts. This tier two
reporting includes payments made to certified subcontractors performing services for these
accounts and payments made to certified distributors that provide supplies and equipment
for these accounts.
