Tentative Chapterisation

The following Tentative of Chapterisation in the Dissertation paper:

Chapter I Introduction

This chapter will deal with the concept of Corporate Governance and world of Corporate
Governance, Evolution of Corporate Governance framework in India Corporate Governance
System and Internal Control Committee structure, and also tries to introduce the finer
nuances of Corporate Governance and the various components involved.

Chapter II Corporate Governance: An Overview

This chapter will deal with respect to the answers of the questions like why we need
Corporate Governance and what is the fundamental pillars of the Corporate Governance, how
these fundamental pillars of Corporate Governance are helpful in ensuring smooth running of
a company, Identify the basis of Corporate Governance, Distinguish the Corporate
Governance from the Corporate Management and the Importance of the Corporate
Governance in the Firm.

Chapter III Clause 49 of the Listing Agreement: An Overview in light of SEBIs


Consultative Paper on review of Corporate Governance

This chapter dealt with the Clause 49 of the Listing Agreement in light of the SEBIs
Consultative paper on review of corporate governance norms in India and present law within
itself the comparisons between the old law and the new reports/ circulars released by SEBI in
the recent past. I would like to also discuss the various committees and its reports on
Corporate Governance, which have influential in creation of the modern principles of
corporate governance which we see today.
It has been a culmination of the efforts put in by all these committees, that we have the
Clause 49 of the Listing Agreement and certain provisions in the Companies Act, 2013 for the
purposes of combating corporate frauds and unethical practices.

Chapter IV The role of OECD in Corporate Governance: An Overview in light of


SEBIs Consultative paper on review of Corporate Governance

Under this chapter, I will discuss the OECD principles on Corporate Governance in light of
the SEBIs Consultative paper on review of Corporate Governance. How these principles
advanced the Corporate Governance agenda and provide the specific guidance for legislative
and regulatory initiatives in both member and non-member countries.
Chapter V The Greed and Corporate Failure: A Lessons from recent Past
This chapter will cover frauds from Enron to Satyam and shows us what truly lies behind the
scandals and disasters of global business which marred the first few years of the 21 st century.
This chapter will also examine why companies fail, finding the reasons few and what is the
drastic effects which frauds and misdemeanours from the persons sitting at the top of the
corporate ladder can have on the company, its reputation and on the shareholders. It also
explores what the prudent investor, board member or manager should be alert to but often is
not.
Chapter VI Conclusions and Suggestions
The author will finally conclude the Dissertation in this chapter and endeavours to put certain
points, which he believes would be of immense help for restructuring the system and
reaffirming the faith of the shareholders and stakeholders in companies. A strong Corporate
Governance mechanism is inevitable in todays fast-moving world.
