DISCLOSUREWITH REGARDSTO ACOUISITIQN OF AN NBFC.

The Company acquired M/s.PSBLending Tree (Private) Limited, a Chennai based

NBFC (Non-Deposit) taking (AcquireeCompany)having Certificateof RegistrationN07.00796dated 24.02.2014.
The acquisition was effectedby purchaseof the entire paid up equity sharecapital of
the Company comprising of 20,50,000Equity Sharesof Rs.101-each at a premium of
Rs.1.501per share(i.e.Rs.11.501per share)aggregatingto Rs.2,35,75,OOOI-.
The payment for such acquisition was made on 12.09.2016through proper banking
channelsafter obtaining "No objectionletter" from RBI for such acquisition vide RBI
letter dated 28.07.2016- DNBS (Che) I CMD I 93I 13.23.~7I 2016-17.
MIs. PSB Lending Tree (Private) Limited shall be a wholly owned subsidiary of
S V GlobalMill Limited.
In connection with the acquisition of MIs PSB I~ending Tree Private Limited,
Mr. M.Ethiraj and Mr. E.ShanmugamChairman and Managing Director of SV Global
Mill Limited have been appointed as new Directors w.e.f 14.09.2016
in the placeof Mr.
P.S Balasubramanianand Mrs V.Kalyani, Directors of the Acquiree Company who
resignedfrom their Directorship w.e.f. 14.09.2016.

Necessarye-fotms along with the consentletters to act as Directors I resignationletters
has been filed with the RoC through the Acquiree Company giving effect to the said
appointmentand resignationof the Directors.
