Contract of Lease

KNOW ALL MEN BY THESE PRESENTS:

This Lease contract made and entered into this 29 th of April 2015 in Baguio City, by
and between:

LEANE GANDEZA- PACQUIAO, a Filipino Citizen, of legal capacity, with business


and residence address at 18 Mikael Street, Lower Engineers Hill, Baguio City, herein
referred to as the LESSOR;

And

MARIA OSAWA- MAYWEATHER, a Filipino Citizen, of legal capacity, with residence


address at Room 243- Bonbel Condominium, Claro M. Recto Street, Navy Base,
Baguio City.

WITNESSETH: THAT:

WHEREAS, the LESSOR is the owner of an advertisement space lot located at Town
Plaza Building, Claro M. Recto Street, Navy Base, Baguio City;

WHEREAS, the LESSEE desires to occupy the above-stated advertisement space,


and the LESSOR is willing to lease the same unto the LESSEE by way of this
agreement:

1. TERM. The LEASE shall be for a duration of five (5) months commencing from 1 st
May 2015, renewable by operation of the New Civil Code of the Philippines.

2. RENTAL. The LESSEE agrees to pay the LESSOR the monthly rental fee of Sixty-
Nine Thousand (Php 69, 000.00) Philippine Currency per billboard not exceeding
nine (9) meters in width, by seven (7) in length.

Upon signing of this Lease Contract, the LESSEE shall pay the LESSOR one (1)
month rental advance in advance covering the month 28 th April 2015 to 28th May
2015. Succeeding monthly rentals be payable in cash only. Payment via postdated
check will not be legally honored in anyway.

LESSEE hereby agrees to pay 3% interest per month on any delay in payments.

3. DEPOSIT: The LESSEE shall pay the LESSOR the sum of two (2) months deposit of
One Hundred Thirty-eight Thousand Philippine Currency (Php 138, 000.00) to
guarantee for unpaid utilities of the LESSEE. Provided further that deposit cannot be
applied to unpaid back rentals owed by the LESSEE prior to the expiration of this
agreement. Furthermore, if the LESSEE vacates the premises before the expiration
of the period of lease, the total amount of the deposit and advance rentals shall be
forfeited in favor of the LESSOR.

4. IMPROVEMENTS: The LESSEE shall not make any alteration, structural changes or
improvement in the leased premises without the prior written consent of the
LESSOR.

5. FACILITIES: All charges for electricity for the illumination of the billboard(s) at
night shall be for the account of the LESEE.

6. INSURANCE: The LESSOR shall insure the leased premises against fire. Should the
leased premises be damaged by fire, earthquake, storm or any fortuitous events to
the extent that the same be rendered unusable this agreement will be automatically
cancelled and the deposit as well as the unused portion of the advance rentals be
refunded within sixty (60) calendar days, minus any unpaid obligation.

7. PROHIBITION AGAINST CERTAIN ADS:

a. The LESSEE should not post photos offensive to law, morals, good customs, and
public policies, such as but not limited to: pictures of shirtless persons, underwear
advertisements, etc.

The LESSEE should not advertise foreign commercial products. Only Filipino/local
products are allowed to be advertised.

Violation of this prohibition will subject the LESSOR to to the following sanctions:
1st Offense: Penalty of sum of Php 150, 000.00,
2nd Offense: Ejectment/eviction/rescission of contract

8. COURT VENUE: Before judicial action, the LESSOR and LESSEE agree to submit
first to an amicable settlement before the Barangay Conciliation proceedings in
Barangay Navy Base, Baguio City. Failure of settlement shall make pertinent
remedial laws applicable.

IN WITNESS WHEREOF, the parties have hereunto set their hands this 28 th of April
2015, in Baguio City.
