ANEXO DEL CONDUCTOR AL CONTRATO DE SERVICIOS

Este Anexo al Contrato de servicios (Anexo) constituye un contrato legal entre una empresa
independiente en la actividad comercial de prestar servicios de transporte (Compaa de
transportes) y un proveedor independiente que ofrece sus servicios de transporte (Conductor).
El Conductor mantiene actualmente un acuerdo contractual o de empleo con la Compaa de
transportes para prestar servicios de transporte de pasajeros para dicha Compaa de transportes.
La Compaa de transportes y Uber B.V. (Uber) han celebrado por separado un Contrato de
servicios (Contrato) para que la Compaa de transportes acceda a los Servicios Uber (segn se
define a continuacin).
Adems de los servicios de transporte que presta habitualmente conforme a su convenio
contractual con la Compaa de transportes, el Conductor est interesado en recibir servicios de
generacin de contactos y servicios relacionados a travs de los Servicios Uber. La Compaa de
transportes y el Conductor desean celebrar este Anexo para definir los trminos y condiciones
bajo los que el Conductor podra recibir dichos servicios de generacin de contactos y servicios
relacionados.
Para utilizar los Servicios Uber, el Conductor y la Compaa de transportes deben aceptar los
trminos y condiciones establecidos a continuacin. Desde el momento en el que el Conductor
celebra (de forma electrnica o de otro modo) el presente Anexo, el Conductor y la Compaa de
transportes quedan obligados por sus trminos y condiciones.

1. Definiciones.
1.1. Afiliado significa una entidad que, directa o indirectamente, controla, se encuentra bajo
el control o control conjunto con una parte, donde control significa disponer de una
participacin mayor que el cincuenta por ciento (50 %) de las acciones con derecho a voto
u otros derechos de titularidad, la mayora de los derechos de voto de dicha entidad, la
capacidad de dicha entidad para asegurarse de que las actividades y las actividades
comerciales de dicho Afiliado se lleven a cabo conforme a los deseos de dicha entidad o el
derecho a obtener la mayora de los ingresos de dicho Afiliado sobre cualquier
distribucin realizada por ese Afiliado de todos sus ingresos o de la mayora de sus activos
en un proceso de liquidacin de la empresa.
1.2. Dispositivo significa el Dispositivo Uber o el Dispositivo proporcionado al conductor,
segn sea el caso.
1.3. Driver App significa la aplicacin mvil de Uber que permite a los proveedores de
transporte el acceso a los Servicios Uber con el fin de localizar, recibir y dar cumplimiento
a las peticiones sobre demanda de servicios de transporte por parte de los Usuarios,
teniendo en cuenta las actualizaciones o modificaciones realizadas por Uber a su
discrecin de cuando en cuando.
1.4. ID del conductor significa la clave de identificacin y contrasea asignada por Uber a un
Conductor que permite a un Conductor utilizar y acceder a la Driver App.
1.5. Dispositivo proporcionado al conductor significa un dispositivo mvil de propiedad o
controlado por la Compaa de transportes o un Conductor: (a) que cumple las
especificaciones de Uber actuales en ese momento para dispositivos mviles segn lo
establecido en www.uber.com/byod-devices; y (b) sobre las que la Driver App se ha
instalado conforme a la autorizacin de Uber con el fin de ofrecer Servicios de transporte.
1.6. Territorio significa la zona urbana o metropolitana fuera de los Estados Unidos y China
continental en la que la Compaa de transportes y sus Conductores estn autorizados por
la Driver App a recibir peticiones de Servicios de transporte.
1.7. Servicios de transporte significa la provisin de servicios de transporte de pasajeros a
Usuarios a travs de los Servicios Uber en el Territorio por la Compaa de transportes y
sus Conductores utilizando los Vehculos.
1.8. Datos de Uber significa todos los datos relacionados con el acceso y el uso de los
Servicios Uber aqu establecidos, incluidos todos los datos relacionados con los Usuarios
(incluida la Informacin de usuario), todos los datos relacionados con la provisin de
Servicios de transporte a travs de los Servicios Uber y la Driver App, adems de la ID del
conductor.
1.9. Dispositivo Uber significa un dispositivo mvil propiedad de Uber o controlado por ella
que haya sido proporcionado a la Compaa de transportes o al Conductor con el nico
propsito de que dicho Conductor utilice la Driver App a fin de proporcionar Servicios de
transporte y para ningn otro fin distinto a este.
1.10. Servicios Uber significa los servicios electrnicos de Uber prestados a travs de una
plataforma de tecnologa digital, siendo intermediario sobre demanda y los servicios
relacionados que permiten a los proveedores de transporte localizar, recibir y dar
cumplimiento a las peticiones sobre demanda de servicios de transporte por parte de los
Usuarios que buscan servicios de transporte; dichos Servicios Uber incluyen el acceso al
software de Uber, pginas web, servicios de pago, as como a los servicios de apoyo
relacionados y sus actualizaciones o modificaciones por Uber a su exclusiva discrecin de
cuando en cuando.
1.11. Usuario significa el usuario final autorizado por Uber para utilizar la aplicacin mvil de
Uber a fin de obtener Servicios de transporte.
1.12. Informacin de usuario significa informacin sobre un Usuario puesta a disposicin de la
Compaa de transportes o de un Conductor en relacin con la peticin de dicho Usuario y
para el uso de los Servicios de transporte, que puede incluir el nombre del Usuario, la
ubicacin de recogida, la informacin de contacto y una fotografa.
1.13. Vehculo significa cualquier vehculo de la Compaa de transportes que: (a) cumple los
requisitos de Uber actuales en ese momento para un vehculo en los Servicios Uber; y (b)
que Uber autoriza para el uso por un Conductor con el fin de proporcionar Servicios de
transporte en nombre de la Compaa de transportes.
2. Uso de los Servicios Uber.
2.1. ID del Conductor. El conductor recibir una ID del conductor para la prestacin de
Servicios de transporte a fin de que el Conductor pueda acceder a la Driver App y utilizarla
en un Dispositivo conforme al presente Anexo. El Conductor mantendr su ID del
conductor en confidencialidad y no la compartir con ninguna tercera parte, y notificar
de inmediato a la Compaa de transportes de cualquier incumplimiento real o sospecha
de incumplimiento o uso o revelacin indebidos de la ID del conductor o la Driver App.
2.2. Provisin de Servicios de transporte. Cuando la Driver App est activada, las peticiones de
Servicios de transporte por el Usuario pueden mostrarse a un Conductor a travs de la
Driver App si el Conductor est disponible y cerca del Usuario. Si un Conductor acepta la
peticin de Servicios de transporte de un Usuario, los Servicios Uber proporcionarn
determinada Informacin de usuario al Conductor a travs de la Driver App, incluido el
nombre de pila del Usuario y la ubicacin de recogida. Para aumentar la satisfaccin del
Usuario con la aplicacin mvil de Uber y los Servicios de transporte del Conductor, se
recomienda que el Conductor espere al menos diez (10) minutos para que un Usuario se
presente en la ubicacin de recogida solicitada. El Conductor obtendr el destino del
Usuario, ya sea en persona en el momento de la recogida o desde la Driver App si el
Usuario opta por introducir dicho destino a travs de la aplicacin mvil de Uber. El
Conductor reconoce y acepta que una vez que l o ella haya aceptado la peticin de
Servicios de transporte de un Usuario, los Servicios Uber pueden proporcionar
determinada informacin sobre el Conductor al Usuario, incluido el nombre de pila del
Conductor, la informacin de contacto, nombre de la entidad de la Compaa de
transportes, fotografa y ubicacin, y el nmero de fabricacin y de matrcula del Vehculo
del Conductor. El Conductor no deber ponerse en contacto con ningn Usuario ni utilizar
la informacin personal del Usuario para un propsito distinto de la prestacin de los
Servicios de transporte. El Conductor reconoce y acepta que l o ella podr
proporcionarse su informacin de contacto y/o la informacin de seguros a un Usuario a
peticin razonable del mismo. El Conductor reconoce y acepta que, a menos que un
Usuario lo acepte expresamente, el Conductor no puede transportar o admitir en un
Vehculo a ninguna persona distinta del Usuario o cualquier persona autorizada por dicho
Usuario durante la prestacin de los Servicios de transporte para dicho Usuario. El
Conductor reconoce y acepta que todos los Usuarios debern ser transportados
directamente a su destino especfico, segn establezca el Usuario correspondiente, sin
interrupciones ni paradas no autorizadas.
2.3. Relacin del Conductor con Uber. Uber no dirige ni dirigir ni controlar al Conductor de
forma general, ni se considerar que deba hacerlo para la prestacin de sus Servicios de
transporte o para el mantenimiento de cualquier Vehculo. El Conductor reconoce que
Uber no controla ni pretende controlar: (a) cundo o por cunto tiempo el Conductor
utiliza la Driver App o los Servicios Uber; o bien (b) la decisin, a travs de la Driver App,
de intentar aceptar o rechazar o ignorar la peticin de Servicios de transporte por un
Usuario o cancelar una peticin de Servicios de transporte aceptada a travs de la Driver
App, con sujecin a las polticas de cancelacin de Uber actuales en ese momento. El
Conductor podra ser desactivado o su acceso restringido de otro modo frente al acceso o
el uso de la Driver App o los Servicios Uber en caso de incumplimiento del presente Anexo
o del incumplimiento de la Compaa de transportes del Contrato, del descrdito de Uber
o de cualquiera de sus Afiliados por el Conductor o la Compaa de transportes o cualquier
acto u omisin de la Compaa de transportes que cause dao a la marca, reputacin o
actividad comercial de Uber o de cualquiera de sus Afiliados, segn lo determine Uber a su
exclusiva discrecin. Uber se reserva asimismo el derecho de desactivar o restringir de
otro modo el acceso o uso del Conductor de la Driver App o los Servicios Uber por
cualquier otro motivo a la nica y razonable discrecin de Uber. Adems, el Conductor
reconoce los derechos de Uber en la familia de marcas comerciales y nombres UBER,
incluido UBER, solo y en combinacin con otras letras, puntuacin, palabras, smbolos y/o
diseos, el logotipo de UBER y EVERYONES PRIVATE DRIVER (Marcas y nombres
comerciales de UBER). El Conductor acepta que no intentar registrar o reclamar la
titularidad de otro modo sobre cualquiera de las Marcas y nombres comerciales de UBER,
 solos o en combinacin con otras letras, puntuacin, palabras, smbolos y/o diseos, o en
cualquier marca o nombre similar que pudiera generar confusin.
2.4. Valoraciones.
2.4.1.El Conductor acepta que: (a) despus de recibir los Servicios de transporte, la
aplicacin mvil de Uber solicitar al Usuario que valore los Servicios de transporte y
del Conductor y, opcionalmente, que escriba sus observaciones u opinin sobre
dichos Servicios de transporte y Conductor; y (b) despus de proporcionar Servicios
de transporte, la Driver App solicitar que el Conductor proporcione una valoracin
del Usuario y, opcionalmente, que escriba sus observaciones u opinin sobre el
Usuario. El Conductor deber proporcionar su valoracin y opinin de buena fe.
2.4.2. Para seguir teniendo acceso a la Driver App y los Servicios Uber, cada Conductor
reconoce que l o ella debe mantener una valoracin media por los Usuarios que
exceda la valoracin media mnima aceptable establecida por Uber para ese
Territorio, que podr ser actualizada de cuando en cuando por Uber a su exclusiva
discrecin (Valoracin media mnima). Si una valoracin media del Conductor
desciende por debajo de la Valoracin media mnima, Uber podr darle al
Conductor, a discrecin de Uber, un plazo lmite de tiempo para aumentar su
valoracin media por encima de la Valoracin media mnima. El Conductor acepta
que si el Conductor no aumenta su valoracin media por encima de la Valoracin
media mnima dentro del plazo establecido (si procede), Uber se reserva el derecho
a desactivar el acceso de dicho Conductor a la Driver App y los Servicios Uber.
Adems, el Conductor acepta que el fallo repetido en aceptar las peticiones del
Usuario de Servicios de transporte mientras dicho Conductor est registrado en la
Driver App generar una experiencia negativa para los Usuarios de la aplicacin
mvil de Uber. Por tanto, el Conductor acepta que si est registrado en la Driver
App, procurar aceptar una parte sustancial de peticiones de Servicios de transporte
por parte de Usuarios, y que si no desea aceptar peticiones de Servicios de
transporte por parte de Usuarios durante un perodo de tiempo cerrar sesin de la
Driver App.
2.4.3. Uber y sus Afiliados se reservan el derecho a utilizar, compartir y mostrar
valoraciones y comentarios del Conductor y Usuario relacionados de cualquier
modo a la actividad comercial de Uber y sus Afiliados sin la atribucin o autorizacin
del Conductor correspondiente. El Conductor reconoce que Uber y sus Afiliados son
distribuidores (sin ninguna obligacin de verificacin) y no publicadores de las
valoraciones y observaciones del Conductor y el Usuario, siempre que Uber y sus
Afiliados se reserven el derecho a editar o borrar comentarios en caso de que dichos
comentarios sean obscenos u objetables de otro modo, incluyan el nombre de un
particular u otra informacin personal o violen cualquier ley de privacidad, otras
leyes aplicables o polticas de contenidos de Uber o sus Afiliados.
2.5. Dispositivos. Si el Conductor recibe cualquier Dispositivo de Uber, el Conductor reconoce
que dicho(s) Dispositivo(s): (a) solo pueden ser utilizados con el fin de permitir el acceso
del Conductor a los Servicios Uber; y (b) no pueden transferirse, prestarse, venderse ni
proporcionarse de otro modo a ninguna otra parte. Si el Conductor opta por utilizar
cualquier Dispositivo proporcionado al Conductor, el Conductor reconoce que Uber no se
hace responsable de la adquisicin, el costo o el mantenimiento de cualquiera de estos
Dispositivos proporcionados al Conductor o cualquier plan de datos necesario para el
proveedor de servicios inalmbricos. Uber pondr a disposicin la Driver App para su
instalacin en dichos Dispositivos proporcionados al Conductor. El Conductor se
 compromete a no ofrecer, distribuir o compartir, ni permitir la provisin, distribucin o
uso compartido de la Driver App (o los datos asociados a la misma) con terceros. El
Conductor borrar y eliminar completamente la Driver App del Dispositivo
proporcionado al Conductor si la Compaa de transportes y/o el Conductor
correspondiente dejan de proporcionar Servicios de transporte utilizando el Dispositivo
proporcionado al Conductor. El Conductor acepta que: (i) el uso de la Driver App en un
Dispositivo proporcionado al Conductor requiere un plan de datos activo con un
proveedor de servicios inalmbricos asociado al Dispositivo proporcionado al Conductor,
cuyo plan de datos ser proporcionado por la Compaa de transportes o el Conductor
correspondiente que asumirn los gastos correspondientes; y (ii) el uso de la Driver App
en un Dispositivo proporcionado al Conductor como interfaz con los Servicios Uber podra
consumir grandes cantidades de datos a travs del plan de datos. Uber aconseja que los
Dispositivos proporcionados al conductor solo deben ser utilizados bajo un plan de datos
con lmites de uso de datos muy altos o ilimitados, y Uber no ser responsable de ningn
cargo, gasto o tasa por excedente de datos en ningn plan de datos.
2.6. Servicios basados en la ubicacin. El Conductor reconoce y acepta que su informacin de
geolocalizacin debe ser proporcionada a los Servicios Uber a travs de un Dispositivo a
fin de proporcionar los Servicios de transporte. El Conductor reconoce y acepta que: (a)
su informacin de geolocalizacin ser controlada y localizada por los Servicios Uber
cuando el Conductor est registrado en la Driver App y disponible para recibir solicitudes
de Servicios de transporte, o cuando el Conductor ofrezca Servicios de transporte; y (b) la
ubicacin aproximada del Vehculo del Conductor se mostrar al Usuario antes y durante
la prestacin de Servicios de transporte a dicho Usuario. Adems, Uber podr controlar,
localizar y compartir la informacin de geolocalizacin del Conductor obtenida a travs
de la Driver App y el Dispositivo para salvaguardar la seguridad, para fines tcnicos, de
marketing y comerciales, incluidas la provisin y mejora de los productos y servicios de
Uber.
3. Requisitos del Conductor. El Conductor acepta que, en todo momento, l o ella: (a) ser
titular y mantendr (i) un carnet de conducir vigente con el nivel de certificacin vlido para
utilizar su Vehculo, y (ii) todas las licencias, permisos, autorizaciones y autoridad aplicables
que sean necesarios para prestar Servicios de transporte de pasajeros a terceras partes en el
Territorio; (b) poseer el nivel de formacin, pericia y experiencia adecuados para prestar
Servicios de transporte de forma profesional con la debida habilidad, atencin y diligencia; y
(c) mantendr un alto nivel de profesionalidad, servicio y cortesa. El Conductor acepta que
puede estar sujeto a determinadas revisiones de registro de antecedentes y registros de
conduccin de cuando en cuando para que est autorizado a prestar Servicios de transporte y
seguir siendo apto para ello. El Conductor puede resultar desactivado o puede restringrsele el
acceso a la Driver App o a los Servicios Uber si el Conductor incumple los requisitos
establecidos en el Anexo del conductor o si el Proveedor de transporte incumple los requisitos
establecidos en el Contrato.
4. Modificacin. De cuando en cuando, el Conductor puede tener que celebrar actualizaciones
del presente Anexo para seguir teniendo acceso a la Driver App y a los Servicios Uber.
5. Privacidad. Con sujecin a todas las legislaciones aplicables, Uber puede proporcionar a una
tercera parte cualquier informacin (incluidos datos personales y cualquier Dato Uber) sobre
los Conductores establecida bajo el Contrato si: (a) se produce una reclamacin, disputa o
conflicto, incluido un accidente, entre un Conductor y un Usuario; (b) es necesario hacer valer
los trminos del Contrato; (c) es obligatorio, a exclusiva discrecin de Uber o de cualquier
Afiliado, por la legislacin o reglamento aplicable; (d) es necesario, a exclusiva discrecin de
 Uber o de cualquier Afiliado para velar por la seguridad, los derechos, la propiedad o
proteccin de Uber, de los Servicios Uber o de cualquier tercera parte; detectar, prevenir o
abordar de otro modo el fraude, la seguridad o los problemas tcnicos; y/o impedir o detener
la actividad que Uber o cualquiera de sus Afiliados, a su nica discrecin, considere que es o
pudiera constituir un riesgo de ser ilegal, no tica o enjuiciable desde un punto de vista legal;
o bien (e) se establece o requiere, a entera discrecin de Uber o cualquier Afiliado, para
conformar un seguro o para cualquier otro fin en relacin a la capacidad del Cliente y/o el
Conductor de cualificar, o continuar cumpliendo los requisitos, para hacer uso de los Servicios
de Uber. El Conductor entiende que Uber podr retener los datos personales del Conductor
con fines de cumplimiento legal, reglamentario, de seguridad y con otros fines necesarios con
posterioridad a la extincin del presente Contrato. Uber procesa datos personales (incluidos
los mencionados en el Apartado 2.6 anterior) de conformidad con su poltica de privacidad
ubicada en www.uber.com/legal.
6. Seguro. El Conductor declara y acepta que l o ella es titular o est cubierto/a de otro modo
por una pliza de seguro de responsabilidad vigente (por los importes de cobertura habituales
en el sector) en relacin al uso del Vehculo o Vehculos que hace el Conductor con arreglo al
presente Anexo.
7. Ningn tercer beneficiario. Las partes reconocen que Uber es un tercer beneficiario del
presente Anexo. Uber tendr el derecho irrevocable (y se considerar que ha aceptado dicho
derecho a menos que se deniegue sin demora tras recibir una copia del Anexo ejecutado) de
aplicar las disposiciones del Anexo ante la Compaa de transportes y el Conductor como
tercer beneficiario.
Al pulsar Acepto o firmar a continuacin (a que podra requerirlo por la legislacin vigente), el
Conductor reconoce expresamente que l o ella: (i) ha ledo y entendido el presente Anexo; (ii) ha
tenido la oportunidad de consultar con otras personas (incluido un abogado) en relacin con el
presente Anexo; (iii) se compromete a cumplir con los trminos y condiciones del presente Anexo;
y (iv) es legalmente competente para celebrar el presente Anexo.

DRIVER ADDENDUM TO SERVICES AGREEMENT

This Driver Addendum to Services Agreement (Addendum) constitutes a legal agreement

between an independent company in the business of providing transportation services
(Transportation Company) and an independent, for-hire transportation provider (Driver).
Driver currently maintains a contractual or employment arrangement with Transportation
Company to perform passenger carriage services for Transportation Company.
Transportation Company and Uber B.V. (Uber) have separately entered into a Services
Agreement (Agreement) in order for Transportation Company to access the Uber Services (as
defined below).
In addition to the transportation services it regularly performs pursuant to his or her contractual
arrangement with Transportation Company, Driver is interested in receiving lead generation and
related services through the Uber Services. Transportation Company and Driver desire to enter
into this Addendum to define the terms and conditions under which Driver may receive such lead
generation and related services.
In order to use the Uber Services, Driver and Transportation Company must agree to the terms
and conditions that are set forth below. Upon Drivers execution (electronic or otherwise) of this
Addendum, Driver and Transportation Company shall be bound by the terms and conditions set
forth herein.

1. Definitions.
1.1. Affiliate means an entity that, directly or indirectly, controls, is under the control of, or
is under common control with a party, where control means having more than fifty
percent (50%) of the voting stock or other ownership interest, the majority of the voting
rights of such entity, the ability of such entity to ensure that the activities and business of
that Affiliate are conducted in accordance with the wishes of that entity or the right to
receive the majority of the income of that Affiliate on any distribution by it of all of its
income or the majority of its assets on a winding up.
1.2. Device means an Uber Device or Driver-Provided Device, as the case may be.
1.3. Driver App means Ubers mobile application that enables transportation providers to
access the Uber Services for the purpose of seeking, receiving and fulfilling on-demand
requests for transportation services by Users, as may be updated or modified by Uber at
its discretion from time to time.
1.4. Driver ID means the identification and password key assigned by Uber to a Driver that
enables a Driver to use and access the Driver App.
1.5. Driver-Provided Device means a mobile device owned or controlled by Transportation
Company or a Driver: (a) that meets the then-current Uber specifications for mobile
devices as set forth at https://www.uber.com/byod_devices; and (b) on which the Driver
App has been installed as authorized by Uber for the purpose of providing Transportation
Services.
1.6. Territory means the city or metro areas outside the United States and Mainland China in
which Transportation Company and its Drivers are enabled by the Driver App to receive
requests for Transportation Services.
1.7. Transportation Services means the provision of passenger transportation services to
Users via the Uber Services in the Territory by Transportation Company and its Drivers
using the Vehicles.
1.8. Uber Data means all data related to the access and use of the Uber Services hereunder,
including all data related to Users (including User Information), all data related to the
provision of Transportation Services via the Uber Services and the Driver App, and the
Driver ID.
1.9. Uber Device means a mobile device owned or controlled by Uber that is provided to
Transportation Company or a Driver for the sole purpose of such Driver using the Driver
App to provide Transportation Services and for no other purpose whatsoever.
1.10. Uber Services mean Ubers electronic services rendered via a digital technology
platform, being on-demand intermediary and related services that enable transportation
providers to seek, receive and fulfill on-demand requests for transportation services by
Users seeking transportation services; such Uber Services include Ubers software,
websites, payment services, and related support services systems, as may be updated or
modified by Uber at its discretion from time to time.
1.11. User means an end user authorized by Uber to use Ubers mobile application for the
purpose of obtaining Transportation Services.
1.12. User Information means information about a User made available to Transportation
Company or a Driver in connection with such Users request for and use of Transportation
Services, which may include the Users name, pick-up location, contact information and
photo.
1.13. Vehicle means any vehicle of Transportation Company that: (a) meets the then-current
Uber requirements for a vehicle on the Uber Services; and (b) Uber authorizes for use by a
Driver for the purpose of providing Transportation Services on behalf of Transportation
Company.
2. Use of the Uber Services.
2.1. Driver IDs. Driver will be issued a Driver ID for providing Transportation Services to enable
Driver to access and use the Driver App on a Device in accordance with this Addendum.
Driver will maintain his or her Driver ID in confidence and not share it with any third party,
and will immediately notify Transportation Company of any actual or suspected breach or
improper use or disclosure of the Driver ID or the Driver App.
2.2. Provision of Transportation Services. When the Driver App is active, User requests for
Transportation Services may appear to Driver via the Driver App if Driver is available and
in the vicinity of the User. If Driver accepts a Users request for Transportation Services,
the Uber Services will provide certain User information to Driver via the Driver App,
including the Users first name and pickup location. In order to enhance User satisfaction
with the Uber mobile application and Drivers Transportation Services, it is recommended
that Driver waits at least ten (10) minutes for a User to show up at the requested pick-up
location. Driver will obtain the destination from the User, either in person upon pickup or
from the Driver App if the User elects to enter such destination via Ubers mobile
application. Driver acknowledges and agrees that once he or she has accepted a Users
request for Transportation Services, the Uber Services may provide certain information
about Driver to the User, including Drivers first name, contact information,
Transportation Company entity name, photo and location, and Drivers Vehicle make and
license plate number. Driver shall not contact Users or use any Users personal data for
 any reason other than for the purposes of fulfilling Transportation Services. Driver agrees
that his or her contact and/or insurance information may be released to a User upon such
Users reasonable request. Driver may not, unless specifically consented to by a User,
transport or allow inside any Vehicle individuals other than a User and any individuals
authorized by such User during the performance of Transportation Services for such User.
Driver shall transport all Users directly to their specified destination, as directed by the
applicable User, without unauthorized interruption or unauthorized stops.
2.3. Drivers Relationship With Uber. Uber does not, and shall not be deemed to, direct or
control Driver generally or in Drivers performance of Transportation Services or
maintenance of any Vehicles. Driver acknowledges that Uber does not control, or purport
to control: (a) when or for how long Driver will utilize the Driver App or the Uber Services;
or (b) Drivers decision, via the Driver App, to attempt to accept or to decline or ignore a
Users request for Transportation Services, or to cancel an accepted request for
Transportation Services, via the Driver App, subject to Ubers then-current cancellation
policies. Driver may be deactivated or otherwise restricted from accessing or using the
Driver App or the Uber Services in the event of a violation of this Addendum or
Transportation Companys violation of the Agreement, or Drivers or Transportation
Companys disparagement of Uber or any of its Affiliates, or Drivers or Transportation
Companys act or omission that causes harm to Ubers or any of its Affiliates brand,
reputation or business as determined by Uber in its sole discretion. Uber also retains the
right to deactivate or otherwise restrict Driver from accessing or using the Driver App or
the Uber Services for any other reason at the sole and reasonable discretion of Uber.
Additionally, Driver acknowledges Ubers rights in the UBER family of trademarks and
names, including UBER, alone and in combination with other letters, punctuation, words,
symbols and/or designs, the UBER Logo and EVERYONES PRIVATE DRIVER (UBER Marks
and Names). Driver agrees that he or she will not try to register or otherwise claim
ownership in any of the UBER Marks and Names, alone or in combination with other
letters, punctuation, words, symbols and/or designs, or in any confusingly similar mark or
name.
2.4. Ratings.
2.4.1.Driver agrees that: (a) after receiving Transportation Services, a User will be
prompted by Ubers mobile application to provide a rating of such Transportation
Services and Driver and, optionally, to provide comments or feedback about such
Transportation Services and Driver; and (b) after providing Transportation Services,
Driver will be prompted by the Driver App to provide a rating of the User and,
optionally, to provide comments or feedback about the User. Driver shall provide
ratings and feedback in good faith.
2.4.2. In order to continue to receive access to the Driver App and the Uber Services,
Driver acknowledges that he or she must maintain an average rating by Users that
exceeds the minimum average acceptable rating established by Uber for the
Territory, as may be updated from time to time by Uber in its sole discretion
(Minimum Average Rating). In the event Drivers average rating falls below the
Minimum Average Rating, Driver may be provided a limited period of time to raise
his or her average rating above the Minimum Average Rating. Driver agrees that if
Driver does not increase his or her average rating above the Minimum Average
Rating within the time period allowed (if any), Uber may deactivate such Drivers
access to the Driver App and the Uber Services. Driver agrees that repeated failure
to accept User requests for Transportation Services while Driver is logged in to the
 Driver App creates a negative experience for Users of Ubers mobile application.
Accordingly, Driver agrees that if they are logged in to the Driver App, they will
strive to accept a substantial portion of User requests for Transportation Services,
and that if they do not wish to accept User requests for Transportation Services for
a period of time, they will log off of the Driver App.
2.4.3. Uber and its Affiliates reserve the right to use, share and display Driver and User
ratings and comments in any manner in connection with the business of Uber and
its Affiliates without attribution to or approval of Driver. Driver acknowledges that
Uber and its Affiliates are distributors (without any obligation to verify) and not
publishers of Driver and User ratings and comments, provided that Uber and its
Affiliates reserve the right to edit or remove comments in the event that such
comments include obscenities or other objectionable content, include an
individuals name or other personal information, or violate any privacy laws, other
applicable laws or Ubers or its Affiliates content policies.
2.5. Devices. If Driver receives any Uber Device(s), Driver acknowledges that such Device(s):
(a) are only to be used for the purposes of enabling Drivers access to the Uber Services;
and (b) may not be transferred, loaned, sold or otherwise provided in any manner to any
other party. If Driver elects to use any Driver-Provided Device(s), Driver acknowledges
that Uber is not responsible for the acquisition, cost or maintenance of any such Driver-
Provided Device(s) or any necessary wireless data plan. Uber shall make available the
Driver App for installation on such Driver-Provided Devices. Driver agrees to not provide,
distribute or share, or enable the provision, distribution or sharing of, the Driver App (or
any data associated therewith) with any third party. Driver will delete and fully remove
the Driver App from the Driver-Provided Device in the event that Transportation
Company and/or Driver ceases to provide Transportation Services using the Driver-
Provided Device. Driver agrees that: (i) use of the Driver App on a Driver-Provided Device
requires an active data plan with a wireless carrier associated with the Driver-Provided
Device, which data plan will be provided by either Transportation Company or Driver at
their own expense; and (ii) use of the Driver App on a Driver-Provided Device as an
interface with the Uber Services may consume very large amounts of data through the
data plan. Uber advises that Driver-provided Devices only be used under a data plan with
unlimited or very high data usage limits, and Uber shall not be responsible or liable for
any fees, costs or overage charges associated with any data plan.
2.6. Location Based Services. Driver acknowledges and agrees that his or her geo-location
information must be provided to the Uber Services via a Device in order to provide the
Transportation Services. Driver acknowledges and agrees that: (a) his or her geo-location
information will be monitored and tracked by the Uber Services when Driver is logged
into the Driver App and available to receive requests for Transportation Services, or when
Driver is providing Transportation Services; and (b) the approximate location of Drivers
Vehicle will be displayed to the User before and during the provision of Transportation
Services to such User. In addition, Uber may monitor, track and share Drivers geo-
location information obtained by the Driver App and Device for safety, security, technical,
marketing and commercial purposes, including to provide and improve Ubers products
and services.
3. Driver Requirements. Driver agrees that he or she shall will at all times: (a) hold and maintain
(i) a valid driver's license with the appropriate level of certification to operate the Vehicle
assigned to them, and (ii) all licenses, permits, approvals and authority necessary to provide
passenger transportation services to third parties in the Territory; (b) possess the appropriate
 and current level of training, expertise and experience to provide Transportation Services in a
professional manner with due skill, care and diligence; and (c) maintain high standards of
professionalism, service and courtesy. Driver agrees that he or she may be subject to certain
background and driving record checks from time to time in order to qualify to provide, and
remain eligible to provide, Transportation Services. Driver may be deactivated from or
otherwise restricted from accessing or using the Driver App or the Uber Services if Driver fails
to meet the requirements set forth in this Driver Addendum or if Transportation Provider fails
to meet the requirements set forth in the Agreement.
4. Modification. From time to time, Driver may be required to enter into updated versions of
this Addendum in order to continue to have access to the Driver App and the Uber Services.
5. Privacy. Subject to all applicable laws, Uber may provide to a third party any information
(including personal data and any Uber Data) about Driver provided under the Agreement
if: (a) there is a complaint, dispute or conflict, including an accident, between Driver and a
User; (b) it is necessary to enforce the terms of the Agreement; (c) it is required, in Ubers or
any Affiliates sole discretion, by applicable law or regulation; (d) it is necessary, in Ubers or
any Affiliates sole discretion, to protect the safety, rights, property or security of Uber, the
Uber Services or any third party; to detect, prevent or otherwise address fraud, security or
technical issues; and/or to prevent or stop activity which Uber or any of its Affiliates, in their
sole discretion, consider to be, or to pose a risk of being, illegal, unethical or legally actionable;
or (e) it is required or necessary, in Ubers or any Affiliates sole discretion, for insurance or
other purposes related to Drivers ability to qualify, or remain qualified, to use the Uber
Services. Driver understands that Uber may retain Drivers personal data for legal, regulatory,
safety and other necessary purposes after this Agreement is terminated. Uber processes
personal data (including that referenced in Section 2.6 above) in accordance with its privacy
policy located at www.uber.com/legal.
6. Insurance. Driver represents and agrees that he or she holds or is otherwise covered by a
valid policy of liability insurance (in industry-standard coverage amounts) with respect to
Drivers operation of the Vehicle(s) under this Addendum.
7. No Third Party Beneficiary. The parties acknowledge that Uber is a third party beneficiary to
this Addendum. Uber will have the irrevocable right (and will be deemed to have accepted the
right unless this is rejected promptly after receipt of a copy of the executed Addendum) to
enforce the Addendum against Transportation Company and Driver as a third party
beneficiary thereof.
By clicking I accept or signing below (as such may be required by applicable law), Driver
expressly acknowledges that he or she: (i) has read and understood this Addendum; (ii) has had
the opportunity to consult with others (including an attorney) regarding this Addendum; (iii)
agrees to be bound by the terms and conditions of this Addendum; and (iv) is legally competent to
enter into this Addendum.
