Requisition of relevant papers and documents for Special Audit assignment

Dear Sir,

Please provide us the following documents for review purpose:

A. Legal / Ownership documents

1. Memorandum of Association;
2. Articles of Association;
3. Certificate of Incorporation, Certificate of Commencement of Business (if any);
4. The Company's minute book, including all minutes and resolutions of
shareholders and directors, executive committees, and other governing groups;
5. The Company's organizational chart;
6. The Company's list of shareholders and number of shares held by each (certified
copies of Schedule X and Form XII);
7. Copies of agreements relating to options, voting trusts, warrants, puts, calls,
subscriptions, and convertible securities, if any;

B. Financial Information

8. Audited Financial Statements from the date of incorporation to 30 June 2009;


9. The most recent un-audited statements, with comparable statements to the prior
year;
10. Auditor's letters and replies for the past five years (Management Reports);
11. The Company's credit report, if available;

12. Any projections, capital budgets and strategic plans (Current five year business
plan and prior business plan);
13. A schedule of all indebtedness and contingent liabilities;
14. A schedule of inventory;

15. A schedule of accounts receivable;

16. A schedule of accounts payable;

17. A description of depreciation and amortization methods and changes in


accounting methods over the past five years;

18. Any analysis of fixed and variable expenses;

19. The Company's general ledger;

20. A description of the Company's internal control procedures;

C. Physical Assets

21. A schedule of fixed assets and the locations thereof;

22. All leases of equipment;

23. A schedule of sales and purchases of major capital equipment during last three
years;

24. Copies of Valuation Reports, if any;

D. Real Estate.

25. A schedule of the Company's business locations.

26. Copies of all real estate leases, deeds, mortgages, title policies, surveys, zoning
approvals, variances or use permits.

27. Land ownership documents;

E. Employees and Employee Benefits.

28. A list of employees including positions, current salaries, salaries and bonuses paid
during last three years, and years of service;

29. All employment, consulting, nondisclosure, non-solicitation or non-competition
agreements between the Company and any of its employees;

30. Résumés of key employees;

31. The Company's personnel handbook and a schedule of all employee benefits and
holiday, vacation, and sick leave policies;

32. Summary plan descriptions of qualified and non-qualified retirement plans;

33. Copies of collective bargaining agreements, if any;

34. A description of all employee problems within the last three years, including
alleged wrongful termination, harassment, and discrimination;

35. A description of any labor disputes, requests for arbitration, or grievance


procedures currently pending or settled within the last three years;

36. A list and description of benefits of all employee health and welfare insurance
policies or self-funded arrangements;

37. A description of worker's compensation claim history;

F. Licenses and Permits

38. Copies of any governmental licenses, permits or consents;

39. Any correspondence or documents relating to any proceedings of any regulatory


agency;

G. Taxes

40. TIN Certificate and BIN Certificate;


41. Tax Clearance Certificate along with Income Tax Return, Assessment Order
(Appeal Order/Tribunal Order/High Court’s Order etc. with grounds of appeal
thereof if any, for at least last 3 years ) with Tax demand notice, if any;
42. Employment tax filings for three years;
43. Any tax liens;

H. Material Contracts.

44. A schedule of all subsidiary, partnership, or joint venture relationships and


obligations, with copies of all related agreements.

45. Copies of all contracts between the Company and any officers, directors, 5-
percent shareholders or affiliates.

46. All loan agreements, bank financing arrangements, line of credit, or promissory
notes to which the Company is a party.

47. All security agreements, mortgages, indentures, collateral pledges, and similar
agreements.

48. All guaranties to which the Company is a party.

49. Any installment sale agreements.

50. Any distribution agreements, sales representative agreements, marketing


agreements, and supply agreements.

51. Any letters of intent, contracts, and closing transcripts from any mergers,
acquisitions, or divestitures within last five years.

52. All nondisclosure or non-competition agreements to which the Company is a


party.

53. Loan documents/agreements related to IPDC & GSP


54. Rent Agreements
55. All other material contracts.

I. Product or Service Lines.

56. A list of all existing products or services and products or services under
development.

57. Copies of all correspondence and reports related to any regulatory approvals or
disapprovals of any Company's products or services.

J. Customer Information.

58. A schedule of the Company's twelve largest customers in terms of sales thereto
and a description of sales thereto over a period of two years.

59. Any supply or service agreements.

60. A description or copy of the Company's purchasing policies.

61. A description or copy of the Company's credit policy


62. All surveys and market research reports relevant to the Company or its products
or services.
63. The Company's current advertising programs, marketing plans and budgets, and
printed marketing materials.
64. A description of the Company's major competitors

K. Litigation

65. A schedule of all pending litigation.

66. A description of any threatened litigation.

67. Copies of insurance policies possibly providing coverage as to pending or


threatened litigation.

68. Documents relating to any injunctions, consent decrees, or settlements to which


the Company is a party.

69. A list of unsatisfied judgments.

L. Insurance Coverage

70. A schedule and copies of the Company's general liability, personal and real
property, product liability, errors and omissions, key-man, directors and officers,
worker's compensation, and other insurance.

71. A schedule of the Company's insurance claims history for past three years.

M. Professionals

72. A schedule of all law firms, accounting firms, consulting firms, and similar
professionals engaged by the Company during past five years.

N. Articles and Publicity

73. Copies of all articles and press releases relating to the Company within the past
three years. (News, paper-cuttings, advertisement, etc.)

Your early response and cooperation is highly appreciated. Please note that this is not the
final and conclusive requisition as further requisition may arise based on the situation.
