Article I Name

Section 1 The name of this organization shall be Azalea Consulting Services.

Article II Purpose/Mission Statement

Section 1 The purpose of this organization shall be to support Human Resource (HR)
processes in organizations both locally and abroad. We aim to assist organizations with the
creation, implementation, and evaluation of core functions, such as strategic planning, HR
development, selection, and job analysis.

Section 2 As a University affiliated group, this organization will abide by the same policies,
procedures, and confidentiality standards outlined by Valdosta State University.

Article III Affiliations


Section 1 Azalea Consulting Services is affiliated with Valdosta State University and operates
with support from the Center of Applied Social Sciences.

Article IV Membership

Section 1 Azalea Consulting Services will be comprised completely by people affiliated with
Valdosta State University, most which will be graduate students. However, the group may, in
some cases, give associate membership to other individuals as needed (e.g., alumni of this
organization, undergraduate students, etc.).

Section 2 To be considered for membership, applicants must submit a Curriculum Vitae,


resume, or his/her professional development binder to the review panel. The Executive Board
shall consist of the faculty fellow, team leads, and the scribe.

Section 3 The applicant must grant the Executive Board permission to review his or her CV,
resume, or binder. The students performance will be assessed and discussed. A final decision
will be made regarding the applicants member status.

Section 4 New members will be given a list of ongoing projects and will be asked to rank order
them based on their level of interest. Dr. Bauer and Scribe will then match new members to
teams based on the rank orders of projects, available spaces on teams, amount of work the
projects elicit, and any other relevant information.

Section 5 - Membership in this organization is open to all meeting the above criteria, irrespective
of race, creed, color, gender, class, age, nation of origin, nationality, disability, marital status,
religion, veteran status, or sexual orientation.
Article V Team Leads

Section 1 The positions of this club shall be student members, team leads, the graduate
assistant/scribe, and the faculty fellow.

Section 2 Team leads must have been a member of Azalea Consulting Services for at least one
calendar year to be eligible to apply for a team lead position.

Section 3 These team leads are responsible for the following duties:
1. Lead a team of fellow students on various Azalea projects.
2. Holds executive decision for the delegation of project work within the team
3. Meet with their team regularly.
4. Keep a logbook of team meetings to track team attendance and work hours.
5. Act as a liaison between the Executive Board and their team.
6. Attend regular meetings with the Executive Board and Dr. Bauer.
a. If they cannot attend, they are responsible for sending a team member as a proxy.

Section 4 The term for each team lead position will be one semester, with exceptions. At the
end of the semester, Dr. Bauer will assess team lead performance and decide if the term shall be
renewed the following semester.

Section 5 Azalea Consulting Services shall adopt a direct grievance policy in regards to
complaints and conflict. If an issue arises with a team lead, he/she should actively work to
resolve the issue. If he/she does nothing to resolve an issue two or more times within one
semester, the individual will be removed as team lead by Dr. Bauer. Additionally, Dr. Bauer will
be available as a resource to team leads and team members at any time.

Section 6 The graduate assistant/scribe will conduct bi-weekly check-ins with each teams
members. If there is a conflict between team members or an issue that needs to be addressed, the
graduate assistant/scribe will intervene. If after the intervention, there is no resolution, the issue
will be taken to the faculty fellow.

Article VI Team Lead Selection

Section 1 By March of each year, the Azalea Consulting Services shall be making efforts to
select the new round of team leads.

Section 2 If a team lead vacancy opens, the team with the vacancy will nominate a qualified
person within that team to take over the team lead position. These nominations will then be
reviewed and confirmed by the Executive Board. Any nominated team leads that the Executive
Board cannot unanimously confirm will be dealt with on a case to case basis.

Section 3 - If the team with the team lead vacancy cannot unanimously agree on a nomination,
other members may apply for this position. It will then fall to the Executive Board to nominate
someone. The members of Azalea Consulting Services will be given an opportunity to vote on
this appointment or to nominate other members for this position at the end of the semester
meeting. In the case of a vote, there will be a paper ballot and the individual with the most votes
shall become team lead. Any team that opposes their elected team lead can bring their grievances
to Dr. Bauer and the Executive Board for further consideration. Decisions regarding team
opposition will be made on a case to case basis.

Section 4 Every member of Azalea Consulting Services shall have a voice in the team lead
selection process. Members shall be allowed to nominate the individuals they believe to
demonstrate the qualities, skills, and abilities that are required to be an effective team lead.

Section 5 Azalea Consulting Services has a cap of 5 teams and 5 team leads. New teams may
be proposed to the Executive Board in the future for work on future projects. The steps to
building a new team will be decided upon as necessary.

Article VII Meetings

Section 1 Regular meetings of the Executive Board of this organization shall be held biweekly.
These meetings will consist of the team leads of each group and the faculty fellow.

Section 2 A meeting with the entire organization will occur twice a semester- once at the
beginning and once at the end of the semester. The faculty advisor has the authority to call this
meeting and will notify members through the team leads and through email. Quorum in these
meetings shall consist of voting members.

Section 3 An abridged version of the 11th edition of Roberts Rules of Order shall govern
meetings of the entire organization within the requirements of this constitution and bylaws
adopted by the membership of this organization.

Section 6 Dr. Bauer is the only member who has the power to call an emergency meeting for
either team leads to the entire organization. All other meetings should be scheduled at least 2
weeks in advance.

Article VIII Advisors

Section 1 There shall be at least one full time Valdosta State University faculty or staff advisor
who shall serve as an advisor to the organization.

Section 2 Dr. Jeremy Bauer will serve as the faculty advisor for this group unless outside
circumstances prevent this.

Section 3 If Dr. Jeremy Bauer is unable to fulfill his duties as advisor to this group, another
faculty advisor must be appointed. Both Dr. Bauer and this organizations members may offer
suggestions for this position. Appointment of a new advisor must be passed by a vote of all the
members in Azalea Consulting Services. Additionally, this advisor must agree to fulfill all the
duties of this position.

Section 4 The faculty advisor is responsible for the following duties:


1. Attend and preside over all Executive Board meetings.
2. Represent the organization in all official correspondence with organizations outside of
Valdosta State University.
3. Act as conflict mediator for any instance of conflict that arises between students or
groups.
4. Mentor all group members and guide them in their group projects.
5. Give the final say in all group decisions.
6. Oversee maintenance the Azalea Consulting Services website.
7. Delegation of paid projects to teams based on team interest in the project, ongoing
projects, and other relevant information

Section 5 Dr. Bauer must be present at all team lead meetings. If for some reason he is unable
to attend a meeting with team leads, a proxy for Dr. Bauer must be present.

Article IX Finances

Section 1 Members may accept compensation for the work they do within this organization so
long as Dr. Bauer permits it. The allocation of funds to organization members will be determined
on a case-by-case basis by Dr. Bauer and Executive Board members.

Article X Constitutional Amendments

Section 1 This constitution may be amended by a vote of of the organizations members.
