CONTRACT OF SERVICE

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT OF SERVICE made and executed by and between:

________, of legal age, Filipino, married with residence and postal

address at _______________, hereinafter referred to as the FIRST PARTY;

and

_______, of legal age, Filipino, with residence and postal address at

______________________, hereinafter called the SECOND PARTY.

WITNESSETH:

WHEREAS the FIRST PARTY is the absolute owner of parcels of land Lot
Nos. 1 to 7 of the subdivision plan Psd-________ covered by Transfer Certificate
of Title Nos. __________________, respectively, all situated in
______________________, Philippines;

WHEREAS the FIRST PARTY needs to hire the services of the SECOND
PARTY who will process, apply, prepare for documents necessary for the
issuance of Environmental Clearance Certificate (ECC) of the portion of the
abovementioned properties situated in Philippines;

WHEREAS the FIRST PARTY is willing to pay the sum of TWO

HUNDRED FIFTY THOUSAND PESOS (Php250,000.00) as a package deal
amount for the services of the SECOND PARTY, inclusive of all other fees except
for the application fee and penalties;

WHEREAS, the FIRST PARTY will pay the sum of ONE HUNDRED
TWENTY-FIVE THOUSAND PESOS (PhP125,000.00), in Philippine currency, as
labor for the service be rendered by the SECOND PARTY upon execution of this
contract of service;

WHEREAS, the FIRST PARTY will pay the remaining balance of ONE
HUNDRED TWENTY-FIVE THOUSAND PESOS (PhP125,000.00), in Philippine
currency, as soon as the SECOND PARTY submits the copy/ies of the
Environmental Clearance Certificate (ECC);

WHEREAS the SECOND PARTY fully accepts the job from the FIRST
PARTY and shall do his part and deliver to the FIRST PARTY the outcome/report
of his work within ONE MONTH AND A HALF upon signing of this contract;

ACKNOWLEDGMENT

BEFORE ME, a Notary Public, at the City of Manila, Philippines, this
