SALIENT FEATURES OF THE BID
1.0 Steel Authority of India Limited, Rourkela Steel Plant (RSP), invites sealed bids
from eligible (sole/consortium) Bidders for Design, engineering, fabrication,
manufacture, supply including refractories, transportation, insurance , inspection,
testing, painting, marking, handling and storage of equipment & facilities
(including indigenous & imported item), Dismantling, leveling and modification/ re-
routing work of existing over ground and underground facilities as required,
Assembly, erection, supervision, testing and commissioning of all plant,
equipment and facilities, Complete civil and structural work & Demonstration
and establishment of integrated performance guarantee of the Installation of
BENEFICIATION AND 2 MT PELLET PLANT(Pkg 01) on Divisible Turnkey
Contract basis as per Technical Specification, Standard Bidding Document and
other documents enclosed herewith.

8.0 The bid will consist of three parts, Part-I - Cost of tender document, Bid
Security, Part-II - Eligibility Criteria Fulfillment & Techno-Commercial Bid and
Integrity pact & Part-III - Price Bids only. Part- I and Part II shall not
contain any price at all. Part- III shall contain prices only without any
terms and conditions

10.0 Price Bid

10.1 Part-III - Price bids of technically and commercially acceptable bids

will be opened at a later date in the presence of the Bidders
authorized representatives who choose to attend the price opening,
for which SAIL/RSP will send timely intimation to the acceptable
bidders.
10.2 Alternatively RSP reserves the right to finalize this tender enquiry
through online bidding process. All the bidders who are eligible to
quote and whose offers are found techno-commercially acceptable
become eligible for participating in online bidding to be conducted by
RSPs Service Provider, M/s Mjunction Services Limited over Internet.
10.3 In case of online bidding, the Service Provider would intimate Date &
Time for Start of Auction and duration of auction to the bidders in
advance. Login ID & Password specific to each bidder would be
given and demonstration of bidding (Online) process would also be
provided to enable each bidder to fully understand the process of
bidding online.
11.0 It shall be the responsibility of the parties submitting the bid to ensure
that the bid has been submitted in the formats and as per the terms
and conditions of the tender documents and no change should be
made therein. In the event of any doubt regarding the terms and
conditions/ formats, the party concerned may seek clarifications from
the authorized officer of SAIL/RSP. In case any tampering/
unauthorized alteration is noticed in the Bid submitted from the
Bidding Document available on the SAIL Website, the said Bid shall
be summarily rejected and the company shall have no liability
whatsoever in the matter. However, deviations, if any, proposed by
the bidder may be separately indicated for acceptance or otherwise
by SAIL/RSP. Such proposed deviations will not be treated as
tampering for the purpose of application of the clause.
12.0 As the job is to be executed in the existing plant, bidder may visit the
site to get acquainted with the site conditions, if so desired, before
submitting the offer.
13.0 Bidder should furnish Notarized copies of Power of Attorney in favor

of Authorized signatory , Permanent Account Number (PAN) card,
Bank details like name of bank, branch, IFSC code, Bank Account
Number, Excise registration, CST registration, Service Tax
registration, EPF & Odisha ESI registration, Odisha VAT (OVAT)
clearance certificate valid up to 31-03-2017, etc. along with the bid.
Bidder should furnish an affidavit as per format enclosed at
ANNEXURE A if he does not possess Odisha VAT registration
certificate.
Successful bidder has to submit a valid Odisha VAT Clearance

certificate in the requisite format before signing of the Contract. Any
delay to this account will be to the bidders account. Non submission

of clearance may lead to non signing of the Contract and forfeiture of

EMD.
14.0 The successful Bidder shall be required to provide one original and 25
copies of entire signed contract agreement for Employers use within
fifteen days (15) from the date of signing of contract.
16.0 The Bidders may be required to explain/ justify the basis of their
quoted price as and when asked for. In case, any bidder fails to
justify his quoted price or refuse to co-operate in this regard, such
bidder will not be considered for participating in the re-tendering, if
the contract is not finalized from the present bidding.
17.0 SAIL, Rourkela Steel Plant takes no responsibility for delay, loss or
non-receipt of documents sent by post. No financial obligations shall
accrue to SAIL, Rourkela Steel Plant in such an event.
18.0 SAIL, Rourkela Steel Plant reserves the right to accept or reject any
bid or to annul the Bidding process and reject all bids at any time
prior to award of the Contract without assigning any reason
whatsoever and without thereby incurring any liability whatsoever to
the affected Bidder(s). Mere purchase and submission of tender
document shall not mean fulfillment of requirements of eligibility of
the Bidder(s).
19.0 Central Public Sector Undertakings (PSUs) /Government

Undertakings are exempted from submission of EMD/Bid Security.
However in case of Bid by Consortium having PSUs/Government
Undertakings as members they are required to submit the stipulated
EMD/Bid Security along with their Bid.
20.0 No cognizance shall be taken for references by the bidder to various

clauses of bid (s) including the bid itself earlier submitted to RSP /
other Plants of SAIL or any other Steel Plant.
21.0 No cognizance shall be taken for references by the bidder to various

clauses of Contract awarded earlier by RSP/ other Plants of SAIL or
any other Steel Plant.
22.0 Deviations seeking any change in the text of various Clauses or

Articles shall not be accepted. Bidder (s) may list deviations, only in
respect of intended effect as perceived by them.
23.0 Implementation Procedure for Integrit y Pact
23.1 Bidders/Contractors has to enter in to an Integrity Pact with the

Principal i.e. SAIL.
A copy of the Integrity Pact duly signed by the authorized signatory

on behalf of the Principal is enclosed with the tender document.
The pact, duly signed by the authorized signatory of the

Bidder(s)/Contractor(s) along with the duly filled-in tender document,

shall be submitted by the Bidder(s)/Contractor(s) to the concerned
Authority. Non-signing of the Integrity Pact, will disqualify the bid.
Bidder(s)/Contractor(s), if feel aggrieved, may raise complaint/pass

on information if any, to the competent authority of the
tender/contract, or to the Chief Vigilance Officer (CVO), SAIL, Ispat
Bhavan, Lodi Road, New Delhi.
The signing of the Integrity Pact by the authorized signatory on behalf

of the Principal and the authorized signatory of the

Deviations in Bid Generally no deviation is acceptable against the tender

documents.
ITB 20.3
In particular, bids with deviations from, objections to or
reservations about critical provisions such as those concerning
i) Bid Security (ITB Clause 11),
ii) Governing Law (GCC Clause 5),
iii) Taxes and Duties (GCC Clause 14),
iv) Performance Guarantees( GCC Clause 27),
v) Defect Liability (GCC Clause 30),
vi) Patent Indemnity (GCC Clause 31) or
vii)Limitation of Liability (GCC Clause 32),

if any, that the Bidder is not prepared to withdraw aforesaid

The Employers determination of a bids responsiveness will be
based on the contents of the bid itself without recourse to
extrinsic evidence.
Technical Technical evaluation shall be carried out in accordance with the

evaluation of bid requirements set forth in Technical Specification included in the
Bidding document.

Conversion to Currency chosen for the purpose of converting to a common

single currency currency shall be local currency, i.e. Indian Rupees (INR).
ITB 26.2
Source of exchange rate:
[As the common currency shall be the local currency, exchange TT

Selling rates observed by the Reserve Bank of India (RBI) and
notified by the State Bank of India (SBI), will be used for converting
prices quoted in foreign currencies.]
Date of exchange rate:
The closing TT Selling rate of exchange on the p revious

working day of the date of opening of Price bid shall be considered.
Price bid The following criteria will be used in the evaluation in the manner
evaluation stated below:

i) The taxes & duties, which are to be borne and paid by the
Employer, shall be considered on the quoted price for
imported supplies & services for the purpose of price
evaluation as follows.
Basic custom duty (BCD) @ 5% on Assessable value on

(FOB price + Ocean freight +Marine insurance + Landing
charges)
Countervailing duty (CVD) @ 12.50% on (Assessable value

+ BCD)
Cess @ 3% on BCD & CVD
Additional Duty of Custom (ADC) @ 4% on

(Assessable value + BCD + CVD + cess)
Income tax including surcharge & cess to be on grossed up

value as per the double taxation avoidance agreement
or rate* as per Income Tax Act, whichever is lower.
Service tax including cess @ 15.00% on the value of

services plus Income tax thereon
Landing Charges are 1% of (FOB price + Ocean freight +

The Contract Price shall not include entry tax for the supplies made
from outside the state of Odisha. Odisha entry tax @ 2% shall be
loaded to all indigenous as well as all imported supply (for
refractories @1%), which shall be paid and borne by the Employer.

Note: Bidders to indicate the value of supplies separately for

refractories and other than refractories in the Summary
Price Schedule (Table No 1 of Appendix 1 of FOCA) on which
Entry Tax are to be borne by them and not required to be
loaded for the evaluation of their Price, failing which Entry Tax
will be loaded for the full value of Supplies
The price evaluation will be done on the basis of Net of
CENVAT and Odisha VAT Input Tax Credit (ITC). The
CENVAT will constitute the CVD, ADC, service tax component
for the imported supplies and services as above and the amount
of CENVAT credit on indigenous supplies & services as quoted
by the Bidder.
Odisha Value Added Tax (OVAT) is applicable on purchase and sale

of goods made within the State of Odisha. The Contractor, (if he pay
such VAT) is to provide the VAT invoices for reimbursement on the
VAT amount and to enable the Employer to avail the VAT Input Tax
Credit thereon.

The bidders are to indicate the OVAT input tax credit to be passed on
to RSP in the price bid for the evaluation of the offers. The VAT input
tax credit committed by the Contractor will be reconciled and
necessary adjustment effected.
Entry Tax to be deposited by RSP committed by the Contractor will be

reconciled and necessary adjustment effected .
Notes:
1. As per amendments introduced in Finance Act (2) of 2009 it is
mandatory for all the parties including non-residents to submit
PAN under Income Tax Act with effect from 01.04.2010
2. As per amendment introduced in the Finance Act of 2012,

submission of Tax Residency Certificate (TRC) by the foreign
bidder is mandatory for claiming benefit provided under Double
Taxation Avoidance Agreements (DTAA).
In the absence of Indian PAN, TRC & declaration in form 10F as
per Indian Income Tax Act, the TDS (Tax Deducted at Source)
liability will be 20.00%(under section-206AA) on the grossed up

value of Foreign Services. Bid evaluation will be done accordingly

Time Schedule Completion Time: The successful bidder shall be required to

complete the whole work in Twenty four (24) months from the
ITB 25.5 (b) Effective Date of Contract specified in Article-3 of the Contract
Agreement.
The Bids having completion time beyond Twenty four (24)

months shall be liable for rejection.
No credit shall be given for Bids having completion time less

than Twenty four (24) months.

Parameters parameters and the acceptable limits as specified in the

commercially suitable bidders subsequently.

Additional clause a) In case any specific adverse report is received against a
tenderer, as information or upon enquiry made by SAIL, in
respect of capabilities and performance of the tenderer, after
receipt of tender but before the opening of the Price Bids, the

quotation / tender submitted by such tenderer shall be rejected. If

such report is received after opening of the price bids, then also
the quotation / tender of that tenderer shall be rejected.
b) The bidder shall give a declaration (on non judicial stamp paper)
in case any sister concern of the bidder (having same proprietor /
common directors / partners) has issued credentials / experience
certificate etc. to the bidder (for the work done by the bidder in
the sister concern) which is required to fulfill the eligibility criteria.
c) Bidders (Non Corporate bodies) shall submit an undertaking that
the service tax quoted by them is inclusive of service tax to be

Annexure 1 to Bid Data Sheet
Eligibility Criteria
i) Technical requirement
Technical Experience:
a) Shall have carried out engineering, supply/procurement assistance

services, erection/ erection supervision and commissioning/commissioning
supervision of at least one number of minimum three (3) Mtpa throughput
capacity new Beneficiation Plant based on hematite iron ore comprising
of high intensity magnetic separator in the past ten (10) years prior to
date of NIT. The plant above must have operated for a period of at least
two (2) years after commissioning prior to date of NIT.
AND
b) Shall have carried out design, engineering, supply/ procurement
assistance services, erection/ erection supervision and
commissioning/commissioning supervision of at least one number of new
Pellet Plant of minimum two (2) MTPA capacity using Straight Grate
technology in a single module working on hematite ore in the past ten (10)
years prior to date of NIT. The plant above must have operated for a period
of at-least two (2) years after commissioning prior to date of NIT.
A: Technical Qualification requirement for the Bidder:
Bids shall be submitted by a sole bidder or a Consortium of two or more

parties (not more than four parties) having Technical Experience as listed
above.
OR
Technology provider for the Beneficiation Plant can be a bidder. For the Pellet
Plant, the bidder can submit the Bid as technology Provider on the strength of
Licensing Agreement with other technology provider. A Licensor can offer its
technology as a Licensor to only one bidder in this Bid.
OR
Technology provider for the Pellet Plant can be a bidder. For the Beneficiation
Plant, the bidder can submit the Bid as technology Provider on the strength of
Licensing Agreement with other technology providers. A Licensor can offer its
technology as a Licensor to only one bidder in this Bid.
B:Other Technical Qualifying Requirements :
1) Copies of Memorandum of Agreement, work order/award letter / Contract

document, and completion/ commissioning certificate/ performance certificate
showing experience shall be submitted by the bidder in support of the
experience as listed under Technical Experience above. The mentioned

certificates, orders and letters in favour of above experiences, issued by their

respective clients, may be in the name of the Bidders own and/or the
Licensor(s) combined.
2) Licensor to the Bidder shall sign the Contract Technical Specification

between SAIL and the Bidder as a mark of acceptance.
3) Licensor shall furnish an undertaking / MOU with SAIL firmly stating that
they will undertake to execute the project as a subcontractor to the bidder,
complying the process, performance guarantee and other parameters
envisaged in the Contract Technical Specification within the agreed time
schedule complying the terms and conditions of the Contract.
4) Licensor shall undertake that it shall remain bound by the License

agreement till successful completion of the project being executed by the
Licensee and performance of the project.
5) Licensor shall undertake and agree with SAIL that if for any reason it
breaches the agreement or fails to fulfill the contractual obligation undertaken
by it in the License agreement with Licensee and such breach will not affect
SAIL in getting the project executed based on the Contract between SAIL and
the Bidder, but in such case, may not be based on Licensor technology. In
case of a breach of License agreement by the Licensee, at the option of SAIL,
Licensor will agree to supply the Technology directly to SAIL on the basis of
the License Agreement with the Bidder.
6) The experience of Licensor in the relevant field shall be considered for

evaluation of Technical eligibility to the extent agreed by the Licensor as per
License agreement entered into between the Licensee and the Licensor
provided the Licensee submits the License Agreement and Letter of
undertaking jointly signed by Licensee and Licensor as per attached
Annexure-D to SCC..
ii) Financial Eligibility Requirements:
a) Average annual turnover of the Bidder shall not be less than Rs. 280 Crore
(INR 2800 Million) during last three (3) consecutive financial years ending
31.03.2016.
b) However average annual turnover of each member in case of consortium
shall not be less than Rs. 70 Crore (INR 700 Million) during last three (3)
consecutive financial years ending 31.03.2016.
The bidder shall submit Audited Financial Reports for last three consecutive
financial years in support of the above.
Further, the bidder shall also submit certificate from the concerned Merchant
bankers that the loans given to the bidder are not falling in the category of
non-Performing Assets of the concerned Banks.

3.0 Initial Fill and Lubricants [Reference GCC Clause 7.4.4]
The Contractor shall supply the oils, grease, and lubricants along with the Plant
& Equipment, required for the initial fill including flushing liquor and also
chemicals for pickling, etc., well in advance for commissioning of the Plant &
Equipment.
4.0 Special Tools & Tackles [Reference GCC Clause 7.4.5]
The Contractor shall supply the special tools & tackles along with the Plant &
Equipment, required well in advance for erection, commissioning, operation &
maintenance of the Facilities.

5.0 Permits [Reference GCC Clause 9.3]

The Contractor shall at its own expenses obtain all permits from Indian and
Foreign Government required for the performance of work under this Contract
and the Contractor shall bear any fee paid to the Government or local licensing
authority for obtaining permits at their own cost. The Contractor shall perform the
work in accordance with the conditions of all applicable permits.
6.0 Training [Reference GCC Clause 7.8]
The Contractor shall arrange for training in India and abroad of the Employers
personnel for operation, maintenance and other services of the Facilities under
the Contractors scope of work. Training also includes 30 man months of
foreign training The Contractor shall furnish the details of the training to be
provided to the Employers personnel for the approval of the Employer. Employer
may indicate the field of training and man-days, to the Contractor for compliance.
7.0 Transportation by Wagons [Reference GCC Clause 21.4.2]
7.1 The destination for consignments to be dispatched by wagons by the Contractor

shall be as under:

9.0 Air Consignments [Reference GCC Clause 21.4.1]

9.1 Air transportation should be done only with the prior approval of Employer.
9.2 In case Air India flights are not available in Bidders country, bidder may
arrange airfreight through other reputed international flights after obtaining non-
availability certificate from Air India/Indian Air lines.

10.0 Any know-how for which royalty or payment has been claimed by the
Contractor and paid by the Employer will become property of the Employer.
11.0 The successful Bidder shall be required to provide 25 (twenty five) copies of
signed contract agreement for Employers use within fifteen (15) days of the
date of signing of the Contract.
12.0 The bidder to quote in summary price schedule only (Table No 1 of Appendix 1
of FOCA ) based on which evaluation will be done and successful bidder will be
required to submit price Break-up in tables 1.1 to 1.5 within 10(ten) days of
request from the employer.
In case of Consortium, the price for each member will be indicated for their
scope of work. For this purpose extra columns may be added in the price
format for each consortium member.
13.0 Pursuant to clause nos 18.2, 18.3 & 18.4 of GCC, the Successful Bidder
shall be required to submit progress report indicating the targets &
achievements in respect of physical quantities also in a form acceptable
to the Engineer. The same has to be reported on monthly basis for off-
site activities and on weekly basis for on-site activities.
14.0 Bonus for Completion of the Facilities before Time Schedule (Reference
GCC clause 29.5)
Bonus clause is not applicable for this Package
15.0 Mobilization Advance
Not Applicable
16.0 The Employer shall open the price bid of the Bidders, in the presence of
designated representatives of the Bidders who choose to attend, at a
date, time and venue communicated to the Bidders by the Employer.
Alternatively RSP reserves the right to finalise this tender enquiry

through online bidding process. All the bidders who are eligible to
quote and whose offers are found techno-commercially acceptable
become eligible for participating in online bidding to be conducted by
RSPs Service Provider, M/s Mjunction Services Limited over Internet.
In case of online bidding, the Service Provider would intimate Date &
Time for Start of Auction and duration of auction to the bidders in
advance. Login ID & Password specific to each bidder would be given
and demonstration of bidding (Online) process would also be provided
to enable each bidder to fully understand the process of bidding online.
17.0 Minimum wage to contract labourers shall be paid as per circular issued by
RSP from time to time. Circular indicating the applicable present rate is
enclosed.

18.0 List of Approved Vendors/ Preferred Makes
All bought out items shall be as per list of acceptable makes of the TS/
RSPs List of Approved Vendors/ Preferred Makes.
19.0 Following shall be followed in respect of Bank Guarantees:
a. The Bank Guarantees shall be as per the format provided in the

Standard Bidding Document for the respective BGs.
b. The Bank Guarantee (s) shall be from the List of Eligible

Scheduled Commercial Banks for Acceptance of BGs (List
enclosed) and shall be made operable at Rourkela or at a place
where RSP has a unit office (Kolkata/Mumbai/Chennai/Delhi).
c. The stamp paper used for the BG shall be of appropriate value

and should be purchased on behalf of the issuing bank and
issuance of amendment/ extension of BGs should also be made
on stamp paper of appropriate value purchased in the name of
the Bank.
d. The name, designation and authorization number of the person

issuing the BG(s) must be clearly indicated in the document.
20.0 In addition to the coverage mentioned in GCC clause 36.0, the

insurance policy shall also cover terrorism clause.
21.0 (a) PAC, Commissioning, PG Test and FAC certificates for both
Beneficiation and Pellet plant shall be issued separately.
(b) Successful bidders shall submit separate price schedules both for
Beneficiation and Pellet plant during finalization of contract.
22.0 Bidders to submit separate price bids in sealed envelopes for (i) 2 years
Spares & insurance spares (ii) Operation of the Facilities till
Commissioning (iii) Maintenance of the Facilities for one year from the
date of Commissioning in 5 sets (1 original + 4 copies). This will not be
taken in to the account for price evaluation of the main package.
The Scope of work under these heads are indicated separately. The
work under these heads is optional and will be decided separately for
finalization by SAIL, RSP as per the need and requirement.
23.0 Price for Operation of the Facilities till Commissioning shall be kept
valid till commissioning of the main package. Price for Maintenance of
the Facilities for one year from the date of Commissioning and 2 years
Spares & insurance spares shall be valid upto 6 months of
commissioning of the main package.

24.0 Instruction to bidders for compliance to proposed GST.

i) For the purpose of this clause the following expressions shall
have the following meanings :
(a) GST means any tax imposed on the supply of goods or
services under GST Laws.
(b) Cess means any applicable cess existing or future on the
supply of Goods and services.
(c) GST LAW - means IGST Act, GST (Compensation to the
States for Loss of Revenue) Act. CGST and SGST Act, 2016
and all related ancillary legislations.
ii) "For the purpose of this contract/agreement, it is agreed between

the parties that if Goods and Services Tax introduced during the
tenure of this contract/agreement become payable then the
same shall be borne and payable by [SAIL] to [vendor/
Supplier/Contractor] in addition to the [contract price without
taxes.] at actuals. Vendor/Supplier/Contractor] 'Would pass on
the tax benefit/savings, if any on account of output taxes to
[ SAIL]".
iii) Vendor/Supplier/Contractor agrees to do all things not limited to
providing GST invoices or other documentation as per GST law
relating to the above supply, payment of taxes, timely filing of
valid statutory returns for the tax period on the Goods and
Service Tax Portal etc. that may be necessary to match the
invoice on GSTN common portal and enable SAIL to claim input
tax credit in relation to any GST payable under this Agreement or
in respect of any supply under this Agreement.
iv) In case the Input Tax Credit of GST is denied or demand is
recovered from SAIL on account of any new complaint by the
Vendor/Supplier/Contractor, including non-payment of GST
charged and recovered, the Vendor/Supplier/Contractor shall
indemnify SAIL in respect of all claims of tax, penalty and/or
interest loss, damages, costs, expenses and liability that may
arise due to such non-compliance.
v) Vendor/Supplier/Contractor shall maintain high GST compliance
rating track record at any given point of time.
vi) Vendor / Supplier / Contractor is required to pass on the benefit
arising out of introduction of GST, including seamless flow of
Input Tax Credit reduction in Tax Rate on inputs as well as final
goods by way of reduction of price. Accordingly, for supplies
made under GST the Vendor / Supplier / Contractor should
confirm that benefit of lower costs has been passed on to SAIL by
way of lower prices / taxes and also provide details of the same
is applicable. SAIL reserves the right to examine such details
about costs of Inputs / input services of the Vendor / supplier /
Contractor to ensure that the intended benefits of GST have been
passed on to SAIL.

vii) Vendor / Supplier / Contractor shall avail and pass on the

benefits and concessions provided in the transitional provisions
of the Goods and Service Tax Law with respect to the supplies.
viii) Vendor / Supplier / Contractor shall avail the most

beneficial notifications, abatements, exemptions etc. if any, as
applicable for the supplies under the Goods and Service Tax.
ix) For the purpose of the above mentioned requirements, the vendor
shall provide necessary documents as may be necessary and
shall allow Inspection of the same to SAIL.
