International Terms & Conditions
General Unless otherwise specified, in writing, the following terms and conditions will
apply to all price lists and quotations of, and all sale and shipping agreements entered
into by, IFD Internal Fault Detector Corp. (IFD Corporation) or by its duly appointed
agent or representative with a customer who buys or agrees to buy goods from IFD
Corporation (Purchaser). All orders for goods shall be deemed to be an offer by the
Purchaser to purchase such goods pursuant to these terms and conditions. Acceptance
of delivery of the ordered goods, or any of them, shall be deemed conclusive evidence
of the Purchasers acceptance of these terms and conditions. Any order is subject to
acceptance by written order acknowledgement or cancellation by IFD Corporation at its
sole discretion. IFD Corporation is not responsible for pricing, typographical, or other
errors, in any quotation made by IFD Corporation and reserves the right to cancel any
order resulting from such errors.
Pricing a) Unless otherwise specified in writing by IFD Corporation, prices are set out in
the preceding price list and are valid for 60 days from the date of quotation. All prices
are in United States dollars.
b) All sales are subject to any taxes, customs, duties, import and export fees and similar
levies applicable at the time of shipment, irrespective of the scheduled shipping date
(Taxes). Any Taxes are in addition to the price and shall be paid by the Purchaser.
Purchaser shall defend, indemnify and hold harmless IFD Corporation from and against
all liabilities for Taxes and legal fees incurred by IFD Corporation in connection therewith.
Payment a) Unless otherwise agreed to in writing by IFD Corporation, payment must be
received by IFD Corporation prior to its acceptance of an order and shall be made by
international money order, wire transfer, SWIFT transfer, VISA, MasterCard, American
Express or some other prearranged payment method.
b) In the event that the Purchaser is unable to accept delivery on the scheduled date IFD
Corporation reserves the right to invoice the goods to, and the Purchaser agrees to pay,
the full amount of the order plus such storage or transportation costs that may arise due
to the lack of acceptance.
Delivery All goods are delivered EXW IFD (Incoterms 2010). The Purchaser shall advise
of preferred carrier and carrier account number. Shipping dates are approximate and
estimated, and are based upon prompt receipt of all necessary information from the
Purchaser.
Cancellations Purchasers who cancel an order previously accepted and acknowledged
by IFD Corporation will pay the cumulative cost accrued on the order at the date of the
cancellation as well as any charges resulting from the commitments of IFD Corporation
to its suppliers in relation to the cancelled order.
Title The title and the right of possession of the goods sold shall remain with IFD
Corporation, and such goods shall remain personal property until all payments and
assessments have been made in full. The Purchaser shall do all that is necessary to
maintain that such right and title remain with IFD Corporation.
The Purchaser shall also assume all risk of loss or damage incurred after the goods have
been delivered and be liable to IFD Corporation for costs of same until title has been
transferred.
The Purchaser hereby grants to IFD Corporation a first security interest and charge in all
of the goods to secure payment of the purchase price. (If IFD Corporation requests, the
Purchaser will enter into a separate security agreement to document separately the
security interest hereby granted.) The Purchaser confirms that the security interest is
complete and valid without the necessity of giving any or further documentation in
respect of the security interest. On any default by the Purchaser to pay the purchase
price for the goods, IFD Corporation may itself, or by its agents or employees, take
possession of the goods and realize upon the goods and enforce its rights under the
security interest by any remedy or proceeding authorized or permitted by law including,
without limitation, all rights and remedies available to a secured party, all without
prejudice to any other rights of IFD Corporation at law.
Limitation of Liability The liability of IFD Corporation, its directors, officers, employees,
agents and contractors for loss or damages on any claim of any kind is limited to an
amount equal to the price of the goods and in effect only during the Warranty Period
stated below. IFD Corporation, its directors, officers, employees, agents and contractors
shall not be liable for any indirect, consequential, exemplary, punitive, aggravated,
incidental, special, general, commercial, economic loss or other similar damages or
claims of third parties whatever the cause.

Warranty IFD Corporation warrants the goods of its own manufacture against any
defects in materials and workmanship under normal use and service for one (1) year
from the date of installation, but no more than eighteen (18) months after date of
shipment from IFD, provided such goods are properly installed in accordance with IFD
Corporations installation instructions, properly protected, and operated within the
limits of their capacity.
Notice of alleged defect must be given to IFD Corporation in writing with all identifying
details and date of purchase within thirty (30) days of the discovery of such alleged defect
during the warranty period.
Any return of goods must be pre-authorized by IFD Corporation using an IFD Return
Goods Authorization Form. This RGA Form must accompany all return shipments,
otherwise the shipment will be refused.
IFD Corporations sole obligation on this warranty shall be, at its option, to repair, replace
or refund the purchase price of the goods which prove to be defective as alleged. No
allowance will be made for repairs or alterations effected without specific written
authorization from IFD Corporation.
Improper installation, misuse or acts of God negate any warranty, regardless of the date
of shipment. See IFD installation instructions for details on proper installation.
The foregoing warranty sets out the entire liability of IFD Corporation, its directors,
officers, employees, agents and contractors in respect of the goods, and IFD
Corporations liability under this warranty will be in lieu of and to the exclusion of all
other warranties, conditions, terms and liabilities, express or implied, statutory or
otherwise, in respect of the quality, merchantable quality, merchantability, durability or
the fitness for any particular purpose of the goods. Except as stated above, IFD
Corporation, its directors, officers, employees, agents and contractors will not be under
any liability, whether in contract, tort (including negligence) or otherwise, in respect of
defects in the goods or failure to correspond to specification or sample or for any injury,
damage or loss resulting from such defects or failure or from any work done in
connections therewith.
Force Majeure IFD Corporation shall not be liable for delays in delivery or for failure to
manufacture or deliver due to (1) acts of God, acts of the Purchaser, acts of civil or military
authority, fires, explosions, strikes, floods and other natural catastrophes, epidemics,
quarantine restrictions, war, riots, insurrections, civil disturbances, delay in
transportation; or (2) inability, due to the causes beyond its reasonable control, to obtain
necessary labor, materials, components or manufacturing facilities. In the event of any
such delay, the date of delivery shall be extended for a period equal to the time lost by
reason of the delay; or (3) other causes beyond its reasonable control.
Intellectual Property Rights IFD Corporation remains the exclusive owner of all
intellectual or industrial property rights relating to the goods.
Canadian Export Laws Purchaser agrees to comply with all applicable Canadian export
administration and control laws and regulations. Purchaser will be responsible for
obtaining appropriate export licenses and other permits necessary for the shipment of
the goods. IFD Corporation will not be liable in any way if such licenses or permits are
not granted or later withdrawn. Any orders are accepted by IFD Corporation from a
Purchaser outside Canada with the understanding that the final destination of the
goods is the country indicated therein. If such understanding is incorrect, Purchaser
shall immediately inform IFD Corporation of the correct final destination for the goods.
Miscellaneous These terms and conditions and, where applicable, IFD Corporations
price list, quotation, order acknowledgment, invoice and all documents incorporated
expressly by references therein, shall constitute the entire agreement of the parties in
respect of the subject matter hereof (Agreement). Any provision in any purchase order,
invoice, shipping documentation or any other document of the Purchaser that conflicts
with or attempts to modify these terms and conditions will have no effect and neither
party is obligated to notify the other party that such provisions do not apply. The
Purchaser shall not assign its rights or obligations under an Agreement without prior
written consent of IFD Corporation. These terms and conditions will be governed by the
laws of British Columbia and the federal laws of Canada applicable therein without
regard to conflicts of law principles and the parties irrevocably attorn to the exclusive
jurisdiction of the courts of British Columbia. The International Sale of Goods Act and the
United Nations Convention on Contracts for the International Sale of Goods will have no
application to this Agreement. No modification to these terms and conditions and no
waiver of any provision hereof will be binding unless executed in writing by the parties.
If any provision of these terms and conditions is declared invalid or unenforceable, the
remainder of these terms and conditions will remain in full force and effect.
