In April 2012, Langdon & Seah merged with ARCADIS,


the international consultancy, design, engineering and
management services company. This partnership now
provides Langdon & Seah with the ability, together with
EC Harris, inProjects, Genesis, Hyder, RTKL and Callison
to serve our multi-national clients through a network of

Hong Kong and foreign developers investing in China,

The construction industry in China remained quite stable


during 2014, both in terms of year-on-year growth and
also price movement. In large part, this stability mirrors
the overall Chinese economy which has settled into a
period of more modest, sustainable growth. However,
the implementation of the central governments property
anti-speculation measures over the last few years has
contributed to a less volatile property market and a
subsequent dampening effect on private sector residential
construction.

Whilst the net effect of labour, plant and materials price


movements has resulted in overall construction costs

wider economy, the Consumer Price Index eased from
2.6% in 2013 to 2% in 2014. Such reduced living costs
coupled with a general softening of home prices across
the country have reduced the pressure somewhat on
workers pay rises.

next few years, with a resultant drop in construction costs
arising from greater competition.

That said, construction volume grew steadily in 2014


at a rate of 14%, as at the third quarter. Whilst private
residential workload may have declined, the construction
of affordable housing is still pressing ahead in an effort to
meet the 36-million-unit target set in the 12th 5-Year Plan
(2011-2015). While 24.9 million units were commenced
and more than 10 million were completed in 2011-2013,
a further 7 million units were targeted to commence in
2014. Its therefore likely that public housing workload
will continue at a steady pace for some years to come.

Hong Kongs construction volume reached an all-time


high in 2014, albeit the rate of year-on-year growth has
dropped to the lowest level since its last recovery in 2010.

The volume of work in the private sector grew at 9%


year-on-year during the first three quarters of 2014,
which contrasts positively with the zero growth seen in
2013. However, the public sector has witnessed only 10%
growth in the same period, well down from the 21% in
2013. The expectations are that this overall lower growth
rate could fall further in the next year as the volume of
new construction projects starting on site in both the

entering the workforce. However, it is encouraging to see
a 5% growth in the registered skilled labour force last year,
indicating the possible reversal of a long-term trend of an
ageing, down-sized construction workforce.

As a whole in 2014, we observed construction cost


escalation of around 7% and 5% in building and civil
engineering works respectively. Whilst we see an overall
drop in growth over the next few years, particularly in the
infrastructure sector, construction volumes will still be
running at fairly high levels. As such, we do not anticipate

INSURANCE

This section provides general information regarding


construction insurance arrangements in Hong Kong.

It is common place for Hong Kong construction contracts


to contain provisions as to insurances such as Employees
Compensation Insurance, Third Party Liability Insurance,
Works Insurance and, on occasion, Professional Liability
Indemnity Insurance. For employers, the insurance
placement ensures that the contractual indemnities are

For contractors, it provides a certain degree of protection
to ensure that he has the means to pay in the event of
mishaps.

The insurances may be effected by the contractor


(Contractor Controlled Insurance Programme or CCIP)
or be taken out by the employer (Employer Controlled
Insurance Programme or ECIP). CCIP tends to be the
most common insurance arrangement in Hong Kong,
since the contractor is in control of all site operations
and in a better position to manage its own site safety
/ risk. As a poor safety record will count against the
contractor in premiums negotiation in the procurement of
insurance, CCIP provides an incentive for better safety /
risk management. On the other hand, ECIP placement
leaves the control of the insurance programme in the
hands of the employer, thereby offering the advantage
of providing comprehensive insurance coverage on a
project-wide basis and hence minimizing overlaps and
gaps in insurance coverage.

Employees Compensation

Section 40(1) of the Employees Compensation Ordinance


states that no employer shall employ any employee unless
there is a policy of Employees Compensation Insurance
in place. The maximum penalty for failing to comply with

Under the Ordinance, the principal contractor shall take
out insurance for his employees and all of the employees
of subcontractors with a limit of indemnity of HK$200
million per event (or HK$100 million if the number of
employees is less than 200).

Since an injured worker could attempt to sue the


employer, the employer will want to ensure the
contractor has taken out insurance in joint names with
the employer.

Contractors' All Risks Insurance

A Contractors' All Risks policy generally comprises (i) Third


Party Insurance which covers injury to persons (except
the Contractors own workmen) or damage to property
(other than the Works), due to the carrying out of the
Works which may or may not be caused by a default of the
contractor. The policy is normally subject to a maximum
reimbursement per incident but unlimited in the number
of incidents, (ii) Contract Works Insurance which covers
damage caused to the Works itself by risks not excluded
from the policy and (iii) Plant & Equipment Insurance which
covers the contractors plant and equipment used in the
Works. Plant & Equipment Insurance is not normally
required under the contract conditions and is voluntarily
purchased by the contractor.

Professional Indemnity Insurance

For construction contracts involving contractors design, it


is not uncommon for the employer to require the contractor
and his design consultants and independent checking
engineers to obtain insurance to cover their liability for
design. For Government Contracts, the Professional
Indemnity Insurance shall cover the contractor's liability
for design generally for the construction period and a
further 6 years.

FIREE RECORDALS TRACKER:


OCTOBER 2014 UPDATE

Since May 2007, any injection of foreign capital in


foreign-invested real estate enterprises (FIREEs)
must be recorded with the PRC Ministry of Commerce
(MOFCOM). These FIREE recordals provide a useful
perspective on the trend and pace of new foreign capital
inflow into the China real estate sector. However, the
FIREE recordal statistics do not disclose the actual
amount of foreign capital involved in each transaction.

Baker & McKenzie has been tracking FIREE recordals


announced by MOFCOM since May 2007. Set out below
are some FIREE recordal statistics and data current up to
the end of October 2014. In summary:

 The total number of FIREE recordals in


October 2014 was 26, down from 48 in
September 2014.

 The total number of FIREE recordals in 2008, 2009,


2010, 2011, 2012 and 2013 were 1,051, 991, 1,094,
767, 759 and 763 respectively.

 Since May 2007, cumulatively, there have been


7,710 FIREE recordals up to the end of October
2014. This includes 3,325 cases of new project
operating entities being established, 3,605 cases
of capital increase or M&A transactions (involving
capital increase) related to existing project operating
entities, and 403 cases of M&A transactions which
do not involve any capital increase.

About the FIREE Recordal Regime

The regulatory regime for recording foreign-invested


real estate enterprises was first established in May 2007
by MOFCOM and the State Administration of Foreign
Exchange (SAFE). This FIREE recordal regime was
part of a scheme of regulatory measures introduced
between 2006 to 2007 to monitor and control foreign
investment in the real estate sector at a time when the
central government considered the real estate sector to be
overheated. This regime controls all types of foreign capital
inflow being injected into the real estate sector for purposes
such as the setting up of new entities, capital increases
and mergers & acquisitions. Foreign capital flowing into
China cannot be converted into Renminbi (Chinas legal
currency) unless and until the FIREE recordal process
has been completed with MOFCOM and SAFE.

Since July 2008, the provincial-level commerce authorities
have been charged with the primary responsibility of
vetting the legal compliance of FIREE-related transactions.
MOFCOM reserves the right to conduct random checks
on the recordals filed by the provincial-level commerce
authorities. Generally, within one to two weeks of receiving
an electronic submission from a provincial-level commerce
authority, MOFCOM will release the new FIREE recordal
on its public website. Only then can the local bureau of
SAFE and the local commercial bank credit the foreign
currency funds into the accounts of the transaction parties
concerned. In December 2008, MOFCOM further simplified
the local recordal procedures such that the general office
of the provincial government is no longer required to
jointly endorse the recordal form with the provincial-level
commerce authority.

Pursuant to Notice 340 issued by MOFCOM, starting from


August 2014 provincial-level commerce authorities are
authorized to complete the FIREE recordal process for
companies located in their respective regions. MOFCOM
will continue to consolidate all the new FIREE recordals

Common standard form of contract in Hong Kong

In 2005, the Hong Kong Institute of Architects, the Hong


Kong Institute of Construction Managers and the Hong
Kong Institute of Surveyors jointly published a new
standard form of building contract which are designed
particularly for private projects where bills of quantities
are provided.

In 2006, the three institutes published another standard


form of building contract tailored for private projects
without bills of quantities.

For public works, the conditions of contracts are often

Economic overview
The Hong Kong economy slowed slightly in 2014 amid
uncertainties leading from the decline in tourist spending

on year, compared with an increase of 2.9% in 2013. Hong
Kong's seasonally adjusted unemployment rate remained
at 3.3% for the months of August through October 2014.

to reach 49.9 million. The number of Mainland visitors
surged 15.5% to reach 38.7 million compared with a
year earlier, representing 77.6% of total tourist arrivals.

sales value recorded annual declines for six consecutive

months of the year, the total retail sales value decreased
0.2% year on year.

Looking forward, given the slower-than-expected recovery


of developed economies, the weakening performance of
Mainland China and the increasing likelihood of a rise in
US interest rates, Hong Kongs macroeconomic forecast
remains uncertain. However, with the interest rate still
low, the steady growth of intra-Asia regional trade and
the launch of the Shanghai-Hong Kong Stock Connect
scheme - which will all lend support to the local economy
- we expect Hong Kongs long-term real GDP to grow
approximately 3.5% per annum from 2015 to 2018.

Hong Kongs residential property market rebounded in
2014, with the negative impact of the governments cooling
measures having gradually been absorbed. Developers,
having adapted to The Residential Properties (First-hand
Sales) Ordinance implemented in 2013, returned to the
active launch of primary projects, strategically pricing them
at levels comparable to or even lower than secondary units
in the same districts, resulting in suppressed sales in the
secondary market. The market also showed improvement
after the government relaxed the DSD policy by adjusting

remained stable in 2014. Looking forward, residential
sales are set to further improve in 2015, if no new cooling
measures are introduced, alongside the continued active
launch of new projects. With housing supply abundant
and the prospect of a potential interest-rate rise, mass
home prices are expected to remain stable next year,
while luxury residential prices could drop 05% over the
whole of 2015.

Retail
In 2014 - despite a continued surge in tourist arrivals
- Hong Kong experienced slower retail sales growth,
mainly due to the changing spending pattern of Mainland
visitors towards the mid-end of the market, which resulted
in a drop in prime street shop rents. The anti-corruption
campaign in Mainland China resulted in Mainland tourists
spending less on luxury goods in Hong Kong, which
led to a drop in leasing expansion by luxury brands in
prime retail areas. With vacancy rates rising in major
shopping districts, landlords have softened their stance
during rental negotiations and in some cases have
been willing to subdivide a larger space into smaller
units, to attract demand. In contrast, demand from
mass-market and mid-end retailers - such as those in
the fast-fashion, food and beverage, cosmetics and
pharmaceutical trades - has remained active as a result
of the changing spending pattern of Mainland visitors.

malls are expected to climb 3 - 5% in 2015, while rents
in non-core major shopping malls - such as those in
the New Territories near MTR stations - could increase
up to 5% thanks to their convenient locations for both

As with other sectors, sales of Hong Kong industrial
properties in 2014 were affected by the anti-speculative
measures imposed by the government in February
2013. However, despite the sluggish sales market,
prices of industrial properties increased 4.1% in 2014.

Looking ahead, with the low vacancy rate and sustained


demand from tenants, industrial rents are expected to
continue rising next year. Meanwhile, the sales market
is expected to remain suppressed due to the continued
implementation of the DSD.

Project Monitoring is a distinct extension from our core


business in cost management services. Our specialized
Project Monitoring Team is a selection of proactive and
versatile quantity surveying and project management
professionals who are fully acquainted with the intricacies
of the development, design and construction process and
understand the underlying key value drivers. The very
purpose of this dedicated unit is to protect the Clients
interest by identifying and advising on the risks associated
with acquiring an interest in a development that is not
under the Clients direct control.

The team has the experience and expertise to act as an

Monitoring
As this second stage of the project monitoring remit, a
more cyclical approach is taken to the now active scheme.
Generally monthly or at other agreed intervals, the Project
Monitor will visit the site and meet relevant project team
members to gather and analyse pertinent information
including, inter alia, contractor's reports, developer/project
manager's reports, architect's and other consultants'
reports and to produce a Periodic Monitoring Report which
addresses:-
 Progress against programme
 Financial positions against budgeted allowance
 Any variations or additional items instructed/anticipated
 General quality standards
 Progression of any issues outstanding in the initial due
diligence report, or the previous monitoring report
The monitoring report should further consider other related
concern if necesarry, such as:-
 Insurances - in place and up to date
 Warranty status
 Planning condition
 Building regulation status
 Health and safety issues
 General labour levels and productivity to gauge

With heightened awareness of environmental issues and


a greater emphasis on improving building performance,
there are an increasing number of projects seeking green
