In connection with your premises owned by or rented to you. 6G 20 26 07 04 © 180 Properties, in., 2004 Page 1 of 1 a AAA contract with Daybreaker (CONFIDENTIAL — DO NOT SHARE) (see next page) CONFIDENTIAL AAA NCNU + DAYBREAKER PARTICIPATION AGREEMENT As of April 1, 2017, this Participation Agreement this “Agreement”) is entered into between Daybreaker LLC, located at 181 North 11% Street #206, Brooklyn, New York 11211 (“Daybreaker”) and AAA Northern California, Nevada & Utah, located at 1900 Powell Steet, Emeryville, California 94608 (“AAA NCNU”) (each, a “Party”) for the purpose of setting forth the terms and conditions under which AAANCNU will sponsor an event onganized and hosted by Daybreaker. 1 Services. Daybreaker will host an event from 11 am. until 5 pm. on April 30, 2017 or as ‘mutually agreed by both partes, in Oakland, CA; therein, Daybreaker will facilitate the promotion of AAA NCNU and the new ride sharing service, “Gig” (“The Event"). In connection with the Event, Daybreaker will provide services to AAA NCNU as specified in Exhibit A, hereto attached Services”). Daybreaker shall perform Services in accordance withthe terms of this Agreement. The Services to be performed by Daybreaker will be performed in a timely, professional and workman- like manner in accordance with industry standards, and with a degree of care, skill, and expertise as is required for the provision of services of similar nature, Marketing Materials & IP Licenses. Each Party hereby represents, warrants and covenants that all materials used in furtherance of the marketing and promotion of one or more of the Events (Marketing Materials”) will be in compliance with all applicable laws, rules and regulations. a. Rightful Ownership & IP License. Fach Party hereby represents that it rightfully owns and uses its name and logo, as well as all slogans, trademarks, service marks, trade identities, and copyrighted material to be used in connection with the Event. Each Party hereby agrees to grant to the other a worldwide, fully paid, non-exclusive, royalty-free license to use its name, logo, slogans, trademarks, service marks, trade identities and copyrighted material solely in connection with the Event, b. Offensive & Substandard Materials. Each Party agrees that it shall refrain from using the other's intellectual property (including without limitation its name, logo, and/or slogan) in a manner that would embarrass or denigrate the other Party and/or its affiliates, or otherwise diminish the value and goodwill associated with the other Party’s name and/or logo. Neither Party shall be obligated to allow the publication of any Marketing Materials that it deems defamatory, abusive, obscene, ot in violation of policy or which, for reasons of quality, style, and/ or substance, do not otherwise meet with the standards and approval of the Party which would be publishing said Marketing Materials ©. Non-Ownership. Each Party acknowledges that the provisions of this paragraph do not convey to it any right, title or ownership interest in any of the other Party’s licensed or owned intellectual property and that any goodwill or other benefit arising from such use by it shall inure solely to the benefit ofthe other Party. 4d. Cease & Desist, Each Party reserves the unilateral right to demand that the other Party remove any materials utilizing the other Party's licensed or owned intellectual or making reference to the other Party's products and/or services, as well as any other materials concerning these Events. If at any time, a Party notifies the other Party that it objects to the use of its licensed and owned intellectual property or making reference to its products and/or services, for any reason, than the arty being notified shall immediately remedy the use to the satisfaction of the notifying Party or terminate such use. ©. Ongoing Usage. Daybreaker will not, without the prior written approval of AAA NCNU on @ case-by-case basis, which AAA NCNU may withhold in its sole discretion, (a) make any media releases, public announcements or public disclosures relating to this Agreement, including entering into this Agreement or its existence, or the subject matter of hereof, and (b) make any use or proposed use of AAA NCNU’s or its affiliates’ names or trademarks, service marks or INITIALS: Eli Clark-Davis Jason Haight Agreement CONFIDENTIAL, Jogos, including promotional or marketing material (collectively, the “Publicity Materials"). In the event that AAA NCNU approves the use of Publicity Materials, Daybreaker will use best ‘efforts to ensure that such Publicity Materials remain current and accurate, and if at any time ‘AAANCNU notifies Daybreaker that AAA NCNU objects to the use of sch Publicity Materials for any reason, Daybreaker shall immediately remedy the use tothe satisfaction of AAA NCNU ‘or terminate such use. 3. Indemnification, Daybreaker agrees to defend, indemnify, and hold AAA NCNU and its officers, directors, employees, agents, owners, shareholders, contractors, attorneys, affiliates, legal representatives, subsidiaries,’ parent company, affiliate companies, successors and assigns (CAffliates”) harmless from and against any and all claims, counterclaims, demands, actions causes of action, suits, losses, damages, lions, setoffs, attachments, debts, judgments, liabilities, and/or expenses (including reasonable attorneys! and paralegals’ fees) of every kind whatsoever (“Claims”), arising out of, based upon, or alleged to have arisen as a result of Daybreaker’s bad-fsith and/or reckless conduct in connection with: (i) the Event and/or the Marketing Materials; (i) Daybreaker’s material breach of its representations, warranties and obligations under this Agreement; and/or the failure by Daybreaker to comply with all applicable laws and regulations in performance of its obligations under this Agreement. Furthermore, AAA NCNU agrees to defend, indemnify, and hold Daybreaker and its Affiliates harmless from and against any and all Claims arising out of, based upon, or alleged to have arisen as a result of AAA NCNU’s bad-faith and/or reckless conduct in connection with: ()) the Event and/or the Marketing Materials; (i) Daybreaker’s material breach of its representations, warranties and obligations under this Agreement; and/or (jl) the failure by AAA [NCNU to comply with all applicable laws and regulations in performance of its obligations under this Agreement. 4, Limitation of Liability. IN NO EVENT, EXCEPT FOR THE OBLIGATIONS SET FORTH IN TION 6 OR ANY PARTY'S FAILURE TO COMPLY WITH ALL APPLICABLE LAWS AND REGULATIONS IN THE PERFORMANCE OF ITS OBLIGATIONS UNDER THIS AGREEMENT, SHALL THE LIABILITY OF EITHER PARTY AND/OR ITS AFFILIATES, UNDER OR IN CONNECTION WITH THIS AGREEMENT, UNDER ANY THEORY OF LAW, EXCEED THE LESSER OF DIRECT, ACTUAL DAMAGES SUFFERED BY THE INJURED PARTY OR THE AMOUNT. NOTWITHSTANDING ANY OF THE FOREGOING, EITHER PARTY MAY PURSUE INJUNCTIVE ANDIOR OTHER EQUITABLE RELIEF AS NECESSARY TO PROTECT ITS CONFIDENTIAL INFORMATION, THE PRIVACY RIGHTS OF ANY PERSON OR ENTITY AND/OR THE INTELLECTUAL PROPERTY RIGHTS OF ANY PERSON OR ENTITY, INITIALS: Eli Clark-Davi Jason Haight AAANCNU + Daybreaker: Participation Agreement CONFIDENTIAL Confidential Information, ‘The information contained in this Agreement, as well as any information relating to or disclosed in the course of the relationship between the Parties, which is or should reasonably be understood to be confidential or proprietary, shall not be disclosed to any third-party by any Party without the prior consent of the other Party; such confidential information shall include, ‘without limitation: sales information; marketing information; operational information or plans, information concerning present or future business strategies, plans, partners, and/or opportunities; the terms of this Agreement; media plans and/or connections; and promotion plans (“Confidential Information”). Confidential Information shall be used exclusively to fulfill the services described herein, and Parties shall share Confidential Information only with those employees who have need to know, and who have signed a written non-disclosure agreement. Any documents and/or other ‘materials containing confidential information delivered by any Party to the other, and all reproductions, translations and presentations thereof, shall at all times be and remain property of the originating Party and shall be retumed to the originating Party upon demand at any time Notwithstanding the foregoing, the Parties shall be under no obligation to keep confidential any information which (i) such Party can demonstrate was already rightfully known to it atthe time of its receipt hereunder; (i) is or becomes generally available to the public other than by means of such Party's breach of its obligations under this agreement; or (if) is required to be disclosed by law, regulation, or legal or judicial process, provided that the disclosing Party shall give the other Party notice of the request for disclosure and reasonable opportunity to review the request and the disclosure, if any, before it is made, and to interpose its own objection to, or seek to limit, the disclosure at its own expense. The disclosing Party shall not be liable for any such disclosure made pursuant to the preceding sentence. This Section shall survive termination or expiration of this ‘Agreement. 6, Term & Termination. ‘The Term of this Agreement shall commence on the date indicated above (the ““bffective Date”) and shall expire on the fulfillment of all ofthe Parties’ obligations hereunder and as specified in Exhibit A. This paragraph and all other provisions that by their terms should survive the termination of this Agreement, shall so survive, including, without limitation, terms governing confidentiality, indemnification, and limitation of liability. A Party may terminate this Agreement (8) at any time with or without cause for its convenience, effective upon ten (10) days prior notice to the other Party, provided AAA NCNU will reimburse Daybreaker for all fees, costs, and expenses incurred up to.and including the date of termination, including without limitation compensating Daybteaker employees for their time in furtherance of the Event at a fair market hourly rate, as well as covering all cancellation fees, depositsdown payments, and all other monies expended in connection with the Event; (b) upon material breach of the other Party; and (c) if said breach remains uncured with thirty (30) days prior written notice of the breach. Any termination of this Agreement also immediately terminates any licenses granted hereunder. No termination of this Agreement will relieve either Party for any liability for any breach of, or liability accruing under, this Agreement prior to termination 7. Assignment. Daybreaker has the right to freely assign its obligations in connection with the Event to such third-party providers as vendors, talent, and logistics providers. With the exception of Daybreaker hiring vendors, talent, logistics providers, and other third-party providers to facilitate the Events, however, neither Party may assign or in any way transfer its rights or obligations under this Agreement to any other Party without the written consent of the other. Notwithstanding the foregoing, assignment to any successor in interest of all or substantially all of the business of either Party by merger, purchase or operation of law shall not require consent or approval of the other Party. 8. ‘Taxes. Bach Party shall be responsible for its own tax obligations arising out of and/or relating to this, Agreement, including without limitation in connection with the payment from AAA NCNU to Daybreaker specified in Section 2.A above. Neither Party assumes any responsibility whatsoever for collecting or remitting taxes and/or fees of any kind that may be due from the other Party. 9. Controlling Law & Arbitration. This Agreement and all matters and disputes arising in respect thereof shall be govemed by the law of the State of California without reference to its conflicts of laws doctrine and each Party hereto agrees that such Agreement, together with matters and disputes INITIALS: ___BliClark-Davis Jason Haight AAANCNU + Daybreaker: Participation Agreement CONFIDENTIAL arising hereunder or with respect hereto shall be adjudicated by a federal or state court within the County of San Francisco and in the State of California having jurisdiction over the matter in dispute and that each such Patty agrees to voluntarily appear in such forum and submit to its jurisdiction and agrees to not complain as to its convenience. At the election of either party any claims, disputes, and! ‘oF controversies arising out of and/or relating to this Agreement will be finally and exclusively resolved by binding arbitration, according to the rules of JAMS in San Francisco, CA.. Ifa court or other body of competent jurisdiction finds, or the Parties mutually believe, any provision of this Agreement, ot portion thereof, to be invalid or unenforceable, such provision ‘will be enforced to the maximum extent permissible, so as to effectuate the intent of the Parties, and the remainder of this Agreement will continue in full force and effect. 11, Non-Construction of Partnership. This Agreement is not intended to create any kind of legal partnership or joint venture whatsoever. AS far as this Agreement is concerned, neither Party shall act or attempt to act, or represent itself directly or by implication, as agent or employee ofthe other Paty, ‘Neither party shall in any manner bind or attempt to bind the other Party to any liability or obligation orto represent that it has any such authority. The debts, liabilities, and obligations of the Parties shall remain their entirely own, 12, Force Majeure, Neither Party shall be liable in damages or have the right to terminate this Agreement for any delay or default in performing hereunder if such delay or default is caused by conditions beyond its control including but not limited to acts of God (including weather-related issues), government restrictions (including the denial or cancellation of any visas, export and/or other necessary license), wars, terrorism, insurrections, technical difficulties and/or malfunctioning technology, and/or any other cause beyond the reasonable control of the Party whose performance is affected (including mechanical, electronic, or communications failure). SERVICES: a. SHAW and CLIENT hereby agree that SHAW shall furnish uniformed security officers and security services as ordered by CLIENT at the location(s) specified hereinafter. Service shall start at designated times, on designated dates, and shall be performed until the completion of the event at designated times, on designated dates, as listed in the Scope of Work. 2, PAYMENT: CLIENT agrees to provide payment via Credit Card for approved amounts for the security services, as listed on the Scope of Work, and as described herein. The payment is due upon receipt of invoice, 3. LOCATION: Locations will be listed in the Scope of Work. 4. INDEPENDENT CONTRACTOR/EMPLOYER: a, SHAW shall hire all security officer personnel and shall be responsible for the payment of all wages, appropriate expenses, employer's contribution to Social Security taxes, Medicare taxes, federal unemployment taxes, state unemployment taxes, state employment training taxes, state disability insurance and any other taxes imposed on, or required for payment by, an employer by any governmental entity. b. Alll security officers shall be under the direction and control of SHAW. SHAW shall hhave the right to assign such security officers as it sees fit in order to provide the necessary services. ©. SHAW shall provide its security officers with all necessary uniforms and equipment. ‘Non-standard uniforms or equipment required by CLIENT will be provided as agreed upon and at a cost as mutually agreed upon in writing, 4. Alll security officers shall be employees of SHAW ot subcontractors to SHAW and shall not be deemed to be employees or subcontractors of CLIENT. 5, PROPERTY: a. Any and all property, equipment and supplies furnished by SHAW to provide the services hereunder shall remain the property of SHAW and SHAW shall at all times, during and after the term of this Agreement, have the sole right to install, maintain and remove such property, equipment and supplies. b. Any and all CLIENT-owned equipment and supplies provided to SHAW to aid in providing the services hereunder will be given proper care by SHAW and returned to CLIENT on demand in original condition, normal wear and tear excepted. 6, INSURANCE AND INDEMNIFICATION: a, CLIENT and SHAW shall provide and maintain at its cost broad form commercial general liability insurance with a single limit of not less than one million dollars per occurrence. b. SHAW shall defend, indemnify and hold harmiess CLIENT, its agents and employees from or against any loss, damage, injury, liability, claim, lien or -cause of action, including attomey fees or costs, for injury to person or property, or death of a person, but only to the extent that such loss arises out of the performance of services under this ‘Agreement and was caused by the sole negligence or willful misconduct of SHAW, its employees or agents while acting within the course and scope of their duties and authority. In no event shall SHAW be liable for any claim caused in whole or in part by acts or omissions of CLIENT (including defect on the premises) or its respective employees of agents, or for consequential or incidental damages or loss of profits. c. Subject to the preceding paragraph 5(b), above, CLIENT shall defend, indemnify and hold harmless SHAW, its agents or employees from and against any loss, damage, injury, liability, claim, lien or cause of action for injury to person or property, ot death of a person, resulting from the negligence or willful misconduct of CLIENT in connection with the property and/or SHAW’S performance of its services hereunder, including any non-standard services (j.e., not specified herein or in any written post orders) performed by SHAW at the express request or direction of CLIENT. 4. In the event of a loss or damage to the property, facilities or equipment of venue or facilities or equipment of others on the property, due to fire or other casualty, CLIENT’S insurance shal be primary to any insurance provided by SHAW. ¢. SHAW’S and CLIENT’S indemnity obligations hereunder shall survive the expiration or termination of this Agreement, 7, NO WARRANTY: CLIENT recognizes that SHAW is not an insurer of property or persons and makes no warranty, express or implied, that the services provided will prevent loss, damage ot injury to CLIENT'S guests, employees or property or from the injury or death of any person ‘whomsoever or the consequences there from. 8, TERMINATION: This Agreement may be terminated at any time by either party by giving Thirty (30) day's notice in writing to the other party, hand-delivered or sent by registered or certified mail. However, in the event of a material breach of any term or provision of this Agreement by either party including, but not limited to, the timely payment by CLIENT of all invoiced charges, this Agreement may be terminated immediately without penalty 9. NO THIRD PARTY RIGHTS: Nothing in this Agreement is intended to confer any rights or remedies on anyone other than the parties to the Agreement and their respective successors, representatives and assigns. ‘The provisions of this Agreement shall not entitle any person not a signatory to this Agreement to any rights as a third party beneficiary, or otherwise, it being the specific intention of the parties hereto to preclude any and all-non-signatory parties from any such third party beneficiary rights, or any other rights whatsoever. 10. WAIVER: The failure of any party at any time or times to require performance of any provision hereof shall in no manner affect the right at a later time to enforce the same. No waiver by any party of any condition, or of the breach of any term, agreement, covenant, representation or warranty contained in this Agreement, whether by conduct or otherwise, in any one or more instances, shall be deemed to be or construed as # further or continuing waiver of any such condition or of the breach of any other term, agreement, covenant, representation or warranty of this Agreement, 11. It shall be governed by, interpreted, and construed and enforced in accordance with the domestic laws of the State of California without reference to principles of conflicts law. 15, INTERPRETATION OF AGREEMENT: ‘The language of this Agreement shall in all cases be interpreted as a whole, according to its fair meaning, and not strictly for or against any of the parties, regardless of which is the drafter of this Agreement. 16. BINDING NATURE OF PROVISIONS: All the terms, agreements, covenants, representations, warranties and conditions of this Agreement shall be binding upon, and inure to the benefit of and be enforceable by, the parties hereto and their respective successors and assigns, if any. 17.
