LEASE CONTRACT

KNOW ALL MEN BY THESE PRESENTS:

This AGREEMENT, made and entered by between

APOLLO AIR, INC. , with business address at KJC Hangar, KJC Compound,
Sasa, Davao City, represented herein by Shishir K. Bhandari, as operation
manager herein known as the LESSOR.

And

Hon. Zajid G. Mangudadatu, with office address at______, herein known as


the LESSEE.

WITNESSETH

1. Rental
a. A Hangar space for a Bell 206 Long Ranger with registration number RP-C
906 with a monthly lease of 45,000 PHP exclusive of VAT , to be paid by the
LESSEE every 10th of the month or on the next working day if it is a weekend
or a holiday.

2. Lease Period
This lease shall be for a period of twelve (12) months commencing June 10th,
2017 and expiring June 10th, 2018 with an option to renew upon mutual
agreement by both parties, written notice of intention to renew the lease shall
be served to the LESSOR not later than seven (7) days prior to the expiry
date of the herein agreed upon.

3. Rental deposit/Advance rental


That the LESSEE shall deposit to the LESSOR upon signing of this contract
and prior to move-in a rental deposit equivalent to two (2) months rent and
advanced rent shall be equivalent to one (1) month rent, or an aggregate to
one hundred sixty thousand PESOS (135,000PHP). The advanced rent shall
be applied against the first month of occupancy, while two months deposit
shall be applied against the last two months of occupancy hereof.

4. Condition
That, the LESSEE hereby expressly acknowledges that the leased premises
are in good and tenantable condition and agrees to keep the same in such
good and tenantable condition complying with all laws, ordinances and
regulations of the Municipal, city, or National Government as regards the use,
occupation and sanitation of the leased premises, and failure to comply shall
be at the risk and expense of the LESSEE.
5. Fortuitous events
The LESSEE hereby understands that the LESSOR for either damage of loss
of property does not insure the personal property of the LESSEE, and the
LESSOR assumes no liability for any such loss. The LESSEE is advised his
own insurance policy to cover any personal loss.

6. Force Majeure
If whole or any part of the leased premises shall be destroyed or damaged by
fire, flood, lighting, typhoon, earthquake, storm, riot or any other unforeseen
disabling cause of acts of God, as to render the leased premises during the
term substantially unfit for use and occupation of the LESSEE, then this lease
contract may be terminated without compensation by the LESSOR or by the
LESSEE by notice in writing to other.

7. Repairs
Any and all minor and ordinary repairs necessary to maintain the rented
premises in good clean, sanitary and habitable condition, including but not
limited to repairs on the water, electrical and sewerage installations, shall be
for the account of the LESSOR.

8. Access
The LESSOR or its authorized agent shall after giving due notice to the
LESSEE shall have the right to enter the premises in the presence of the
LESSEE or its representative at any reasonable hour to examine the same or
make repairs therein or for the operation and maintenance of the aircraft or to
exhibit the leased premises to prospective LESSEE, or for any other lawful
purposes which it may deem necessary.

9. Confidentiality
Each party acknowledges the confidential nature of the information and
business aspects of the matters to be disclosed to the other party in relation to
this Agreement. All information, data, reports, documents or the like received
from the other party in relation to this Agreement, including but not limited to
the contents and the existence of this Agreement and all its Appendices, shall
be treated by the parties as confidential information. Neither party shall
disclose any confidential information made known to it under this Agreement,
except upon the prior written consent of the other party. Any act, intentional or
otherwise, that results in the dissemination of confidential information shall
entitle the aggrieved party to the immediate termination of this Agreement.

10. Termination
Either the LESSEE or LESSOR may choose to terminate this contract by
giving 60 days written notice of its desire to Pre-terminate the contract. The
LESSOR shall refund the Post-dated checks issued for the unexpired period
of the contract, within three months after the date of cancellation of the lease.

11. Attorneys fees


Should any one of the parties herein be compelled to seek judicial relief
against the other, the losing party shall pay an amount of One Hundred
(100)% of the amount clamed in the complaint as attorneys fees which shall
in no case be less than 50,000.00 PHP in addition to other cost and damages
which the said party may be entitled to under the law.

12. Courts
In case of litigation, the parties agree that the Courts of Davao City shall be
the proper venue.

13. Rules and regulation


The LESSEE agrees to abide by the rules and regulations promulgated by the
Davao International Airport Authority (DIAA)

14. Sales, Transfer, Mortgage


In the event of sale, transfer mortgage or any other encumbrances of the
Rented Premises, the LESSOR warrant that the purchaser mortgage or
encumbrance holders shall respect all the terms and conditions of this Lease.

This CONTRACT OF LEASE shall be valid and binding between the parties,
their successors-in-interest and assigns.

Contract of Lease over that KJC Hangar located at KJC Compound, Sasa,
