LETTER OF DEMAND FOR BREACH OF CONTRACT

Dear Mr. Casillo,

Reference is made to a certain agreement (see JOINT VENTURE AGREEMENT) between

you and Mr. Clement Yu, our client, dated August 1, 2015.

The agreement provides that:

1. That JOE will operate the kitchen and manage the restaurant

2. That both parties will exert all efforts to ensure the success of the restaurant project

Please take notice that you are in breach of your obligations under said contract in the following

particulars:

1. Your refusal to work on the opening day resulted in loss of income;

2. Your refusal to work on any other day after the opening day resulted in mismanagement

of the restaurant, including low morale and no training of the staff that you yourself

have hired; and

3. You have not exerted all efforts to ensure the success of the restaurant project.

Your refusal to do anything at the restaurant is unprofessional of your chosen profession.

You are advised that we shall hold you responsible for all actual and consequential damages arising

from your breach. Should you not make restitutions as demanded within thirty days of receipt of this

letter, we, without prejudice to any of our client's rights, will institute action against you.
