In Brief: The Construction Contract Procedures
Part B (VOB/B) in German and English language

The relevant provisions of the German Civil Code (BGB) dating back to the nineties
of the nineteenth century no longer live up to todays reality in the world of
construction, especially regarding complex and long-winded projects. Hence, in
cooperation with the construction industry the German Committee for construction
contract procedures (DVA) has prepared part B of the construction contract
procedures (VOB), the general conditions of contract relating to the execution of
construction work.

Over the years, VOB/B has been amended several times, last in 2006. VOB/B is not an act nor an
ordinance but rather a standard becoming part of a construction contract by simple reference
without the necessity to repeat its text. The standard is privileged by German civil law in several
ways: As long as VOB/B is agreed upon as a whole it is not subject the statutory restrictions of the
German Civil Code on general terms and standard conditions, even if the principal/ owner is a
consumer. As private construction projects with substan-tial volume in Germany are concluded
based on VOB/B almost without exception, this standard is of relevance and concern to
international investors.

Therefore, Hogan & Hartson Raue LLP makes available the following synopsis of VOB/B in

Art und Umfang der Leistung
Die auszufhrende Leistung wird nach Art und Umfang
durch den Vertrag bestimmt. Als Bestandteil des
Vertrags gelten auch die Allgemeinen Technischen
Vertragsbedingungen fr Bauleistungen (VOB/C).
Bei Widersprchen im Vertrag gelten nacheinander:
a) die Leistungsbeschreibung,
b) die Besonderen Vertragsbedingungen,
c) etwaige Zustzliche Vertragsbedingungen,
d) etwaige Zustzliche Technische
Vertragsbedingungen,
e) die Allgemeinen Technischen
Vertragsbedingungen fr Bauleistungen,
f) die Allgemeinen Vertragsbedingungen fr die
Ausfhrung von Bauleistungen.
nderungen des Bauentwurfs anzuordnen, bleibt dem
Auftraggeber vorbehalten.
Nicht vereinbarte Leistungen, die zur Ausfhrung der
vertraglichen Leistung erforderlich werden, hat der
Auftragnehmer auf Verlangen des Auftraggebers mit
auszufhren, auer wenn sein Betrieb auf derartige
Leistungen nicht eingerichtet ist. Andere Leistungen
knnen dem Auftragnehmer nur mit seiner
Zustimmung bertragen werden.
Nature and Scope of Performance
The Nature and scope of performance to be rendered
shall be defined by contract. The General Technical
Terms and Conditions of Construction Contracts
(VOB/C) shall also apply as an integral component of
the contract.
In the event of contradictions in the contract, the
following shall apply in the order below:
a) the performance specifications,
b) the Special Terms and Conditions of Contract,
c) any Additional Terms and Conditions of Contract,
d) any Additional Technical Terms and Conditions of
Contract,
e) the General Technical Terms and Conditions of
Construction Contracts,
f) these General Terms and Conditions of Public
Works Contracts.
The principal shall reserve the right to order changes in
the construction plan.
The contractor must execute any work that has not
been agreed upon but becomes necessary for the
execution of the contractual performance at the
principal's request, except if the contractor's operations
are not suited to executing such work. Other work may
only be assigned to the contractor with its consent.

Vergtung
Durch die vereinbarten Preise werden alle Leistungen
abgegolten, die nach der Leistungsbeschreibung, den
Besonderen Vertragsbedingungen, den Zustzlichen
Vertragsbedingungen, den Zustzlichen Technischen
Vertragsbedingungen, den Allgemeinen Technischen
Vertragsbedingungen fr Bauleistungen und der
gewerblichen Verkehrssitte zur vertraglichen Leistung
gehren.
Die Vergtung wird nach den vertraglichen
Einheitspreisen und den tatschlich ausgefhrten
Leistungen berechnet, wenn keine andere
Berechnungsart (z. B. durch Pauschalsumme, nach
Stundenlohnstzen, nach Selbstkosten) vereinbart ist.
(1) Weicht die ausgefhrte Menge der unter einem
Einheitspreis erfassten Leistung oder Teilleistung um
nicht mehr als 10 v. H. von dem im Vertrag
vorgesehenen Umfang ab, so gilt der vertragliche
Einheitspreis.
(2) Fr die ber 10 v. H. hinausgehende
berschreitung des Mengenansatzes ist auf Verlangen
ein neuer Preis unter Bercksichtigung der Mehr- oder
Minderkosten zu vereinbaren.
(3) Bei einer ber 10 v. H. hinausgehenden
Unterschreitung des Mengenansatzes ist auf
Verlangen der Einheitspreis fr die tatschlich
ausgefhrte Menge der Leistung oder Teilleistung zu
erhhen, soweit der Auftragnehmer nicht durch
Erhhung der Mengen bei anderen Ordnungszahlen
(Positionen) oder in anderer Weise einen Ausgleich
erhlt. Die Erhhung des Einheitspreises soll im
Wesentlichen dem Mehrbetrag entsprechen, der sich
durch Verteilung der Baustelleneinrichtungs- und
Baustellengemeinkosten und der Allgemeinen
Geschftskosten auf die verringerte Menge ergibt. Die
Umsatzsteuer wird entsprechend dem neuen Preis
vergtet.
(4) Sind von der unter einem Einheitspreis erfassten
Leistung oder Teilleistung andere Leistungen
abhngig, fr die eine Pauschalsumme vereinbart ist,
so kann mit der nderung des Einheitspreises auch

All work pertaining to the contractual performance in
accordance with the performance specifications, the
Special Terms and Conditions of Contract, the
Additional Terms and Conditions of Contract, the
Additional Technical Terms and Conditions of Contract,
the General Technical Terms and Conditions of Public
Works Contracts and industry practices shall be
satisfied by way of the stipulated price.
The compensation shall be calculated in accordance
with the contractual unit prices and the work actually
executed, unless a different type of calculation is
agreed upon (e.g. lump sum, hourly rates, cost prices).
(1) The contractual unit price shall apply provided the
volume of executed performance or partial performance
encompassed by a unit price does not vary from the
scope foreseen in the contract by more than 10%.
(2) In the event the stipulated volume is exceeded by
more than 10%, a new price must be agreed upon on
request with due regard to the additional or reduced
costs.
(3) In the event of a deficit in the stipulated volume of
more than 10%, the unit price for the actually executed
volume of performance or partial performance is to be
increased on request, unless the contractor is
recompensed by increasing the volumes of other items
or in another fashion. The increase in the unit price
shall essentially correspond to the additional amount
arising through the distribution of the costs associated
with the construction site setup and overhead and the
general business costs in relation to the decreased
volume. Value-added tax shall be payable in
accordance with the new price.
(4) If other work for which a lump sum has been
stipulated is dependent on the performance or partial
performance encompassed by a unit price, a
reasonable change in the lump sum may also be
requested upon the change in the unit price.

Werden im Vertrag ausbedungene Leistungen des
Auftragnehmers vom Auftraggeber selbst
bernommen (z. B. Lieferung von Bau-, Bauhilfs- und
Betriebsstoffen), so gilt, wenn nichts anderes
vereinbart wird, 8 Nr. 1 Abs. 2 entsprechend.
Werden durch nderung des Bauentwurfs oder andere
Anordnungen des Auftraggebers die Grundlagen des
Preises fr eine im Vertrag vorgesehene Leistung
gendert, so ist ein neuer Preis unter Bercksichtigung
der Mehr- oder Minderkosten zu vereinbaren. Die
Vereinbarung soll vor der Ausfhrung getroffen
werden.
(1) Wird eine im Vertrag nicht vorgesehene Leistung
gefordert, so hat der Auftragnehmer Anspruch auf
besondere Vergtung. Er muss jedoch den Anspruch
dem Auftraggeber ankndigen, bevor er mit der
Ausfhrung der Leistung beginnt.
(2) Die Vergtung bestimmt sich nach den
Grundlagen der Preisermittlung fr die vertragliche
Leistung und den besonderen Kosten der geforderten
Leistung. Sie ist mglichst vor Beginn der Ausfhrung
zu vereinbaren.
(1) Ist als Vergtung der Leistung eine
Pauschalsumme vereinbart, so bleibt die Vergtung
unverndert. Weicht jedoch die ausgefhrte Leistung
von der vertraglich vorgesehenen Leistung so
erheblich ab, dass ein Festhalten an der
Pauschalsumme nicht zumutbar ist ( 313 BGB), so ist
auf Verlangen ein Ausgleich unter Bercksichtigung
der Mehr- oder Minderkosten zu gewhren. Fr die
Bemessung des Ausgleichs ist von den Grundlagen
der Preisermittlung auszugehen.
(2) Die Regelungen der Nr. 4, 5 und 6 gelten auch bei
Vereinbarung einer Pauschalsumme.
(3) Wenn nichts anderes vereinbart ist, gelten die
Abstze 1 und 2 auch fr Pauschalsummen, die fr
Teile der Leistung vereinbart sind; Nummer 3 Abs. 4
bleibt unberhrt.
If work to be performed by the contractor under the
contract is assumed by the principal itself (e.g. delivery
of building materials, raw materials or supplies), 8 No.
1, Paragraph (2) shall apply accordingly, unless
stipulated otherwise.
If the basis of the performance price foreseen in the
contract changes due to a modification of the
construction plan or other orders given by the principal,
a new price must be agreed upon with due regard to the
additional or reduced costs. The agreement shall be
reached prior to the execution of the work.
(1) If work not foreseen in the contract is requested,
the contractor shall have a claim to separate
compensation. However, the contractor must notify the
claim to the principal before the contractor begins to
execute the work.
(2) The compensation shall be determined in
accordance with the princiles used to calculate the price
of the contractual performance and the separate costs
of the requested work. Preferably, the compensation is
to be agreed upon before commencement of the work.
(1) If a lump sum is stipulated as compensation for the
performance, the compensation shall remain
unchanged. However, if the performance executed
varies from the contractually foreseen performance so
substantially that it is no longer reasonable to adhere to
the lump sum ( 313 of the Civil Code), recompensation
must be granted upon request with due regard to the
additional or reduced costs. The price calculation
principles are to be assumed as the basis for the
recompensation.
(2) The provisions of Nos. 4, 5 and 6 shall also apply
to the agreement of lump sums.
(3) Unless stipulated otherwise, Paragraphs (1) and
(2) shall also apply to lump sums stipulated for parts of
the performance; No. 3, Paragraph (4) shall not be
prejudiced hereby.

(1) Leistungen, die der Auftragnehmer ohne Auftrag
oder unter eigenmchtiger Abweichung vom Auftrag
ausfhrt, werden nicht vergtet. Der Auftragnehmer
hat sie auf Verlangen innerhalb einer angemessenen
Frist zu beseitigen; sonst kann es auf seine Kosten
geschehen. Er haftet auerdem fr andere Schden,
die dem Auftraggeber hieraus entstehen.
(2) Eine Vergtung steht dem Auftragnehmer jedoch
zu, wenn der Auftraggeber solche Leistungen
nachtrglich anerkennt. Eine Vergtung steht ihm auch
zu, wenn die Leistungen fr die Erfllung des Vertrags
notwendig waren, dem mutmalichen Willen des
Auftraggebers entsprachen und ihm unverzglich
angezeigt wurden. Soweit dem Auftragnehmer eine
Vergtung zusteht, gelten die Berechnungsgrundlagen
fr genderte oder zustzliche Leistungen der
Nummer 5 oder 6 entsprechend.
(3) Die Vorschriften des BGB ber die
Geschftsfhrung ohne Auftrag ( 677 ff. BGB)
bleiben unberhrt.
(1) Verlangt der Auftraggeber Zeichnungen,
Berechnungen oder andere Unterlagen, die der
Auftragnehmer nach dem Vertrag, besonders den
Technischen Vertragsbedingungen oder der
gewerblichen Verkehrssitte, nicht zu beschaffen hat,
so hat er sie zu vergten.
(2) Lsst er vom Auftragnehmer nicht aufgestellte
technische Berechnungen durch den Auftragnehmer
nachprfen, so hat er die Kosten zu tragen.
Stundenlohnarbeiten werden nur vergtet, wenn sie
als solche vor ihrem Beginn ausdrcklich vereinbart
worden sind ( 15).
(1) Any work executed by the contractor without
authority or due to an arbitrary deviation from the
contract shall not be compensated. The contractor must
remove such performances upon request within a
reasonable period; otherwise, the performances may be
removed at the contractor's cost. The contractor shall
moreover be liable for other damage incurred by the
principal as a result.
(2) However, the contractor shall be entitled to
compensation if the principal subsequently recognizes
such work. The contractor shall also be entitled to
compensation if the work was necessary to fulfill the
contract, corresponded to the presumed will of the
principal and was notified to the principal without delay.
If the contractor is entitled to compensation, the basis
for calculating modified or additional performances in
No. 5 or 6 shall apply correspondingly.
(3) The provisions of the Civil Code concerning
negotiorum gestio ( 677 ff. of the Civil Code) shall not
be prejudiced hereby.
(1) If the principal requests drawings, calculations or
other documents which the contractor need not procure
in accordance with the contract, the Technical Terms
and Conditions of Contract, or industry practices, the
principal must pay compensation for such drawings,
etc.
(2) The principal must bear the costs if it has the
contractor review technical calculations not made by the
contractor.
Work performed at hourly wages shall only be
compensated if it has been expressly agreed upon as
being subject to hourly wages before commencement of
the work ( 15).

Ausfhrungsunterlagen
Die fr die Ausfhrung ntigen Unterlagen sind dem
Auftragnehmer unentgeltlich und rechtzeitig zu
bergeben.
Das Abstecken der Hauptachsen der baulichen
Anlagen, ebenso der Grenzen des Gelndes, das dem
Auftragnehmer zur Verfgung gestellt wird, und das
Schaffen der notwendigen Hhenfestpunkte in
unmittelbarer Nhe der baulichen Anlagen sind Sache
des Auftraggebers.
Die vom Auftraggeber zur Verfgung gestellten
Gelndeaufnahmen und Absteckungen und die
brigen fr die Ausfhrung bergebenen Unterlagen the due performance of the contract, the contractor
sind fr den Auftragnehmer magebend. Jedoch hat er
sie, soweit es zur ordnungsgemen Vertragserfllung
gehrt, auf etwaige Unstimmigkeiten zu berprfen
und den Auftraggeber auf entdeckte oder vermutete
Mngel hinzuweisen.
Vor Beginn der Arbeiten ist, soweit notwendig, der
Zustand der Straen und Gelndeoberflche, der
Vorfluter und Vorflutleitungen, ferner der baulichen
Anlagen im Baubereich in einer Niederschrift
festzuhalten, die vom Auftraggeber und Auftragnehmer
anzuerkennen ist.
Zeichnungen, Berechnungen, Nachprfungen von
Berechnungen oder andere Unterlagen, die der
Auftragnehmer nach dem Vertrag, besonders den
Technischen Vertragsbedingungen, oder der
gewerblichen Verkehrssitte oder auf besonderes
Verlangen des Auftraggebers ( 2 Nr. 9) zu beschaffen
hat, sind dem Auftraggeber nach Aufforderung
rechtzeitig vorzulegen.
Execution Documents
The documents necessary to execute the work are to
be delivered to the contractor free of charge in due
time.
The principal shall be responsible for marking off the
main axes of the structural facilities and the boundaries
of the grounds provided to the contractor and for
creating the necessary height benchmarks in the direct
vicinity of the structural facilities.
The photographs of the grounds and the survey
markers provided by the principal and the other
documents delivered to execute the work shall be
decisive for the contractor. However, as necessary for
must check the documents for any irregularities and
notify the principal of any detected or presumed
defects.
Before starting the work, the conditions of the streets,
ground surfaces, run-off ditches and lines, and the
structural facilities in the area of the construction must,
where necessary, be set down in a record, which must
be acknowledged by the principal and contractor.
Drawings, calculations, subsequent checks of
calculations or other documents, which the contractor
must procure in accordance with the contract, the
Technical Terms and Conditions of Contract or industry
practices or at the special request of the principal ( 2
No. 9) are to be presented to the principal in due time
upon request.

(1) Die in Nummer 5 genannten Unterlagen drfen
ohne Genehmigung ihres Urhebers nicht verffentlicht,
vervielfltigt, gendert oder fr einen anderen als den
vereinbarten Zweck benutzt werden.
(2) An DV-Programmen hat der Auftraggeber das
Recht zur Nutzung mit den vereinbarten
Leistungsmerkmalen in unvernderter Form auf den
festgelegten Gerten. Der Auftraggeber darf zum
Zwecke der Datensicherung zwei Kopien herstellen.
Diese mssen alle Identifikationsmerkmale enthalten.
Der Verbleib der Kopien ist auf Verlangen
nachzuweisen.
(3) Der Auftragnehmer bleibt unbeschadet des
Nutzungsrechts des Auftraggebers zur Nutzung der
Unterlagen und der DV-Programme berechtigt.

Ausfhrung
(1) Der Auftraggeber hat fr die Aufrechterhaltung der
allgemeinen Ordnung auf der Baustelle zu sorgen und
das Zusammenwirken der verschiedenen
Unternehmer zu regeln. Er hat die erforderlichen
ffentlich-rechtlichen Genehmigungen und Erlaubnisse
- z. B. nach dem Baurecht, dem Straenverkehrsrecht,
dem Wasserrecht, dem Gewerberecht -
herbeizufhren.
(2) Der Auftraggeber hat das Recht, die
vertragsgeme Ausfhrung der Leistung zu
berwachen. Hierzu hat er Zutritt zu den
Arbeitspltzen, Werksttten und Lagerrumen, wo die
vertragliche Leistung oder Teile von ihr hergestellt
oder die hierfr bestimmten Stoffe und Bauteile
gelagert werden. Auf Verlangen sind ihm die
Werkzeichnungen oder andere Ausfhrungsunterlagen
sowie die Ergebnisse von Gteprfungen zur Einsicht
vorzulegen und die erforderlichen Ausknfte zu
erteilen, wenn hierdurch keine Geschftsgeheimnisse
preisgegeben werden. Als Geschftsgeheimnis
bezeichnete Ausknfte und Unterlagen hat er
vertraulich zu behandeln.
(1) The documents mentioned in No. 5 may not be
published, reproduced, modified or used for purposes
other than the stipulated purpose without the consent of
their author.
(2) The principal shall have the right to use data-
processing programs with the agreed performance
features in unaltered form on the equipment
determined. The principal may create two copies for
purposes of data security. The copies must contain all
identifying features. The whereabouts of the copies
must be documented upon request.
(3) The contractor shall remain entitled to use
documents and data-processing programs irrespective
of the principal's right of use.
Execution
(1) The principal must assure the general order on the
construction site and the interaction of the various
contractors. The principal must obtain the necessary
public-law permits and approvals (e.g. in accordance
with building law, roadway law, water management law
and trade law).
(2) The principal shall have the right to monitor the
execution of the work for its compliance with the
contract. For this purpose, the principal shall have
access to the workstations, workshops and storage
rooms where the contractual performance or parts
thereof are produced or where the materials and
components intended for the performance are stored.
Upon request, the principal must be allowed to inspect
works drawings, other execution documents and the
results of quality tests, and furnished the necessary
information, provided no business secrets are thereby
disclosed. The principal must treat confidentially any
information and documents designated as containing
business secrets.

(3) Der Auftraggeber ist befugt, unter Wahrung der
dem Auftragnehmer zustehenden Leitung (Nummer 2)
Anordnungen zu treffen, die zur vertragsgemen
Ausfhrung der Leistung notwendig sind. Die
Anordnungen sind grundstzlich nur dem
Auftragnehmer oder seinem fr die Leitung der
Ausfhrung bestellten Vertreter zu erteilen, auer
wenn Gefahr im Verzug ist. Dem Auftraggeber ist
mitzuteilen, wer jeweils als Vertreter des
Auftragnehmers fr die Leitung der Ausfhrung bestellt
ist.
(4) Hlt der Auftragnehmer die Anordnungen des
Auftraggebers fr unberechtigt oder unzweckmig, so
hat er seine Bedenken geltend zu machen, die
Anordnungen jedoch auf Verlangen auszufhren,
wenn nicht gesetzliche oder behrdliche
Bestimmungen entgegenstehen. Wenn dadurch eine
ungerechtfertigte Erschwerung verursacht wird, hat der
Auftraggeber die Mehrkosten zu tragen.
(3) Subject to the right of direction to which the
contractor is entitled (No. 2), the principal shall be
empowered to issue the orders necessary for the work
to be executed pursuant to the contract. The orders are
in principle only to be issued to the contractor or the
representatives appointed by the contractor to direct the
execution of the work, except in the event of imminent
danger. The principal must be informed of the person
appointed as the contractor's representative in order to
direct the execution of the work.
(4) If the contractor holds the orders of the principal to
be unjustified or inexpedient, the contractor must state
its concerns, though carry out the orders upon request,
unless opposed to provisions of law or administrative
provisions. If unjustified hardship is caused as a result,
the principal must bear the additional costs.

(1) Der Auftragnehmer hat die Leistung unter eigener
Verantwortung nach dem Vertrag auszufhren. Dabei
hat er die anerkannten Regeln der Technik und die
gesetzlichen und behrdlichen Bestimmungen zu
beachten. Es ist seine Sache, die Ausfhrung seiner
vertraglichen Leistung zu leiten und fr Ordnung auf
seiner Arbeitsstelle zu sorgen.
(1) The contractor must direct the work under its own
responsibility in accordance with the contract. In this
regard, the contractor must observe generally accepted
engineering principles, the provisions of law and
administrative provisions. The contractor shall be
responsible for directing the execution of its contractual
performance and for assuring order at its place of work.

(2) Er ist fr die Erfllung der gesetzlichen,
behrdlichen und berufsgenossenschaftlichen
Verpflichtungen gegenber seinen Arbeitnehmern
allein verantwortlich. Es ist ausschlielich seine
Aufgabe, die Vereinbarungen und Manahmen zu
treffen, die sein Verhltnis zu den Arbeitnehmern
regeln.
(2) The contractor alone shall be responsible for the
fulfillment of all obligations prescribed by law,
authorities or trade associations towards its employees.
The contractor alone shall have the task of reaching
any agreements and taking any measures to regulate
its relationship with employees.

Hat der Auftragnehmer Bedenken gegen die
vorgesehene Art der Ausfhrung (auch wegen der
Sicherung gegen Unfallgefahren), gegen die Gte der
vom Auftraggeber gelieferten Stoffe oder Bauteile oder
gegen die Leistungen anderer Unternehmer, so hat er
sie dem Auftraggeber unverzglich - mglichst schon
vor Beginn der Arbeiten - schriftlich mitzuteilen; der
Auftraggeber bleibt jedoch fr seine Angaben,
Anordnungen oder Lieferungen verantwortlich.
If the contractor has any concerns about the foreseen
method of execution (also with respect to safety and
risks of accidents), about the quality of the materials or
components supplied by the principal or about the
performances of other contractors, the contractor must
notify the concerns to the principal in writing without
delay, if feasible before commencement of the work;
however, the principal shall remain responsible for its
statements, orders and deliveries.

Der Auftraggeber hat, wenn nichts anderes vereinbart
ist, dem Auftragnehmer unentgeltlich zur Benutzung
oder Mitbenutzung zu berlassen:
a) die notwendigen Lager- und Arbeitspltze auf der
Baustelle,
b) vorhandene Zufahrtswege und Anschlussgleise,
c) vorhandene Anschlsse fr Wasser und Energie.
Die Kosten fr den Verbrauch und den Messer oder
Zhler trgt der Auftragnehmer, mehrere
Auftragnehmer tragen sie anteilig.
Der Auftragnehmer hat die von ihm ausgefhrten
Leistungen und die ihm fr die Ausfhrung
bergebenen Gegenstnde bis zur Abnahme vor
Beschdigung und Diebstahl zu schtzen. Auf
Verlangen des Auftraggebers hat er sie vor
Winterschden und Grundwasser zu schtzen, ferner
Schnee und Eis zu beseitigen. Obliegt ihm die
Verpflichtung nach Satz 2 nicht schon nach dem
Vertrag, so regelt sich die Vergtung nach 2 Nr. 6 .
Stoffe oder Bauteile, die dem Vertrag oder den Proben
nicht entsprechen, sind auf Anordnung des
Auftraggebers innerhalb einer von ihm bestimmten
Frist von der Baustelle zu entfernen. Geschieht es
nicht, so knnen sie auf Kosten des Auftragnehmers
entfernt oder fr seine Rechnung veruert werden.
Leistungen, die schon whrend der Ausfhrung als
mangelhaft oder vertragswidrig erkannt werden, hat
der Auftragnehmer auf eigene Kosten durch
mangelfreie zu ersetzen. Hat der Auftragnehmer den
Mangel oder die Vertragswidrigkeit zu vertreten, so hat
er auch den daraus entstehenden Schaden zu
ersetzen. Kommt der Auftragnehmer der Pflicht zur
Beseitigung des Mangels nicht nach, so kann ihm der
Auftraggeber eine angemessene Frist zur Beseitigung
des Mangels setzen und erklren, dass er ihm nach
fruchtlosem Ablauf der Frist den Auftrag entziehe ( 8
Nr. 3).
Unless stipulated otherwise, the principal must provide
the following to the contractor free of charge for use or
co-use:
a) the necessary storage and work places at the
construction site;
b) existing driveways and connecting tracks;
c) existing water and energy lines. The costs for the
consumption and the metering or meters shall be borne
by the contractor; several contractors shall bear the
costs on a prorated basis.
The contractor must protect the performances carried
out by it and the objects provided for execution of the
work until acceptance from damage and theft. At the
principal's request, the contractor must safeguard them
from damage caused by winter weather and ground
water, and furthermore remove snow and ice. If the
obligation in accordance with Sentence 2 is not
incumbent upon him in accordance with the contract,
compensation shall be stipulated in accordance with 2
No. 6.
Materials or components not corresponding to the
contract or the samples provided are to be removed
from the construction site at the orders of the principal
within a period determined thereby. If this does not
transpire, they may be removed at the cost of the
contractor or sold for its account.
Performances acknowledged during the execution of
the work to be defective or in breach of contract must
be replaced by the contractor at its cost with defect-free
performances. If the contractor is responsible for the
defect or the breach of contract, the contractor must
also compensate the resulting damage. If the contractor
fails to fulfill its duty to remedy the defect, the principal
may establish a reasonable period for it to remedy the
defect, declaring that it will withdraw the assignment if
the period expires unproductively ( 8 No. 3).

(1) Der Auftragnehmer hat die Leistung im eigenen
Betrieb auszufhren. Mit schriftlicher Zustimmung des
Auftraggebers darf er sie an Nachunternehmer
bertragen. Die Zustimmung ist nicht notwendig bei
Leistungen, auf die der Betrieb des Auftragnehmers
nicht eingerichtet ist. Erbringt der Auftragnehmer ohne
schriftliche Zustimmung des Auftraggebers Leistungen
nicht im eigenen Betrieb, obwohl sein Betrieb darauf
eingerichtet ist, kann der Auftraggeber ihm eine
angemessene Frist zur Aufnahme der Leistung im
eigenen Betrieb setzen und erklren, dass er ihm nach
fruchtlosem Ablauf der Frist den Auftrag entziehe ( 8
Nr. 3).
(2) Der Auftragnehmer hat bei der Weitervergabe von
Bauleistungen an Nachunternehmer die Vergabe- und
Vertragsordnung fr Bauleistungen, Teile B und C,
zugrunde zu legen.
(3) Der Auftragnehmer hat die Nachunternehmer dem
Auftraggeber auf Verlangen bekannt zu geben.
Werden bei Ausfhrung der Leistung auf einem
Grundstck Gegenstnde von Altertums-, Kunst- oder
wissenschaftlichem Wert entdeckt, so hat der
Auftragnehmer vor jedem weiteren Aufdecken oder
ndern dem Auftraggeber den Fund anzuzeigen und
ihm die Gegenstnde nach nherer Weisung
abzuliefern. Die Vergtung etwaiger Mehrkosten regelt
sich nach 2 Nr. 6 . Die Rechte des Entdeckers (
984 BGB) hat der Auftraggeber.
Der Zustand von Teilen der Leistung ist auf Verlangen
gemeinsam von Auftraggeber und Auftragnehmer
festzustellen, wenn diese Teile der Leistung durch die
weitere Ausfhrung der Prfung und Feststellung
entzogen werden. Das Ergebnis ist schriftlich
niederzulegen.
(1) The contractor must execute the work in its own
operations. With the principal's written consent, the
contractor may transfer the work to a subcontractor. No
consent shall be necessary regarding work for which
the contractor's operations are not suited. If the
contractor does not perform work in its own operations
and does not obtain the principal's written consent,
even though its operations are suitable for performing
the work, the principal may establish a reasonable
period for the contractor to initiate the performance in its
own operations, declaring that it will withdraw the
assignment if the period expires unproductively ( 8 No.
3).
(2) If construction work is transferred to
subcontractors, the contractor must apply Parts B and
C of the Award and Contracting Rules for Construction
Contracts.
(3) The contractor must notify the principal of the
subcontractors upon request.
If objects of historical, artistic or scientific value are
discovered on the site as the work is being executed,
the contractor must notify the find to the principal before
uncovering them any further or changing them and
provide the principal the objects in accordance with
detailed instructions. The compensation of any
additional costs shall be determined in accordance with
2 No. 6. The principal shall have the rights of the
discoverer ( 984 of the Civil Code).
The conditions of parts of the work must be determined
jointly by the principal and contractor upon request, if
such parts are otherwise kept from inspection due to
the further execution of work. The results must be set
down in writing.

Ausfhrungsfristen
Die Ausfhrung ist nach den verbindlichen Fristen
(Vertragsfristen) zu beginnen, angemessen zu frdern
und zu vollenden. In einem Bauzeitenplan enthaltene
Einzelfristen gelten nur dann als Vertragsfristen, wenn
dies im Vertrag ausdrcklich vereinbart ist.
Ist fr den Beginn der Ausfhrung keine Frist
vereinbart, so hat der Auftraggeber dem
Auftragnehmer auf Verlangen Auskunft ber den
voraussichtlichen Beginn zu erteilen. Der
Auftragnehmer hat innerhalb von 12 Werktagen nach
Aufforderung zu beginnen. Der Beginn der Ausfhrung
ist dem Auftraggeber anzuzeigen.
Wenn Arbeitskrfte, Gerte, Gerste, Stoffe oder
Bauteile so unzureichend sind, dass die
Ausfhrungsfristen offenbar nicht eingehalten werden
knnen, muss der Auftragnehmer auf Verlangen
unverzglich Abhilfe schaffen.
Verzgert der Auftragnehmer den Beginn der
Ausfhrung, gert er mit der Vollendung in Verzug,
oder kommt er der in Nummer 3 erwhnten
Verpflichtung nicht nach, so kann der Auftraggeber bei
Aufrechterhaltung des Vertrages Schadensersatz nach
6 Nr. 6 verlangen oder dem Auftragnehmer eine
angemessene Frist zur Vertragserfllung setzen und
erklren, dass er ihm nach fruchtlosem Ablauf der Frist
den Auftrag entziehe ( 8 Nr. 3).

Behinderung und Unterbrechung der Ausfhrung
Glaubt sich der Auftragnehmer in der
ordnungsgemen Ausfhrung der Leistung behindert,
so hat er es dem Auftraggeber unverzglich schriftlich
anzuzeigen. Unterlsst er die Anzeige, so hat er nur
dann Anspruch auf Bercksichtigung der hindernden
Umstnde, wenn dem Auftraggeber offenkundig die
Tatsache und deren hindernde Wirkung bekannt
waren.
Execution Periods
The execution of work is to be commenced, adequately
advanced and completed in accordance with the
binding deadlines (Contractual deadlines). Any specific
deadlines contained in a construction schedule shall
only apply as contractual deadlines if expressly agreed
in the contract.
If no period has been stipulated for the commencement
of the work, the principal must furnish the contractor
upon request information concerning the foreseeable
commencement. The contractor must commence within
12 working days after a request. The commencement of
the work must be notified to the principal.
If labor, equipment, scaffolding, materials or
components are so insufficient that execution deadlines
will obviously cannot be met, the contractor must
procure assistance upon request without delay.
If the contractor delays the commencement of the work,
is in default with the completion, or fails to meet the
obligation mentioned in No. 3, the principal may
demand, while maintaining the contract, damage
compensation in accordance with 6 No. 6 or set a
reasonable deadline for the contractor to perform the
contract, declaring that it will withdraw the assignment if
the deadline expires unproductively ( 8 No. 3).
Hindrance and Interruption of Execution
If the contractor feels that it is hindered in the proper
execution of the work, the contractor must notify the
principal thereof in writing without delay. If the
contractor fails to provide notice, the contractor shall
only have a claim to consideration of the obstacles if the
principal was obviously aware of the facts and the
hindering effect.

(2) Witterungseinflsse whrend der Ausfhrungszeit,
mit denen bei Abgabe des Angebots normalerweise
gerechnet werden musste, gelten nicht als
Behinderung.
Der Auftragnehmer hat alles zu tun, was ihm
billigerweise zugemutet werden kann, um die
Weiterfhrung der Arbeiten zu ermglichen. Sobald die
hindernden Umstnde wegfallen, hat er ohne weiteres
und unverzglich die Arbeiten wieder aufzunehmen
und den Auftraggeber davon zu benachrichtigen.
Die Fristverlngerung wird berechnet nach der Dauer
der Behinderung mit einem Zuschlag fr die
Wiederaufnahme der Arbeiten und die etwaige
Verschiebung in eine ungnstigere Jahreszeit.
Wird die Ausfhrung fr voraussichtlich lngere Dauer
unterbrochen, ohne dass die Leistung dauernd
unmglich wird, so sind die ausgefhrten Leistungen
nach den Vertragspreisen abzurechnen und auerdem
die Kosten zu vergten, die dem Auftragnehmer
bereits entstanden und in den Vertragspreisen des
nicht ausgefhrten Teils der Leistung enthalten sind.
(1) Execution periods shall be extended if the
hindrance is caused by:
a) any circumstance within the principal's scope of
risk;
b) strike or lockout ordered by the employers'
association at the contractor's operations or at a
business working directly for the contractor;
c) force majeure or other circumstances unavoidable
for the contractor.
(2) Weather-related influences during the execution
period that could normally be expected when the bid
was issued shall not be considered an obstacle.
The contractor must do everything that can fairly be
expected of it to enable the further performance of
work. As soon as the obstacles are eliminated, the
contractor must readily start the work again without
delay and inform the principal thereof.
The extension of the deadline shall be calculated in
accordance with the duration of the hindrance, with a
markup for the resumption of the work and any
postponement to a less favorable season.
If the work is likely to be interrupted for an extended
period of time, though the performance is not
permanently impossible, the work executed is to be
settled in accordance with the contractual prices;
moreover, the costs already incurred by the contractor
that are contained in the contractual prices for the
unexecuted portion of the work must also be
compensated.

Sind die hindernden Umstnde von einem Vertragsteil
zu vertreten, so hat der andere Teil Anspruch auf
Ersatz des nachweislich entstandenen Schadens, des
entgangenen Gewinns aber nur bei Vorsatz oder
grober Fahrlssigkeit. Im brigen bleibt der Anspruch
des Auftragnehmers auf angemessene Entschdigung
nach 642 BGB unberhrt, sofern die Anzeige nach
Nr. 1 Satz 1 erfolgt oder wenn Offenkundigkeit nach
Nr. 1 Satz 2 gegeben ist.
Dauert eine Unterbrechung lnger als 3 Monate, so
kann jeder Teil nach Ablauf dieser Zeit den Vertrag
schriftlich kndigen. Die Abrechnung regelt sich nach
den Nummern 5 und 6; wenn der Auftragnehmer die
Unterbrechung nicht zu vertreten hat, sind auch die
Kosten der Baustellenrumung zu vergten, soweit sie
nicht in der Vergtung fr die bereits ausgefhrten
Leistungen enthalten sind.

Verteilung der Gefahr
Wird die ganz oder teilweise ausgefhrte Leistung vor
der Abnahme durch hhere Gewalt, Krieg, Aufruhr
oder andere objektiv unabwendbare vom
Auftragnehmer nicht zu vertretende Umstnde
beschdigt oder zerstrt, so hat dieser fr die
ausgefhrten Teile der Leistung die Ansprche nach
6 Nr. 5; fr andere Schden besteht keine
gegenseitige Ersatzpflicht.
Zu der ganz oder teilweise ausgefhrten Leistung
gehren alle mit der baulichen Anlage unmittelbar
verbundenen, in ihre Substanz eingegangenen
Leistungen, unabhngig von deren
Fertigstellungsgrad.
Zu der ganz oder teilweise ausgefhrten Leistung
gehren nicht die noch nicht eingebauten Stoffe und
Bauteile sowie die Baustelleneinrichtung und
Absteckungen. Zu der ganz oder teilweise
ausgefhrten Leistung gehren ebenfalls nicht
Baubehelfe, z. B. Gerste, auch wenn diese als

If an interruption lasts longer than three months, each
party may terminate the contract in writing after this
period. The settlement of accounts shall be made in
accordance with No. 5 and 6; if the contractor is not
responsible for the interruption, the costs of vacating
the construction site must be compensated, unless
such costs are contained in the compensation for the
previously executed work.
Distribution of Risk
If the work executed in whole or in part is damaged or
destroyed before acceptance by force majeure, war,
unrest or other objectively unavoidable circumstances
for which the contractor is not responsible, the
contractor shall have the claims in accordance with 6
No. 5 for the executed portions of the work; no mutual
compensation duty shall exist for other damage.
Work executed in whole or in part shall include all
materially initiated performances directly associated
with the structural facility and incorporated in its
substance, irrespective of the degree of completion
thereof.
Work executed in whole or in part shall not include still
uninstalled materials or components or the setup of the
construction site and marking off of the property. Work
executed in whole or in part shall likewise not include
aids for the construction (e.g. scaffolding), even if this
was awarded as a separate performance or

Kndigung durch den Auftraggeber
(1) Der Auftraggeber kann bis zur Vollendung der
Leistung jederzeit den Vertrag kndigen.
(2) Dem Auftragnehmer steht die vereinbarte
Vergtung zu. Er muss sich jedoch anrechnen lassen,
was er infolge der Aufhebung des Vertrags an Kosten
erspart oder durch anderweitige Verwendung seiner
Arbeitskraft und seines Betriebs erwirbt oder zu
erwerben bswillig unterlsst ( 649 BGB).
(1) Der Auftraggeber kann den Vertrag kndigen,
wenn der Auftragnehmer seine Zahlungen einstellt,
von ihm oder zulssigerweise vom Auftraggeber oder
einem anderen Glubiger das Insolvenzverfahren (
14 und 15 InsO) beziehungsweise ein vergleichbares
gesetzliches Verfahren beantragt ist, ein solches
Verfahren erffnet wird oder dessen Erffnung
mangels Masse abgelehnt wird.
(2) Die ausgefhrten Leistungen sind nach 6 Nr. 5
abzurechnen. Der Auftraggeber kann Schadensersatz
wegen Nichterfllung des Restes verlangen.
(1) Der Auftraggeber kann den Vertrag kndigen,
wenn in den Fllen des 4 Nr. 7 und 8 Abs. 1 und des
5 Nr. 4 die gesetzte Frist fruchtlos abgelaufen ist
(Entziehung des Auftrags). Die Entziehung des
Auftrags kann auf einen in sich abgeschlossenen Teil
der vertraglichen Leistung beschrnkt werden.
(2) Nach der Entziehung des Auftrags ist der
Auftraggeber berechtigt, den noch nicht vollendeten
Teil der Leistung zu Lasten des Auftragnehmers durch
einen Dritten ausfhren zu lassen, doch bleiben seine
Ansprche auf Ersatz des etwa entstehenden weiteren
Schadens bestehen. Er ist auch berechtigt, auf die
weitere Ausfhrung zu verzichten und Schadensersatz
wegen Nichterfllung zu verlangen, wenn die
Ausfhrung aus den Grnden, die zur Entziehung des
Auftrags gefhrt haben, fr ihn kein Interesse mehr
hat.

Termination by Principal
(1) The principal may terminate the contract at any
time prior to the completion of the performance.
(2) The contractor shall be entitled to the stipulated
compensation. However, the contractor must allow that
which it saved as a consequence of the rescission of
the contract or acquired or maliciously failed to acquire
through other use of its labor and operations ( 649 of
the Civil Code) to be ascribed to it.
(1) The principal may terminate the contract if the
contractor suspends its payments, if the contractor or
the principal or another creditor admissibly files a
petition for insolvency ( 14 and 15 of the Insolvency
Code) or comparable proceedings, if such proceedings
are initiated or if such proceedings are dismissed due to
a lack of assets.
(2) The work executed is to be settled in accordance
with 6 No. 5. The principal may demand damage
compensation due to non-performance of the residual
work.
(1) The principal may terminate the contract if, in the
events in 4 No. 7 and 8 No. 1 and 5 No. 4 the
deadline has expired unproductively (withdrawal of
assignment). The withdrawal of the assignment may be
restricted to any secluded part of the contractual
performance.
(2) After the withdrawal of the assignment, the
principal shall be entitled to have the still uncompleted
part of the performance executed by a third party at the
expense of the contractor, without prejudice to the
claims of the principal to compensation of the resulting
further damage. The principal shall also be entitled to
waive the further execution and to demand damage
compensation due to non-performance if the principal
no longer has an interest in the work being executed
due to the reasons which led to the withdrawal of the
assignment.

(3) Fr die Weiterfhrung der Arbeiten kann der
Auftraggeber Gerte, Gerste, auf der Baustelle
vorhandene andere Einrichtungen und angelieferte
Stoffe und Bauteile gegen angemessene Vergtung in
Anspruch nehmen.
(4) Der Auftraggeber hat dem Auftragnehmer eine
Aufstellung ber die entstandenen Mehrkosten und
ber seine anderen Ansprche sptestens binnen 12
Werktagen nach Abrechnung mit dem Dritten
zuzusenden.
Der Auftraggeber kann den Auftrag entziehen, wenn
der Auftragnehmer aus Anlass der Vergabe eine
Abrede getroffen hatte, die eine unzulssige
Wettbewerbsbeschrnkung darstellt. Die Kndigung ist
innerhalb von 12 Werktagen nach Bekanntwerden des
Kndigungsgrundes auszusprechen. Nummer 3 gilt
entsprechend.
Die Kndigung ist schriftlich zu erklren.
Der Auftragnehmer kann Aufma und Abnahme der
von ihm ausgefhrten Leistungen alsbald nach der
Kndigung verlangen; er hat unverzglich eine
prfbare Rechnung ber die ausgefhrten Leistungen
vorzulegen.
Eine wegen Verzugs verwirkte, nach Zeit bemessene
Vertragsstrafe kann nur fr die Zeit bis zum Tag der
Kndigung des Vertrags gefordert werden.

Kndigung durch den Auftragnehmer
Der Auftragnehmer kann den Vertrag kndigen:
a) wenn der Auftraggeber eine ihm obliegende
Handlung unterlsst und dadurch den Auftragnehmer
auerstande setzt, die Leistung auszufhren
(Annahmeverzug nach 293 ff. BGB),
b) wenn der Auftraggeber eine fllige Zahlung nicht
leistet oder sonst in Schuldnerverzug gert.
(3) In order to continue the work, the principal may use
equipment, scaffolding and other installations present at
the construction site and delivered materials and
building components in return for adequate
compensation.
(4) The principal must send the contractor a list of the
additional costs incurred and its claims within 12
working days at the latest after the settlement of
accounts with the third party.
The principal may withdraw the assignment if the
contractor has reached an arrangement associated with
the award of the contract that constitutes an
inadmissible restraint on competition. The termination is
to be declared within 12 working days after the grounds
for termination become known. No. 3 shall apply
accordingly.
Termination is to be declared in writing.
The contractor may request the survey and acceptance
of the work executed by it immediately after the
termination; the contractor must immediately present a
verifiable invoice for the work executed.
A time-related contractual penalty incurred due to
default may only be demanded for the period up to the
termination date of the contract.
Termination by Contractor
The contractor may terminate the contract if:
a) the principal fails to perform any act incumbent
upon it, thus making it impossible for the contractor to
execute the work (default in acceptance in accordance
with 293 et seqq. of the Civil Code);
b) the principal does not render any due payment or is
otherwise in default as a debtor.

Die Kndigung ist schriftlich zu erklren. Sie ist erst
zulssig, wenn der Auftragnehmer dem Auftraggeber
ohne Erfolg eine angemessene Frist zur

Die bisherigen Leistungen sind nach den
Vertragspreisen abzurechnen. Auerdem hat der
Auftragnehmer Anspruch auf angemessene
Entschdigung nach 642 BGB; etwaige
weitergehende Ansprche des Auftragnehmers
bleiben unberhrt.

Haftung der Vertragsparteien
Die Vertragsparteien haften einander fr eigenes
Verschulden sowie fr das Verschulden ihrer
gesetzlichen Vertreter und der Personen, deren sie
sich zur Erfllung ihrer Verbindlichkeiten bedienen (
276 , 278 BGB).
(1) Entsteht einem Dritten im Zusammenhang mit der
Leistung ein Schaden, fr den auf Grund gesetzlicher
Haftpflichtbestimmungen beide Vertragsparteien
haften, so gelten fr den Ausgleich zwischen den
Vertragsparteien die allgemeinen gesetzlichen
Bestimmungen, soweit im Einzelfall nichts anderes
vereinbart ist. Soweit der Schaden des Dritten nur die
Folge einer Manahme ist, die der Auftraggeber in
dieser Form angeordnet hat, trgt er den Schaden
allein, wenn ihn der Auftragnehmer auf die mit der
angeordneten Ausfhrung verbundene Gefahr nach
4 Nr. 3 hingewiesen hat.
(2) Der Auftragnehmer trgt den Schaden allein,
soweit er ihn durch Versicherung seiner gesetzlichen
Haftpflicht gedeckt hat oder durch eine solche zu
tarifmigen, nicht auf auergewhnliche Verhltnisse insurance at standard premiums and premium markups
abgestellten Prmien und Prmienzuschlgen bei
einem im Inland zum Geschftsbetrieb zugelassenen
Versicherer htte decken knnen.
Termination must be declared in writing. Termination
may first be made when the contractor has established
a reasonable grace period for the principal to perform
the contract, declaring that it will terminate the contract
after the grace period has expired unproductively.
The work already executed is to be settled in
accordance with the contractual prices. Moreover, the
contractor shall have a claim to a reasonable indemnity
in accordance with 642 of the Civil Code; any further
claims of the contractor shall not be prejudiced hereby.

Liability of Parties
The parties shall be liable to each other for their own
fault and for the fault of their legal agents and persons
of which they avail themselves to fulfill their obligations
( 276 and 278 of the Civil Code).
(1) If a third party incurs any damage in connection
with work for which both parties are liable in accordance
with the liability provisions stipulated by law, the general
provisions of law shall apply to the recompensation
between the parties, unless stipulated otherwise in any
specific case. If the damage to the third party is solely
the consequence of a measure ordered by the principal
in a specific form, the principal alone shall bear the
damage, provided the contractor had advised the
principal in accordance with 4 No. 3 of the risk
associated with executing the work in the form ordered
by the principal.
(2) The contractor shall bear the damage alone if the
contractor has covered its legal liability duty through
insurance or could have covered such duty through
not based on extraordinary circumstances with an
insurer licensed to conduct business in Germany.

auerhalb der vom Auftraggeber dazu angewiesenen
Flchen oder wegen der Folgen eigenmchtiger
Versperrung von Wegen oder Wasserlufen, so trgt
er im Verhltnis zum Auftraggeber den Schaden allein.
Fr die Verletzung gewerblicher Schutzrechte haftet im
Verhltnis der Vertragsparteien zueinander der
Auftragnehmer allein, wenn er selbst das geschtzte
Verfahren oder die Verwendung geschtzter
Gegenstnde angeboten oder wenn der Auftraggeber
die Verwendung vorgeschrieben und auf das
Schutzrecht hingewiesen hat.
Ist eine Vertragspartei gegenber der anderen nach
den Nummern 2, 3 oder 4 von der Ausgleichspflicht
befreit, so gilt diese Befreiung auch zugunsten ihrer
gesetzlichen Vertreter und Erfllungsgehilfen, wenn
sie nicht vorstzlich oder grob fahrlssig gehandelt
haben.
Soweit eine Vertragspartei von dem Dritten fr einen
Schaden in Anspruch genommen wird, den nach den
Nummern 2, 3 oder 4 die andere Vertragspartei zu
tragen hat, kann sie verlangen, dass ihre
Vertragspartei sie von der Verbindlichkeit gegenber
dem Dritten befreit. Sie darf den Anspruch des Dritten
nicht anerkennen oder befriedigen, ohne der anderen
Vertragspartei vorher Gelegenheit zur uerung
gegeben zu haben.
If the contractor is obligated to pay damage
compensation to a third party in accordance with 823
et seqq. of the Civil Code due to unauthorized access
or damage to neighboring properties, due to excavation
of or landfills with soil or other objects outside the space
earmarked for this purpose by the principal or due to
the consequences of arbitrary blockage of ways or
water flows, the contractor alone shall bear the damage
internally vis--vis the principal.
The contractor alone shall be liable internally for the
infringement of industrial property rights, if the
contractor itself offered the protected procedure or the
use of protected objects or if the principal had
prescribed the use while referring to the property right.
If either party is released vis--vis the other party from
the recompensation duty in accordance with Nos. 2, 3
or 4, such release shall also apply in favor of its legal
representatives and vicarious agents, unless such
persons have acted intentionally or with gross
negligence.
If recourse is taken to one contractual party by a third
party for a claim which the other contractual party must
bear in accordance with Nos. 2, 3 or 4, the one
contractual party may request the other to release it
from the financial liability vis--vis the third party. The
contractual party may not acknowledge or satisfy the
third-party claim without previously giving the other
contractual party the opportunity to respond.

Vertragsstrafe
Wenn Vertragsstrafen vereinbart sind, gelten die
339 bis 345 BGB .
Ist die Vertragsstrafe fr den Fall vereinbart, dass der
Auftragnehmer nicht in der vorgesehenen Frist erfllt,
so wird sie fllig, wenn der Auftragnehmer in Verzug
gert.
Ist die Vertragsstrafe nach Tagen bemessen, so
zhlen nur Werktage; ist sie nach Wochen bemessen,
so wird jeder Werktag angefangener Wochen als 1/6
Woche gerechnet.
Hat der Auftraggeber die Leistung abgenommen, so
kann er die Strafe nur verlangen, wenn er dies bei der
Abnahme vorbehalten hat.

Abnahme
Verlangt der Auftragnehmer nach der Fertigstellung -
gegebenenfalls auch vor Ablauf der vereinbarten
Ausfhrungsfrist - die Abnahme der Leistung, so hat
sie der Auftraggeber binnen 12 Werktagen
durchzufhren; eine andere Frist kann vereinbart
werden.
Auf Verlangen sind in sich abgeschlossene Teile der
Leistung besonders abzunehmen.
Wegen wesentlicher Mngel kann die Abnahme bis
zur Beseitigung verweigert werden.
(1) Eine frmliche Abnahme hat stattzufinden, wenn
eine Vertragspartei es verlangt. Jede Partei kann auf
ihre Kosten einen Sachverstndigen zuziehen. Der
Befund ist in gemeinsamer Verhandlung schriftlich
niederzulegen. In die Niederschrift sind etwaige
Vorbehalte wegen bekannter Mngel und wegen
Vertragsstrafen aufzunehmen, ebenso etwaige
Einwendungen des Auftragnehmers. Jede Partei erhlt
eine Ausfertigung.

Contractual Penalty
If contractual penalties are stipulated, 339 to 345 of
the Civil Code shall apply.
If a contractual penalty is stipulated in the event the
contractor fails to render performance within the
foreseen period, the contractual penalty shall become
due when the contractor is in default.
If the contractual penalty is measured in days, only
working days shall be counted; if the penalty is
measured in weeks, each working day of an instigated
week shall count as 1/6th of a week.
If the principal has accepted the work, the principal may
only demand the penalty if it has reserved such right
during the acceptance.

Acceptance
If, after the completion (if applicable, even before the
expiration of the stipulated execution period), the
contractor demands the acceptance of the work, the
principal must conduct the acceptance within 12
working days; a different deadline may be agreed upon.
Upon request, secluded parts of the work must be
accepted separately.
Acceptance may be denied due to material defects until
the defects are remedied.
(1) A formal acceptance must take place if either party
so requests. Each party may involve an expert at its
own cost. The findings must be set down in a joint
written record. Any reservations due to known defects
and regarding contractual penalties must be
incorporated in the record as must any objections of the
contractor. Each party shall receive a copy of the
record.

(2) Die frmliche Abnahme kann in Abwesenheit des
Auftragnehmers stattfinden, wenn der Termin
vereinbart war oder der. Auftraggeber mit gengender
Frist dazu eingeladen hatte. Das Ergebnis der
Abnahme ist dem Auftragnehmer alsbald mitzuteilen.
(1) Wird keine Abnahme verlangt, so gilt die Leistung
als abgenommen mit Ablauf von 12 Werktagen nach
schriftlicher Mitteilung ber die Fertigstellung der
Leistung.
(2) Wird keine Abnahme verlangt und hat der
Auftraggeber die Leistung oder einen Teil der Leistung
in Benutzung genommen, so gilt die Abnahme nach
Ablauf von 6 Werktagen nach Beginn der Benutzung
als erfolgt, wenn nichts anderes vereinbart ist. Die
Benutzung von Teilen einer baulichen Anlage zur
Weiterfhrung der Arbeiten gilt nicht als Abnahme.
(3) Vorbehalte wegen bekannter Mngel oder wegen
Vertragsstrafen hat der Auftraggeber sptestens zu
den in den Abstzen 1 und 2 bezeichneten
Zeitpunkten geltend zu machen.
Mit der Abnahme geht die Gefahr auf den
Auftraggeber ber, soweit er sie nicht schon nach 7
trgt.

Mngelansprche
Der Auftragnehmer hat dem Auftraggeber seine
Leistung zum Zeitpunkt der Abnahme frei von
Sachmngeln zu verschaffen. Die Leistung ist zur Zeit
der Abnahme frei von Sachmngeln, wenn sie die
vereinbarte Beschaffenheit hat und den anerkannten
Regeln der Technik entspricht. Ist die Beschaffenheit
nicht vereinbart, so ist die Leistung zur Zeit der
Abnahme frei von Sachmngeln,
a) wenn sie sich fr die nach dem Vertrag
vorausgesetzte, sonst
b) fr die gewhnliche Verwendung eignet und eine
Beschaffenheit aufweist, die bei Werken der gleichen
Art blich ist und die der Auftraggeber nach der Art der

principal upon acceptance.

Warranty Claims
The contractor must procure the performance for the
principal as of the acceptance date free of material
defects. The performance shall be considered free of
defects as of the acceptance date if it has the stipulated
features and corresponds to generally accepted
engineering principles. If no features have been
stipulated, the performance shall be considered free of
material defects as of the acceptance date:
a) if suited for the use assumed in accordance with
the contract, or
b) for the standard use and is of a quality common for
works of the same nature as can be expected by the
principal in accordance with the nature of the

Bei Leistungen nach Probe gelten die Eigenschaften
der Probe als vereinbarte Beschaffenheit, soweit nicht
Abweichungen nach der Verkehrssitte als

Proben, die erst nach Vertragsabschluss als solche
anerkannt sind.
Ist ein Mangel zurckzufhren auf die
Leistungsbeschreibung oder auf Anordnungen des
Auftraggebers, auf die von diesem gelieferten oder
vorgeschriebenen Stoffe oder Bauteile oder die
Beschaffenheit der Vorleistung eines anderen
Unternehmers, haftet der Auftragnehmer, es sei denn,
er hat die ihm nach 4 Nr. 3 obliegende Mitteilung
gemacht.
(1) Ist fr Mngelansprche keine Verjhrungsfrist im
Vertrag vereinbart, so betrgt sie fr Bauwerke 4
Jahre, fr andere Werke, deren Erfolg in der
Herstellung, Wartung oder Vernderung einer Sache
besteht, und fr die vom Feuer berhrten Teile von
Feuerungsanlagen 2 Jahre. Abweichend von Satz 1
betrgt die Verjhrungsfrist fr feuerberhrte und
abgasdmmende Teile von industriellen
Feuerungsanlagen 1 Jahr.
(2) Ist fr Teile von maschinellen und
elektrotechnischen/elektronischen Anlagen, bei denen
die Wartung Einfluss auf Sicherheit und
Funktionsfhigkeit hat, nichts anderes vereinbart,
betrgt fr diese Anlagenteile die Verjhrungsfrist fr
Mngelansprche abweichend von Abs. 1 zwei Jahre,
wenn der Auftraggeber sich dafr entschieden hat,
dem Auftragnehmer die Wartung fr die Dauer der
Verjhrungsfrist nicht zu bertragen; dies gilt auch,
wenn fr weitere Leistungen eine andere
Verjhrungsfrist vereinbart ist.
(3) Die Frist beginnt mit der Abnahme der gesamten
Leistung; nur fr in sich abgeschlossene Teile der
Leistung beginnt sie mit der Teilabnahme ( 12 Nr. 2).

If a defect is attributable to performance specifications
or instructions of the principal, to materials or building
components delivered or prescribed by the principal or
to the quality of an input performance by another
contractor, the contractor shall be liable unless the
contractor made the notice incumbent upon it in
accordance with 4 No. 3.
(1) If no limitation period for warranty claims is agreed
in the contract, the limitation period shall be four years
for construction work and two years for other work
whose outcome consists in the production,
maintenance or alteration of a thing and for parts of
furnaces coming in contact with flames. At variance with
Sentence 1, the limitation period for parts of industrial
furnaces coming in contact with flames and of exhaust
control systems shall be one year.
(2) Unless stipulated otherwise, for parts of machinery
and electrical and electronic equipment whose
maintenance has an impact on safety and operability,
the limitation period for warranty claims for such parts
shall amount, at variance with Paragraph (1), to two
years if the principal has decided not to transfer the
contractor the maintenance for the period of the
limitation period; this shall also apply if a variant
limitation period is stipulated for further performances.
(3) The period shall commence upon the acceptance
of the entire work; the period shall only begin running
upon a partial acceptance in the case of secluded parts
of a work ( 12 No. 2).

(1) Der Auftragnehmer ist verpflichtet, alle whrend
der Verjhrungsfrist hervortretenden Mngel, die auf
vertragswidrige Leistung zurckzufhren sind, auf
seine Kosten zu beseitigen, wenn es der Auftraggeber
vor Ablauf der Frist schriftlich verlangt. Der Anspruch
auf Beseitigung der gergten Mngel verjhrt in 2
Jahren, gerechnet vom Zugang des schriftlichen
Verlangens an, jedoch nicht vor Ablauf der
Regelfristen nach Nummer 4 oder der an ihrer Stelle
vereinbarten Frist. Nach Abnahme der
Mngelbeseitigungsleistung beginnt fr diese Leistung
eine Verjhrungsfrist von 2 Jahren neu, die jedoch
nicht vor Ablauf der Regelfristen nach Nummer 4 oder
der an ihrer Stelle vereinbarten Frist endet.
(2) Kommt der Auftragnehmer der Aufforderung zur
Mngelbeseitigung in einer vom Auftraggeber
gesetzten angemessenen Frist nicht nach, so kann der
Auftraggeber die Mngel auf Kosten des
Auftragnehmers beseitigen lassen.
Ist die Beseitigung des Mangels fr den Auftraggeber
unzumutbar oder ist sie unmglich oder wrde sie
einen unverhltnismig hohen Aufwand erfordern
und wird sie deshalb vom Auftragnehmer verweigert,
so kann der Auftraggeber durch Erklrung gegenber
dem Auftragnehmer die Vergtung mindern ( 638
BGB).
(1) Der Auftragnehmer haftet bei schuldhaft
verursachten Mngeln fr Schden aus der Verletzung
des Lebens, des Krpers oder der Gesundheit.
(2) Bei vorstzlich oder grob fahrlssig verursachten
Mngeln haftet er fr alle Schden.
(3) Im brigen ist dem Auftraggeber der Schaden an
der baulichen Anlage zu ersetzen, zu deren
Herstellung, Instandhaltung oder nderung die
Leistung dient, wenn ein wesentlicher Mangel vorliegt,
der die Gebrauchsfhigkeit erheblich beeintrchtigt
und auf ein Verschulden des Auftragnehmers
zurckzufhren ist. Einen darber hinausgehenden
Schaden hat der Auftragnehmer nur dann zu ersetzen,
(1) The contractor shall be obligated to remedy at its
own cost all defects appearing during the limitation
period that are attributable to performance in breach of
contract, if the principal so requests in writing prior to
the expiration of the period. The claim to remedy of
protested defects shall lapse two years from the receipt
of the written request, though not before the expiration
of the standard periods in accordance with No. 4 or a
period stipulated in lieu thereof. After acceptance of the
defect remedy work, a limitation period of two years
shall begin to run again for this work; however, such
period shall not end prior to the expiration of the
standard periods in accordance with No. 4 or the period
stipulated in lieu thereof.
(2) If the contractor fails to meet the request to remedy
defects within a reasonable period set by the principal,
the principal may have the defects remedied at the
contractor's cost.
If the remedy of the defects is unreasonable for the
principal or if it is impossible or would require
disproportionate expense and is therefore refused by
the contractor, the principal may reduce the
compensation by declaration to the contractor ( 638 of
the Civil Code).
(1) The contractor shall be liable in the case defects
for damage resulting from injury to life, limb or health
caused by its fault.
(2) The contractor shall be liable for all damage in the
case of defects caused intentionally or due to gross
negligence.
(3) Otherwise, the principal must be compensated for
the damage to structural facilities produced, maintained
or altered through the work in the event of a material
defect that substantially impairs the usability thereof
and is attributable to the contractor's fault. The
contractor only need compensate any damage beyond
this if:

(4) Abweichend von Nummer 4 gelten die
gesetzlichen Verjhrungsfristen, soweit sich der
Auftragnehmer nach Absatz 3 durch Versicherung
geschtzt hat oder htte schtzen knnen oder soweit
ein besonderer Versicherungsschutz vereinbart ist.
(5) Eine Einschrnkung oder Erweiterung der Haftung
kann in begrndeten Sonderfllen vereinbart werden.

Abrechnung
Der Auftragnehmer hat seine Leistungen prfbar
abzurechnen. Er hat die Rechnungen bersichtlich
aufzustellen und dabei die Reihenfolge der Posten
einzuhalten und die in den Vertragsbestandteilen
enthaltenen Bezeichnungen zu verwenden. Die zum
Nachweis von Art und Umfang der Leistung
erforderlichen Mengenberechnungen, Zeichnungen
und anderen Belege sind beizufgen. nderungen und
Ergnzungen des Vertrags sind in der Rechnung
besonders kenntlich zu machen; sie sind auf
Verlangen getrennt abzurechnen.
Die fr die Abrechnung notwendigen Feststellungen
sind dem Fortgang der Leistung entsprechend
mglichst gemeinsam vorzunehmen. Die
Abrechnungsbestimmungen in den Technischen
Vertragsbedingungen und den anderen
Vertragsunterlagen sind zu beachten. Fr Leistungen,
die bei Weiterfhrung der Arbeiten nur schwer
feststellbar sind, hat der Auftragnehmer rechtzeitig
a) the defect is based on a breach of generally

b) the defect consists of an error in the contractually
stipulated features; or
c) the contractor has covered the damage by insuring
its legal liability duty or could have covered such duty
through insurance at standard premiums and premium
markups not based on extraordinary circumstances with
an insurer licensed to conduct business in Germany.
(4) At variance from No. 4, the statutory limitation
periods shall apply to the extent the contractor has
protected itself or could have protected itself with
insurance in accordance with Paragraph (3) or to the
extent separate insurance protection is agreed upon.
(5) A restriction or extension of liability may be agreed
upon in justified special cases.

Settlement of Accounts
The contractor shall present accounts for its
performances in a verifiable fashion. The contractor
must prepare the invoices in a comprehensible fashion
and observe the order of the items and use the
designations contained in the components of contract.
The volume calculations, drawings and other vouchers
necessary to document the type and scope of
performance must be enclosed. Any modifications of or
additions to the contract must be identified separately in
the invoice, and must be settled separately upon
request.
The determinations necessary for the settlement of
accounts are to be made jointly if feasible, in
accordance with the progress of the work. The
settlement provisions in the Technical Terms and
Conditions of Contract and the other terms and
conditions of contract are to be observed. With respect
to performances that are difficult to delineate as work is
being executed, the contractor must request joint

gemeinsame Feststellungen zu beantragen.
Die Schlussrechnung muss bei Leistungen mit einer
vertraglichen Ausfhrungsfrist von hchstens 3
Monaten sptestens 12 Werktage nach Fertigstellung

Auftraggeber selbst auf Kosten des Auftragnehmers
aufstellen.

Stundenlohnarbeiten
(1) Stundenlohnarbeiten werden nach den
vertraglichen Vereinbarungen abgerechnet.
(2) Soweit fr die Vergtung keine Vereinbarungen
getroffen worden sind, gilt die ortsbliche Vergtung.
Ist diese nicht zu ermitteln, so werden die
Aufwendungen des Auftragnehmers fr Lohn- und
Gehaltskosten der Baustelle, Lohn- und
Gehaltsnebenkosten der Baustelle, Stoffkosten der
Baustelle, Kosten der Einrichtungen, Gerte,
Maschinen und maschinellen Anlagen der Baustelle,
Fracht-, Fuhr- und Ladekosten, Sozialkassenbeitrge
und Sonderkosten, die bei wirtschaftlicher
Betriebsfhrung entstehen, mit angemessenen
Zuschlgen fr Gemeinkosten und Gewinn
(einschlielich allgemeinem Unternehmerwagnis)
zuzglich Umsatzsteuer vergtet.
Verlangt der Auftraggeber, dass die
Stundenlohnarbeiten durch einen Polier oder eine
andere Aufsichtsperson beaufsichtigt werden, oder ist
die Aufsicht nach den einschlgigen
Unfallverhtungsvorschriften notwendig, so gilt
Nummer 1 entsprechend.

Work Performed at Hourly Wages
(1) Work performed at hourly wages shall be settled in
accordance with the contractual arrangements.
(2) If no arrangements have been reached for
compensation, the normal local compensation shall
apply. If such compensation cannot be computed, the
expenses of the contractor for wage and salary costs at
the construction site, ancillary wage and salary costs at
the construction site, material costs of the construction
site, costs of installations, equipment and machinery at
the construction site, freight, carriage and loading costs,
social security insurance contributions and special costs
arising from efficient management shall be
compensated with adequate markups for overhead
costs and profit (including for general entrepreneurial
risk) plus value-added tax.
If the principal requests for the work performed at hourly
wages to be supervised by a foreman or other
supervisor, or if the supervision is necessary in
accordance with the applicable accident prevention
provisions, No. 1 shall apply accordingly.

geleisteten Arbeitsstunden und den dabei
erforderlichen, besonders zu vergtenden Aufwand fr
den Verbrauch von Stoffen, fr Vorhaltung von
Einrichtungen, Gerten, Maschinen und maschinellen
Anlagen, fr Frachten, Fuhr- und Ladeleistungen
sowie etwaige Sonderkosten sind, wenn nichts
anderes vereinbart ist, je nach der Verkehrssitte
werktglich oder wchentlich Listen
(Stundenlohnzettel) einzureichen. Der Auftraggeber
hat die von ihm bescheinigten Stundenlohnzettel
unverzglich, sptestens jedoch innerhalb von 6
Werktagen nach Zugang, zurckzugeben. Dabei kann
er Einwendungen auf den Stundenlohnzetteln oder
gesondert schriftlich erheben. Nicht fristgem
zurckgegebene Stundenlohnzettel gelten als
anerkannt.
Stundenlohnrechnungen sind alsbald nach Abschluss
der Stundenlohnarbeiten, lngstens jedoch in
Abstnden von 4 Wochen, einzureichen. Fr die
Zahlung gilt 16 .
Wenn Stundenlohnarbeiten zwar vereinbart waren,
ber den Umfang der Stundenlohnleistungen aber
mangels rechtzeitiger Vorlage der Stundenlohnzettel
Zweifel bestehen, so kann der Auftraggeber verlangen,
dass fr die nachweisbar ausgefhrten Leistungen
eine Vergtung vereinbart wird, die nach Magabe von
Nummer 1 Abs. 2 fr einen wirtschaftlich vertretbaren
Aufwand an Arbeitszeit und Verbrauch von Stoffen, fr
Vorhaltung von Einrichtungen, Gerten, Maschinen
und maschinellen Anlagen, fr Frachten, Fuhr- und
Ladeleistungen sowie etwaige Sonderkosten ermittelt
wird.

stipulated otherwise, lists are to be submitted every
working day or weekly, depending on industry practices,
concerning the working hours rendered (time sheets)
and the necessary expense to be compensated
separately for the consumption of materials, for
provision of installations, equipment and machinery, for
freight, carriage and loading costs and for any separate
costs. The principal must return the time sheets
confirmed by it without delay or, at the latest, within 6
working days after receipt. The principal may thereby
raise objections on the time sheets or separately in
writing. Time sheets not returned in due time shall be
considered as acknowledged.
Hourly wage statements are to be submitted
immediately after the conclusion of the work performed
at hourly wages or, at the latest, at four-week intervals.
Section 16 shall apply accordingly to the payment.
If work at hourly wages is agreed upon though doubts
exist about the scope of the hourly work performed
because time sheets have not been submitted in due
time, the principal may request that for the work
verifiably executed compensation be agreed that is
computed in accordance with No. 1 (2) for an
economically reasonable number of hours worked and
consumption of materials, for provision of installations,
equipment and machinery, for freight, carriage and
loading costs and for any separate costs.

Zahlung
(1) Abschlagszahlungen sind auf Antrag in mglichst
kurzen Zeitabstnden oder zu den vereinbarten
Zeitpunkten zu gewhren, und zwar in Hhe des
Wertes der jeweils nachgewiesenen vertragsgemen
Leistungen einschlielich des ausgewiesenen, darauf
entfallenden Umsatzsteuerbetrages. Die Leistungen
sind durch eine prfbare Aufstellung nachzuweisen,
die eine rasche und sichere Beurteilung der
Leistungen ermglichen muss. Als Leistungen gelten
hierbei auch die fr die geforderte Leistung eigens
angefertigten und bereitgestellten Bauteile sowie die
auf der Baustelle angelieferten Stoffe und Bauteile,
wenn dem Auftraggeber nach seiner Wahl das
Eigentum an ihnen bertragen ist oder entsprechende
Sicherheit gegeben wird.
(2) Gegenforderungen knnen einbehalten werden.
Andere Einbehalte sind nur in den im Vertrag und in
den gesetzlichen Bestimmungen vorgesehenen Fllen
zulssig.
(3) Ansprche auf Abschlagszahlungen werden
binnen 18 Werktagen nach Zugang der Aufstellung
fllig.
(4) Die Abschlagszahlungen sind ohne Einfluss auf
die Haftung des Auftragnehmers; sie gelten nicht als
Abnahme von Teilen der Leistung.
(1) Vorauszahlungen knnen auch nach
Vertragsabschluss vereinbart werden; hierfr ist auf
Verlangen des Auftraggebers ausreichende Sicherheit
zu leisten. Diese Vorauszahlungen sind, sofern nichts
anderes vereinbart wird, mit 3 v. H. ber dem
Basiszinssatz des 247 BGB zu verzinsen.
(2) Vorauszahlungen sind auf die nchstflligen
Zahlungen anzurechnen, soweit damit Leistungen
abzugelten sind, fr welche die Vorauszahlungen
gewhrt worden sind.

Payment
(1) Installments are to be granted upon request in the
shortest possible temporal intervals or as of the
stipulated dates in the amount of the performances
documented as pursuant to the contract, including the
documented value-added tax incurred thereon. The
performances are to be documented through an
auditable itemized list, which must facilitate rapid and
reliable assessment of the performances.
"Performances" shall also be construed to mean the
components provided or produced especially for the
requested work and the materials and components
delivered to the construction site, if title to them has
either been transferred to the principal or corresponding
security has been provided, at the principals choice.
(2) Counterclaims may be withheld. Other retentions
may only be made in the cases foreseen by contract or
the statutory provisions.
(3) Claims to installments shall be due within 18
working days after the receipt of the itemized list.
(4) Installments shall not have any impact on the legal
liability of the contractor; installments shall not
constitute the acceptance of parts of the work.
(1) Advance payments may also be agreed upon after
conclusion of the contract, though sufficient security
must be provided at the request of the principal. Unless
stipulated otherwise, such advance payments are to
accrue interest at a rate of 3% above the base interest
rate stipulated in 247 of the Civil Code.
(2) Advance payments are to be credited towards the
next due payments, to the extent performances for
which the advance payments were granted are to be
compensated therewith.

(1) Der Anspruch auf die Schlusszahlung wird alsbald
nach Prfung und Feststellung der vom Auftragnehmer
vorgelegten Schlussrechnung fllig, sptestens
innerhalb von 2 Monaten nach Zugang. Werden
Einwendungen gegen die Prfbarkeit unter Angabe
der Grnde hierfr nicht sptestens innerhalb von 2
Monaten nach Zugang der Schlussrechnung erhoben,
so kann der Auftraggeber sich nicht mehr auf die
fehlende Prfbarkeit berufen. Die Prfung der
Schlussrechnung ist nach Mglichkeit zu
beschleunigen. Verzgert sie sich, so ist das
unbestrittene Guthaben als Abschlagszahlung sofort
zu zahlen.
(2) Die vorbehaltlose Annahme der Schlusszahlung
schliet Nachforderungen aus, wenn der
Auftragnehmer ber die Schlusszahlung schriftlich
unterrichtet und auf die Ausschlusswirkung
hingewiesen wurde.
(3) Einer Schlusszahlung steht es gleich, wenn der
Auftraggeber unter Hinweis auf geleistete Zahlungen
weitere Zahlungen endgltig und schriftlich ablehnt.
(4) Auch frher gestellte, aber unerledigte
Forderungen werden ausgeschlossen, wenn sie nicht
nochmals vorbehalten werden.
(5) Ein Vorbehalt ist innerhalb von 24 Werktagen
nach Zugang der Mitteilung nach den Abstzen 2 und
3 ber die Schlusszahlung zu erklren. Er wird
hinfllig, wenn nicht innerhalb von weiteren 24
Werktagen - beginnend am Tag nach Ablauf der in
Satz 1 genannten 24 Werktage - eine prfbare
Rechnung ber die vorbehaltenen Forderungen
eingereicht oder, wenn das nicht mglich ist, der
Vorbehalt eingehend begrndet wird.
(6) Die Ausschlussfristen gelten nicht fr ein
Verlangen nach Richtigstellung der Schlussrechnung
und -zahlung wegen Aufma-, Rechen- und
bertragungsfehlern.
In sich abgeschlossene Teile der Leistung knnen
nach Teilabnahme ohne Rcksicht auf die Vollendung
der brigen Leistungen endgltig festgestellt und
bezahlt werden.
(1) The claim to the final payment shall be due
immediately after the audit and approval of the final
invoice presented by the contractor, though at the latest
within two months after receipt. If no objections are
raised regarding the verifiability, with the grounds for
such objections, within two months after receipt of the
final invoice, the principal may no longer invoke a lack
of verifiability. The audit of the final invoice is to be
conducted as soon as possible. If the audit is delayed,
the undisputed credit must be paid without delay as an
installment.
(2) The unconditional acceptance of the final payment
shall preclude subsequent claims if the contractor was
informed about the final payment in writing and
reference was made to this preclusive effect.
(3) The principals definitive refusal of further
payments in writing making reference to payments
rendered shall be equivalent to a final payment.
(4) Previously asserted but unresolved claims shall
also be precluded if not reserved again.
(5) A reservation must be declared within 24 working
days after receipt of the notice concerning the final
payment in accordance with items (2) and (3). Such a
reservation shall no longer be valid unless a verifiable
invoice concerning the reserved claims is submitted or,
if it is not possible to submit an invoice, detailed
grounds for the reservation are provided within a further
24 working days (starting on the day after the 24-
working-day period mentioned in the first sentence
above).
(6) The preclusive periods shall not apply to any
requests for the rectification of the final invoice or
payment due to errors in measurement, calculation or
transmission.
Self-contained parts of a work may be definitively
approved and paid for after a partial acceptance without
consideration to the completion of the other work.

Guthaben nicht innerhalb von 2 Monaten nach Zugang
der Schlussrechnung, so hat der Auftragnehmer fr
dieses Guthaben abweichend von Absatz 3 (ohne
Nachfristsetzung) ab diesem Zeitpunkt Anspruch auf
Zinsen in Hhe der in 288 BGB angegebenen
Zinsstze, wenn er nicht einen hheren
Verzugsschaden nachweist.
(5) Der Auftragnehmer darf in den Fllen der Abstze
3 und 4 die Arbeiten bis zur Zahlung einstellen, sofern
die dem Auftraggeber zuvor gesetzte angemessene
Nachfrist erfolglos verstrichen ist.
Der Auftraggeber ist berechtigt, zur Erfllung seiner
Verpflichtungen aus den Nummern 1 bis 5 Zahlungen
an Glubiger des Auftragnehmers zu leisten, soweit
sie an der Ausfhrung der vertraglichen Leistung des
Auftragnehmers aufgrund eines mit diesem
abgeschlossenen Dienst- oder Werkvertrags beteiligt
sind, wegen Zahlungsverzugs des Auftragnehmers die
Fortsetzung ihrer Leistung zu Recht verweigern und
die Direktzahlung die Fortsetzung der Leistung
sicherstellen soll. Der Auftragnehmer ist verpflichtet,
sich auf Verlangen des Auftraggebers innerhalb einer
von diesem gesetzten Frist darber zu erklren, ob
und inwieweit er die Forderungen seiner Glubiger
anerkennt; wird diese Erklrung nicht rechtzeitig
abgegeben, so gelten die Voraussetzungen fr die
Direktzahlung als anerkannt.
(1) All payments are to be made as soon as possible.
(2) Cash discounts that have not been agreed upon
may not be deducted.
(3) If the principal does not pay upon the due date, the
contractor may establish a reasonable grace period for
the principal. If the principal fails to pay within the grace
period, the contractor shall have a claim from the
expiration of the grace period to interest at the rates
specified in 288 of the Civil Code, unless the
contractor documents higher default damage.
(4) If the principal fails to pay the due undisputed credit
within two months after the receipt of the final invoice,
the contractor shall have a claim with respect to this
credit, at variance with item (3) (without establishing a
grace period), as of this date to interest at the rates
specified in 288 of the Civil Code, unless the
contractor documents higher default damage.
(5) In the events mentioned in items (3) and (4), the
contractor may discontinue the work until payment, if
the reasonable grace period previously established for
the principal lapses unproductively.
To fulfill its obligations under Nos. 1 to 5, the principal
shall be entitled to render payments to creditors of the
contractor, to the extent they are involved in the
execution of the contractor's contractual performance
based on any contract for work or services concluded
with the contractor, rightly refuse to continue their
performance due to default in payment by the
contractor, and the direct payment is intended to assure
the continuation of their work. The contractor shall be
obligated at the principal's request to declare within a
period established by the latter whether and to what
extent the contractor acknowledges the claims of its
creditors; if this declaration is not issued in due time,
the prerequisites for the direct payment shall be
considered as recognized.

Sicherheitsleistung
(1) Wenn Sicherheitsleistung vereinbart ist, gelten die
232 bis 240 BGB, soweit sich aus den
nachstehenden Bestimmungen nichts anderes ergibt.
(2) Die Sicherheit dient dazu, die vertragsgeme
Ausfhrung der Leistung und die Mngelansprche
sicherzustellen.
Wenn im Vertrag nichts anderes vereinbart ist, kann
Sicherheit durch Einbehalt oder Hinterlegung von Geld
oder durch Brgschaft eines Kreditinstituts oder
Kreditversicherers geleistet werden, sofern das
Kreditinstitut oder der Kreditversicherer
- in der Europischen Gemeinschaft oder
- in einem Staat der Vertragsparteien des
Abkommens ber den Europischen Wirtschaftsraum
oder
- in einem Staat der Vertragsparteien des WTO-
bereinkommens ber das ffentliche
Beschaffungswesen zugelassen ist.
Der Auftragnehmer hat die Wahl unter den
verschiedenen Arten der Sicherheit; er kann eine
Sicherheit durch eine andere ersetzen.
Bei Sicherheitsleistung durch Brgschaft ist
Voraussetzung, dass der Auftraggeber den Brgen als
tauglich anerkannt hat. Die Brgschaftserklrung ist
schriftlich unter Verzicht auf die Einrede der
Vorausklage abzugeben ( 771 BGB); sie darf nicht
auf bestimmte Zeit begrenzt und muss nach Vorschrift
des Auftraggebers ausgestellt sein. Der Auftraggeber
kann als Sicherheit keine Brgschaft fordern, die den
Brgen zur Zahlung auf erstes Anfordern verpflichtet.
Wird Sicherheit durch Hinterlegung von Geld geleistet,
so hat der Auftragnehmer den Betrag bei einem zu
vereinbarenden Geldinstitut auf ein Sperrkonto
einzuzahlen, ber das beide nur gemeinsam verfgen
knnen ("Und-Konto"). Etwaige Zinsen stehen dem

Provision of Security
(1) If the provision of security has been agreed, 232
to 240 of the Civil Code shall apply, unless stipulated
otherwise in the provisions below.
(2) The security shall serve to secure the execution of
the work pursuant to the contract and any defect claims.
Unless stipulated otherwise in the contract, security
may be rendered by retaining or depositing money or by
providing a guarantee from a bank or credit insurer,
provided the bank or credit insurer is licensed:
- in the European Community or
- in a state that is party to the Agreement on the
European Economic Area or
- in a state that is party to the WTO Convention on
Public Procurement.
The contractor shall have a choice among the various
types of security, and may replace one security with
another.
If security is provided in the form of a guarantee, one
prerequisite shall be that the principal has recognized
the surety as a suitable guarantor. The guarantee
declaration must be issued in writing, waiving the
defense of prior remedies ( 771 of the Civil Code); it
may not be limited to a particular period of time and
must be issued in accordance with the principal's
instructions. The principal may not request as security
any guarantee obligating the surety to pay on first
demand.
If security is provided in the form of a money deposit,
the contractor must deposit the money with a bank to
be agreed upon on a blocked account over which both
parties are only authorized to dispose jointly. The
contractor shall be entitled to any interest.

Auftragnehmer zu.
(1) Soll der Auftraggeber vereinbarungsgem die
Sicherheit in Teilbetrgen von seinen Zahlungen
einbehalten, so darf er jeweils die Zahlung um
hchstens 10 v. H. krzen, bis die vereinbarte
Sicherheitssumme erreicht ist. Sofern Rechnungen
ohne Umsatzsteuer gem 13b UStG gestellt
werden, bleibt die Umsatzsteuer bei der Berechnung
des Sicherheitseinbehalts unbercksichtigt. Den
jeweils einbehaltenen Betrag hat er dem
Auftragnehmer mitzuteilen und binnen 18 Werktagen
nach dieser Mitteilung auf ein Sperrkonto bei dem
vereinbarten Geldinstitut einzuzahlen. Gleichzeitig
muss er veranlassen, dass dieses Geldinstitut den
Auftragnehmer von der Einzahlung des
Sicherheitsbetrags benachrichtigt. Nummer 5 gilt
entsprechend.
(2) Bei kleineren oder kurzfristigen Auftrgen ist es
zulssig, dass der Auftraggeber den einbehaltenen
Sicherheitsbetrag erst bei der Schlusszahlung auf ein
Sperrkonto einzahlt.
(3) Zahlt der Auftraggeber den einbehaltenen Betrag
nicht rechtzeitig ein, so kann ihm der Auftragnehmer
hierfr eine angemessene Nachfrist setzen. Lsst der
Auftraggeber auch diese verstreichen, so kann der
Auftragnehmer die sofortige Auszahlung des
einbehaltenen Betrags verlangen und braucht dann
keine Sicherheit mehr zu leisten.
(4) ffentliche Auftraggeber sind berechtigt, den als
Sicherheit einbehaltenen Betrag auf eigenes
Verwahrgeldkonto zu nehmen; der Betrag wird nicht
verzinst.
Der Auftragnehmer hat die Sicherheit binnen 18
Werktagen nach Vertragsabschluss zu leisten, wenn
nichts anderes vereinbart ist. Soweit er diese
Verpflichtung nicht erfllt hat, ist der Auftraggeber
berechtigt, vom Guthaben des Auftragnehmers einen
Betrag in Hhe der vereinbarten Sicherheit
einzubehalten. Im brigen gelten die Nummern 5 und
6 auer Abs. 1 Satz 1 entsprechend.
(1) Should the principal withhold the security in
installments from its payments as agreed, the principal
may reduce the respective payment by a maximum of
10%, until the agreed amount of security is reached. If
invoices are issued without value-added tax pursuant to
13b of the Turnover Tax Act, the value-added tax
shall not be taken into account in the calculation of the
retained security. The respectively retained amount
must be notified by the principal to the contractor and
deposited 18 working days after such notice onto a
blocked account with the agreed bank. The principal
must simultaneously cause this bank to notify the
contractor of the deposit of the security amount. No. 5
shall apply accordingly.
(2) For small or short-term assignments, it shall be
permissible for the principal to first deposit the retained
security amount in the blocked account together with
the final payment.
(3) If the principal fails to pay the retained amount in
due time, the contractor may establish a reasonable
grace period for the principal. If the principal also lets
this period lapse unproductively, the contractor may
demand the immediate disbursement of the retained
amount and then need not provide any further security.
(4) Public sector principals shall be entitled to place
the amount retained as security on their own escrow
accounts; the amounts shall not accrue interest.
The contractor must provide the security within 18
working days after the closing date of the contract,
unless stipulated otherwise. If the contractor has not
fulfilled this obligation, the principal shall be entitled to
retain the amount of the stipulated security from the
contractor's credit balance. Otherwise, Nos. 5 and 6,
except for No. 6 item (1), Sentence 1, shall apply
accordingly.

Ansprche noch nicht erfllt sind, darf er einen
entsprechenden Teil der Sicherheit zurckhalten.

Streitigkeiten
Liegen die Voraussetzungen fr eine
Gerichtsstandvereinbarung nach 38
Zivilprozessordnung vor, richtet sich der Gerichtsstand
fr Streitigkeiten aus dem Vertrag nach dem Sitz der
fr die Prozessvertretung des Auftraggebers
zustndigen Stelle, wenn nichts anderes vereinbart ist.
Sie ist dem Auftragnehmer auf Verlangen mitzuteilen.
(1) Entstehen bei Vertrgen mit Behrden
Meinungsverschiedenheiten, so soll der
Auftragnehmer zunchst die der auftraggebenden
Stelle unmittelbar vorgesetzte Stelle anrufen. Diese
soll dem Auftragnehmer Gelegenheit zur mndlichen
Aussprache geben und ihn mglichst innerhalb von 2
Monaten nach der Anrufung schriftlich bescheiden und
dabei auf die Rechtsfolgen des Satzes 3 hinweisen.
Die Entscheidung gilt als anerkannt, wenn der
Auftragnehmer nicht innerhalb von 3 Monaten nach
Eingang des Bescheides schriftlich Einspruch beim
Auftraggeber erhebt und dieser ihn auf die
Ausschlussfrist hingewiesen hat.
(1) The principal must return any unused security for
the contractual performance as of the stipulated date or,
at the latest after acceptance and provision of the
security for warranty claims, unless claims of the
principal not encompassed by the security provided for
warranty claims are still unfulfilled. The principal may
then retain a corresponding portion of the security for
those contractual performance claims.
(2) The principal must return any unused security for
warranty claims after two years, unless another date
has been agreed for the return. However, if asserted
claims have not yet been fulfilled at such time, the
principal may retain a corresponding portion of the
security.

Disputes
If the prerequisites for an agreement on jurisdiction
exist in accordance with 38 of the Civil Procedure
Code, the jurisdiction for disputes arising out of the
contract shall be the registered office of the party
responsible for the legal representation of the principal,
unless stipulated otherwise. The contractor must be
informed of the venue upon request.
(1) If disputes arise with respect to contracts with an
administrative agency, the contractor shall initially
appeal to the agency immediately superior to the
contracting agency. Such agency shall then give the
contractor the opportunity for a hearing and decide in
writing within two months after the appeal as possible,
referring to the legal consequences in Sentence 3. The
decision shall be considered as acknowledged if the
contractor does not file a further written appeal with the
principal within three months after receipt of the notice
of the decision, provided such notice informed the
contractor of the preclusive period.

(2) Mit dem Eingang des schriftlichen Antrages auf
Durchfhrung eines Verfahrens nach Absatz 1 wird die
Verjhrung des in diesem Antrag geltend gemachten
Anspruchs gehemmt. Wollen Auftraggeber oder
Auftragnehmer das Verfahren nicht weiter betreiben,
teilen sie dies dem jeweils anderen Teil schriftlich mit.
Die Hemmung endet 3 Monate nach Zugang des
schriftlichen Bescheides oder der Mitteilung nach Satz
2.
Daneben kann ein Verfahren zur Streitbeilegung
vereinbart werden. Die Vereinbarung sollte mit
Vertragsabschluss erfolgen.
Bei Meinungsverschiedenheiten ber die Eigenschaft
von Stoffen und Bauteilen, fr die allgemein gltige
Prfungsverfahren bestehen, und ber die Zulssigkeit
oder Zuverlssigkeit der bei der Prfung verwendeten
Maschinen oder angewendeten Prfungsverfahren
kann jede Vertragspartei nach vorheriger
Benachrichtigung der anderen Vertragspartei die
materialtechnische Untersuchung durch eine staatliche
oder staatlich anerkannte Materialprfungsstelle
vornehmen lassen; deren Feststellungen sind
verbindlich. Die Kosten trgt der unterliegende Teil.
Streitflle berechtigen den Auftragnehmer nicht, die
Arbeiten einzustellen.
(2) Upon receipt of the written petition for proceedings
in accordance with item (1), the statute of limitations for
the claim asserted in the petition shall be suspended. If
either the principal or the contractor no longer wants to
proceed further with the case, the one party shall inform
the other thereof in writing. The suspension of the
statute of limitation shall cease three months after
receipt of the written notice on the decision or the notice
in accordance with Sentence 2.
In addition, dispute resolution proceedings may be
agreed upon. The agreement should be made upon the
closing date of the contract.
In the event of disputes regarding the quality of
materials and construction components for which
generally applicable testing procedures exist and
regarding the permissibility or reliability of the
machinery used in the testing or testing procedures
applied, either party may have a technical investigation
of the material conducted by a state or state-accredited
material testing agency after providing prior notice to
the other party; the findings of such agency shall be
binding. The costs shall be borne by the losing party.
Disputes shall not entitle the contractor to suspend the
work.
