MEN'S GOLF ASSOCIATION OF TAMPA BAY

GOLF AND COUNTRY CLUB BYLAWS

ARTICLE 1: NAME
The name of the organization shall be Men's Golf Association of Tampa Bay
Golf and Country Club.

ARTICLE 11: OBJECTIVES


Section 1: To promote golf and other social activities for Association members

Section 2: To cooperate with the management team of the Tampa Bay Golf and
Country Club to promote good sportsmanship and to enjoy the fellowship
of other golfers.

ARTICLE 111: MEMBERSHIP


There will be two (2) types of membership in the Association:

A. Full Membership: Every male property owner who is a Member in good standing of
the Tampa Bay Golf & C.C. Master/Community Association, aged 45 or older, of
Tampa Bay Golf and Country Club shall be eligible for full membership subject to
the following requirements:
Section 1: The payment of annual dues as described in Article IV.

Section 2: Acceptance of membership in the Association shall be evidence


that the holder binds himself to all provisions of the Bylaws and accepts and
enforces the decisions made by and within the jurisdiction of the Board of
Directors of the Association.

Section 3: Full membership in the Association shall entitle the holder to one
(1) vote on a ballot (including an absentee ballot) as solicited in the conduct
of the affairs of the Association. This provision does not give any member
the right to vote at a meeting of the Board of Directors of the Association,
except as a member of the Board.

B. Associate Membership
Male temporary residents, aged 45 or-older of Tampa Bay Golf and Country
Club shall be eligible for a nonvoting associate membership subject to the
following requirements:

Section 1a: Temporary residents who have playing privileges


through their rental property agreement are eligible, providing
the property owner is a Member in good standing of the
Tampa Bay Master/Community Association.

Section 2: Acceptance of membership in the association shall be


evidence that the holder binds himself to all provisions of the
Bylaws and accepts and enforces the decision made by and within
the jurisdiction of the Board of Directors of the Association.

Section 3: Associate membership in the Association shall entitle the


holder to participate in all tournament play.

Section 4: To be eligible to compete for prizes in weekly tournament play,


Associate Members must provide a verifiable golf handicap, or develop a
Tampa Bay Golf and Country Club handicap by posting a minimum of
three (3) eighteen holes scores.

Section 5: The payment of annual dues needed to support the Association


is due by January 31sl.

ARTICLE IV: DUES AND TERMS


Section 1: The annual dues shall be $30.00, due upon joining,
and renewed by January 31st of each succeeding year of
membership.

Section 2: The Fiscal year of the Association shall be from


January 1 to December 31, inclusive.

ARTICLE V: MEETINGS
The Annual meeting of the Association membership shall be
conducted on the first Thursday of December.

Section 1: General meetings of the Association shall be held in


February, April and October.

Section 2: Special meetings of the Association may be called to


conduct specific matter of business when approved by a
majority of the Board of Directors.

Section 3: The Board of Directors shall meet on a monthly basis at the


discretion of the President.

Section 4: The President, or Vice President when directed by the


President, shall preside at all meetings of the Association.

Section 5: Business in all meetings of the Association will be conducted in


accordance with the Robert's Rules of Order and the Bylaws of the
Association with the latter having precedence over the former.

ARTICLE VI: OFFICERS


The officers shall be President, Vice President, Secretary and
Treasurer.

The President shall be the Chief Executive Officer of the Association and
Chairman of the Board of Directors. The President shall preside at all
meetings of the Board of Directors and the membership. He shall cooperate
with the management of the Tampa Bay Golf and Country club in all
manners pertaining to the golf course. However, he shall be allowed to
delegate this responsibility to another member of the Board.

(a) The President shall recruit and appoint the chairmen of all working
committees.
(b) In the absence of the Treasurer, the President shall disburse such funds as
are necessary for the proper operation of the Association.
(c) The President shall deliver to his successor all records in his
possession at the first meeting of the new Board following the annual
meeting.

Section 1: The Vice President, in the absence of the President, shall perform the duties
of the President. He shall assist the President, whenever called upon, in
promoting the activities of the Association.

Section 2: The Secretary shall keep a permanent record of all meetings of the
Association and record same in the Minutes Book. He shall give a
report of such meetings whenever requested by the President of the
Board. The Secretary shall deliver the Minutes Book, and other
records in his possession, to his successor at the first meeting of the
new Board following the annual meeting.

Section 3: The Treasurer shall hold and disburse all funds of the
Association as directed by the President. The Treasurer shall keep
permanent records of all financial transaction and report the same to the
Board at regular meetings.

The Treasurer shall pay bills up to fifty dollars ($50) and others authorized by the Board and
signed by the President. He shall have an audited financial statement at the end of the fiscal
year. The Treasurer shall deliver to his successor all records and money of the Association in
his possession at the first meeting of the new Board following the annual meeting.

Section 4: All elected officers of the association must be a year round


resident of Tampa Bay Golf and Country Club.

Section 5: The elected officers' terms shall be from January 1 to


December 31.

ARTICLE VI1: BOARD OF DIRECTORS


Section 1: The Board will consist of the four (4) elected officers of the
Association and the chairmen of the standing committees. The immediate
past President, at his discretion, may serve on the Board of Directors without
a vote.

Section 2: A quorum will consist of a majority of the Board, The President or


Vice President must be present to conduct such a meeting.

Section 3: Should a vacancy occur on the elected Board, the President shall
make an appointment to fill the vacancy for the unexpired term. The selectee
shall stand for confirmation at the next membership meeting.

ARTICLE VIII: ELECTIONS


Section 1: Candidates for the offices of President, Vice President,
Secretary and Treasurer shall be selected from the membership.

Section 2: A Nominating/Election Committee of three (3) members shall be


named by the President no less than (60) days prior to the annual meeting in
December. No member of the current Board is eligible to serve on the
Nominating/Election Committee and shall not participate in the deliberations
of the Committee.

Section 3: The Nominating/Election Committee shall post a slate of officers


for the ensuing year forty-five (45) days prior to the annual meeting. After
posting, any person who would like to be a candidate may be nominated by
presenting his name in writing to the Nominating/Election Committee. Those
names will be added to the posted listing. The total slate will be posted thirty
(30) days prior to the annual meeting, and nominations will be closed. A
ballot listing all the nominees will be prepared by the committee for election
at the annual meeting. Absentee ballots may be obtained from the Chairman
of the Nominating/Election Committee, only by the member requesting said
ballot. The ballot shall list all elected offices and candidates shall be listed in
alphabetical order for each office.

ARTICLE IX: COMMITTEES


Section 1: The Tournament Committee Chairman shall serve on the Board
of Directors. He shall recommend to the Board, an annual schedule of events
and entrance fees to be sponsored or administer by the Association. To
accomplish the Association's responsibilities in connection with the events
and so doing coordinate where necessary with the other Associations or
Committees of the club.

Section 1a: To be eligible for participation in the major tournaments


sponsored by the Men's Golf Association, a member must have (3) posted
scores from regular Thursday play in the immediate twelve (12) months
preceding such event. Handicap not exceeding forty (40), or present USGA
handicap from another club.

Section 1b: An exception to this eligibility requirement may be


established by the Tournament Chairman for Club Championship play
only.

Section 2: The Rules Committee Chairman shall be a member of the Board


of Directors. He shall maintain current rules for play at Tampa Bay Golf and
Country Club in accordance with the USGA Rules, by announcing any
options permitted; establishing Ground Under Repair, etc.; and announcing
any other local rules as are required and to hear and adjudicate any rules or
disputes brought before him.

Section 3: The Handicap Committee Chairman shall serve on the board of


Directors. For all events sponsored or administered by the Association in
which handicaps are to be employed, the handicaps approved by the
Association Handicap Committee shall be the only handicap accepted.

Section 4: The Course Maintenance Chairman shall serve on the Board of


Directors. He will monitor golf course conditions, work with rules committee
and the Club Pro to adjust local rules where appropriate.

Section 4a: Provide input to golf course Superintendent, to insure the best
possible playing conditions for the Association Tournament play and to
provide feedback to the Association membership when their assistance is
required to maintain optimum playing conditions.

Section 5: The Membership Committee Chairman shall serve on the board


of Directors. He shall provide membership information for the Men's Golf
Association to all new residents, (e.g. dues, handicap requirements,
tournament schedules, local rules, etc.).

Section 5a: Publicize information related to the Men's Golf Association


Activities (e.g. meetings, tournament winners, holes-in-one, low scores,
etc.) in all appropriate communication outlets.

ARTICLE X: AMENDMENTS
Section 1: These Bylaws may be amended by a majority vote of the entire
Board.

Section 2: Such amendments approved by the Board must be ratified by a


majority vote of the members attending the next General or Special meeting of
the Association.
