Shorttitle 1. ThisActmaybecitedastheEnergyRegulationAct.
Interpretation 2. InthisAct,unlessthecontextotherwiserequires
"Board"meanstheEnergyRegulationBoardestablishedunder
sectionthree
"commoncarrier"means
(a) anelectricitytransmissionordistributionline
(b) a pipeline for the conveyance of crude oil, petroleum
productsornaturalgasand
(c) anyother facility, installationor structure,used forthe
processing, storage or conveyance of energy or fuel,
thattheMinister,bystatutoryinstrument,prescribes
"energy"means
(a) petroleumandpetroleumproducts
(b) coalanditsderivatives
(c)firewood,charcoalandotherwoodderivatives
(d) uraniumorothernuclearfuel
"inspector"meansapersonappointedundersectionfour tobe
aninspectorforthepurposesofthisAct

"undertaking"meansanycommercialundertaking,whether
publicorprivate,for
(a)theproduction,generation,transmission,distributionorsupply
ofenergy
(b)themanufacture,refining,transportation,storageor
supplyoffuelor
(c)themanufacture,distributionorsupplyofequip
mentusedforanyactivitymentionedinparagraph
(a) or(b),otherthananysuchequipment
(i)designedforordinaryhouseholduse
(ii)ofadesignortypeprescribedbytheMinister
bystatutoryinstrumentor
(iii)designedorusedforapurpose,orinsuch
circumstances,asmaybesoprescribed
but does not include an undertaking which the Minister, by statutory
instrument,declaresnottoconstituteanundertakingforthepurposesof
thisAct.

THEENERGYREGULATIONBOARD
(2)TheprovisionsoftheScheduleshallapplyinrespectoftheBoard
anditsmembers.
5.(l)Inordertoensurecompliancewiththeprovisionsofthis Inspectors
Act,asufficientnumberofpersonsshallbeappointedundersectionfour
asinspectorsforthepurposesofthisAct.
(2)Everyinspectorshallbeprovidedwithacertificateofappointment
containing such particulars as the Board may determine, and in the
exercise of any powers of the inspector under this Act, the inspector
shall produce the certificate for inspection by any person reasonably
requiringitsproduction.

Functions of
theBoard 6. (1)TheBoardshall
(a)monitortheefficiencyandperformanceofundertakings,having
regardtothepurposesforwhichtheywereestablished
(b) receive and investigate complaints from consumers on price
adjustments made, or services provided, by any undertaking,
and regulate such adjustments and services by the attachment
ofappropriateconditionstolicencesheldbyundertakings
(c) receive and investigate complaints concerning the location or
construction of any common carrier or any energy or fuel
facilityorinstallationorthecarryingoutof any worksbyany
undertaking, and regulate such location and construction by
the attachment of appropriate conditions to licences held by
undertakings
(d) in conjunction with the Zambia Competition Commission
established bythe Competition and Fair Trading Act,monitor
the levels and structures of competition within the energy
Cap.417 sector witha viewtopromoting competitionandaccessibility
to any company or individual who meets the basic
requirementsforoperatingasabusinessinZambia
(e)inconjunctionwiththeZambiaStandardsBureauestablishedby
theStandardsAct,designstandardswithregardtothequality,
safetyandreliabilityofsupplyofenergyandfuels

if) in conjunction with other Government agencies, formulate
measures to minimise the environmental impact of the
production and supply of energy and the production,
transportation, storage and use of fuels and enforce such
measures by the attachment of appropriate conditions to
licencesheldbyundertakingsand
(g)makerecommendationstotheMinisterastothemeasures
tobetakenthroughregulationstobemadeunderthisAct.
(2) The Board shall have and may exercise and perform such other
powersandfunctions asare conferredorimposedonitbyorunderthis
Actoranyotherwrittenlaw.

LICENSINGOFCERTAINUNDERTAKINGS
8.(1)Apersonshallnotestablishoroperateanundertakingexceptin Undertakings
tobelicensed
accordance with this Act and under the authority of a licence issued
underthisAct.
(3) The Board shall first determine whether, in its opinion, there is
anyreasonwhytheapplicationshould,inthepublicinterest,berejected
withoutfurtherproceedingsunderthissection.
(4) Except where the Board decides to reject the application in the
public interest, the Board shall cause a notice to be published in the
Gazette
(a) indicating the receipt of each licence application and giving a
description of the nature and location of the proposed
undertaking
(b)informingmembersofthepublicthattheapplicationmay
beinspectedattheofficesoftheBoardand
(c)invitinganymemberofthepublicwhoobjectstothegrantingof
the licence, whether on personal, environmental or other
grounds, to lodge an objection with the Board within a time,
beingnotlessthanthirtydays,limitedbythenotice.

(5)TheBoardshallallowanypersontoinspect,orfurnishanyperson
withacopyof,anapplicationforalicence,onpaymentbythepersonof
suchfeeasmaybeprescribedbytheMinisterbystatutoryinstrumentin
respectofthecostsofsuchinspectionortheproductionofsuchacopy.
(2)Anobjectorshallbeentitledtolodgesuchwrittensubmissionsand
evidenceastheobjectordesirestofurnishinsupportoftheobjection.

(4) The Board shall furnish the applicant for the licence with
particulars of any objection made to the grant of the licence, and the
applicantmay, if he or she so desires, reply to the objection inwriting
addressedtotheBoard.
Determination 11.(1)Indetermininganyapplicationforalicence,theBoard
ofapplications
shalltakeintoaccount
(a)theextenttowhichthepublicinterestwillbeservedbythe
undertakingtowhichtheapplicationrelatesand
(b)themeritsofanyobjectionmadetothegrantofalicencein
pursuanceofanapplication.
(2) The Board may, if it thinks fit, convene a meeting with the
applicantandanyobjectorstodiscusstheapplicationandifthenumber
of objectors is large, or if the Board considers that the circumstances
warrant such action, the meeting so convened may be opened to the
public,butineither casetheprocedureat any such meeting shallbe as
theBoardmay,initsabsolutediscretion,determine.
(2)Theconditionsofalicencemayincludeconditions
(a)requiringthepaymenttotheBoardofafeeongrantofthe
licenceandofannualorotherperiodiclicencefees:
Providedthatnosuchfeeshallexceedonehalfofonepercentumof
the annual turnover of the undertaking, except with the consent of the
Minister
(b) making provision with respect to the fees and and charges
imposedinrespectof energy,fueloranyservicetobeproved
in the course of the licensed undertaking, and the adjustment
ofsuchfeesandcharges
(c) requiring the publication by the licensee of notices specifying
the method of calculating or otherwise determining any
chargesreferredtoinparagraph(b)

13. Subject to this Act, a licence remains in force for the period Duration
oflicences
specifiedinthelicenceandmayberenewedonitsexpiryonpaymentto
theBoardofsuchfee asmaybe determinedbyorunderthe conditions
ofthe licenceor, indefaultof suchdetermination,astheMinistermay,
bystatutoryinstrumentprescribe.

14. (1) Any purported transfer of a licence shall be void and of no transferable
effectunlesstheconsenttheretooftheBoardwasfirstobtained. exceptwith
Board's
consent
(2)TheBoardshallconsenttoany suchtransferunlessithasreasonto
believe that the public interest is likely to be prejudiced by the
transaction.

(2)Wherealicenseeisindefault,theBoard,withtheconsentof
theMinister,may
(a) bynoticeinwritingtothelicensee,revokethelicenceor
(b) refusetorenewthelicenceonitsexpiry.
(3)TheBoardmay,withtheconsentoftheMinister,refusetorenew
a licenceif the Board isof theopinion that the serviceprovided under
thelicenceisnolongernecessaryinthepublicinterest.
Appeal 16.(1)Anypersonaggrievedbytherevocationofalicence,orbythe
Board'srefusaltorenew,orapproveatransferof,alicence,mayappeal
to the Minister within a time and in the manner prescribed by the
Ministerbystatutoryinstrument.
(3)TheMinister'sdecisiononanappealshallbefinal,subjectonlyto
anappealtotheHighCourtonapointoflaw.

OTHERPOWERSOFTHEBOARD
to the satisfaction of the Board, any plant and equipment used for the
purposesoftheundertaking.
(3) The costs to the Board of any action under subsection (2) are
recoverable, as a debt due to the Board, in any court of competent
jurisdiction.
Powers of
18. (1) For the purposes of this Act, an inspector may, at any rea inspectors
sonable time, enter any area, place or premises that the inspector rea
sonably believes is used for the purposesof, or inconnection with, an
undertaking, including any area, place or premises believed to be used
only for the storage of equipment or for the keeping of any accounts,
documentsorrecordsrelatingtosuchanundertaking:
Providedthatthissectionshallnotbetakentoauthoriseentryintoany
premisesor partthereofthatisbeingused as a privatedwellingexcept
with the consent of the occupant or under the authority of a warrant
issuedinaccordancewithlaw.
(4)Withoutlimitingthegeneralityoftheforegoingprovisionsof
thissection,theinspectormay
(a)directthepersoninchargetoproduceforinspectionany
substanceorarticlesmanufactured,producedorstoredon
thepremises,oranybooks,accountsorrecordskeptthere
(b)takesamplesofanysuchsubstanceorarticles,andmake
copiesofortakeextractsfromanysuchbook,accountor
record
(c)inspectmachinery,equipment,appliances,meters,fittings,
andapparatusand .
(d)inspectanycommoncarrier,facility,plantorinstallation.
Obstruction of
19.Apersonwho Inspector
(a)willfullydelaysor.obstructsaninspectorintheexerciseor
performanceoftheinspector'spowersandfunctions
(b)refusestogiveaninspectorsuchreasonableassistanceas

theinspectormayrequireforthepurposeoftheexerciseofthe
inspector'spowersunderthisActor

(c)knowinglyornegligentlygivesaninspectorfalseormisleading
informationinanswertoanyinquirymadebytheinspector
shallbeguiltyofanoffenceandshallbeliableuponconvictiontoafine
notexceedingonehundredthousandpenaltyunitsortoimprisonment
foratermnotexceedingfiveyears,ortoboth.

FINANCIALPROVISIONS
(2)TheBoardmay
(a) acceptmoneysby way ofgrantsor donations fromany source
in Zambia and, subject to the approval of the Minister, from
anysourceoutsideZambia
(b)subjecttotheapprovaloftheMinister,raisebywayofloansor
otherwisesuchmoneysasmayberequiredforthedischargeof
thefunctionsoftheBoardand
(c)chargeandcollectfeesinrespectofprogrammes,seminars
andotherservicesprovidedbytheBoard.
(3)ThereshallbepaidfromthefundsoftheBoard
(a)grantswhichhavebeenreceivedbytheBoardforthepurposes
ofanyparticularorganisationoranybranchofany
organisation
(b)allowancesofthemembersoftheBoard
(c)salariesofthefulltimemembersoftheBoard
(d)salaries,loansandothercostsofthestaff oftheBoardand
(e)anyotherexpensesincurredbytheBoardintheperfor
manceoftheBoard'sfunctions.
Applicationof
licencefees,etc.
21. (1) Amounts payable as fees under this Act shall be paid to the
generalrevenuesoftheRepublic.
(2) Moneys paid to the general revenues under this section shall be
appliedtothedevelopmentoftheenergysectorinZambia.

22. The financial year of the Board shall be the period of twelve Financialyear
monthsendingon31stDecemberineachyear.
23.(1)TheBoardshallcausetobekeptproperbooksofaccountand Account
s
otherrecordsrelatingtoitsfinancialaffairs.
(2)TheaccountsoftheBoardforeachfinancial yearshallbeaudited
byauditorsappointedbytheBoardwiththeapprovaloftheMinister.
24.(1)Assoonaspracticable,butnotlaterthansixmonthsafterthe Annualreport
expiry of each financial year, the Board shall submit to the Minister a
reportconcerningtheactivitiesoftheBoardduringthatfinancialyear.
(2)Thereportshallincludeinformationonthefinancialaffairsof
theBoard,andthereshallbeappendedtothereport
(a) anauditedbalancesheet
(b) anauditedstatementofincomeandexpenditureand
(c)suchotherinformationastheMinistermayrequire.
(3)TheMinistershall,notlaterthantwentyonedaysafterthefirst
sittingoftheNationalAssemblynextafterthereceiptofthereport,layit
beforetheNationalAssembly.

MISCELLANEOUS
25.(1)Exceptasrequiredbylaw,orwithconsentinwritinggivenby Unauthorised
publicationor
oronbehalfof theBoard, a personshallnotpublish or disclose to any disclosureof
other person the contents of any document or communication, or any information
otherinformation,which relatesto,andwhich has cometotheperson's
knowledgein the course of,the performance by theperson of any duty
underthisAct.
(2)Apersonhavinginformationthathasbeenpublishedordisclosed
to the person in contravention of this section shall not publish or
communicateittoanyotherperson.
(b)byleavingitattheusualorlast knownplaceofabodeof
thatperson
(c)bysendingitinaprepaidregisteredletteraddressedtothat
personattheperson'susualorlastknownplaceofabode,
placeofbusinessorpostaladdress
(d)inthecaseofacompany,bydeliveringittothesecretaryofthe
companyatitsregisteredorprincipaloffice,orbysendingitin
a prepaid registered letter addressed to the secretary of the
companyatthatofficeor
(e)where
(i)henoticeistobegiventoapersonintheperson's
capacityastheholderofanyinterestinlandor
(ii)itisnotpractical,afterreasonableinquiry,toascertain
theperson'snameoraddress
by addressing the notice to the person having that interest in
the premises (specifying the premises and the interest
concerned) and by delivering it to some person on the
premises,orif thereisno personon thepremises towhom it
can be delivered, by affixing it, or a copy of it, to some
conspicuouspartofthepremises.
(2)Withoutlimitingthegeneralityofsubsection(1),regulations
mayprovideforthefollowingmatters:
(a)theformandmannerofmakingapplicationsforlicences
andofobjectionstheretoandthefeespayableonanysuch
applicationorobjection
(b)standardswithregardtothequality,safetyandreliabilityof
supplyofenergyandfuelsandrelatedinstallations
(c) securing the safety of the public from personal injury or
damage toproperty arising fromthe production, transmission,
transportation, transformation, storage, distribution, supply or
useofenergyorfuel
(d)reportingofandinquiriesintoaccidentsinvolvingtheoper
ation of any undertaking or associated plant, equipment or
vehicles:
Providedthat,intheapplicationofanyregulationsunderthissectionto
anundertakingforthegeneration,transmission,distributionorsupplyof
electricity,suchregulationsshallhaveeffectsubjecttotheprovisionsof
Cap.433 theElectricityAct,andtheregulationsmadethereunder.

(3) Regulations made under the provisions of this Act may provide
thatpersonsoffendingagainsttheregulationsshallbeliabletoafinenot
exceedingonehundredthousandpenaltyunits.
Savingsand
28. (1)Anyundertakingthatwaslawfullybeingoperated transitional
provisions
(a) immediately before the commencement of this Act, under a
statutorylicenceorotherstatutoryauthoritythatwasissuedin
pursuance of anapplicationmadebefore thedate referred to
inparagraph(b) or
(b)immediatelybeforethedateonwhichtheBillforthisAct
wasintroducedintotheNationalAssembly
maycontinuetobeoperatedafterthisActcomesintoforce
withoutalicenceunderthisAct:
Providedthat:
(i) where, before the commencement of this Act, the undertaking
was operated under a statutory licence or other statutory
authority, that licence or authority shall be deemed to be a
licenceunderthisActand
(ii)where, before the commencement of this Act, the undertaking
was lawful without any licence or authority, the undertaking
may be operated without a licence under this Act only for so
longasitremainsinthesameownership.
SCHEDULE
(Section3)
THEBOARDANDMEMBERSOFTHEBOARD
1.(1)TheBoardshallbeapermanentbodyconsistingofthreefulltime Constitution of
membersandfourparttimemembersappointedbytheMinister. theBoard
(2)Ofthefulltimemembers
(a)oneshallbeapersonwho,intheopinionoftheMinister,has
adequate
knowledgeandqualificationsrelatingtotheelectricityindustry
(b)oneshallbeapersonwho,intheopinionoftheMinister,has
adequate
knowledgeandqualificationsrelatingtothepetroleumindustry
and
(c) one shall be a person who, in the opinion of the Minister, has
adequateknowledge and qualifications relating to the supply of
otherformsofenergyand
fuels.
(2)ApersonshallnotbeappointedasamemberoftheBoardifheor
she
(a)isanundischargedbankrupt
(b)hasbeenconvictedofanoffenceunderthisAct
(c)hasbeenconvictedofanoffenceinvolvingfraudor
dishonesty
(dhasbeenconvictedofanyotheroffenceandsentencedtoaterm
ofimprisonmentofnotlessthansixmonthsor
(e)istheholderofalicenceorhasanyinterestinalicenceorina
partnershiporcorporationthatistheholderofalicence.

(3) One of the parttime members shall, in and by the terms of the
member's appointment or otherwise in writing signed by the Minister,
beappointedasChairmanoftheBoard.
Term of office 2.(1)AmemberoftheBoardshall,subjecttotheprovisionsofthisSchedule,hold
andvacancy officeforatermofnotmorethanthreeyears.
(2)AmemberoftheBoardshallbe eligibleforreappointmentupontheexpiryofthe
originaltermofoffice.
(3) Upon the expirationof the term for which a member is appointed, the member shall
continuetoholdoffice untilasuccessor has beenappointed,butinno caseshall any such
extensionofthetermexceedthreemonths.
(4)Theofficeofamembershallbevacated
(a) uponthemember'sdeath
(b)ifthememberisadjudgedbankrupt
(c)ifthememberisabsentfromthreeconsecutivemeetingsoftheBoardwithout
thepriorapprovaloftheBoard
(d) upontheexpiryofonemonth'snoticeofthemember'sintentiontoresignfrom
office,givenbythememberinwritingtotheMinister
(e)upontheexpiryofonemonth'snoticeofthemember'sremovalgiventothe
memberinwritingbytheMinister
if)ifthememberbecomesmentallyorphysicallyincableofperformingtheduties
ofamemberoftheBoard(g)ifthememberisconvictedofanoffenceunderthis
Act(h)ifthememberisconvictedofanoffenceunderanyotherwrittenlawand
sentencedtherefortoimprisonmentforatermofsixmonthsormoreor
(i)ifthememberbecomestheholderofalicenceoracquiresanyinterestina
licenceorinapartnershiporcorporationthatistheholderofalicence.
Committees 4.(1)TheBoardmay,forthepurposeofperformingitsfunctions,establishcommittees.
(2)TheBoardmayappointapersonasamemberofacommitteewhetherornotthe
person is a member of the Board, and any person so appointed shall hold office for such
periodastheBoardmaydetermine.
(3)SubjecttoanyspecificorgeneraldirectionoftheBoard,acommitteemayregulate
itsownprocedure.
(4)EachcommitteeshallkeepminutesofitsmeetingsandshallkeeptheBoardinformed
ofitsactivitiesandshallconductitsproceedingsinsuchmannerastheBoardmaydirect.
(5)Meetingsofacommitteeshallbeheldatsuchtimesandplacesasthecommittee
maydetermineorastheBoardshalldirect.
Remuneration 5.AfulltimememberoftheBoardshallbepaidsuchsalary,allowancesandother
benefitsasmaybedeterminedbyanagreementgoverningthetermsofthemember's
appointment.

6.AparttimememberoftheBoardandamemberofanycommittee Allowances
oftheBoardshallbepaidsuchtravellingandsubsistenceallowancesas
theBoard,withtheapprovaloftheMinister,maydetermine.
Disclosure of
7.ApersonwhoispresentatameetingoftheBoardoranycommittee interest
oftheBoardandwhoisdirectlyorindirectlyinterestedinamatterthat
is the subject of consideration at the meeting shall, as soon as is
practicableafterthecommencementofthemeeting,disclosetheinterest
andshallnot,unlesstheBoardorthecommitteeotherwisedirects,take
part in any consideration or discussion of, or vote on, any question
touchingthatmatter.
8.Noactionorotherproceedingshalllieorbeinstituted againstany Immunityof
memberoftheBoardoracommitteeoftheBoard,oranymemberofthe Boardand
staffoftheBoard,fororinrespectofanyactorthingdoneoromittedto staff
be done in good faith in the exercise or performance, or purported
exerciseorperformance,ofanyoftheirpowersor functionsunderthis
Act.
9.AnycontractorinstrumentwhichtheBoarddesirestoenterintoor Authentication
makeshallbeexecutedunderthehandsoftheChairman andoneother ofdocuments
memberauthorisedbytheBoard.
