1. To execute and sign on our behalf the deed of extra-judicial settlement

with simultaneous waiver and/or quitclaim, with special power of
attorney.

2. To execute and sign on our behalf the deed of sale of the estate of our
deceased mother, ZENAIDA ENRIQUEZ ABELLA and other
documents related thereto.

2. To negotiate and sell our property described under Transfer

Certificate of Title No. 253281 registered under the name of our
deceased mother, ZENAIDA ENRIQUEZ ABELLA, consisting of
77.86 square meters and located at 858 MF Jhocson St., Sampaloc,
Manila;

2. To execute the necessary Deed of Sale and to sign in my behalf thereto;

3. To receive the proceeds of said sale and to sign receipt thereto;

4. To do and perform any other act as may be necessary to carry out

effectively the authority hereby given.

HEREBY GIVING AND GRANTING unto said attorney-in-fact full power

and authority to do and perform all and every act requisite or necessary to be done
to carry into effect the foregoing authority, as we might or could lawfully do if
personally present, with full power of substitution and revocation, and hereby
ratifying and confirming all that of attorney-in-fact or their substitute shall
lawfully do or cause to be done by virtue of this Special Power of Attorney.
