RULES & REGULATIIONS OF MAHILA VIKASH, ARBOD,


DIST-UPADA, ORISSA, INDIA

3. To promote community health programs, Mobilize health services
and to extend primary health services to all poorer and needy sections
particularly women and children in the society.
4. To promote literacy among all sections including the women and
differently able persons. To improve and enhance the educational
standard if the people as a whole by learning education with
profession and by way of living through different education systems
such formal/non-formal workers education, adult education,
Balwadis and anganwadis particularly the weaker and vulnerable
sections of the society.
5. To impart vocational training both on art and craft and other socio
economic related issues of the poor and needy women, differentially
abled, unemployed educated particularly women on food processing,
food conservation, food preservation, tailoring, bamboo work and
other vocational trades addressing the issues of the area.
6. To promote Khaddi and Small Scale Cottage Industry and other
traditional village industry and undertake activities to promote co-
operative movement in the state of Orissa.
7. To organize various workshops, seminars, symposiums and
discussions particularly based on present socio-economic problems.
It shall create a sense of awareness among the people by eliminating
the traditional age old prejudice by creating a sense of morality,
social values and social Justice. TO conduct the programme in collaboration
with individual, government and non-government agencies of state,
national and international agencies.
8. To publish research papers, reports, journals etc and to prepare and
disseminate communication materials such as audio visuals and
other digital shooting aids for furtherance of objective of the institute.
9. To fight for justices and equality for all vulnerable sections of the
society of human right issues. To provide legal services to the poor
and ignorant of the society and organize legal aid camps in different
parts of the society. To establish family counseling centers & other
centers in the different parts of the society for the betterment of the
family.
10. To initiate and establish in a legal resource centre of women and
children in the state.
11. To undertake activities to tap none-conventional energy and protect
environment and ecosystem like global warming, carbon sink and
eco-ethics from the deteriorating condition, of the present world. To
make aware the people on social forestry and forest protection and
its importance‘s on forest preservation through and other environmental
protection majors for environmental up- keeping of environment.
12. To undertake various short term and long-term perspective research
and developmental training programme shall be carried on various
issues like tribal & dalit women and children and some other social
matters related to social problems on scientific method and
undertake training programme for people and other NGOs.
13. To provide / prepare /plan /undertake for resource support and
training facilities for women and women volunteers, office bearers,
employees coordinators, executives of voluntary organization,
commercial houses Govt. and semi Govt. organization and co-
operative societies, commercial and indusrial houses enaged
and proposed to be engaged in women and women development
activities or supported by them.
14. To conduct research, study, discussion, training programme and
organize workshop, seminars, conference to take up participatory
action on:
a) Women &policies
b) Women, law, health & environment/ forest
c) Women rights, Development, Culture
d) Women & Panchayat Raj Institution, Education and
Enterprise.
e) Women in crisis & women in gender & Development
f) Women and political rights.
15. To provide livelihood support to the poor and down trodden by way of
training, Infrastructure development, land development, water
harvesting structures and financial support for small and medium
scale enterprise.
16. To promote self help initiatives by formation of self help group
federation, cooperatives and micro finance.
17. To impart training and promote collection, processing and marketing
of Non timber forest products.
18. To work for the prevention, control and care of STI/RTI/HIV/AIDS, Land
rights & other legal issues.
19. To work for the prevention and treatment of communicative diseases
like TB, leprosy etc.
20. To prevent trafficking/ trauma/ other social victims counseling
center and support trafficked women and children & providing them
shelter through setting up of rehabilitation centers for trafficked &
other victims.
21. To prevent migration through sustainable livelihood support system
and alternative income generation activities and linkage with
Government and inform people about National Rural Employment
Guaranty Act.
22. To ensure safe drinking water and sanitation.
23. To initiate micro insurance for the self Help Group members and the
poor.
24. To borrow or to raise or secure funds by offing of bonds, securities for
onward ending/supporting to self help group/ individuals
entrepreneurs, SHPIs within the purview of prescribed conditionally
or in such manner as the society shall deem fit.
25. To work for the development of the society and students by the use
of science and technology through networking, linage and students by
the use of science and technology through networking, linkage and
support from Department of science and technology and other
National & International Organizations.
26. To establish, maintain and manage halls and hotels for children,
women, working women, researchers, employees, trainees, invitees
and guests.
27. To set up rehabilitation centers for the HIV/AIDS infected persons in
Orisaa.
28. To make rules & bylaws of the conduct of the affairs of the society
and to add and to amend very or rescind them.
29. To constitute such committee or committees as the society may
deem fit for the disposal or any of the disposal of any of the business or
such matters as the society may like to be advised.
30. To do all such lawful things as the society may deem fit for
attainment for all or any of the objects.

We the undersigned are desirous of reforming a society named as “MAHILA
VIKASH” in pursuance of this memorandum of the association and we
believed that the facts stated above are true to the best of our knowledge.

MEMBERSHIP
A. Eligibility of Membership
(a) In considering an application for membership any citizen of India
not below than the age 18 years Shall be eligible to be a member of
the society if accepted by the governing board.
(b) All applications for membership shall be disposed of by
Governing Body of Mahila Vikash, the applications are to be
addressed to the chair person who will also subsequently place in
the Governing Body for approval.
2. Category of Membership’ and Their Power.
3. Annual Membership:
Any person who is fulfilling the eligibility of membership on
payment of Rs.10.00 as admission fees and Rs.100.00 as
annual member's subscription may become an annual
member of the society with the of the; Governing Body. An annual
member is empowered.
4. Person who is fulfilling the eligibility of membership of payment of
Rs 2,000.00 as life member subscription may become a life
member of the society with the approval of the Governing Board
5. Patron:
Any person who is fulfilling the eligibility of a patron membership on
payment of Rs. 2.000.00 as patron subscription may became
member of the society with the approval of the: Governing Body. A
patron has empowered to attend all the meeting of the General Body and
also attend any other meetings of the society if he is invited specially.
6. Termination of Membership:
i. By resignation or death.
ii. But default of payments of subscription for one year or of any
other dues payable to the society.
iii) If a member is -convicted of any of offences involving moral
turpitude by competent court.
iv) If a member is adjudge by a competent court to be of un-sound
mind or round to ,be .engaged in a criminal activity considered
unfit for membership
v) If a member fails to attain three committee meeting of the
General body/Governing body.
vi) By causing harm to the society and if it is proved by the
Governing Body and approved by he general body or disability.

7. Finances and Working Year


The finances and forking year of the society shall be from 1
April to 31 March every year
MANAGEMENT
The management of the society is divided into two parts i.e.
General Body and Governing Body.
a) General Body:
i. The General Body is consisting of all members of the society
which shall meet every year .The General Body of the society
shall be composed of all the members of the institute which
are not disqualified by the resolution of the Governing Board.
ii. At least 1/3 (one third) members of the total strength of
the society are required to be present for the meeting <?i the
general body and if it is not possible the meeting will be
postpone, for few days. Then again this meeting will be
convened and it is known as adjourned general body meeting.
There is no such quorum is required for general body meeting
and only more than 50% of present members opinion or vote
to required to take the decision in the member. But in case of
amendments of the Constitution and resolution, 2/3rd of the
present members' opinion or supporting Vote is required in:
favor of this.

iii)If there is any change of the member in the Governing body


election for next term intimations regarding their name and
addresses and occupation with the resolution of the meeting
should be sent to registering authority as per the 1860 socities
registration act. The term of the office/bearers are three years
or till the next election of the society except the Ex-officio
Member Secretary-cum-director of the society. The elections of
the society are held in the general body meeting in every three
years. But if all the office bearers shall resign for any cause
before fulfilling the terms the election is held before the term
in the general body meeting.
iv. In case of emergency the chairman and all governing board
can direct the secretary to convey an emergency meeting of
the general body and also if one third of the society members has
given notice with an agenda for discussion to the secretary for
convening an emergency general body meeting then after
getting such direction and notice and Member Secretary-cum-
director is binding to convey the meeting within 10 days.

v. The election for the members of the Governing body is held


in the general body meeting.
vi. The discussions are taken in the general body for
amendment of the constitution and dissolution of the society.
With-support of two-third (2/3) members of total present in
the meeting.
Vii.The annual budget and account of the society are discussed
and approved by the General body.
Viii.The discussion in any subject regarding the society & the
future plans of the society has been done in the general body
meeting.

B. Governing Body
i) Members shall elect from amongst, themselves to the
members of the Governing Body of the society.
ii) The chairperson, vice- chairperson, Member Secretary cum
Director Treasurer shall be elected by the Governing Body
from amongst themselves.
iii) The Governing Board shall be composed of not more than 15
members including the Member Secretary-cum-director (Ex-
officio).
iv) The board shall be elected as soon as may be in accordance
with the procedure laid down by the board, and such member
shall hold office for three years. The election will be by show of
hands by a proposed and a seconder .Expecting the Member
Secretary-cum-director (Ex-officio), 1/3rd or as nearly as
possible there to of the Member Secretary-cum-director
constitute the first board shall till it is fully reconstituted by
elected or co-opted members. Members retiring shall be
eligible for re-election board.
v) The members of the board shall hold office for a term of three
years or until they are replaced by fresh members except the
Ex-officio member secretary of the board.
vi) Any casual vacancy in the board shall be filled in by 1/3rd
options by the board and all the members of the board so co-
opted shall hold office for the unexpired period of the term of
his/her predecessor, provided that it shall not be necessary to
fill any casual vacancy if the one's expired period of the term
of three years in any case less than six months, except the Ex-
officio Member secretary of the board.
vii. The Member Secretary-cum-director shall act as the Director of
the institution.
viii. Provided that it shall not be necessary to fill any casual
vacancy if the one expired period of the term of term of 3
years is in any case less than two months .
6. CHAIR-PERSON
Chair Person will preside over all the meetings of the
Governing Board and of the General body.
a). EMERGENCY POWERS OF THE CHAIRPERSON:
A. The emergency requirement of the chairperson shall direct
the Member Secretary-cum-director Ex-officio member to
convene the general body and governing body meeting within
a stipulated date. The chairperson may convene the above
meeting himself/herself.
B. He/she can advise or suggest to the Ex-officio Member
Secretary-cum-director to take disciplinary action against
any member of office bearers and /or to remove of; any
member from office bearer.
b) Vice Chair Person:
Vice-chair person will1 chair all meetings of Governing board
and of the General body in the absence of chairperson.
Member Secretary cum Director:
a) Member Secretary-cum-Director shall be the Ex-officio
member secretary-cum -Director of the Governing.
b) Member Secretary-cum-director shall be responsible for
regular calling of board and General body meeting
c) Ex-officio Member Secretary-cum-director shall be
answerable to the general body, governing body.
d) The Member Secretary-cum-director shall remain overall
charge of correspondence, take steps for different govt. And
other grant and prepare annual accounts statements. Prepare
budget for the next or coming year, fix or finalize the date,
venue and agenda of the General body and Governing Body
meeting and also the other meetings.
e) A pass book of the society shall be opened in any
nationalized Bank or post office/ any other bank exclusively in
the name of the society and the Ex-Officio Member Secretary
who shall operate the pass book along with any other member
or treasure of the governing body: The Ex-officio member secretary
can withdraw money from this account .Ex-officio member secretary
shall present the expenditure of the society in the Governing Body
and get approval of the same by this body. Ex-officio member
secretary is also authorized to spend or pay and receive the money
for the society and deposit the same in the passbook of the society.
f) Member Secretary-cum-director should write the proceedings of all
the meetings of the general body and Governing Body.

g) Member Secretary-cum-director shall be in charge of all goods,


property documents of the society. But the cash book and the pass
book shall be kept in the society. Ex-officio member secretary shall
be the people to sue or be sued on behalf of the society also
represent the Governing Body and sign on bond on behalf of the
society when required.
h) Member Secretary-cum-director shall keep co-ordination with
each wing and each office bearer for smooth running of the society
work. Secretary shall keep coordination between both the body for
correct decision by them. Secretary shall take the charge of the
Treasurer.
i) The members of the board shall hold office for a term of 3 years
or until they are replaced by fresh members.
TREASURER:
Treasurer shall maintain all the accounts of the institution in co-
ordination of the Ex-officio member secretary cum Director.
FUNDS AND PROPERTIES
i) Member’s admission fee and monthly subscription individuals and
institutions donation Govt. non govt. and international grants and
subsidy.
ii) Income from tickets or take money from different programme
organized by the society, Collection from advertise in the programme
of the society and collection from sale and advertisement in the
publications of the society.
(iii) The Member Secretary-cum-director is competent to float a loans
or issue appeals and application for money and funds in furtherance
of its objective and to accept gifts to borrow money and funds in the
shape or cash and securities and any property either movable or
immovable.
(iv) The society shall be competent to acquire by purchase of lease,
mortgage loans, gift grant of legacy, request of exchange from or
with any person, society or association or Govt. or anybody
whatsoever of movable or immovable properties or of all description
demand necessary for the objects of the society and to' alienate
hypothecate, exchange hiring or otherwise the properties of the
society as may be deemed necessary or expedient to achieve the
objects of the society.
(v) The society also shall have powers to borrow or raise fund in
any manner the society may deem fit and repay the same.
The society shall also invest lay aside, deposit in banks or otherwise
deal with the money or funds of the society not immediately required
for the objects of the society and to acquire hold. Sell, endorse and
negotiate in every way debentures .stock and securities of all
description.
(vii) The society shall also construct maintain improve or develop
building or work necessary or convenient for the purpose of the
society.

(viii) The society shall may undertake and accept the


management of any endorsement of interest of attainment of its
objects,
(ix) The society may establish a provident fund for the employees of
the society.
(x) All properties of the society as indicated shall be acquired or
alienated in the name of the society through the Secretary.
GENERAL:
A. To prove & authenticated the validity of the General Body &
Governing Body meetings; for any other purposes the signature of
the chairperson, vice-chairperson, Secretary-cum-Director shall be
final & binding.
B. There shall be a provision for circular resolutions for both
Governing & General Body meetings by the Secretary. The members
who signed at last & if it is calculating 1/3rd Members signed shall be
treated as the Governing & General Body Resolutions of Mahila Vikas
subject to the approval in the next meeting.

i. All the accounts and funds of the society shall be audited


every year.
ii. It shall be audited by the Government auditor or chartered
Accountant.
iii. The audited account statement shall be placed before the
General body/Governing Body meeting at the close of the
financial years.

ACCOUNTS:
a) The society shall maintain such books of accounts and other
books in relation to it accounts in such form and in such manner as
may be in consultation with the Auditors of the society as may be
prescribed.
b) The financial year of the society shall be from the 1st April
to31st March.
c) The copy of each of the annual accounts of the society
together with the audit report hereon & a report of the proceedings
on all works under taken during the year should be furnished for the
ordinary members of the society or in the notice board.
AMENDMENT:
The rules of the society may be .altered at any time by resolution
passed by majority of members of the society presented at any
General body meeting of the society which shall have been clearly
convened for the purpose.
AWARD:
Society may award certificate in token-of merit in different activities
to the participant and members.
DISSOLUTION-
The society may be dissolved by 3/5th of members upon dissolution of
the society its assets will be handed over to a similar registered
society or to Govt. after clearing up all its debts and liabilities.
LEGAL ACTION-
The secretary cum director may sue or be sued on behalf of the
society for movable and immovable properties and or in all legal
matters of the society. Certified that there is no other society in the
same name and at the same place. Certified that this is the true and
correct copy of the Memorandum and Bye-Laws.
