DEFINITION
Personal INFORMATION refers INFORMATION as defined by the INFORMATION Protection Act ____ which relates to a living
individual who can be identified from such INFORMATION, and/or from such INFORMATION and other information which is in the
possession of, or is likely to come into the possession of the (side A) and includes whichever expression of opinion about an
individual and whichever indication of the intentions of the (side A) in respect of an individual.

TERMINATION
The (side A) may terminate the Contract in the following circumstance, by giving ____ months written notice: if the (side B) or
whichever Beneficiary has committed a material breach of the Contract; and the (side A) has brought the breach of Contract to the
attention of the (side B) or such Beneficiary; and the (side B).

ENVIRONMENTAL CONSIDERATIONS
The (side A) shall comply in all material respects with applicable environmental laws and regulations in force from time to time in
relation to the products/services the subject of the Contract.

ELECTRONIC PRODUCT INFORMATION

The (side A) gives the (side B) or, as the case may be, whichever Beneficiary a non-exclusive royalty free license in perpetuity to
use and exploit the Product Information and whichever Intellectual Property therein for the reason of illustrating the range of goods
and services including, with no limitation.
SALES INFORMATION
Subject to whichever other auditing process being agreed Involves the (side B) or, as the case may be, whichever Beneficiary and
the (side A) in writing, the (side B) or, as the case may be, whichever Beneficiary shall be entitled by prior appointment to enter the
(side A)s normal place of business during normal office hours and to inspect such records in order to verify whether whichever
statement supplied by the (side A) to the (side B).

CONFIDENTIALITY
The (side A) notes and acknowledges the FOIA and The two the respective Codes of Practice on the Discharge of Public Authorities'
Functions and on the Management of Records which are issued under section ____ and ____ of the FOIA respectively and the
Environmental Information Regulations ____ as may be amended, updated or replaced from time to time.

THE HUMAN RIGHT ACT ____

Subject to Clause ____, the (side A) agrees to cover and keep indemnified the (side B) and whichever Beneficiary against all loss,
costs, proceedings or damages whatsoever arising out of or in connection with whichever breach by the (side A) of its obligations
under Clause ____.

The Concern Parties agree to the abovementioned listed legal conditions. In witness whereof, the concern sides hereto set their
