Extension of Health Services Contract Among Chatham County, Georgia and Chatham County Sheriff and CorrectHealth, LLC ‘This agreement is made and entered this_2 7 day of Je# ohev2017 by and among CorrectHealth, LLC, herein after referred to as (“Provider”) and Board of Commissioner of Chatham County, Georgia (“County”) and Chatham County Sheriff hereinafter referred to as (“Sheriff”). WHEREAS, the parties did agree on August 1, 2016 to a contract for services for health care for detainees within the Chatham County Detention center (“Jail”). The agreement was fully executed on September 1, 2016 and all terms and provisions and conditions to the agreement are specifically incorporated by referenced herein; WHEREAS, the County served notice of termination for convenience on July 17,2017 and the agreement was to expire on October 17, 2017 and in exchange for valuable consideration, provider agreed to continue services through October 27, 2017; and WHEREAS, the Provider, County and Sheriff on October 26, 2017 reached an agreement for an interim health care services agreement for the detention center. NOW THEREFORE in consideration of the mutual promises of each to the other and other valuable consideration given by each receipt of which is hereby acknowledged the provider, County and Sheriff agree as follows: 1) All recitals stated above are incorporated by reference into the terms and conditions of this agreement. 2) The provider agrees that during this interim agreement to continue to provide health care services to the detainees within the jail and the terms and conditions of the agreement executed September 1, 2016, as well as the binding letter of intent related to the electronic management records dated September 2, 2016 shall continue in full force and effect and be incorporated into this agreement. 3) The Provider shall serve as an interim provider of healthcare services under this agreement for a term not to exceed June 30, 2018 but Provider beginning June 1, 2018 and for 30 days thereafter should provide for a smooth transition of healthcare services to the provider that is awarded the healthcare service agreement as a result of the County/Sheriff REP process. 4) The Provider will cooperate with the County and provide information and statistical data to incorporate into the County RFP. 5) The Sheriff shall be responsible to ensure that the Provider is in compliance with all term and requirements of the agreement as related to providing healthcare services to detainees. The Provider shall be responsible to report and interface with the Sheriff or his designee to ensure the Sheriff has information necessary to confirm that healthcare services are in compliance with the terms and requirements of this agreement, Provider shall provide information that may be requested by the Assistant County Manager, Michael Kaigler, and share reports to the Sheriff necessary to keep the assistant county manager informed. ‘The County shall pay each month to the provider for healthcare services for detainees $595,672.31 should healthcare services be provided for any portion for a month but not a complete month then the amount due shall be prorated, The following terms of the agreement shall be amended and modified as stated hereafter in this paragraph all other terms and conditions of the original and subsequent agreements shall remain in full force and effect. a. The County shall take such steps as may be necessary to see that all funds due to the Provider under the health services contract through October 27, 2017 shall be paid not later than October 31, 2017. b. The agreement entered September 1, 2016 as related to penalties as set forth in Exhibit C to said agreement shall not be enforced during this interim agreement. ¢. During this interim agreement there shall be a per diem of $3.71 for an inmate count over 1800. 4. The Provider shall continue to use the county sublicense for the electronic medical records system during the term of this agreement and any extension of this agreement for an additional 30 days should county make such election, ©. Atthe termination of the agreement on June 30, 2018 or termination of any 30 day extension at the election of the county. Providers right to use electronic medical records system shall automatically terminate and all sublicenses rights shall revert to the county as holder of the license. Provider agrees that should the county or any third party require the execution of documents pertaining to the transfer or reassignment from Provider to the County related to the sublicense Provider will execute expeditiously any and all documents to effectuate the reassignment of license to the county. £ The County during the interim agreement shall not require a health care consultant.
