committed to this philosophy; providing both a positive impact on the
environment and positive scal growth for investors and stakeholders.

In the United States alone it is estimated that over 130 million cell
phones will be replaced this year, accounting for 65,000 tons of solid
waste. ReCellular works diligently to keep these discarded cell phones
and their accessories out of landlls. Through our innovative recycling
and recommerce programs ReCellular collects more than 100,000
handsets and personal electronic devices each week.

The ReCellular Story


In 1991 Ann Arbor, MI, based brothers Chuck and Allan Newman
recognized a disquieting trend an ever increasing number of
Americans were carelessly discarding used cell phones when
upgrading to newer models. And many of these discarded phones
were needlessly ending up in landlls. The result was the creation of
thousands of tons of solid waste every year - much of it hazardous.
The Newmans saw the opportunity to pioneer a new industry that
would both help protect the environment and prove protable for
investors.

Thus ReCellular, Inc. was born with the mission to refurbish, reuse
and responsibly recycle discarded cell phones, portable electronics
and their accessories. Today, with ofces in Ann Arbor, MI, Dexter, MI,
and Hong Kong, ReCellular is the worlds largest recycler and reseller
of used cell phones and accessories.

Two decades after its founding ReCellular has recycled tens of millions
of discarded phones. Additionally, ReCellular collects gently used
phones that are still viable and has customers for these functional
devices in more than 40 countries. ReCellular leverages this global
network in order to nd the most responsible solutions in the wireless

Mobile Karma is ReCellulars other direct to consumer business


channel; it is the internets premiere seller of used and new cellular
phones, tablets and laptops. By offering used phones, tablets and
laptops Mobile Karma encourages the reuse of fully functional
electronic devices and supports a more sustainable form of corporate
conduct. Both Secure Trade-In and Mobile Karma are enabling the
further use of mobile devices and preventing these electronic devices
from ending up in landlls.

The company has also committed itself to the support of charitable


groups and non-prots all over the country. Years ago, ReCellular
partnered with the Cellular Telecommunications & Internet
Associations (CTIA) Wireless Foundation on the original Donate a
Phone charitable recycling program and has since developed
long-standing relationships with key industry players such as Verizon
Wireless, Motorola, Sprint and Best Buy.

These donation programs allow grass roots groups to coordinate and
execute their own cell phone recycling drives, which serve the dual
purpose of keeping the items out of landlls and raising money that
goes back to the groups. Over the last 20 years these programs have
provided tens of millions of dollars to worthy organizations like Cell
Phones for Soldiers, March of Dimes and HopeLine.

ReCellular is a proud member of the newly chartered Device Renewal


Forum executive board. The DRF was created to expand the growth
of the renewed wireless devices market by establishing a global and
technology-agnostic gold standard for renewing, testing and
certifying refurbished wireless devices. The DRFs goal is to ensure
that only high-quality and properly functioning devices reenter the
marketplace. ReCellular offers the DRF over 20 years of leadership in
environmental protection and responsibility. ReCellular is committed
to helping develop a common process for refurbished wireless
devices that will ensure product quality and performance in
secondary markets. By renewing and certifying refurbished wireless
devices, the demand for affordable phones can be fullled, while
preserving the environment, conserving materials, minimizing
pollution and eliminating waste.

The Cell Phone Data Eraser
In a landmark 2011 British study, more than half of the secondhand
mobile phones examined still had sensitive personal data on them.
This data included credit and debit card PINs, Facebook and Twitter
usernames and passwords, bank account details, friends phone
numbers and even corporate or business information. Additionally,
used devices may potentially contain personal photos, videos, text
messages, emails and documents downloaded from the internet.
Before recycling a cell phone or smart phone, it is of paramount
importance to ensure that its been wiped clean of all sensitive
personal data. Otherwise, the details of the users personal life could
be laid bare. Worse, the user could potentially become a victim of
identity theft.

Because cell phones and smart phones have become the point at
which our personal, professional and private lives intersect ReCellular
has led the way in making sure this sensitive data is removed from
every device we handle.

When selling, donating or recycling a cell phone through ReCellular,


both consumers and corporate customers have access to a powerful
security tool; The Cell Phone Data Eraser. This industry leading
resource provides everything needed to thoroughly and permanently
remove sensitive information from virtually every make and model of
cell phone and smart phone.

ReCellulars proprietary, industry leading Data Eraser offers a 103


point data erasing process; its technology that meets the stringent
demands of both individuals and corporate clients. In fact, in over 20
years of data security experience there has not been one reported
data breach when Data Eraser is properly used.

The Cell Phone Data Eraser is available on both the ReCellular and
Secure Trade-In websites. To access detailed instructions on how to
thoroughly scrub a mobile device of sensitive data, the user just has

Environmental Impact
ReCellular acts to protect the environment by efciently recycling all
the electronic waste generated by the disposal of wireless handsets,
tablets, portable electronics and batteries. Additionally, ReCellular
recycles the packing materials and accessories that come with these
devices - including items like cardboard packaging, printed owners
manuals, leather or plastic carrying cases, batteries and battery
chargers.

ReCellular works with a carefully screened network of certied


contractors to help us process scrap and to dispose of the material
with minimal impact on the environment. No waste goes to landlls or
incinerators - either directly from ReCellular facilities or through our
contractors. No scrap is shipped outside the US to developing
countries. Our certied recycling partners are likewise prohibited from
sending waste to any country not belonging to the European Union or
the Organization of Economic Cooperation and Development (OECD).

ReCellular is in compliance with all applicable occupational and


environmental regulations, including MiOSHA and the Michigan
Department of Environmental Quality (MDEQ). We exceed the
regulations and recommendations of these agencies in the way we
demonstrate our commitment to a sustainable environment. For
example, the MDEQ has given ReCellular their stamp of approval.
Following a tour of the ReCellular facility by a MDEQ hazardous waste
specialist, we received our State Site Identication number for
compliance with all applicable State of Michigan environmental
regulations.

ReCellular maintains active partnerships with the Michigan Business


Pollution Prevention Partnership (MBP3), the Washtenaw County
Waste Knot Program and the Washtenaw County Pollution Prevention
Coalition. In 2002 ReCellular requested an environmental audit from
the Washtenaw County Pollution Prevention Coalition and was found
to be compliant with all applicable county standards and regulations.
The county investigated many environmental matters including toxic,
hazardous, and polluting substances; it was determined that all were
being properly handled at the ReCellular site.

The ReCellular environmental management plan includes internal


audits requested by company management, periodic random quality
checks and annual revisions to our environmental policies. These
internal procedures are designed so that they can change and adapt
to evolving technological and environmental concerns.

ReCellular by the Numbers
In a typical year ReCellular processes in excess of 5 million cell phones
a staggering number by any standard. In fact, roughly one of every two
cell phones recycled in the United States in any given year is processed
by ReCellular. In order to provide a sense of scale regarding the work
done by ReCellular, consider these numbers:

5.5 million cell phones equals:

the combined weight of three Boeing 747-400s


the combined populations of Wyoming, Washington D.C.,
Vermont, North Dakota, Alaska, South Dakota, Delaware and
Montana
a combined length of 340 miles, when laid end-to-end
20,000 phones processed by ReCellular on every work day

After processing by ReCellular, 5.5 million phones will yield these raw
materials:

26 pounds of palladium
96 pounds of gold (enough to make 1,536 wedding rings)
954 pounds of silver
21,543 pounds of copper (enough to make 3.4 million pennies)

ReCellular also recycles all non-technology items associated with


portable electronics including mixed paper, cardboard and plastics.
The recycling of these items results in the saving of:

700,000 gallons of water


456,195 kilowatts of power
43,480 gallons of oil
1,700 trees

Awards
In November 2006, ReCellular was recognized by Inc. Magazine as
one of nations leading green companies. The Green 50 celebrates
cutting-edge entrepreneurial green companies that are showing what
it means to run a successful business model and attack the most vital
problems of our time. Global cell phone recycler ReCellular was noted
for the companys tireless commitment to environmental integrity and
for its innovative business strategy.

In both 2006 and 2004, ReCellular received the Green Power


Leadership Club award from the Environmental Protection Agency.
This award honors Partners in EPAs Green Power Partnership
program that have made an exemplary green power purchase. Club
members must make a green power purchase which exceeds
minimum Green Power Leadership Club purchase requirements.

In 2005, ReCellular was honored with the Environmental Excellence


award from Washtenaw County. This award recognizes businesses
that provide leadership in environmental protection and practice
environmentally sound behavior in the areas of waste reduction,
recycling, and pollution prevention.

In both 2004 and 2003, ReCellular Inc. received a Waste Knot


award from Washtenaw County, recognizing ReCellular as a Washt-
enaw County Waste Reduction Partner. The2003 award was speci-
cally in recognition of ReCellulars Dedication to Waste
Reduction, Reuse, Recycling, and Buying Recycled Products.

In 2004, ReCellular was awarded the Outstanding Market


Development award from the National Recycling Coalition. This
award recognizes businesses that contribute to the development of
markets for materials related to recycling.

On August 29, 2003, ReCellular Inc. was chosen to receive the


Washtenaw County 2003 Environmental Excellence Award in Waste
Reduction and Recycling for its ongoing corporate recycling and
waste reduction efforts. The award was presented to the cell phone
recycler at the 5th annual Environmental Excellence Awards
Ceremony in Ann Arbor, MI.

On May 21, 2003, the Michigan Recycling Coalition at the MRC Annual
Conference in Kalamazoo, Michigan named ReCellular Inc. as the
2003 Recycler of the Year. Recipients of this award are chosen based
on the organizations continued dedication to recycling and a cleaner
global environment. The Michigan Recycling Coalition is the state
chapter of the National Recycling Coalition.

The Michigan Business Pollution Prevention Partnership (MBP3) is an


organization created to help green companies communicate about
their efforts, share success stories while continually improving their
own environmental initiatives. MBP3 also works to improve cost-
effective techniques to reduce waste and prevent the release of
hazardous substances. ReCellular became a recognized member of
this partnership in 2002.

In December of 2002 ReCellular joined the Michigan Recycling


Coalition along with the National Recycling Coalition. These
organizations are a core part of ReCellulars recycling initiatives.
By joining this organization ReCellular gained access to publications,
projects and informational sessions to keep them focused on their
own environmental issues while giving them a connection to many
other great recyclers in Michigan and countrywide.

ReCellular was recognized by the E-Waste News as one of the 80


best electronic / cell phone recyclers in the nation in 2002, and one of
the Top 100 Recyclers in the country based on recycling revenues.

Stephen Manning
Chairman, President and CEO

Steve has nearly 30 years of leadership experience in the technology


sector. Before coming to ReCellular, Steve served as Senior Vice
President of Strategy, Marketing and Business Development at
Solectron, where he gained extensive nance, sales and executive
management experience. Steve joined Solectron when a company he
founded, Sequel Inc., was acquired by Solectron. As founder of
Sequel, Steve rst served as Vice President of Sales and Marketing in
1990, and subsequently served as Chief Executive Ofcer until 1999. In
his role as Vice President of Sales and Marketing with Sequel, Steve
was responsible for all marketing, account management, program
management and customer service functions. While serving as CEO
at Sequel, Steves responsibilities included management of the
companys operational and nancial activities.

Earlier in his career, Steve was Vice President of Sales and Marketing
at AT&Ts Data Communications Product group, where he realigned
sales forces, reduced product set, and distinguished himself by
growing non-AT&T products for the rst time in three years. Before
his tenure with AT&T, Steve was President of IMPL, a UNIX parable
systems product company.

In 1985, Steve founded Future International, a UK-based start-up,


where served as President and Chief Executive Ofcer until 1989. Prior
to founding Future International, Steve served as President of the
Communications Group at Memorex/Burroughs where he worked
with many of his colleagues who would later join him at Sequel. He
has also held various nancial management positions at Rockwell
International and Inland Steel Co.

Steve holds bachelors degrees in Economics and Finance from the


University of Nebraska, and is a certied public accountant.

Charles Newman
Founder and Chairman Emeritus

Chuck is a lifelong entrepreneur, having started his rst company in


1961 - while still undergraduate in college. Among his many business
accomplishments, Chuck is the founder of Astrotype, the developers
of the rst computerized word processor; the founder of CompuMart,
the rst retail computer store in Michigan; and the founder of Rent-
A-Byte, the rst computer rental store in the United States.

His successes in the private sector have fostered a sense of commit-


ment to his community. Along with his wife Sharon he founded the
Jewish Community Center of Washtenaw County. Chuck is a past
Chairman of the Board of Directors of Hillel, the Foundation for
Campus Life and served as President of the Michigan Jewish Confer-
ence. He was also a founder and member of the Board of Directors of
the Bank of Ann Arbor, a member of the Board of Directors of Gelman
Science, a board member of the Wireless Foundation and also a
board member at the University of Michigan Alumni Association. He
also cofounded the Michigan Israel Business Bridge.

Currently, Chuck holds various volunteer positions, which include


being a member of the Board of Directors of Hillel, Eastern Michigan
University Hillel, the International Myeloma Foundation and Habitat
for Humanity Huron Valley. He is also the President of the Michigan
Israel Business Bridge.

Chuck earned his Bachelor of Science degree in 1963, and his Masters
of Science degree in 1964 - both from the University of Michigan.

Chuck and his wife reside in Ann Arbor, Michigan. They have four
grown children and ve grandchildren.

Eric Miller
Vice President Sales and Corporate Development

Eric Miller is responsible for all sales, product sourcing, marketing and
corporate development. He is responsible for all B2B inbound and
outbound channels as well as the consumer trade in platform. He
leads ReCellulars Sales and Product Procurement activities, Marketing
and Corporate Development. Previously, Eric worked as Business
Unit Leader of Channel Services for Celestica where he had global
P&L responsibility for wireless carriers, pay TV operators, insurance
providers, retail and e-Tail. He also led the strategy and corporate
development activities for the After-Market Services segment of the
company.

Prior to Celestica, Eric held various executive positions in both


business development and operations at Solectron, Teleplan and
Magnetic Data Technology. At Solectron, he served as Vice President
of Business Development in the $1.2B Global Services organization.
He was responsible for developing and maintaining relationships with
key OEMs and also managed the North America sales organization.

Additionally, Eric spent 27 years in the data storage industry including


Seagate, Maxtor and Imprimis where he held senior management
positions in Program Management, Supply Chain and Operations. His
experience includes long term assignments in Singapore, Mexico and
Puerto Rico.

Eric attended the University of California at Santa Barbara, pursuing


undergraduate coursework. He later earned a Bachelors Degree in
Marketing from Columbia Pacic University. He is a certied
practitioner in leading Blue Ocean Strategy initiatives.

Eric Forster
Vice President Sales

Eric Forster is one of the longest tenured ReCellular team members,


having named the company and been on board since the founding in
1991. During his tenure Mr. Forster has been responsible for all
domestic and international sales, procurement of wireless handsets,
customer service and new business development for both the
domestic and international markets.

During his 20+ years with the company, Mr. Forster has established
numerous strategic relationships for sales and product procurement.
These key relationships include AT&T Wireless, Sprint, Verizon
Wireless and numerous other carriers, MVNOs and OEMs. In the early
growth years of the company, Mr. Forster was instrumental in
growing ReCellular revenues from $700,000 to $14M in just three
short years.

Mr. Forsters other responsibilities with ReCellular have included


maintaining sales and procurement policies and procedures,
departmental and organizational development and strategic planning.
Mr. Forster has been instrumental in leading environmental efforts in
all of the companys the procurement and distribution channels.

Mr. Forster is currently spearheading a team to develop new products


and services that will extend the reach of ReCellular in the industry.
His new initiatives support the companys leadership position in the
secondary wireless industry, while creating new revenue and prot
streams to strengthen future growth.

Mr. Forster holds a Bachelors Degree in Business and Administration


from Eastern Michigan University, and an MBA from the University of
Michigan. He has spoken at many industry conferences globally and
continues to be inuential in the secondary wireless marketplace. He
is active in his community and has served as a member of the Board
of Directors for The National Alumni Association of EMU.

Joe McKeown
Vice President Marketing and Communications

Joe brings broad experience to ReCellular, having held senior


leadership positions in companies ranging from the Fortune 100 to
start-up entrepreneurial ventures.

His most recent experience was with The Atlantic Partners - a


business turnaround and private equity rm where he was Managing
Director; responsible for overall operations, sales, marketing and
communications for the partnership and portfolio companies. He has
a long history in the government public safety sector, having served
as President, COO and Interim CEO for an underperforming software
company. He was the Founder and Managing Partner of a marketing,
performance improvement and wireless analytics rm that was
acquired in 2006 by an international advertising consortium.

Previously, Joe spent nearly 20 years at the senior management level


with MCI Telecommunications where he led global sales, public
relations, internal and external communications, public affairs,
employee engagement, recognition and incentive programs, global
sponsorship and brand and product marketing campaigns while
serving as Vice President of Marketing and Communications Services.
Prior to MCI he held various sales and sales management roles for
AT&T where he was the top producer of an 8,000 person sales force
for two years running

A graduate of Michigan State University, he currently holds SPHR and


APR certications and has completed coursework for a Masters
Degree in Political Communications from George Washington
University.

Bob Mullaney
Vice President Strategic Accounts

Before beginning his career with ReCellular, Bob worked as North


American Vice President of Sales at Syncreon Corporation. While
with Syncreon, Bob was tasked with building a sales team and
developing new accounts.

Previously, Bob was Vice President of Remarketing for Solectron.


In this capacity he developed a new division inside the multi-billion
dollar parent company. The role of this new division was two-fold; to
distribute all excess and obsolete inventories inside the company, and
also to support major Solectron accounts with parts for their repair
lines. This required the creation of a sales and marketing plan while
putting together a team to manage the division. When he rst joined
the company, Bobs position at Solectron was Director of Global Sales
for HP. In only 5 years he developed HP into Solectron's largest
global partner with programs in excess of $500M.

In the early 90's Bob founded TSLI Corporation, a global peripheral


repair and resale organization where he served as the President and
CEO. When he left the organization it employed more than 200
people and was generating sales of over $20M.

Bob attended Suffolk University in Boston Massachusetts.

Woody Anderson
Vice President E-commerce

Woody joined the ReCellular leadership team as Vice President


eCommerce in May of 2012.

Anderson comes to ReCellular with nearly two decades of management


experience in e-commerce, operations and nance for recognizable
brands such as Fossil, Ultra Stores and Arthur Andersen.

Most recently he served as Director, Cross Channel Solutions and


Account Management, for Acquity Group - a leading digital agency and
provider of end-to-end digital strategy, creative design and technology
solutions. While with Acquity Group Woody oversaw the design,
development and implementation of best-in-class digital customer
experiences. Additionally, Woody supported digital solutions for clients
in the retail and manufacturing industries.

Earlier in his career Woody served as Managing Director & CFO at Edge
Asset Management, a commercial property and operations holding
company in Fort Smith, Arkansas.

Woody earned an MBA, with a concentration in Innovation and


Management, from Judge Business School, University of Cambridge.
Prior to that Woody graduated from the University of Pennsylvania.
While at University of Pennsylvania Woody earned a B.S. in Economics
from The Wharton School and also a B.A in Sociology from The School
of Arts and Sciences.

Adele Fransko
Vice President Global Human Resources
and Corporate Administration

ReCellular welcomed Adele to the team in 2006, when she began her
tenure as the Director of Human Resources. Adele is responsible for
leading all aspects of human resources worldwide including talent
acquisition and retention, workforce training and development,
employee compensation and benets, policy development and all

Adele also served as the Director of Global Organizational


Development, North American Human Resources and Administration,
for a global telecommunications rm. While in this role, Adele had
overall nancial and operating responsibility for the Corporate
Administrative Services Operating Unit for all North American
locations. She successfully managed all aspects of human resources
and administration, transforming the role of human resources from an
administrative cost center to one of a truly global strategic business
partner.

Adele holds a Bachelor of Arts degree from Michigan State University.


She is also a graduate of the Disney Executive Leadership Institute.
Adele is committed to enriching her community and is actively
involved with the Huron Valley Humane Society and has served as
Vice President on The Board of Directors of SOS Community Services,
a non-prot charitable organization serving the needs of homeless
families in Washtenaw County.

John Wetherholt
General Manager - Dexter Operations

John joined ReCellular in 2009 and brings over 30 years of


management experience acquired at IBM, Solectron, Signal Holdings
and Jabil. For the last 12 years of his career John has been at the
general management level within the electronics service industry.

John's service sector experience has been in the rapid growth


international environment where he has supported the repair,
refurbishing and fulllment of circuit boards, hard drives, laptops,
game boxes and mobile phones. John has worked closely with
diverse clients like IBM, Hewlett Packard, Compaq, Dell, Cisco
Systems, Verizon, and Microsoft.

John holds a Bachelors Engineering Degree in Industrial


Administration from San Jose State University.
