AGREEMENT FOR CONSULTANCY SERVICES

This agreement made this ____________________ day of ___________________


Two Thousand and ____________________.
BETWEEN
XYZ Private Limited, having its office at Avanashi Road, Peelamedu, Coimbatore
641004, (hereinafter referred to as XYZ), Associates of The Indus Foundation,
New Jersey, USA (hereinafter referred to as Foundation),
AND
Mr/Ms ______________________________ S/D of _________________________
residing at __________________________________________________________
(hereinafter referred to as Student) and represented by ______________________
(hereinafter referred to as Representative).
WHEREAS,
A. The Student is desirous of getting admission to any suitable University/College
in USA and/or Canada to pursue a full-time Program of his choice.
B. The Student has taken or will take all the applicable tests namely GRE, GMAT or
SAT (hereinafter referred to as Test1) and TOEFL (hereinafter referred to as
Test2) conducted by the respective testing body or through its authorised agents in
India (hereinafter referred to as ETS) and has scored or will score at least the minimum
specified in the table given below to qualify for guaranteed admission. The Student has
agreed to retake the Test1 and/or Test2 if any of the score falls below the minimum
specified in the table.

C. YXZ, in consultation with the Foundation and the Student, will select six to eight
Universities/Colleges (hereinafter collectively referred to as Institutions) for the
Student based on the course desired, the academic performance, agreed
minimum Test1 and Test2 scores, the budget and location preferences of the
Student.

D. XYZ guarantees admission to the Student, to at least one of the Institutions,
provided the Student meets the admission criteria of the Institutions, complies
with the Test1 and Test2 score requirements, submits all documents listed in
point 2.4 of this Agreement (hereinafter collectively referred to as Documents)
and fulfils all the other obligations as per the clauses mentioned in this
Agreement.
E. The guarantee of Admission is to any of the Institutions and the respective
program and NOT for a specific term.

NOW THEREFORE THIS AGREEMENT WITNESSETH AS FOLLOWS :


1. XYZs Responsibilities :
1.1 XYZ shall make arrangements to get the application forms of the
Institutions.
1.2 XYZ will assist the Student in filling-up application forms and all the other
documentation.
1.3 XYZ will forward the completed applications and all other documents to the
Institutions, through the Foundation, in one lot. XYZ/Foundation will bear
the courier/postal expenses for the same.
1.4 XYZ/Foundation will undertake all correspondence with the Institutions, till
the receipt of the result from the Institutions.
1.5 XYZ, through the Foundation, will assist the Student in obtaining financial
aid from the Institutions based purely on Students merit, Test1 and Test2
scores and the availability of funds in the Institutions, for the semester
applied. However, FINANCIAL AID IS NOT GUARANTEED.
1.6 XYZ will hand over to the Student all the admit letters and I-20 forms
received at its office in the Students name.
1.7 XYZ will guide the Student in Web appointment, SEVIS fees payment and
documentation for Visa.
2. Students Responsibilities :
2.1 The Student shall fill up the International Application Form along with
separate declaration forms in favour of XYZ and the Foundation authorising
them to keep in touch with the Institutions in order to secure admission
and negotiate for financial aid on Students behalf.
2.2 The Student shall organise, at Students own expense, to fulfil the
requirements of the Test1 and Test2 and forward the scores to the
Institutions, directly through ETS well before the deadlines of the selected
Institutions. A copy of the score shall be submitted to XYZ for follow up.

2.3 The Student shall arrange to get, at Students own expense, the Dollar
Demand Drafts in favour of the Institutions towards the cost of application
processing fees payable to the Institutions except for those who have
waived the same for students applying through the Foundation.
2.4 The Student shall get, at Students own expense, all the Documents as
given below and submit them along with the duly filled-in application forms,
at least fifteen (15) days before the deadlines of the selected Institutions.

5. Recommendation Letters (from 3 HODs for Graduates and Principal, Class
Teacher and Major Subject Teacher for Undergraduates)
(Each in separate sealed covers)
6. Support letter from the Sponsor
7. Financial Support Statement from Sponsors Bank
8. Statement of Purpose (SOP)
9. Curriculum Vitae (CV)
10. GRE/GMAT/SAT/TOEFL/TSE Score Card copies, if any
11. Photocopies of all biographical pages of the Passport
12. Attested copies of all other relevant documents
(Merit Certificates, Credential Evaluation, Work Experience Certificate etc)
13. Attested photocopies of all Transcripts and Degree Certificates
14. International Application and Indus Declaration Forms
15. Colour Photographs

2.5 The Student shall, for speedy communication, state in all application forms,
the mailing address, the telephone nos and email-ids as given below.

2.6 The Student shall route all matters regarding admissions to the Institutions
through XYZ only.

2.7 The Student shall promptly make available any further documents asked for
by the Institutions.
2.8 The Student shall make arrangements to apply for Visa at Students own
expense.
3. Disclaimer :
3.1 Any correspondence made by the student directly with the Institutions with
regard to admissions will be deemed to be a violation of this agreement by
the Student and XYZ shall not be responsible for the rejection of admission
by those Institutions.
3.2 XYZ shall not be responsible for the rejection of any application due to
delay in receipt or non-receipt of the Test1 and/or Test2 Scores by the
Institutions from ETS.
3.3 XYZ shall not be responsible for the rejection of Visa for any reason
whatsoever.
4. Payment Terms :
Consultancy Fees : Rs 25,000 (Rupees Twenty Five Thousand only)
XYZ will collect the above said Consultancy fees.
The payment is to be made as follows :
4.1 Advance of 30 % of the Consultancy Fees for registration.
4.2 40 % of the Consultancy Fees on finalisation of the list of Universities, but
before forwarding the applications to the Foundation.
4.3 Balance 30 % of the Consultancy Fees at the time of handing over the I-20
to the student.
All payments should be made through Cash/Demand Draft/Cheque in favour of
XYZ Private Limited payable at ------------. Payment by cheque is subject to
realisation.

5. Money Back Guarantee :


5.1 In case XYZ, is not able to get the student at least one admission from the
Institutions, in spite of the Student having fulfilled all obligations as per this
agreement, XYZ will refund the entire Consultancy Fees to the student
without any interest. XYZ will not be liable to pay any additional amount
whatsoever as damages to the student.
5.2 It is clearly understood that XYZ will be deemed to have fulfilled their
obligation of Guaranteed Admission if at least one admit letter and/or I-20
form in the name of the Student is received from any one of the selected

Institutions either by XYZ or directly by the Student. Thereafter, the
Student cannot claim refund of any amount paid to XYZ towards Service
Charges nor claim any other damages.
6. Representatives Role :
If the Student is a Minor, the Representative should sign this agreement on
behalf of the Student. The Representative will be required to fulfil all the
administrative obligations of the Student as per this agreement.
7. Jurisdiction :
This Agreement is governed by the Indian Law and the writ and jurisdiction of
the courts in India.
8. Acknowledgement :
By signing this agreement the Student or Representative acknowledges to have
read and understood the terms, conditions and obligations set forth in this
agreement and agrees to abide by the same.
IN WITNESS WHEREOF, XYZ and the Student or Representative have caused this
Agreement to be duly executed and delivered in duplicate as of the day and year
first above written.
