CONTRACT OF EMPLOYMENT

THIS CONTRACT is made this 16th day of January, 2013 BETWEEN [Company
Name] , a Limited Liability Company registered under the laws of Ghana and having its

The Company)

address . (Hereinafter The Pharmacist).

The Contract takes effect from the 1st day January 2013 to 31st December, 2013.

Whereas

1. The Company is a registered company with licence No.................... to carry on the


business of supplying medicines in Ghana and
2. The Pharmacist is a pharmacist registered with the Pharmacy Council of Ghana and
licensed to practice pharmacy with Registration No. .............. for the
year ..................
3. The Company seeks to employ the Pharmacist as a full time Superintendent
Pharmacist under the laws of Ghana.

4. The Pharmacist desires to work for The Company.

1 Definitions and interpretations

1.1 Contract means this employment contract;


1.2 Business of The Company means the pharmaceutical business of
...................................................................

1.3 Confidential Information means all information and data obtained by


The Pharmacist in connection with his employment including all materials
and documentation or otherwise which are confidential or proprietary to
The Company including without limitation, information and data relating
to the Companys customers, operations, policies, procedures, techniques,
accounts and personnel and all information and data which are
confidential or proprietary to a third party employer and which are in the
possession and control of The Company;

1.4 Entitlements means any remuneration, deferred payments,


compensation for sickness or accident due to The Pharmacist prior to the
termination of the Employment under this Contract.

1.5 Misconduct means (includes but is not limited to) behaviour involving:

1.5.1 Disclosure of The Companys Confidential Information
1.5.2 Theft;

1.5.3 Drunkenness;

1.5.4 Dishonesty;

1.5.5 Neglect or dereliction in the discharge of The Pharmacists duties;

1.5.6 Insubordination;

1.5.7 An act by the Pharmacist, which will bring The Company into
disrepute including a conviction for a criminal offence;

1.5.8 A Material Breach of this Contract; and

1.5.9 An offence by the Company or the Pharmacist under the Pharmacy


Act (or any other legislation regulating the practice of pharmacy in Ghana
at the time)

1.5.10 Any proven act/omission prohibited by any statute in Ghana.

1.6 Parties means The Company and The Pharmacist;

1.7 Proper Outgoings means all expenses incurred for authorised use of the
Companys motor vehicle including insurance, running costs and
maintenance costs;

1.8 Trade Secret means a formula, process, device or other business


information that is kept confidential to maintain an advantage over
competitors;
1.9 Clause headings do not form part of this Contract and shall not be taken into
account in its construction or interpretation.

2 Employment

Subject to and in accordance with the following terms and conditions, The
Company shall employ The Pharmacist and The Pharmacist shall serve The
Company.

3 Position and Duties


3.1 The Pharmacist shall serve The Company in the capacity of Superintendent
Pharmacist and shall carry out the duties prescribed in the Job Schedule under Appendix
I of this Contract.

4 Duration

This Contract shall remain valid for one year period from 1st January 2016 to 31st
December 2016 and may be renewed by both parties on mutually accepted terms
upon expiration.

5 Hours of Work

5.1 The Pharmacists normal working hours shall be forty (40) hours per
week but company shall ensure that the services of a locum pharmacist is
always sought to supervise pharmaceutical services anytime Superintend
pharmacist is absent.

5.2 Cost of remuneration for locum pharmacist shall be borne by the company

5.3 The Pharmacist may from time to time at the request of The Company do
additional hours of work outside The Pharmacists normal working hours
after prior discussion between the two parties. This shall be subject to
mutually agreed terms between the Parties

6 COMPENSATION

Salary

6.1 The net basic salary (after tax and Social Security deductions) of The
Pharmacist shall be GH. per month and the salary will be paid
within the last week of each month through the Pharmacists bank.

General Allowances

6.2 The Pharmacist shall be entitled to the following, which shall be paid to
the Pharmacist at the beginning of the month and will not form part of the
agreed monthly salary of the Pharmacist:

6.3 Annual Professional Subscription and Conference fee shall be paid to the
Pharmacist at the end of the first month of employment.

6.4 Other Allowances

The Parties may agree on other allowances as the need of the Pharmacists
work and role may require. These shall be subject to the unique
needs/expectations of the Parties.

6.5 All taxes and social security deductions chargeable on The Pharmacists
salary shall be deducted from The Pharmacists salary and paid by The
Company to the Ghana Revenue Authority or the appropriate government
agency and Social Security and National Insurance Trust respectively in
accordance with the laws of the country.

7 Training

The Company will provide The Pharmacist with Continuing Professional


Education or training which will improve on his/her knowledge,
competences and skills as will be approved by the regulator or the
professional association annually.

8 Company Assets

The Pharmacist shall use The Companys Assets (including but not limited to
vehicles, computers, phones) for the performance of official duties where
applicable.

9 Annual Leave and Maternity Leave

9.1 The Pharmacist shall be entitled to a paid leave of 20 working days every year
(in addition to statutory public holidays) on dates to be agreed in advance with the
Company. Annual leave not taken in one year may not be carried forward to the
next. Nonetheless, the Parties may mutually agree to monetize the leave herein as
they wish.

9.2 The timing of a leave, cognisant of the Companys business requirements and
operations and the consent of the Company shall be mutually agreed between the
Parties.

9.3 The Pharmacist is entitled to a maximum of Forty (40) hours of


compassionate leave annually which shall not be part of the paid leave.

9.4 The Company shall be solely responsible for making arrangements for
Locum services during any period that the Pharmacist shall be absent.

9.5 Female Pharmacists shall, in addition to all rights herein be entitled to a


maternity period not exceeding three months from the date of delivery.

10 Confidentiality

10.1 The Pharmacist in the course of employment under this Contract will have
access to and be entrusted with Confidential Information related to his/her
duties.

10.2 The Pharmacist shall not (except in the proper course of his duties) at any
time under this Contract divulge to any person whatsoever or otherwise
make use of any Trade Secret or Confidential Information.

10.3 All notes and memoranda of any Trade Secret or Confidential Information
received or made by The Company during the course of The Pharmacists
employment shall be the property of The Company and shall be
surrendered by The Pharmacist to a duly authorised officer of The
Company at the termination of his employment or at the request of The
Company at any time during the course of his employment, and The
Pharmacist should not keep any copy of them and disclose them to a third
party.

10.4. The Company has the right to terminate this contract and claim indemnity
by a letter stating the evidence of the Pharmacists Breach of the
Confidentiality clause.

11 Termination

11.1 Either Party may terminate this Contract at any time by giving the other
Party two months notice in writing. Notice given shall include the day on
which the notice is given but shall not include the period of The
Pharmacists outstanding leave at the time of termination.

11.2 This Contract may be terminated:

11.2.1 by mutual agreement between the Parties;

11.2.2 by The Company if The Pharmacist is certified on medical


grounds to be unfit for the Employment;

11.3 Upon termination of this Contract under Clause 11.1, The Company will
pay The Pharmacist his Entitlements not later than the date of the
expiration of the notice.

11.4 Upon termination of this Contract under Clause 11.2, The Company will
pay The Pharmacist his Entitlements not later than the next working day
after such termination.

11.5 Where the Pharmacist works for a period of not less than (2) years with
the same Company, his gratuities and terminal benefits shall be computed
and paid to him within three months after date of the termination.

11.6 Any salaries/payments that may fall due but remain unpaid after the
periods set in the times above shall be paid with interest at the prevailing
commercial banks rates.

12. Dismissal

12.1 The Company may summarily dismiss The Pharmacist without notice on the
ground of proven misconduct of by the Pharmacist.

12.2 The Company shall prior to the termination under Clause 12.1 on the
ground of proven Misconduct cause a proper investigation to be
undertaken to establish such Misconduct and The Company shall afford
The Pharmacist every opportunity to be heard on the allegations of
Misconduct.

12.3 Any such dismissal herein shall not be without Prejudice to any liabilities
accruing to any of the Parties under this agreement.

13 Handing over of Companys property

Upon termination of this Contract, The Pharmacist shall be required to surrender


to The Company all books, documents, papers, materials, and any other property
or assets relating to The Companys Business which may be in his/her possession
or under his/her control to someone duly authorised by The Company.

14 Handing over notes

Upon termination, The Pharmacist shall be required to prepare detailed handing


over notes on all outstanding assignments. Any Payments/entitlements shall be
paid only after the submission of this notes.

15 Dispute Settlement

If The Pharmacist has any grievance relating to his employment he shall raise it in
writing with the Company. The Parties may use their best endeavours to amicably
resolve any differences.

Any dissatisfied Party may raise the grievance with the Board of Directors of The
Company or inform the regulator (Pharmacy Council) in writing. The Company
shall take steps with the view to settling the grievance.

If the matter is not settled, the Parties shall refer it to an arbitrator appointed by
the National Labour Commission or the Standing Executive Committee of the
Pharmaceutical Society of Ghana.

16 Miscellaneous

ENTIRE UNDERTAKING

This Agreement constitutes the entire agreement and understanding between the
parties hereto and supersedes any prior or contemporaneous written or oral
agreements, representations and warranties between them respecting the subject
matter thereof.

This Contract may be executed in any number of counterparts or duplicates, each


of which shall be original, but such counterparts or duplicates shall together
constitute one and the same agreement.

Any amendments to this Contract shall be made in writing and signed by both
Parties.

17 Governing Law

This Contract is governed by and shall be construed in accordance with the Laws
of the Republic of Ghana.

IN WITNESS WHEREOF, each of the Parties have caused this Contract to be duly

Schedule I

The job description of the pharmacist is as follows:


Job Title : Superintendent Pharmacist
Job Purpose : To provide comprehensive good quality pharmaceutical services
to patients/ clients in the Company.

Main Duties
1. Provide good quality Pharmaceutical care to Patients/Clients in the pharmacy
within agreed policies and standards.
2. Ensure that the Standard Operating Procedures (SOPs) for dispensing prescriptions
are scrupulously followed.
3. Collaborate with members of the pharmaceutical support team to ensure that the
treatment and management of simple ailments of common occurrence in the
pharmacy comply with the Standard Treatment Guidelines, Essential Medicines
List, approved treatment protocols, and existing laws and policies.
4. Provide enhanced pharmaceutical services such as RDT (malaria, blood glucose,
blood cholesterol, urine pregnancy test etc) , BP monitoring etc.
5. Provide clients with relevant drug information to enhance optimum therapeutic
outcomes including the selection and appropriate use of over-the-counter
medicines.
6. Monitor adverse medicines reactions and report to the Food and Drugs Authority.
7. Monitor and control narcotic and psychotropic substances in accordance with law
and keep the Dangerous Drugs Register (DDR) updated at all times.
8. Initiate and participate in the drug procurement process in the pharmacy.
9. Handle and store medicines including vaccines and sera safely and securely in the
pharmacy according to existing guidelines.

10. Monitor stock levels and expiry dates of medicines on regular basis to ensure that
medicines do not expire on the shelves; and if they do they are disposed off in
accordance with established procedures and are not dispensed to clients.
11. Actively participate in the recruitment process of pharmacy personnel.
12. Facilitate in-service training programmes for pharmaceutical support staff.
13. Closely supervise the activities of pharmaceutical support staff in the pharmacy.
14. Create and maintain effective communication with management and
pharmaceutical support staff in the pharmacy.
15. Ensure that pharmacy interns are trained adequately as and when required.
16. Take an active role in the management of complaints, grievances and compliance
to ethics of the profession in the pharmacy.
17. Ensure that good quality, safe, efficacious and affordable pharmaceutical products
and devices are supplied to patients/clients.
18. Maintain client confidentiality at all times.
19. Ensure the efficient collection, storage, processing and utilization of data in the
pharmacy to inform management and pharmaceutical care decisions.
20. Undertake operational research in pharmaceutical care to improve practice.
21. Contribute actively to the implementation of pharmaceutical policies and other
health-related policies and guidelines.
22. Ensure that emergency treatment/ management protocols are available and posted
at the pharmacy for the purpose of easy reference.
23. Ensure the maintenance of a tidy and serene environment at the pharmacy at all
times.
24. Participate actively in the management of recruitment, selection and induction of
members of the pharmaceutical support staff.
