DEED OF AGREEMENT

This agreement of Lease is made on this day of 05 th day of May 2014 Christian era.

Between

Libas Knitwear Limited having at its registered office at Kewa, Boherarchala, Gila Baraeed, Sreepur,
Gazipur-1740 represented by Mohammad Salman, S/O-. Hafez Maulana Mohammad Yahya, Managing
Director, Libas Knitwear Ltd. Address: Mouja: Kewa Boherarchala. P.O. Gilabaraeed, Sreepur, Gazipur
Bangladesh herein after called the lessor (which expression, unless repugnant to the subject or context,
shall include his/her/their successors, executors, administrator, legal representatives and assigns) of the
First Party.

And

Lantabur Apparels Limited having its registered office at Kewa, Boherarchala, Gila Baraeed, Sreepur,
Gazipur-1740 represented by Tasnim Saffana, S/O- Abu Taher Mesbah, Managing Director, Lantabur
Apparels Ltd. Address: Mouja: Kewa Boherarchala, P.O. Gilabaraeed, Sreepur, Gazipur hereinafter called
the “Tenant” (which expression, unless repugnant to the subject or context, shall include his/her/their
successors, executors, administrator, legal representatives and assigns) of the Second Party.

And where the lessor has agreed to execute the deed of agreement with the tenant and also agreed to
accept the occupied entire 1st floor of the factory building of the 1 st party covering area more or less 23,000
sft. including staircase (both stair case in the building) and lift facility subject to the following terms and
conditions:

1) That the agreement will remain valid/enforce initially for a period of 10 years effecting from May 15,
2014. This agreement is renewable/re-contract for further period by the mutual understanding of
the both parties; in that case 2 nd party shall have the first option. The rent may be re-fixed depend
on the prevailing market rent at that time.
2) That the rent for the rented premises is fixed at (23000X10) Tk.2,30,000/- and will remain
unchanged till validity of the agreement.
3) Monthly rent will be payable on or before 10 th of every calendar month. Income tax as well as VAT
and other taxes if any impose by the govt. will be deducted at source as per Act/rules of the
government as per rate applicable. Copy of the challan will be duly provided.
4) It is mutually agreed that the 2 nd party will hand over the rented premises to the 1 st party if the 2nd
part do not enter into the agreement before the expiry of this contract.

5) If the 2nd party fails to pay monthly rent for consecutive 3 (Three) months the 1 st party shall have
right to serve notice for vacating the building and in such case the 1 st party will not be liable for any
loss in the business of the 2nd party.
6) That the 2nd party will bear the cost of repairing/rebuild if any damage/distortion of the building
caused by the tenant.
7) That the Leased space/rented premises shall be used by the 2 nd party for setting up garments
industry and its related work.
8) That the 1st party will arrange to provide overhead water tank as per buyer’s requirement/buyers
compliance as well as to ensure supply of water.
9) That the 1st party will keep clean and free for movement the common stair of the building to avoid
any occurrence/accident.
10) That the 2nd party will pay the utilities bills (Electricity/Gas/Water charges) as per meter reading
regularly to the concerned authority. Separate meter for the 2 nd party will provide by the 1st party.
11) That if any electrification work needed in addition to the existing for the interest of the 2 nd party will
do at own cost of the 2nd party.
12) During the tenancy of the said premises any problem arises in gas/electricity/sewerage line the 2 nd
party will repair at his own cost for smooth operation of the factory.
13) Any change/modification of the said space for the smooth operation of the factory needed can be
done by the 2nd party with consultation with the 1st party at his own cost.
14) That this agreement may be terminate before expiry of the term by the either parties. In that case
6(six) months prior notice in writing will be required.
15) The 2nd party will ensure the fire insurance covering his property and the rented premises so that
compensation may recover in such accident. But in case of natural calamity the 2 nd party will not be
liable for such damage.

SCHEDULE OF RENTED PREMISES

1st floor of factory building of Libas Knitwear Limited covering area more or less 23,000 sft. located at Kewa,
Boherarchala, Gila Baraeed, Sreepur, Gazipur-1740.

We the parties here to have here under affixed our signature in this deed of agreement on the day and the
year 1st above maintained.
