AGREEMENT TO CONSTITUTE PERPETUAL EASEMENT

KNOW ALL MEN BY THESE PRESENTS :

This Agreement to constitute easement of right-of-way is made and jointly executed this
_____ day of _________________, 2018, by:;

T.R. PAPER PRODUCTS, INC., a corporation duly organized and existing under the
laws of the Philippines, with postal and office address located at Sterling Industrial Park, Barrio
Iba, Meycauayan City, Bulacan, represented in this act by its President, MR. TIONG
ROSARIO, duly authorized for the purpose, under a Board Resolution, as evidenced by a
notarized Corporate Secretary’s Certificate executed on ___________________, a copy of
which is attached as Annex “A”, hereinafter referred to as the FIRST PARTY;

and

POLYVISION REALTY CORPORATION, a corporation duly organized and existing


under the laws of the Philippines with postal and office address located at No. 57 Judge Juan
Luna St., SFDM, Q.C., represented in this act by its President, MR. PETER CHUA, duly
authorized for the purpose under a Board Resolution, as evidenced by a notarized Corporate
Secretary’s Certificate executed on ____________________, a copy of which is attached as
Annex “B”, hereinafter referred to as the SECOND PARTY;

WITNESSETH; That –

WHEREAS, the FIRST PARTY and SECOND PARTY are the registered co-owners
of a certain parcel of land located at Iba, Meycauayan City, Bulacan, identified as Lot. No. 8
(Road Lot), with an area of 9,128 sq.m. and covered by Transfer Certificate of Title (TCT) No.
040-2014031343 of the Registry of Deeds for the Province of Bulacan, Meycauayan Branch,
which road lot is more particularly described below :

“ A parcel of land (Lot No. 8, (Road) Plan No. (LRA) Pcs-


E2014000324, being s portion of consolidation and subdivision of Lots 1,
Pcs-03-018281; Lots 1, 2, 3, 4, 5, 6, 7, all of Block 5, Pcs-03-019628; Lot
20 Blk. 6, Pcs-03-019628 and Road Lot 4, Pcs-03-019628 , LRA Rec. No.
N-31708, N-21514, 25742, etc. located at Brgy. Iba, Mun. of Meycauayan,
Province of Bulacan, IS of Luzon x x x containing an area of Nine
Thousand One Hundred Twenty Eight (9,128) sq.m.”

WHEREAS, in accordance with the Deed of Partition, the parties have agreed that
the above described property identified in the final survey plan as road lot No. 8 shall be used
as a means of road access to the inner lots of the industrial subdivision; designated as
“Polyland Industrial Subdivision”;

WHEREAS, it is the intention of the parties that the said road lot be the subject of
a perpetual easement of right of way;

NOW, THEREFORE, for and in consideration of the foregoing premises, and of


the mutual covenants herein contained, the parties have agreed as follows:

1) That both parties have agreed to apply with the office of the Register of Deeds for the
Prov. of Bulacan, Meycauayan Branch, for the annotation on TCT No. 040-2014031343,
of the fact by constituting a perpetual easement on the aforementioned road Lot 8

covered by Title, and that all the expenses related thereto shall be for the account of
_________________;

2) That the perpetual easement of right-of-way as constituted and to be annotated on the


Memorandum page of the aforesaid Transfer Certificate of Title, shall be for the
exclusive use and benefit of the property owners located inside the industrial subd.
designated as Polyland Industrial Subdivision, in consideration of their full
commitments and undertaking to pay the yearly real estate property taxes and
assessments due on the said road lot and of providing necessary funds for the upkeep
and maintenance of the said road lot in good condition at all times;

3) That the herein parties as grantors thereof including its successors, heirs and assigns,
who in the future shall hereafter succeed in dominion shall strictly observe the provision
on the above undertaking respecting the grant of the perpetual easement of right of
way. The intent of the herein parties who have voluntarily constituted the easement of
right of way, is for a perpetual easement. Therefore, unlike any other contracts, the
same could not be extinguished by the mere fact of mutual agreement or renunciation
of the parties considering that the grant hereof is in perpetuity;

This undertaking shall be binding upon the parties hereto including their heirs,
assigns and successors-in-interest.

as the acts of the corporations herein represented.

This document pertains to an Agreement to Constitute Perpetual Easement of Right of


Way over a certain road lot identified as road lot no. 8, with an area of 9,128 sq.m., located at

acknowledgment is written, signed by the parties with their instrumental witnesses on each and
