DEED OF ABSOLUTE SALE OF A CONDOMINIUM UNIT

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF SALE is made and executed on this 7th day of


FEBRUARY, 2018 at DIGOS CITY, Philippines, by and between:

CYNNEST KAYE S. RAMOGA, of legal age, single, Filipino


citizen, with residence at PRK. MADASIGON, STA.ANA, SUGAR
ROAD, TRES DE MAYO, DIGOS CITY, DAVAO DEL SUR,
Philippines, and hereinafter referred to as the VENDOR;

-and-

NORLAINIE C. OMAR, of legal age, single, Filipino citizen,


with residence at PHASE 2, LOT 15, BLK. 5, SANDAWA
SUBDIVISION,KIDAPAWAN CITY, NORTH COTABATO, Philippines,
and hereinafter referred to as the VENDEE;

W I T N E SS E T H: THAT

WHEREAS THE VENDOR is the registered owner of a certain


condominium covered by Condominium Certificate of Title No. 0946
and its parking unit covered by a Condominium Certificate of Title
No. 0947 located at Digos City, Davao del Sur, Philippines.

That the condominium unit and the parking unit are


described as follows:

the 9TH Floor of Bldg. II, Tower-3 of “Avida Towers”
containing an area of FOURTY NINE SQ. METERS AND

Parking Unit No. 0947: A parking unit located at the


ground floor of Tower 3 containing an area of SIXTEEN
SQUARE METERS (16 SQM), more or less.

Copies of these are hereto attached and made integral


part hereof.

WHEREAS THE VENDEE offered to buy and the VENDOR


agreed to sell the said condominium unit as well as any and all
rights and interest appertaining thereto under the Master Deed with
Declaration of Restriction (the “Master Deed”), the Articles of
Incorporation and the By-Laws of the Condominium Corporation;

WHEREAS, on the one hand, the VENDEE hereby agrees to


transfer the said property on his name within one (1) year and at
the same time he undertakes to shoulder the expenses involving the
Transfer Taxes;

WHEREAS, on the other hand, the VENDOR hereby agrees to


pay the Capital Gains Tax;

WHEREAS, the VENDEE accepts and binds himself to all


conditions and restrictions embodied in the Master Deed, the
Articles of Incorporation and By-Laws of the Condominium
Corporation, and agrees to faithfully observe and comply with the
House Rules and Regulations of the Condominium Corporation and
any amendment or supplement thereto.

NOW, THEREFORE, for and in consideration of the sum of


FIVE MILLION PESOS (P5,000,000.00), Philippine currency, the
VENDOR hereby SELLS, TRANSFERS and CONVEYS unto the
VENDEE by way of ABSOLUTE SALE, to his heirs and assigns, the
said condominium unit as well as any all rights and interest
appertaining thereto under the Master Deed, the Articles of
Incorporation and By-Laws of the Condominium Corporation.

1. The purchase price for the said condominium unit and


assigned parking lot shall be FIVE MILLION PHILIPPINE
PESOS (PHP 5,000,000) to be paid through a Manager’s

Check drawn against the deposit account of the VENDOR with
BDO Unibank Inc. – Rizal Avenue Branch;

2. VENDOR warrant that the title of the said condominium unit


is free and clear of any and all liens and encumbrances in
favor of any person or entity whatsoever;

3. VENDEE accepts and binds himself to all conditions and


restrictions embodied in the Master Deed, the Articles of
Incorporation and By-Laws of the Condominium Corporation,
and agrees to faithfully observe and comply with the House
Rules and Regulations of the Condominium Corporation and
any amendment or supplement thereto;

4. The VENDEE hereby acknowledge that they have examined


the said condominium unit and accept the same;

5. The VENDOR undertakes that they, their heirs, successors


and assigns shall warrant and defend the title to the real
property subject of this Deed against all claims of all persons
or entities. The VENDOR also guarantees the right of the
VENDEE to take possession of the property subject of this
agreement upon the signing and execution of this agreement
and will defend the latter against all judicial or administrative
actions for eviction.

6. In addition to the consideration above, the capital gains tax


(6% of selling price), documentary stamps tax, value-added tax
(VAT), if any, broker’s fee (5% of selling price), registration fee,
legal and notarial fee (1% of the selling price) and other
incidental expenses in the registration of the sale and title
transfer shall be for the account of the VENDEE;

7. The association dues and utilities shall be for the sole account
of the VENDOR until the execution of this Deed of Absolute
Sale;

8. The Agreement shall be binding and valid upon the parties


herein and their heirs, agents, representatives, and assigns.

IN WITNESS WHEREOF, the parties have hereunto set their


hands this 7th day of February 2018 at Digos City, Philippines.
