PLAYER CONTRACT
2017 – 2018 SEASON
NA3HL
CONFIDENTIAL

This document constitutes a binding AGREEMENT under the laws of the State of New York
between _________________________ (PLAYER) born on______________________ who, as
well as jointly and severally by the undersigned parent or legal guardians of the PLAYER
(PARENT) and the LONG BEACH SHARKS hockey team (CLUB). This AGREEMENT is
established for the purpose of defining the mutual obligations between the CLUB and the
PLAYER as well as the CLUB and the PARENT for the 2017 – 2018 season (SEASON). The
season shall be defined by the parameters of the practice and game schedule.

1. During the SEASON the PLAYER agrees to play amateur ice hockey exclusively for the
CLUB and shall not participate or play in any other ice hockey events, with the unique
exception of USAH or his native national teams, select camps, or tournaments, without
the express written permission of the CLUB which shall be reasonably granted whenever
such outside participation is determined by the CLUB to not be in conflict with the
interests of the CLUB.

2. The PLAYER agrees that he shall attend all CLUB on-ice and off-ice sessions including,
but not limited to: games, dry-land training, instructional sessions, team meetings and
designated community service sessions, unless otherwise excused by the CLUB in
advance.

3. The PLAYER agrees that he will conduct himself on and off the ice in accordance with
the highest standard of honesty, integrity and sportsmanship. The PLAYER further
agrees that he will not do anything that is materially detrimental or materially prejudicial
to the best interests of the CLUB and recognizes that his behavior is representative of the
CLUB at all times. The PLAYER further understands that the CLUB, in its sole
discretion, may suspend and/or dismiss a PLAYER for bad behavior.
4. The CLUB and PLAYER formally recognize that this AGREEMENT does NOT
constitute a guarantee of playing time, or of equal playing time, for the PLAYER and that
all decisions regarding playing time shall be determined solely by the CLUB and its
coaching staff. The PLAYER understands he will continually compete for a playing
position. Skill and effectiveness in both practice and games are significant factors in
determining playing time. PLAYER and PARENT understand that part of the player
development process may include placement on any appropriate team operated by CLUB.
All teams are operated under the same rules and guidelines set forth by this
AGREEMENT.

5. The CLUB will follow all NA3HL LEAGUE rules (LEAGUE) pertaining to game and
practice guidelines regarding ice availability, apparel, equipment, transportation and
housing. NOTE: ALL EQUIPMENT PROVIDED BY THE CLUB SHALL REMAIN
THE PROPERTY OF THE CLUB AND MUST BE RETURNED UNLESS
OTHERWISE AGREED.

NA3HL SHOWCASE TRANSPORTATION FEE

AIRFARE TRANSPORTATION FEE TO THE NA3HL SHOWCASE in BLAINE, MN


EXCLUDED FROM THE TOTAL TUITION DUE. HOTEL ACCOMMODATIONS, MEALS
AND LOCAL TRANSPORTATION DURING THE SHOWCASE IS INCLUDED IN THE
TUITION FEE.

NOTE: THE AIRFARE TRANSPORTATION FEE WILL BE ASSESSED BY OCTOBER


1, 2017 AND WILL BE DUE NO LATER THAN OCTOBER 15th, 2017.

6. The CLUB shall be the sole beneficiary of ticket sales, donations, tuition fees, advertising
and other revenues and assets of any kind that the PLAYER will receive, and the
PLAYER shall not receive or be due any monetary or material compensation of any kind.
The CLUB has the right to use any photograph of the player for promotional or
instructional activity without compensation to PLAYER. The PLAYER and/or PARENT
expressly waive any/all right to compensation, monetary or otherwise, for use of his
photograph, image, or likeness and hereby authorize the CLUB to use same as provided
for in the agreement.

7. The PLAYER or PARENT shall pay to the CLUB a non-refundable tuition ("TUITION")
of $9,500 which includes an immediate, non-refundable $3,500 partial payment as
reflected in the payment terms page. The payments shall be due in increments and on the
dates shown in Section eighteen (18) below. Should PLAYER or PARENT fall into
arrears on these payments for any reason, time being of the essence, this shall be
considered a material breach of this agreement, and the CLUB shall be entitled to refuse
to allow the PLAYER to continue to participate in the games/practices remaining, in
addition to any other remedies it may be entitled to hereunder.
8. The PLAYER and/or PARENT shall and hereby agree to guarantee any and all
payments with a working credit or debit bankcard (Visa, MasterCard or Discovery
only). If the credit or debit card is canceled or has insufficient credit limit then the
PLAYER and/or PARENT shall provide a guarantee of payment satisfactory to the
CLUB. If the PLAYER and/or PARENT fails to provide such guarantee, then the
CLUB may, at its sole discretion, suspend or terminate PLAYER'S services with the
CLUB. THE PLAYER AND PARENT ACKNOWLEDGE THAT THE CLUB
OPERATES ON A VERY TIGHT BUDGET, AND AGREE TO PAY THEIR TUITION
AND OTHER FEES ON OR BEFORE THE DATES SPECIFIED BELOW. THERE
WILL BE A FINANCE CHARGE OF 1.5% PER MONTH ON ANY BALANCE
EXISTING AFTER THIRTY (30) DAYS. THIS IS AN ANNUAL PERCENTAGE
RATE OF 18%. ADDITIONAL FINANCE CHARGES WILL BE AVOIDED BY
PAYING THE NEW BALANCE BEFORE THE BILLING DATE OF THE NEXT
MONTH.

IF PAYMENT IS NOT RECEIVED WITHIN TEN (10) DAYS OF DUE DATE,


THE CREDIT CARD ON FILE WILL BE CHARGED FOR THE TUITION
AMOUNT PAST DUE.

THE PLAYER AND PARENT HEREBY FURTHER AGREE TO PAY FOR ANY
AND ALL LEGAL, ADMINISTRATIVE OR OTHER COSTS INVOLVED IN
COLLECTING UNPAID TUITION, FEES OR EQUIPMENT COSTS, INCLUDING,
BUT NOT LIMITED TO THE CLUB’S ATTORNEYS’ FEES AND COURT COSTS.
IF ANY PAST DUE BILL IS SENT TO TEAM ATTORNEY FOR COLLECTION,
THE PARENT AND PLAYER AGREE TO PAY AN ATTORNEY INITIATION FEE
OF $1,000.

9. The PLAYER and PARENT jointly and severally agree to pay the full tuition regardless
of whether the PLAYER should voluntarily leave the team, or be released by the CLUB
for reasons allowed for in the covenants of this AGREEMENT. Nothing herein shall be
considered as a waiver of the CLUB’S right to collect tuition payments provided herein.
PLAYER and PARENT agree that payments are not set up to be evenly pro-rated over
the course of the SEASON. PLAYER and PARENT understand that payments are front
weighted toward the start of the season as tourney play and travel are greater for this
period and therefore consume the vast majority of player fees.

10. It is understood that all personal equipment purchased and worn by player shall be in
compliance with USAH and that it is up to the PLAYER to keep his equipment in safety
compliance with USAH. PLAYER and PARENT agree that all team issued equipment
and apparel will be returned upon suspension, termination, or completion of the players’
services. Un-returned or lost goods will be charged to PLAYER and/or PARENT at
replacement cost.

11. This Agreement, and any dispute that arises out of or relating to this Agreement shall be
governed by and construed in accordance with the laws of the State of New York,
without regard to conflict of laws rules. The parties submit to the exclusive jurisdiction
of the State of New York, and agree that such litigation in respect of all matters arising
out of or relating to this Agreement, will be conducted in the New York State Supreme
Court for Nassau County.

12. In the event of any litigation arising from or related to this Agreement, or the services
provided under this Agreement, the prevailing party shall be entitled to recover from the
non-prevailing party all reasonable costs incurred including staff time, court costs,
attorneys’ fees, and all other related expenses incurred in such litigation.

13. If any provision of this AGREEMENT shall be held invalid or unenforceable under any
applicable law, such provisions shall not apply in such instance but the remaining
provisions shall be given their full effect in accordance with their terms.

14. The provisions of Sections 1, 2, 3, 4, 5, 6, 7, 8, 9, 10, 11, 12 and 13 shall survive the
termination of this Agreement.

15. Waiver by the PARTIES of any term, provision or condition hereof shall not be
construed as a waiver of any other term, provision or condition, nor shall waiver be
deemed a waiver of any subsequent breach of said term, condition or provision.

16. This document constitutes the entire agreement between the parties and can only be
modified by a written agreement signed by the PARENT, PLAYER, and by the CLUB.
All prior or contemporaneous oral representations are of no force or effect.

17. The tendering by the CLUB of this agreement to the PLAYER or PLAYER'S PARENT
shall not constitute an offer to said PLAYER, it being expressly understood that until the
CLUB's director of hockey operations countersigns this agreement, the terms herein are
of no force or effect.

18. The PLAYER or PARENT shall make the TUITION payments as scheduled below.
Should the PLAYER and/or PARENT fail to make payments in accordance with
this agreement the CLUB shall be authorized to deduct said payment from the
guarantee provided for herein including reimbursement to the CLUB for any
processing fees or charges. There will be NO EXCEPTIONS to providing a credit or
debit card as payment guarantee. In the event the PLAYER and/or PARENT fails
to make payment on or before dates listed below the CLUB may, at its sole
discretion, require that all further payments be made in the form of cash, certified
check or money orders and suspend player from all team activities including
participating in games and practices.

JUNIOR TEAM PRIOR TO THE 2017-2018 SEASON, THIS CONTRACT SHALL BE
DECLARED NULL AND VOID.

RELEASE AND INDEMNITY AGREEMENT

We, the undersigned PLAYER and PARENT (or legal guardian of the player),
acknowledge that ice hockey is a contact sport and sometimes a dangerous activity that can result
in physical injury, impairment or other damages. We AGREE that the LONG BEACH SHARKS
(“CLUB”), Sharks Junior Hockey Club, LLC, its’ officers, agents, servants, employees, the
coaches, scouts, volunteers, sponsors, facilities, rinks, and facility and rink employees shall not
be liable for any injury or damage resulting directly or indirectly from any participation with the
CLUB or due to the use of any equipment provided to me by or on behalf of the CLUB. In
consideration of the CLUB accepting the PLAYER, we hereby acknowledge and agree that, to
the fullest extent of the law, the undersigned will defend, indemnify, discharge, and hold
harmless the CLUB, Sharks Junior Hockey Club, LLC and any of their officers, directors,
employees, agents, affiliated organizations, coaches, scouts volunteers, subsidiaries, sponsors,
and partners, from and against all claims, damages, judgments, liabilities, losses, and expenses,
including attorney's fees, for any injuries or damages arising out of or resulting from the above-
named player’s participation with the CLUB or due to the use of any equipment or other items
provided to the player, including without limitation any injuries or damages incurred during
travel, travel related functions and/or lodging.

We UNDERSTAND that this agreement shall bind my heirs, legal representatives and all
assigns and shall inure to the benefit of the LONG BEACH SHARKS, Sharks Junior Hockey
Club, LLC., its’ officer, agents, servants, employees, coaches, volunteers and sponsors, and their
successors and assigns.

IT IS FURTHER AGREED that neither the CLUB nor Sharks Junior Hockey Club, LLC
guarantees or warrantees equipment which may be provided to and/or used by the PLAYER.

2. No lashing out at any official no matter what the call is. The coaching staff

4. Fighting will not be tolerated. Fighting will result in an appearance before a


Discipline Committee.

5. There will be no drinking, smoking, chewing of tobacco or use of illegal


substance at any team function.

6. I will conduct myself in a befitting manner at all facilities (ice rink, hotel,
restaurant, etc) during all team functions.

7. Any player or team official who cannot abide by these rules or violates
them will be subject to further disciplinary action.
