CONTRACT OF SALE

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT OF SALE, is made and executed this ______________ by and


between:

LEW IAN L. GAZMEN, of legal age, single, Filipino, and with residence
and postal address at Barangay Poblacion, Tagum City hereinafter referred to
as the "SELLER/VENDOR";

-AND-

RICARDO B. LAGANSON, of legal age, Filipino, with residence and postal


address at__________________________), and trustee for the benefit of the
shareholders of the Palm City Medical Center, hereinafter referred to as
the "BUYER/VENDEE".

WITNESSETH;

WHEREAS, the SELLER/VENDOR is the absolute and registered owner


of a parcel of a agricultural land consisting of EIGHTEEN THOUSAND SIX
HUNDRED (18,600) square meters, more or less, situated in Barangay
Magugpo, Tagum City and covered by Transfer Certificate of Title No. 00512400
issued by the Registry of Deeds of Tagum City;

WHEREAS, the BUYER/VENDEE offered to buy and the SELLER/


VENDOR has agreed to sell a portion of the above mentioned property, with an
area of EIGHT THOUSAND (8,000) square meters only and more particularly
described as lot _____________ in a sketch map hereto attached as Annex A,
which forms an integral part hereof, for a price of SIX THOUSAND PESOS
(P6,000.000) per square meter or a total sum of FORTY EIGHT MILLION
PESOS (Php: 48,000,000.00);

NOW THEREFORE, for and in consideration of the total sum of FORTY


EIGHT MILLION PESOS (Php: 48,000,000.00) Philippine Currency, to be paid in
the manner hereunder specified, the SELLER/VENDOR hereby SELLS,
TRANSFERS, CONVEYS unto the BUYER/VENDEE the aforesaid property
together with all the improvements thereon, subject to the following terms and
conditions:

1. The total consideration of Forty Eight Million (Php: 48,000,000.00)


PESOS, Philippine Currency, shall be payable as follows:

a) The amount of TWO MILLION FIVE HUNDRED THOUSAND
PESOS (Php: 2,500,000.00) PESOS, representing earnest money shall be
payable by the BUYER/VENDEE to the SELLER/VENDOR upon signing
of this Contract to Sell;

b) The remaining balance in the amount of FORTY SEVEN


MILLION FIVE HUNDRED THOUSAND PESOS (Php: 47,500,000.00)
PESOS, shall be paid in monthly installments at _____________ Pesos
(P_______) beginning __________ 2018 until fully paid, but not later than
_____________;

2. The SELLER/VENDOR attest that he is the rightful registered owner, in fee


simple in accordance with law, and further hereby warrants his title over the
land above-described, with full right to dispose the same;

3. The SELLER/VENDOR has conveyed and delivered and by these presents,


thus hereby convey and deliver unto and in favor of the BUYER/VENDEE the
material and physical possession of the property herein sold, and likewise
acknowledges the BUYER/VENDEE's right to peaceful possession over the
premises of the subject land and to demand faithful compliance unto the
SELLER/VENDOR of his obligations arising from this contract;

4. In the event that the SELLER/VENDOR decides to sell and/or dispose of the
adjacent lot(s), the BUYER/VENDEE shall have the preference or priority to
purchase the same; thence, unless and until the latter refuses to exercise this
right of First Refusal, the adjacent lot(s) shall not be offered for sale to other
persons or juridical entity;

5. Upon full payment of the total consideration hereof,


the SELLER/VENDOR shall hereby undertake to execute further instrument,
Deed of Absolute Sale or Affidavit of Confirmation of Sale in favor of the
BUYER/VENDEE as soon as the approved technical description for the precise
delineation, by meets and bounds, of the lot subject hereof and/or further
subdivided shall issue from the proper authorities. sign and execute a DEED
OF ABSOLUTE SALE in favor of the BUYER/VENDEE. The
SELLER/VENDOR shall likewise execute and/or deliver any and all
documents, including but not limited to the original copy of Transfer Certificate
of Title, Tax Declaration and all other documents necessary for the transfer of
ownership from SELLER/VENDOR to the BUYER/VENDEE.

6. The Capital Gains Tax, Real Estate Tax, Documentary Stamps Tax,
Registration Fee and all other miscellaneous expenses for the transfer of title
shall be for the account of the BUYER/VENDEE;

7. The parties agree that should any of the stipulations be held invalid, the
legality and enforceability of the remaining provisions shall not in any way be
affected or impaired;

IN WITNESS WHEREOF, the parties have hereunto affixed their

BEFORE ME, a Notary Public, this ____________day of ________________,


personally appeared the SELLER/VENDOR, LEW IAN L. GAZMEN and the
BUYER/VENDEE, RICARDO B. LAGANSON, known to me and to me known to
be the same persons who executed and signed the foregoing contract of sale,
same acknowledging to me that such is their free and voluntary act and deed,
and that the whole contents therein are true.

This instrument, consisting of three (3) pages, including the page on


which this acknowledgment is written, has been signed on each and every page
thereof by the concerned parties and their witnesses, and sealed with my
notarial seal.
