Implementation:
This will be implemented as a back end sales-out rebate for all valid claimants. Distributors are to claim their
rebates on the standard monthly claim form within the strict time limits set out below. This promotion is available
while stocks last and no exceptions will be entered into. Only claims quoting 3Com 3C numbers will be
accepted. 3Com reserves the right to request copies of invoices to verify any claims. Sales out should be reported
into CHIP using 3C numbers. If you have any question please contact your 3Com Account Manager immediately.

Additional Promotional Terms and Conditions:

• All valid claimants will be credited with a back-end rebate based on sales-out of the product listed.
• Claims will be processed on receipt and verification of official claim forms.
• Claims must be received within 30 days after the end of each Calendar Month in which the Units being
claimed for were Sold Out. Claim forms delivered late will be invalid and will not be validated by 3Com and
will not entitle claimant to any rebate under this promotion. No exceptions will be made to this time limit.
• Any partner deducting the value of the claim from payments due will be removed from any future
promotions.
• Where you provide inventory information to the Channel Inventory reporting program, this will be used to
verify your Claims.
• Only product purchased by the claimants directly from 3Com will qualify.
• The product must have been shipped to you in the previous 120 days, prior to the start of the promotion and
you can also included products shipped to you during the promotion period. No exceptions to his time limit
will be permitted
• Partners may pass the rebates through (in full or in part) to the second tier, or to end users, as instant
rebates.
• This promotion must NOT be used in conjunction with any other promotion, or Special Price
• Sales out to Sub distis and other Distributors will not be valid – only sales out to Resellers can be claimed.
• 3Com expressly reserves the right to:
i) Audit claims for rebate including distributor site visits to examine distributor's relevant books, records
and supporting documentation, and

 ii) Withhold all or part of the rebate otherwise payable to distributor hereunder if in 3Com's absolute
discretion 3Com believes distributor's claim for rebate is invalid, incomplete or fraudulent in any way
• In the event that 3Com discovers or determines that Distributor or a Distributors’ Reseller has sold any
products covered by an active Promotion to any entity other than the authorised territory stated in the
Distributor Agreement, in addition to any other remedies 3Com may have at law or in equity, 3Com may, in
its sole discretion and in addition to its option to terminate any active Promotion and/or the Distributor
Agreement for breach, provide Distributor with written notice that 3Com intends to deduct an amount equal
to (5) times the amount of the sale as liquidated damages, not as a penalty, from any rebates or monies due
to Distributor from 3Com. If 3Com does not owe Distributor any funds at the time of the infraction or the
amount of the rebates is not sufficient, Distributor will pay 3Com the amount of the liquidated damages (or
the remaining amount if the rebate amount is not sufficient) within fifteen (15) days of 3Com’s written notice.
The parties agree that this is a reasonable estimate of the damages (as such amount is not otherwise
ascertainable) that would be suffered by 3Com as a result of Distributor failing to adhere to the Promotion
requirements. Additionally 3Com shall have the right to deny any further Promotions and/or terminate any
outstanding Promotions for Distributor. Distributor shall also be liable to 3Com for any damages arising out
of any misuse of granted Promotions.

• 3Com reserves the right to withdraw or modify this promotion at any time without advance notice.
