CONSTITUTION AND BY-LAWS

of the
Holy Spirit National High School (HSNHS)
ALLIANCE OF BONIFIDE MANAGERS (ABM)

ARTICLE I: NAME OF THE ORGANIZATION

Section A: Name – The name of this organization shall be ALLIANCE OF BONIFIDE MANAGERS
(ABM).

ARTICLE II: PURPOSE

The Alliance of Bonafide Managers (ABM) is a club of future entrepreneurs and managers who
share a common passion for excellence in business and professional growth. Moreover, it was established
to educate, promote, encourage, network, and develop aspiring and successful entrepreneurs. Through a
series of engagements with successful business owners and experts, learning events, mentorship, and
networking opportunities, members of the society learn the crucial elements necessary to become
successful managers.

The Alliance of Bonafide Managers (ABM) in its initial year, aims to offer activities which include
intensive entrepreneurial forum, invitation of guest speakers for marketing principles and customer service
symposiums, print marketing contest and workshop for marketing plan and research and conduct
marketing exhibit.

ARTICLE III: MEMBERSHIP

Section A: Membership shall be open to all ABM Strand Senior High School students of Holy Spirit
National High School Annex.

Section B: Members are considered to be active if they attend at least three (3) meetings and participate
in at least one (1) activity during the academic year.

ARTICLE IV: OFFICERS

Section A: The officers shall be composed of:

Grade 11 and 12 – President and Vice-President, Secretary, Treasurer, Auditor, PRO,
Business Managers and Sergeant at Arms.

Section B: Any active member of the club shall be eligible to hold any appropriate office

Section C: The officers shall be elected on the month of July of each year. Only the members of Grade
11 and 12 ABM Strand that are present will be allowed to vote
Section D: The term of office for each officer will be one year and will start after the election of officers

Section E: If a vacancy occurs in the office of the President, the Vice-President shall assume the office
for the remainder of the term and vacancies in any other office shall be filled by a special
election.

ARTICLE V: DUTIES OF OFFICERS

Section A: President – It shall be the duty of the President to:

a. 1. Preside at all club meetings.

a. 2. Represent the organization and perform such other duties as pertain to this office.

a. 3. May call special meetings, appoint committees, and appoint chairpersons for those
committees as necessary.

Section B: The Vice-President – It shall be the duty of the Vice-President to:

b.1. Preside in the absence of the President.

b. 2. May call special meetings, appoint committees, and appoint chairpersons for those
committees as necessary.

Section C: The Secretary - It shall be the duty of the Secretary to:

c.1 Record of the minutes of the meetings and activities of the club.

c.2 Keep attendance records for meetings and activities.

c.3. Issue notices of upcoming meetings and events

Section D: The Treasurer - It shall be the duty of the Treasurer to:

d.1. Act as a custodian of all funds in possession of the club.

d.2. Keep accurate account of records of all funds received or collected and of all club
expenditures (including receipts if appropriate).

d.3. Give detailed update on the status of the club’s treasury each meeting

Section E: The Auditor - It shall be the duty of the Treasurer to:

e.1. Prepare of the club financial report making sure that the report is said to be accurate
factual
e.2. File a copy of the club financial statement in the Supreme Student Government (SSG).

e.3. Assist the Treasurer in any financial matter of the club.

Section F: The Press Relation Officers (PRO) - It shall be the duty of the Treasurer to:

f.1. Coordinate of club activities to the members and to the community.

Section G. The Business Managers - It shall be the duty of the Business Managers to:

g.1 Promote the activities and project of the club.

g.2. Maintain of the club Facebook page, assisting in activities related in the subject, or
communicating with the HSNHS community to organize activities.

g.3. Assist the PRO in relaying information to members of the different grade levels.

Section H: The Sgt. At Arms - It shall be the duty of the Sgt. At Arms to:

h.1 Ensure the peace and order of their members.

h.2. Serve as peace officer during meeting and other related activities.

ARTICLE VI: ADVISOR

Section A: The faculty advisor shall be the advisers of the ABM Strand from the Senior High School
department.

Section B: Faculty advisor shall perform the duties and responsibilities below:

 supervises the Alliance of Bonafide Managers (ABM) club activities

 determines the role of the club officers and conduct election of club officers

 establishes club goals and plan for interests and activities

 promotes and monitors the club goals to keep the class on task

 holds club meetings at least once a month to discuss interest and plan activities

 encourages students to coordinate with the Supreme Student Government (SSG)

 works with club to develop budget for all activities and events

 helps club plan events, and field trips

 does related work

ARTICLE VII: MEETINGS

Section A: The number and frequency of meetings held each academic year will be determined by a
consensus of the club officers. The goal is to allow for a flexible meeting schedule, which
would attempt to accommodate the schedules of all members.

Section B: Special meetings may be called by the President or Vice President

ARTICLE VIII: AMENDMENTS

Section A: This constitution may be amended by a two-thirds majority vote of the active members of the
club provided that the proposed amendments are also approved by the Rules and Regulations
Committee of the Supreme Student Government (SSG).
