DEED OF ASSIGNMENT

KNOW ALL MEN BY THESE PRESENTS:

That we, Gloria C. Mesina,Eduardo C. Mesina Jr., Earl Cicerio C. Palacios, Elynlie B.
Palacios, Francisco C. Mencias and Wilma G. Mencias are the registered owners of the
following items more particularly described as follows:

our ownership thereto are evidenced by Transfer Certificate of Titles and Official Receipts and
Confirmation Receipts for the vehicles.

That FOR AND IN CONSIDERATION of the amount of SEVEN MILLION FIVE HUNDRED
EIGHTY THOUSAND (Php 7,580,000.00) Philippine currency, do hereby ASSIGN,
TRANSFER AND CONVEY all our rights and ownership over said properties in favor of Mesco
Express Service Corp Stockholders, more particularly described as follows:

all of legal ages, married, Filipino citizens and by these presents have ASSIGNED,
TRANSFERRED, AND CONVEYED unto unto the above mentioned stockholders, all our rights
and ownerships over the said Paid-up Capital Stocks free from all liens and encumbrances.
