SOLAR LAYOUT
DESIGN ASSUMPTIONS

GENERAL

 Client will provide store room to keep the items safe at site.
 Client will provide space for inverters
 Client will provide clear and safe access to the roof top
 Roof load bearing analysis not in the scope of Intelli Energie
 Water distribution system for panel clean will be arranged by the Client at its own cost

MODULE / RACKING LAYOUT

Intelli Energie is proposing a system on the roof to interconnect with the meter feeding your factory. The
8.96 kW solar solution is consisting of 28 Solar Panels – 320 watt modules on the existing roof. The roof
system brings the best economics to the project.

SYSTEM SIZING

The system is designed to offset the energy consumption (kWh) on the interconnecting system.

INVERTER LOCATION

Inverters will be located indoors at place near the roof or else it will incur line losses.

MODULE SELECTION

The proposed design is using Tier-1 ranking modules having 320 Watt capacity. The OEMs under
consideration are Tier -1 modules which are characterized by high yields and excellent reliability. OEM
provides a 10 year product warranty and a 25 year linear performance guarantee.

GENERAL TERMS & CONDITIONS

PRICE

The price quoted in this Proposal is inclusive of design, manufacturing, sourcing, testing, supply,
installation & commissioning, as per the bill of materials & ratings submitted by Intelli Energie along with
the final offer. Any change in scope of work addition to the bill of materials and/or ratings or any variation,
whatsoever, shall be charged extra to Customer. The price quoted is FOR site and is firm. The foreign
exchange rate is considered as 1USD = PKR 132 and any change is foreign exchange rate shall be
passed through and payable by the Customer. Foreign exchange rate shall be considered on the date of
order placement and payment of advance.

VALIDITY OF THE OFFER

The price quoted by Intelli Energie along with this Proposal is valid for (15) days from such communication
to Customer and thereafter the same shall be subject to reconfirmation by Intelli Energie.

PAYMENT TERMS

The payment terms applicable are as follows:


 80% advance at the time of award of the contract
 20% within 7 days after completion of works

TAXES , DUTIES & RATES

In this Proposal, under Sro 263 (attached) WHT, GST and custom duty on solar generating system is nil
at present and not considered. PST is applicable @ 16% on services and shall be charged accordingly.
Any variation in taxes and duties by statutory notification by the Government shall be applicable at the
time of execution. Any octroi or entry tax levied by local governments shall be paid extra at actual by the
Customer.

In case of any change in applicable taxes, duties and / or rates, or incidences of new taxes, duties and /
or rates, and where such taxes, duties and/ or rates implications is due to interpretation changes, if any,
then the impact of such changes shall be payable by the Customer.

INCLUSION OF EXCLUDED ITMES

Any item not mentioned in the bill of material and not required as per the design provided by Intelli Energie
and which are, or can be, attributed to Customer, shall be charged extra by Intelli Energie.

INTERRUPTION IN WORK
The Customer must not interrupt the works, and/ or shall abstain from any act or omission of which it can
be reasonably be expected that it may delay the works or make the work more difficult and or expansive
for Intelli Energie.

DELIVERY & HANDOVER

Intelli Energie shall complete the project in 20 days from the date of order placement, payment of advance
and acceptance of order by IE, or as mutually agreed between the parties in the Agreement. Project shall
be deemed to have been handed over to Customer by Intelli Energie, on commissioning of solar power
system.

WARRANTY

All the warranties applicable on components / equipment will be transferred back to back basis from
OEM to the Customer by Intelli Energie as per the below table:

SECURITY & SAFETY

On delivery of supplies to Customer’s site in good conditions, Customer shall be responsible for safety &
security of the materials till handing over the same to Intelli Energie designated personnel for installation.
In case there is
a public disturbances at site which is not exclusively attributed to Intelli Energie, Customer shall resolve
the same at its own risk & cost, for smooth execution of the project by Intelli Energie. In such case,
Customer shall provide safety & security for Intelli Energie designated personnel working at site. Any
delay in execution or damage of materials due to public disturbances at site shall be attributable to and
compensated by Customer.

CIVIL & STRUCTURAL WORK

Intelli Energie limits itself to providing civil foundation and structures for its module mounting as per the
design submitted along with this Proposal. Any changes in design which are attributable to Customer shall
be charged extra. Customer shall allow scraping of the roof for bonding the civil foundation.

INDEMNIFICATION

Customer shall fully Indemnify and hold harmless Intelli Energie and its affiliates, associates, directors
and employees from and against, any and all losses, costs, damages, injuries, liabilities, claims and
causes of action, including without limitation arising out of or resulting from claims by third parties, acts,
omissions or breach of any of the Customer’s affiliates, suppliers, employee, agents or contractors in the
performance of Customer’s obligations under this Proposal or any resultant Agreement or otherwise
arising out of solar power system or its usage

FORCE MAJEURE

Force majeure shall mean any cause, existing or future, which is beyond the reasonable control of Intelli
Energie including, but not limited to, acts of God, storm, fire, flood, explosion, epidemics, quarantine,
earthquake, strike, riot, lockout, embargo, interference by civil or military authorities, acts, regulations or
orders of any governmental authority in their sovereign capacity, acts of war (declared or undeclared)
including any acts of terrorism, and all other such acts of similar or analogous nature (where all such acts
to be collectively referred to as “Force Majeure”). Intelli Energie shall not be liable for the failure to
perform any obligation in terms of this Proposal and if to such extent such failure is caused by Force
Majeure, provided that none of such acts of Force Majeure will relieve the Customer from meeting its
payment obligations.

The periods of performance as agreed upon shall be extended by the periods of delay caused by such
Force Majeure, as long as the period of Force Majeure does not last longer than three (3) months. If a
Force Majeure continues for more than three (3) months and the parties are not able to reach an
agreement on the continuation of work within a further term of one (1) month, the fulfillment of obligations
of Intelli Energie shall automatically be deemed impossible and shall stand suspended. Upon such
suspension, Intelli Energie shall be entitled to be paid the following amounts: (a) all the amounts payable
for the work completed until the date of suspension; (b) the cost of material which have been delivered to
the Customer, or of which Customer is liable to accept delivery; (c) any other costs and liability, including
unamortized cost of materials, which in the circumstances was reasonable incurred by Intelli Energie in
the expectations of completion of works; (d) demobilization cost of contractor personnel and equipment;
and (e) all other costs incurred by Intelli Energie on account of suspension of order on such other supply.

Ali Mubashar Kazmi – Director
Mr. Ali M. Kazmi is a Founder Partner of Knightsbridge Capital Group (KCG). KCG was
established in 2015. Over the last two years KCG has grown to 6 Group Companies with
approximately USD 50 million Assets under Management. Before KCG, he has over 20 years of
well diversified Corporate, Credit and Retail Banking experience with in-depth understanding of
Pakistani business and financial sector and exposure in international deals and markets. His
recent engagements include: Senior Executive Vice President (SEVP) and Group Head of
International Investments for MCB Bank. He also served as SEVP/ Retail Banking Head of MCB
Bank supervising over 13,000 employees and 1200 branches. He was also a board member of
MCB Financial Services Limited and presently sits on the board of Statelife Insurance
Corporation.
Mr. Kazmi’s previous assignments include: Country Head Commercial Banking and Member of
Asia Management Team of Retail at Royal Bank of Scotland (RBS), where he supervised Retail
businesses across 13 countries in Asia. Corporate Director of ABN AMRO Bank (ABN) - Also
Part of select Group of Global High Potential of ABN. Career Start from Bank of America-

Dr. Shahab Qadeer Khokar - Director


Dr. Shahab Khokhar is a Founder Partner of Knightsbridge Capital Group. He is also a Director
at Remington Pharmaceuticals, a company involved in the pharmaceutical business for over 30
years, having presence in over 10 countries. Dr. Khokhar was also a Co-Founder & Partner of
Winsome SA (Switzerland), a venture capital / private equity investment advisory firm focused
on investing in renewable energy companies in Europe. He also Co-Led the seed funding for
Enecsys Ltd., Cambridge (UK), a solar micro inverters company, which in total raised around
USD100 million in growth capital. He is also a Renewable Energy Expert Designate at Guidepoint
Global LLC (formerly a Standard & Poor’s company), and advises private equity firms, hedge
funds and other institutional clients. He has also been a consultant to Rio Tinto plc. (London) and
ENI SpA (Rome).

He is also the Director of DRK Pharma Solutions, Pakistan’s first international standard R&D
centre providing solutions to the pharmaceutical & biopharmaceutical industries in the areas of
product development, clinical research and contract manufacturing through highly experienced
professionals, world-class infrastructure and focus on timely delivery. He also Co-Founded
Kobec Health Sciences, which is now one of the fastest growing ophthalmology specialty
pharmaceutical companies in Pakistan. In collaboration with world's leading scientists, he co-

Dr. Khokhar has been the Chapter Chair of the Young Presidents’ Organization (YPO) Indus
Chapter. He is an avid cyclist and competes in road and track races.
Ali Pervaiz Malik – Director
Mr. Ali Pervaiz Malik is a Founder Partner of Knightsbridge Capital Group. He is also the Chief
Executive of Akram Cotton Mills Limited and Director of Servaid Pharmacy (Pvt.) Limited. Mr. Ali
Pervaiz has a Masters in Finance degree from Imperial College, London, U.K. Prior to his
Masters, he completed his under-graduate degree at the prestigious Lahore University of
Management and Sciences (LUMS), Lahore, Pakistan. He was previously employed with ABN
Amro Bank N.V. as Assistant Vice President Credit Portfolio Management Group, and was
responsible for managing counterparty risks of a portfolio of leading Automotive, Consumer Food
and Diversified companies through developing thorough knowledge of each client’s
requirement.

Mr. Ali Pervaiz is additionally serving following roles in different organizations and associations:
Chairman of All Pakistan Textile Mills Association (APTMA), Board Member of Technical
Education & Vocational Training Authority (TEVTA) of the Government of Punjab, Board Member
of Board of Quaid-e-Azam Solar Power Company (Pvt.) Limited of the Government of Punjab,

involved in a number of Real Estate projects like Mahnoor Villas and Saif Town.

Khurram Shahnawaz – CEO


MR. Khurram Shahnawaz is currently working as the CEO of Intelli Energie a subsidiary of
Knights Bridge Capital Group established in 2017 providing state of the art renewable energy
solutions. He has previously served as Chief Executive Officer for EDCOM, spent a major part
of his professional career with AEPL in a variety of senior roles responsible for business
development in energy sector in three countries namely Pakistan, UAE & KSA. He has over 18
years of experience in developing new business opportunities in various sectors such as Power,
Oil & Gas, and Construction. He graduated from University of Engineering and Technology
Lahore with a degree in Mining Engineering.

Danish Zubair – Technical Lead


Mr. Danish Zubair has been affiliated with Solar Industry for the past Nine years. He has a
working experience of solar in UK and over the past few years has been solarising Pakistan. With
a collective 272,577 kW of solar installations under his belt and trained by leading market experts,
he would like to help make solar affordable for the Pakistani market.

His Electrical and Electronic Engineering Honors Degree from UK provides the technical
expertise required in this field. He has worked on all major solar equipment’s and has been
trained by German, Japanese, American and Chinese Chartered Engineers. His major
experience has been with SMA products and is experienced on all market leading simulation
solar software.

Danish has been involved in product design and development of solar segments. As a previous
member of Institution of Engineering and Technology (IET) and Institute of Electrical and
Electronic Engineers (IEEE), Danish has been working closely to implement cost effective
solutions in solar for the Pakistani market.

Whether it be Procurement & Sourcing or Quality & Control, System Designing or Installation &
Commissioning; Team Management during commercial installations have been most of Danish’s
portfolio. Later half of his experience revolves around Priority Management, Leadership skills and
Organizational Phycology.

He has been involved in solarisation of community centers, central town buildings, dairy and
agriculture farms, housing schemes, military installations and commercial roof/ground
installations. Other areas of installations covered estates, education institutes, fish farms,
pharmacies, religious congregational spaces, legal courts, sports complexes, museums and
warehouses. Industries range from Textile, Pharmaceutical, Manufacturing and Telecom.

Danish has recently ventured into behavioural sciences to better understand his abilities and the
abilities of people around him. He is certified by Richard Bandler to practice Neuro-Linguistic
Programming (NLP). He understands psychological assessments like MBTI personality traits,
Big Five tests and Keirsey Temperament Judgment Techniques.
