OPEX™ as a Facilitator
The OPEX™ token is a multi-function token designed specifically to cater to the needs of active and passive users of the Optherium
Ecosystem. The primary role of OPEX™ is to act as a facilitator (utility) token within the Optherium Ecosystem, eWallet services,
B2C and B2B platforms, and the Multi-Decentralized™ Digital Currency Exchange. As a facilitator token, OPEX™ serves as an
internal liquidity reserve token (the OPEX™ reserve equals 25% of total tokens) for the formation of digital currency pairs,
permitting rapid internal conversion between up to 150 digital currencies in response to user requests. OPEX™ has been designed
to facilitate all transactions on the Optherium Ecosystem requiring instant conversions and confirmations of digital currencies
initially, before the Exchange is operational, and in expanded form after the Exchange is operational. The internal liquidity reserve
facilitator tokens are held by Optherium Labs for their facilitator function, and the company is committed to never sell these
tokens.

When a currency is listed on the Optherium Decentralized Currency Exchange, it is immediately paired with OPEX™. Because the
exchange will support up to 150 different digital currencies, trading one currency for another would require a specific trading pair
be created. However, because OPEX™ is a facilitator token, a specific trading pair is no longer required. OPEX™ acts as a junction
between any two tokens so that a token can be instantly converted to another token by using OPEX™.
As an example, suppose that Currency X needs to be exchanged for Currency Y. Because Currency X has a trading pair with
OPEX™, and OPEX™ has a trading pair with Currency Y, a user is able to convert Currency X into Currency Y by first trading
Currency X into OPEX™, and then converting OPEX™ into Currency Y. Despite the conversion being a two-step process, a user

This will serve to not only increase the liquidity and usability of all currencies compatible with the Optherium Ecosystem, but will help
maintain the value of OPEX™ tokens as demand is created through increased use of the exchange.
To be listed on the Optherium Currency Exchange, the sponsors of a new digital asset will have to pay the listing fee in OPEX™
tokens, which will be stored in the Optherium liquidity reserve and restricted from sale. Additionally, the new digital asset will also
have to supply its own tokens to provide immediate liquidity within the exchange.
• Accredited investors will be given the opportunity to purchase a “Node License” for a node of Optherium
• A total of 18 nodes are being offered for licensure at a value of US$8,400,000 per node, at a price of US$0.75 per
token.
• The smallest available portion of a node licensure is 1/13 of a node with a value of US$647,000.
• In order to participate in the 25% dividend distribution program (subject to the terms and conditions provided in
the Memorandum), an investor must be a node holder or part of a group purchasing an entire node.
• In addition to participating in a share of the dividend pool, the node holder will be responsible for a small yearly
maintenance fee charged by the company to maintain the hardware and functionality of each node.
• The maintenance fee will be deducted from the dividend payment the node holder receives each year using a
smart contract.
• The value of the node holder’s OPEX™ tokens may increase as demand for OPEX™ tokens increases.
• The node holder will be restricted from selling OPEX™ tokens for one year, followed by a requirement to maintain
the initial number of tokens, or the initial value of the node in dollars, to continue to participate in the dividend
payments.

• All U.S. investors will be required to hold their OPEX™ tokens for 1 year after purchase before resale.
• All U.S. and Non-U.S. ‘Node Holders’ will be required to hold their OPEX™ tokens for 1 year after purchase before resale.
• All Marketers, Advisors, and Members of the Optherium Team will be required to hold their OPEX™ tokens for 1 year after
purchase before resale and then be subject to the rules of divestiture created by the Optherium Management
Committee.
• Non-U.S. token holders who are not ‘Node Holders’ nor members of the Marketing, Advisors, and Team, will be able to
sell their OPEX tokens once OPEX is listed on an external exchange (approx. 3 months.)
• All OPEX™ tokens dedicated to the Exchange and liquidity reserve (25% of total) will never be sold by the company.

Development Roadmap
The road to creating the fully developed Optherium Ecosystem with modular platforms, services, VivusPay™, the BitCrox™ Digital
Currency Exchange, and the MultiDecentralized Operating System is described in the Optherium Roadmap below. The milestones
illustrated coincide with the completion of the proposed revenue-generating products and their introduction into the market. The
company will monitor the market response to the development of the Ecosystem and its modular products and services.
Optherium has signed an agreement to list the OPEX token on the CoinBene Exchange at the conclusion of the main sale (TGE).

commerce platforms in South America, Canada, and Africa will begin to expand the company’s client base. White label payment
modules, created by Optherium for e-commerce companies, will create unique market positions for these entities, enabling them
instant currency conversions and confirmations among international fiat currencies and digital currencies while maintaining a
satisfying user experience. The Optherium Ecosystem solves current fintech problems by creating a virtually unlimited number of
currency pairs within the decentralized Digital Currency Exchange and implementing innovative and disruptive private blockchain
products for use by individuals, B2C clients, e-commerce clients, digital currency users, and B2B clients.
Optherium will charge its modular Ecosystem users fees for all transactions, ranging from 0.1% to 0.5% of the transaction value.
Such fees will apply to all payments, remittances, instant currency conversions, data storage solutions, the KRS, KYC, and
biometric validations. For B2B clients and other corporates, Optherium also plans to charge licensing fees for white labeled
Optherium expects to start generating revenue from the Optherium Ecosystem, eWallet, and B2C customers after the ICO, then
subsequently add revenue from B2B and e-commerce customers. Finally, Optherium expects to add revenue from the projected
high transaction volume of the Digital Currency Exchange, which will offer services to Optherium Ecosystem users and external
customers. A listing fee will be paid to the company by any token project listed on the Optherium Exchange. A financial projection
is presented below utilizing conservative estimates of number of users, number of expected transactions, gross revenue based on
an assumption of US$1000 value of the average transaction, and an average transaction fee of 0.3% (minimum 0.1% to maximum
of 0.5%) for the first three years of operation. After the Digital Currency Exchange is functional, the number of transactions will
increase to a projected 300,000 per month in 2021, to 1 billion per month in 2023, with a higher average transaction amount of
US$2000. Net profit is expected to grow from 20% to approximately 60% by the end of year 3 (2020) and remain stable
thereafter.

The projected token prices in the chart below represent an average of four projected company economic scenarios ranging from
worst case to best case for each period of time. Certainly other supply/demand factors will affect the market price of OPEX at any
given point in time, but this projection is a reasonable baseline based on the perceived strength of the Optherium Labs business
model.
