At the outset, I on behalf of whole ICSI fraternity welcome the launch of Goods and Services Tax in
India. GST has superseded the multi-layered Indirect tax structure of India existing since a moon
years ago which consisted of 17 taxes and 23 cesses levied by the Centre and the States. This was
paramount to streamline the country's $2-trillion economy and 1.3 billion people into a common
market to give a push to ease of doing business in India. I would like to reiterate that the ICSI has
always supported Government of India in all its growth initiatives. On this historical occasion, the
entire fraternity of Company Secretaries are prepared to extend their contribution to ensure the
successful transition and implementation of GST. I am pleased to share that to support the
Government in this neoteric reform, ICSI has launched its GST app for general public to provide
them with a comprehensive insight of GST and an online certificate course on GST for its members.

proficient to explore upcoming opportunities in CS profession in the sphere of GST.

In this pursuit, ICSI is launching Corporate Leadership Development Program (CLDP). Based on the  Student – ICSI
feedback received from the stakeholders, Industries, Corporate, Ministry, Regulators and Senior Academic Connect
Members, the Institute is introducing 45 Days Residential Corporate Leadership cum  Legal World
Management Skill Orientation Programme for Professional Pass Students for capacity building,  Student Services
enhancing quality and making them ready to be future KMPs. The proposed training Programme  Examination
shall be designed to develop requisite skills among the prospective members with Practical  Corporate Compliance
knowledge and professional skills to exacting business solution in an effective and efficient Executive Certificate
manner. Initially, such residential training program shall be provided to the eligible students on for Students
subsidised basis from the ICSI. The training program will be quite comprehensive and rigorous and  Licentiate – ICSI

Green Debt Securities*
Meaning of Green Debt Securities
Green Debt Securities, also known as Green bonds. Green bonds are debt instruments used to finance
green projects that provide environmental benefits. A green bond is different from a regular bond on
the basis of its purpose. The purpose of green bond is to finance or refinance “green” projects, assets or
business activities. Green bonds can be issued either by public or by private players up front to raise
capital for projects or for refinancing purposes, freeing up capital and leading to increased lending.
According to SEBI circular, a Debt Security shall be considered as “Green or Green Debt Securities”, if
the funds raised through issuance of the debt securities are to be utilised for project(s) and/or asset(s)
which is specified by SEBI in this behalf.
Use of Proceeds
For assigning status of debt securities as green, the broad categories of areas where the funds raised
through issuance of the debt securities may be utilised in the following areas:

Renewable and sustainable energy including wind, solar,


bioenergy, other sources of energy which use clean
technology etc.
Clean transportation including mass/public transportation etc.

Sustainable water management including clean and/or


drinking water, water recycling etc.

Climate change adaptation;

Energy efficiency including efficient and green buildings etc.

Sustainable waste management including recycling, waste to


energy, efficient disposal of wastage etc.

Sustainable land use including sustainable forestry and


agriculture, afforestation etc.

Biodiversity conservation;

Any other category as may be specified by SEBI, from time to


time.

Applicability

SEBI vide its circular dated May 30, 2017 issued Disclosure Norms for Issuance and Listing of Green
Debt Securities which will help the investors to take informed investment decisions.

SEBI (Issue and Listing of Debt Securities) Regulations, 2008 (“SEBI ILDS Regulations"), governs public
issue of debt securities and listing of debt securities issued through public issue or on private
placement basis, on a recognized stock exchange.
For public issue and listing of Green Debt Securities and listing of privately placed Green Debt
Securities, in addition to the requirements as prescribed under SEBI ILDS Regulations and Circulars
made thereunder, following shall also be applicable.
Disclosures in Offer Document/Disclosure Document and other requirements
The issuer of a Green Debt Securities shall make following disclosures:
a) A statement on environmental objectives;
b) Brief details of decision-making process for determining the eligibility of project(s) and/or asset(s)
by issuer. An indicative guideline of the details to be provided is as under:
 process followed/to be followed for determining how the project(s) and/or asset(s) fit within
the eligible green projects categories;
 the criteria, making the project(s) and/or asset(s) eligible for using the
Green Debt Securities proceeds; and
 environmental sustainability objectives of the proposed green investment.
c) The issuer shall provide the details of the system/procedures to be employed for tracking the
deployment of the proceeds of the issue.
d) Details of the project(s) and/or asset(s) or areas where the issuer, proposes to utilise the proceeds
of the issue of Green Debt Securities, including towards refinancing of existing green project(s)
and/or asset(s), if any.
e) The issuer may appoint an independent third party reviewer/certifier, for reviewing /certifying
the processes including project evaluation and selection criteria, project categories eligible for
financing by Green Debt Securities, etc. Such appointment is optional and shall be disclosed in the
offer document.
Continuous Disclosure
An issuer who has listed its Green Debt Securities, alongwith compliances as under SEBI (Listing
Obligations and Disclosure Requirements) Regulations, 2015, shall provide following disclosures along
with its annual report and financial results:
a) Details of utilisation of the proceeds and unutilized proceeds of the issue, as disclosed in offer
document/disclosure document. These details shall be provide along with the half yearly and
annual financial results.
b) The utilisation of the proceeds shall be verified by the report of an external auditor, to verify the
internal tracking method and the allocation of funds towards the project(s) and/or asset(s), from
the proceeds of Green Debt Securities.

c) Other additional disclosures have to be provided along with annual report:

 List of project(s) and/or asset(s) to which proceeds of the Green Debt Securities have been
allocated/invested including a brief description of such project(s) and/or asset(s) and the
amounts disbursed.

However, where confidentiality agreements limit the amount of details that can be made
available about specific project(s) and/or asset(s), information shall be presented about the
areas in which such project(s) and/or asset(s) fall into.

 Qualitative performance indicators and, where feasible, quantitative performance measures of


the environmental impact of the project(s) and/or asset(s). If the quantitative benefits/impact
cannot be ascertained, then the said fact may be appropriately disclosed along with the reasons
for non-ascertainment of the benefits/impact on the environment.

 Methods and the key underlying assumptions used in preparation of the performance
indicators and metrics;

Obligations of the issuer

An issuer of Green Debt Securities shall:

Maintain a decision-making process which it uses to determine the continuing eligibility of the
project(s) and/or asset(s);

Ensure that all project(s) and/or asset(s) funded by the proceeds of Green Debt Securities, meet
the documented objectives of Green Debt Securities;

Utilise the proceeds only for the stated purpose, as disclosed in the offer document;

An issuer or any agent appointed by the issuer, if follows any globally accepted standard(s) for
the issuance of Green Debt Securities including measurement of the environmental impact,
identification of the project(s) and/or asset(s), utilisation of proceeds, etc., shall disclose the
same in the offer document/disclosure document and/or in continuous disclosures.

Conclusion

The green debt securities are supporting environment and encourage for green investment. The biggest
disadvantage of green debt securities is reputational risk if such securities credentials are challenged.
The green debt guidelines address the need for detailed disclosure norms in respect of the borrowing
entity and the project for which the fund is required and ensures close monitoring of the utilisation of
the debt securities proceeds. This move is aimed at helping to meet the huge financing requirements
worth USD 2.5 trillion for climate change actions in India by 2030.

Amendments including complaints relating to Misselling and Mobile/


Electronic Banking to the Banking Ombudsman Scheme, 2006

The Reserve Bank of India has released a notification on June 16, 2017 to widen the scope of
Banking Ombudsman Scheme 2006 to include inter alia, deficiencies arising out of sale of
insurance/ mutual fund/ other third party investment products by banks. Now after this
amendment a customer can lodge a complaint against a bank for non-compliance of RBI
instructions related to Mobile Banking/ Electronic Banking services in India.
Purpose
The purpose of the Banking Ombudsman Scheme is
 To provide resolution of complaints relating to certain services rendered by banks; and
 To facilitate the satisfaction or settlement of such complaints made by the customers.
Effective Date of Enforcement
The amended Scheme will come into force from July 1, 2017.
Key Amending Features
Key amendments in Banking Ombudsman Scheme, 2006 are as under:
i. A customer can lodge a complaint to Banking Ombudsman for deficiencies in banking or
other services filed on the grounds mentioned in clause 8 irrespective of the pecuniary
value of the deficiency in service complained.
ii. A customer can also lodge a complaint for non compliance of instructions of RBI
a. related to ATM / Debit Card and Prepaid Card operations;
b. related to credit card operations;
c. related to Mobile Banking / Electronic Banking service;
d. related to para-banking activities like sale of insurance/mutual fund/ other third
party investment products by banks.
iii. The Banking Ombudsman will provide an opportunity to the complainant to furnish
his/her submissions in writing along with documentary evidence within a time limit on
the written submissions made by the bank.
iv. The maximum amount of award by the Banking ombudsman is increased from Rs. 10
lacs to Rs. 20 lacs.
v. The Banking Ombudsman may reject a complaint at any stage if it appears at any stage of
the proceedings that the complaint pertains to the same cause of action, for which any
proceedings before any court, tribunal or arbitrator or any other forum is pending or a
decree or Award or order has been passed by any such court, tribunal, arbitrator or
forum.

Landmark Judgement

TATA ENGINEERING AND LOCOMOTIVE CO LTD v. STATE OF BIHAR & ORS [SC]

corporate veil could be lifted so as to enable the Indian citizens who are the shareholders of
the company to enforce their fundamental rights under Article 32- Held, No.
Brief facts : Though these writ petitions raise a common question of law in regard to the validity of
the demand for sales tax which has been made against the respective petitioners by the Sales-tax
Officers for different areas, we are concerned with that part of the judgement where the issue of
‘lifting the corporate veil’ was raised and dealt with by the Court.
Decision : Petitions dismissed.
Reason : That takes us to the question as to whether the petitioners, some of whom are companies
registered under the Indian Companies Act and one of whom is the State Trading Corporation, can
claim to file the present writ petitions under Art. 32 having regard to the decision of this Court in the
case of the State Trading Corporation of India Ltd. v. The Commercial Tax Officer & Ors A.I.R. 1963 S.C.
1811[LMJ 15: 01:2017]. The petitioners argue that the said decision merely held that the State
Trading Corporation of India Ltd. was not a citizen. The question as to whether the veil of the
Corporation can be lifted and the rights of the shareholders of the said Corporation could be
recognised under Art. 19 or not, was not decided, and it is on this aspect of the question that
arguments have been urged before us in the present writ petitions.
Mr. Palkhivala has very strongly urged before us that having regard to the fact that the controversy
between the parties relates to the fundamental rights of citizens, we should not hesitate to look at the
substance of the matter and disregard the doctrinaire approach which recognises the existence of
companies as separate juristic or legal persons. If all the shareholders of the petitioning companies
are Indian citizens, why should not the Court look at the substance of the matter and give the
shareholders the right to challenge that the contravention of their fundamental rights should be
prevented. He does not dispute that the shareholders cannot claim that the property of the companies
is their own and cannot plead that the business of the companies is their business in the strict legal
sense. The doctrine of lifting of the veil postulates the existence of dualism between the corporation
or company on the one hand and its members or shareholders on the other. So, it is no good
emphasising that technical aspect of the matter in dealing with the question as to whether the veil
should be lifted or not.
The doctrine of the lifting of the veil has been applied in the words of Palmer in five categories of
cases : where companies are in the relationship of holding and subsidiary (or sub-subsidiary)
companies; where a shareholder has lost the privilege of limited liability and has become directly

liable to certain creditors of the company on the ground that, with his knowledge, the company
continued to carry on business six months after the number of its members was reduced below the
legal minimum; in certain matters pertaining to the law of taxes, death duties and stamps, particularly
where the question of the "controlling interest" is in issue; in the law relating to exchange control; and
in the law relating to trading with the enemy where the test of control is adopted(1). In some of these
cases, judicial decisions have no doubt lifted the veil and considered the substance of the matter.
Gower has similarly summarised this position with the observation that in a number of important
respects, the legislature has rent the veil woven by the Salomon case. Particularly is this so, 'says
Gower, in the sphere of taxation and in the steps which have been taken towards the recognition of
enterprise-entity rather than corporate- entity. It is significant, however, that according to Gower, the
courts have only construed statutes as "cracking open the corporate shell" when compelled to do so
by the clear words of the statute; indeed they have gone' out of their way to avoid this construction
whenever possible. Thus, at present, the judicial approach in cracking open the corporate shell is
somewhat cautious and circumspect. It is only where the legislative provision justifies the adoption of
such a course that the veil has been lifted. In exceptional cases where courts have felt "themselves
able to ignore the corporate entity and to treat the individual shareholders as liable for its acts", the
same course has been adopted. Summarising his conclusions, Gower has classified seven categories of
cases where the veil of a corporate body has been lifted. But it would not be possible to evolve a
rational, consistent and inflexible principle which can be invoked in determining the question as to
whether the veil of the corporation should be lifted or not. Broadly stated, where fraud is intended to
be prevented, or trading with an enemy is sought to be defeated, the veil of a corporation is lifted by
judicial decisions and the shareholders are held to be the persons who actually work for the
corporation.
That being the position with regard to the doctrine of the veil of a corporation and the principle that
the said veil can be lifted in some cases, the question which arises for our decision is; can we lift the
veil of the petitioners and say that it is the shareholders who are really moving the Court under Art.
32, and so, the existence of the legal and juristic separate entity of the petitioners as a corporation or
as a company should not make the petitions filed by them under Art. 32 incompetent?
We do not think we can answer this question in the affirmative. No doubt, the complaint made by the
petitioners is that their fundamental rights are infringed and it is a truism to say that this Court as the
guardian of the fundamental rights of the citizens will always attempt to safeguard the said
fundamental rights; but having regard to the decision of this Court in State Trading Corporation of
India Ltd (supra) we do not see how we can legitimately entertain the petitioners' plea in the present
petitions, because if their plea was upheld, it would really mean that what the corporations or the
companies cannot achieve directly, can be achieved by them indirectly by relying upon the doctrine of
lifting the veil. If the corporations and companies are not citizens, it means that the Constitution
intended that they should not get the benefit of Art. 19. It is no doubt suggested by the petitioners that
though Art. 19 is confined to citizens, the Constitution-makers may have thought that in dealing with
the claims of corporations to invoke the provisions of Art. 19, courts would act upon the doctrine of
lifting the veil and would not treat the attempts of the corporations in that behalf as falling
outside Art. 19. We do not think this argument is well-founded. The effect of confining Art. 19 to
citizens as distinguished from persons to whom other Articles like 14 apply, clearly must be that it is
only citizens to whom the rights under Art. 19 are guaranteed. If the legislature intends that the
benefit of Art. 19 should be made available to the corporations, it would not be difficult for it to adopt
a proper measure in that behalf by enlarging the definition of 'citizen' prescribed by the Citizenship
Act passed by the Parliament.

On the other hand, the fact that the Parliament has not chosen to make any such provision indicates
that it was not the intention of the Parliament to treat corporations as citizens. Therefore, it seems to
us that in view of the decision of this Court in the case of the State Trading Corporation of India Ltd
(supra) the petitioners cannot be heard to say that their shareholders should be allowed to file the
present petitions on the ground that, in substance, the corporations and companies are nothing more
than associations of shareholders and members thereof. In our opinion, therefore, the argument that
in the present petitions we would be justified in lifting the veil cannot be sustained.

GOVT. OF NCT OF DELHI v. MANAV DHARAM TRUST & ANR [SC]
Civil Appeal No.6112 of 2017 (Arising out of S.L.P. (C) No. 13551 of 2015) with batch of
appeals.

The Right to Fair Compensation and Transparency in Land Acquisition, Rehabilitation and
Resettlement Act, 2013 –section 24(2)- lapse of acquisition under the 1894 Act- subsequent
purchasers/assignees/power of attorney holders, etc. approaching the court to set aside
the acquisition- whether they have locus standi- Held, Yes.
Brief facts : Whether the subsequent purchasers/assignees/power of attorney holders, etc., have
locus standi to file a petition for a declaration of lapse of acquisition proceedings under Section
24(2) of The Right to Fair Compensation and Transparency in Land Acquisition, Rehabilitation and
Resettlement Act, 2013 (hereinafter referred to as “the 2013 Act”), is the only issue arising for
consideration in these cases.
The High Court has taken the view in favour of such people. Thus, aggrieved the NCT of Delhi and
Delhi Development Authority are in appeals before this Court.
Decision : Appeals dismissed.
Reason : At the outset, we may note that in these cases, the land acquisition proceedings have
otherwise lapsed by the operation of Section 24(2) of the 2013 Act since either compensation was not
paid or possession was not taken within five years prior to 01.01.2014, the date of coming into force
of the 2013 Act. Thus, the dispute is only on the locus standi.
All the decisions cited by the appellants, no doubt, have categorically held that the subsequent
purchasers do not have locus standi to challenge the acquisition proceedings. But in the present case,
the challenge is not to the acquisition proceeding; it is only for a declaration that the acquisition
proceedings have lapsed in view of the operation of Section 24(2) of the 2013 Act, and therefore, the
ratio in those cases has no application to these cases.
It is one thing to say that there is a challenge to the legality or propriety or validity of the acquisition
proceedings and yet another thing to say that by virtue of operation of a subsequent legislation, the
acquisition proceedings have lapsed.
In all the decisions cited by the learned Senior Counsel for the appellants, this Court has protected the
rights of the subsequent purchaser to claim compensation, being a person interested in the
compensation, despite holding that they have no locus standi to challenge the acquisition
proceedings.

The 2013 Act has made a sea change in the approach on the acquisition of land and compensation
thereof. The only lapse under the 1894 Act was under Section 11A where what would lapse is the ...
“entire proceedings for the acquisition of land” whereas under Section 24(2) of the 2013 Act, what
gets lapsed is the land acquisition proceedings initiated under the 1894 Act which has culminated in
passing of an award under Section 11 but where either possession was not taken or compensation
was not paid within five years prior to 01.01.2014. In other words, the land acquisition proceedings
contemplated under Section 24(2) of the 2013 Act would take in both, payment of compensation and
taking of possession within the five year period prior to 01.01.2014. If either of them is not satisfied,
the entire land acquisition proceedings would lapse under the deeming provision. The impact of
deemed lapse under Section 24(2) is that pervasive.
Thus, on account of the lapse, the encumbrance created in favour of the State comes to an end, and
resultantly, the impediment to encumber the land also comes to an end. Even, according to the
appellants, the transfers were illegal and void for the reason that there was an impediment for the
transfer. Once the acquisition proceedings lapse, all impediments cease to exist.
As we have already noted above, the whole face of land acquisition has changed by the 2013
Act. Section 105 of the 2013 Act has provided that the provisions of the Act shall not apply to the
enactments specified in the Fourth Schedule. So far, only 13 Acts have been notified under the Fourth
Schedule. Neither The Delhi Development Act, 1957 nor The Delhi Lands (Restrictions on Transfers)
Act, 1972 is included in the Fourth Schedule.
Thus, the subsequent purchaser, the assignee, the successor in interest, the power of attorney, etc.,
are all persons who are interested in compensation/land owners/affected persons in terms of the
2013 Act and such persons are entitled to file a case for a declaration that the land acquisition
proceedings have lapsed by virtue of operation of Section 24(2) of the 2013 Act. It is a declaration qua
the land wherein indisputably they have an interest and they are affected by such acquisition. For
such a declaration, it cannot be said that the respondents/writ petitioners do not have any locus
standi. Thus, we do not find any merit in these appeals and they are accordingly dismissed.

refused to allow interest on awarded sum- whether correct - Held, No.
Brief facts : CFL entered into a non-exclusive distributorship agreement dated 01.04.2005 (hereafter
'the Agreement‟) with PEPL, respondent herein for the supply of soft ferrites. Subsequently, the
parties entered into annual agreements for the years 2007, 2008 and 2009. In terms of the
Agreement, PEPL placed purchase orders on CFL for supply of goods, which in turn were sold by PEPL
to its customers.
Dispute arose as to the payments and the issue was referred to arbitration. Although, the arbitral
tribunal found that CFL was entitled to recover the aforesaid amount, it rejected CFL’s claim for
interest at the rate of 12.25% p.a. on the said awarded sum.
Decision : Appeal allowed.
Reason: The principal issue to be addressed is whether the decision of the arbitral tribunal to reject
CFL’s claim for interest is sustainable. It is trite law that the arbitral tribunal cannot ignore the terms

of the agreement between the parties. Section 28(3) of the Act mandates that the arbitral tribunal
must decide in accordance with the contract between the parties. (See: Indian Hume Pipe Company
Limited v. State of Rajasthan : (2009) 10 SCC 187).
In the present case, there is no dispute that the Agreement expressly provided for interest on delayed
payments. The arbitral tribunal has not found the aforesaid clause to be invalid or inapplicable. The
arbitral tribunal has also not indicated any reason as to why the aforesaid clause ought to be ignored.
The arbitral tribunal is bound to make award in terms of the Agreement between the parties and
there is no indication as to why the arbitral tribunal has rejected CFL’s claim for interest.
In the case of State of Haryana & Ors v. S. L. Arora & Co (2010) 3 SCC 690, the Supreme Court had
expressly held as under:-
"24.2 The authority of the Arbitral Tribunals to award interest under Section 31(7) (a) is subject to
the contract between the parties and the contract will prevail over the provisions of Section 31(7)
(a) of the Act. Where the contract between the parties contains a provision relating to, or regulating
or prohibiting interest, the entitlement of a party to the contract to interest for the period between
the date on which the cause of action arose and the date on which the award is made, will be governed
by the provisions of the contract, and the Arbitral Tribunal will have to grant or refuse interest,
strictly in accordance with the contract. The Arbitral Tribunals cannot ignore the contract between
the parties, while dealing with or awarding pre- award interest. Where the contract does not prohibit
award of interest, and where the arbitral award is for payment of money, the arbitral tribunal can
award interest in accordance with Section 31(7)(a) of the Act, subject to any term regarding interest
in the contract."
The aforesaid decision was overruled by the Supreme Court in its later decision in Hyder Consulting
(UK) Ltd. v. Governor, State of Orissa : (2015) 2 SCC 189, albeit, only to the extent that interest
under Section 31(7) (b) of the Act would also be payable on any interest included in the sum awarded
under Section 31(7) (a) of the Act. However, the view that contractual stipulations as to interest
cannot be ignored by the arbitral tribunal is good law and the decision of the Supreme Court in S. L.
Arora (supra) continues to be a binding precedent.
Having stated the above, it is also necessary to observe that the arbitral tribunal would still have the
discretion to award interest in cases where the contract is silent. However, such discretion would
have to be exercised objectively keeping in view, the facts of the case. In cases where the contract
expressly provides that interest would be payable on sums withheld, the arbitral tribunal would be
bound to award the same unless there are good reasons to not to do so.
In the present case, the impugned award does not indicate any reason as to why CFL’s claim for
interest has been rejected. This Court is hard pressed to find any discernible reason from the facts and
circumstances, as discussed in the impugned award, as to why interest on the amount awarded has
been denied to CFL. The arbitral tribunal has also ignored the provisions of the Agreement, which
expressly entitles CFL to claim interest not exceeding the rate of 14% p.a. for any delay in payment.
In view of the above, the petition is liable to be allowed and the impugned award is liable to be set
aside to the extent of rejection of CFL’s claim for interest at the rate of 12.25% p.a. from the date of
invoices till the date of the impugned award. In view of the above, the impugned award is set aside to
the extent as indicated above. The petition is, accordingly, disposed of.

Competition Act, 2002- Section 4 - pharma products- biosimilars - abuse of dominance-
denial of market access - CCI finds Roche involved in denial of market access to
competitors–investigation ordered.
Brief facts : The Informants are primarily aggrieved by the Roche Group's conduct whereby, it has
allegedly denied market access to its competitors in contravention of Section 4(2) (c) of the Act.
Besides, the Informants have also alleged violation of Section 4(2)(a)(ii) for imposition of unfair
prices, Section 4(2)(a)(i) for imposition of unfair conditions, Section 4(2)(e) of the Act for leveraging
and Section 4(2)(b)(i) for limiting or restricting the market.
Decision : Investigation ordered as to the allegation of denial of market access.
Reason : The Commission is cognizant that the Informants' drugs have received approvals from DCGI,
despite the attempts made by Roche Group and they were able to enter the market. The same,
however, does not rule out the possibility of Roche's actions amounting to denial of market access.
The denial of market access within the meaning of Section 4(2)(c) of the Act, need not be complete
and absolute in nature. Even a partial denial of market access that takes away the freedom of a
substitute to compete effectively and on merits in the relevant market, may amount to a
contravention of Section 4(2)(c) of the Act. With regard to the Informants' market shares, which
Roche Group has claimed is substantial, the Commission observes that, at this stage, it is very difficult
to ascertain the impact of Roche Group's strategies on the market shares of the Informants. It is a
subject matter of investigation as to whether their market shares could have been higher absent the
alleged anti-competitive strategies adopted by Roche Group.
We are dealing with a case which involves a highly sensitive sector, where the safety of the patient is
of paramount importance. Thus, creating any iota of doubt in the minds of doctors can adversely
affect the market for biosimilars, which is prescription induced, beyond repair. Such disparagement
may also have ripple effects within the medical community. In this scenario, those biosimilar
manufacturers who do not have strong marketing channels amongst doctors may be forced out of the
market because of abusive denigration by a dominant player.
The Commission further notes that a dominant enterprise is endowed with a special responsibility
not to allow its conduct to impair undistorted competition in the relevant market. The Act places
special responsibility on such enterprise not to conduct its business in a manner which is prohibited
under Section 4(2) of the Act. Prima facie, it appears to the Commission that Roche Group has shirked
such responsibility and indulged in abusive conduct.
With regard to the Informants' allegation on unfair pricing under Section 4(2) (a) (ii) of the Act, the
Commission is prima facie not convinced that a case is made out against the Roche Group. Being the
innovator, it might have invested huge sums on research and development of Trastuzumab. Thus,
initial high prices can be attributable to being the reward for innovation. Further, it subsequently
introduced cheaper versions in the market viz. BICELTIS/HERCLON. The Informants have also alleged
leveraging on the part of Roche Group. In this regard, the Commission notes that it has taken the
prima facie view that the relevant market in the instant case is 'market for biological drugs based on

Trastuzumab, including its biosimilars in India' and the impugned conduct of Roche Group therein
amounts to contravention of Section 4(2) (c) of the Act. Thus, at this stage, the Commission does not
find it relevant to deal with the alleged contravention of Section 4(2)(e) of the Act, which would arise
only in case of delineation of narrower relevant markets as defined in the information i.e. ‘market of
sale for biological drugs (including biosimilars) used in the targeted therapy of HER-2 positive
metastatic breast cancer within the territory of India', 'market of sale for biological drugs (including
biosimilars) used in the targeted therapy of HER-2 positive early breast cancer within the territory of
India' and 'market of sale for biological drugs (including biosimilars) used in the targeted therapy of
HER-2 positive metastatic gastric cancer within the territory of India'. However, the prima facie
determination of the Commission in this order regarding the relevant market and abuse therein shall
not preclude the DG from delineating narrower relevant markets on the basis of investigation into
relevant facts and also examine whether the impugned conduct of Roche Group constitutes a
contravention of Section 4(2) (e) of the Act. With regard to the Informants' allegation under Section
4(2) (a) (i) of the Act, Roche Group has claimed that it is its prudent business strategy not to import
150 mg vials of BICELTIS / HERCLON. The Commission agrees with the assertion made by Roche
Group and hence, prima facie, does not find any imposition of unfair condition in that and accordingly,
does not find any contravention under Section 4(2)(a)(i) of the Act.
Based on the foregoing analysis, the Commission is of the considered view that prima facie, the
contravention with regard to Section 4(2) (c) of the Act is made out against Roche Group, which
warrants detailed investigation into the matter. The DG is, thus, directed to carry out a detailed
investigation into the matter, in terms of Section 26(1) of the Act, and submit a report to the
Commission, within 60 days.

The Student Academic Helpline' is the helpline launched for students which provides the best of
the faculty across the country to guide the students on various subjects. The Helpline remains
open at 7 AM in the morning till 11 PM of night.

any topic of Company Secretaryship Course. The central core team thereafter connects the
students to the subject expert/ faculty across the country.

‘CS TOUCH’ MOBILE APP REVAMP


The Institute had launched ‘CS Touch’, a Android based mobile application for students, members
and other users to access the required information via smart phones which is a Mobile
Application for Web based Content Management System for iOS and Android platforms. Based on
the response of the users and stakeholders, the app has been revamped with enhanced features
to serve the users more efficiently.

Registration to Professional Programme
Students who have passed/completed both modules of Executive examination are advised to
seek registration to Professional Programme through online mode. The prescribed fee is
Rs.12,000/-.Eligibility of students registered to professional programme for appearing in the
Examinations shall be as under: -

the website of the Institute.
Clarification Regarding Paper wise Exemption

(a) Paperwise exemption is granted only on the basis of specific request received online
through website www.icsi.edu from a registered student and complying all the
requirements. There is one time payment of Rs. 1000/- (per subject).

(b) Students are required to apply for paper wise exemption on-line by logging into their
account on www.icsi.edu before 9th April for June session of examinations and before
10th October for December session of examinations.
(c) The paperwise exemption once granted holds good during the validity period of
registration or passing/completing the examination, whichever is earlier.
(d) Paper-wise exemptions based on scoring 60% marks in the examinations are being
granted to the students automatically and in case the students are not interested in
availing the exemption they may seek cancellation of the same by sending a formal request

at exemption@icsi.edu. If any student appears in the examinations disregarding the


exemption granted on the basis of 60% marks and shown in the Admit Card, the
appearance will be treated as valid and the exemption will be cancelled.
(e) It may be noted that candidates who apply for grant of paper wise exemption or seek
cancellation of paper wise exemption already granted, must see and ensure that the
exemption has been granted/cancelled accordingly. Candidates who would presume
automatic grant or cancellation of paper wise exemption without obtaining written
confirmation on time and absent themselves in any paper(s) of examination and/or
appear in the exempted paper(s) would do so at their own risk and responsibility and the
matter will be dealt with as per the above guidelines.
(f) Exemption once cancelled on request in writing shall not be granted again under any
circumstances.
(g) Candidates who have passed either module of the Executive/Professional examination
under the old syllabus shall be granted the paper wise exemption in the corresponding
subject(s) on switchover to the new/latest syllabus.
(h) No exemption fee is payable for availing paper wise exemption on the basis of switchover
or on the basis of securing 60% or more marks in previous sessions of examinations.

Important
Paper-wise Exemptions are available only on the basis of passing (i)
ICAI (The Institute of Cost Accountants of India) Final Examinations (ii) LL.B.
Examinations (with 50% marks) or (iii) Members of ICSA-UK in selected
subjects of Executive Programme & Professional Programme and no other
exemptions are admissible on the basis of any other higher qualifications.

Attention Students !!!


There is no provision for submitting the exemption at the time of submitting the examination form.
If you have already been granted the exemption, it is reflected in your online account under
“Programme Info”, Examination Enrollment Status and Admit Card issued for examination through
online mode.
It may be noted that in some cases, the exemptions granted in accordance with the various provisions
contained under the regulations are inter-related with other exemptions granted and cancellation (or
appearance) in any one of the papers may result in cancellation of exemptions in all the inter-related
papers. For example, if a candidate has been granted paper-wise exemptions in three papers on the
basis of scoring 60, 62, 58 & 10 Marks respectively in the four papers contained under Module-I of
Executive Programme in previous session and in case he/she appears or cancels the exemption in any
one out of the three exempted papers, all the three exemptions shall be cancelled since the exemption
criteria in this case is applicable only if all the three papers are taken together. Candidates are,
therefore, advised to be extremely careful while seeking cancellation or while appearing in the
exempted papers, as the final result will be computed considering the actual marks scored on
reappearance and/ or the deemed absence in the papers as the case may be. In other words,
candidates appearing in the exempted papers despite an endorsement to the effect in the Admit Card
shall be doing so at their own risk and responsibility and the Institute may not be held responsible for
any eventuality which may arise at a later date. In case of any doubt regarding the applicability of
rules regarding the exemptions, it would be better if the candidates seek prior clarifications from the
Institute by writing at exemption@icsi.edu before appearing in the examination of exempted subjects
or seeking cancellation of exemptions granted.

Discontinuation of Public Private Partnership Scheme for Class Room Teaching

The Public Private Partnership Scheme for conducting Class Room Teaching has been
discontinued and presently no Centres are authorized to conduct the classes under the Scheme.
Students registering at these centres will be doing so at their own risk and
responsibility. Students are advised to the approach the nearest Regional and Chapter Offices of
the Institute for availing the Class Room Teaching facility.

Discontinuation of Requirement of Coaching Completion Certificate

The requirement of coaching completion certificate has been discontinued. This would make
students eligible for enrolment to Executive / Professional Programme examinations after expiry
of six months or nine months as the case may be, from the date of registration to the respective
stage.

Henceforth, students of Executive Programme and Professional Programme are not required to:

a) submit response sheets to test papers on various subjects to the Institute under Postal
Tuition Scheme, or

b) obtain coaching completion certificate from the Institute or from Class Room
Teaching Centres of the Institute, or

c) submit coaching completion certificate for enrollment to examinations of Executive


and Professional Programmes.

Re-Registration to Professional Programme

The Institute has introduced a Re-registration Scheme, whereby students who have passed
Intermediate Course/ Executive Programme under any old syllabus but not eligible for seeking
Registration Denovo may resume CS Course from Professional Programme Stage. It is an
opportunity to come back to the profession for those students who had to discontinue the CS
Course due to compelling reasons. Detailed FAQ, Prescribed Application Form, etc. may be seen at

REVISED PROCEDURE FOR EFFECTING CHANGE OF NAME IN THE


INSTITUTE'S RECORDS
In order to ensure uniformity in the procedure for effecting change of name on the basis of
specific requests from students, it has been decided that henceforth request for change of name
of students in the Institute's records would be accepted only on receipt/ submission of either of
the following documents : -
(i) Gazette Notification
(ii) Publication in Newspaper for change of name alongwith an Affidavit
(iii) Copy of Marriage Certificate (in case of Female candidates after marriage)
(iv) Copy of PAN Card / Aadhaar Card / DIN supporting change of name.
Students may send any such request at dss@icsi.edu alongwith the requisite supporting
documents as mentioned above while quoting their Registration Numbers. It may be further
noted that no request would be accepted without registration number.

ATTENTION STUDENTS!
DEDUCTION OF 30% OF THE TOTAL FEE REMITTED BY THE APPLICANT IN RESPECT OF
REGISTRATIONS LYING PENDING FOR MORE THAN A YEAR

The Institute has decided to reject the applications of such students who do not submit the
documents within one year after their registration in Foundation and Executive programme
by deducting 30% of the fee remitted by them towards administrative charges after expiry of
one year. Therefore it is advised that all such students may submit their documents in the
stipulated time period failing which their registration applications would be rejected

ISSUE OF STUDY MATERIALS COMPULSORILY TO ALL THE STUDENTS
REGISTERING FOR THE CS COURSE
It is informed that henceforth the study materials will be issued compulsorily to all students
registering for different stages of CS Course.
It has been decided to discontinue the system of granting concession to the students of
Executive/ Professional Programme Stages not opting for the study materials at the time of
registration.

STUDY CENTERS
ICSI is setting up Study Centres in cities/ locations where the Regional/ Chapter Office of the
Institute does not exist to facilitate the students.

ICSI Study Centre Scheme


The Institute had launched ‘ICSI Study Centre primarily to enhance of reach of the Institute in
areas which are not getting the desired level of services due to distantly located Regional/ Chapter
Offices of the Institute. Under the scheme, the Institute is striving to establish Study Centres in
most of the Smart Cities as proposed by the Government of India which shall not only remove the
distance barrier but also improve the level of services being provided to the students in such areas.

Through Regional Councils/Chapters

The Institute provides facility of classroom teaching also. The Regional


Councils/Chapters of the Institute are authorized to impart classroom teaching

FAQ on the Modified Switchover Scheme for Professional Programme 2007


(Old) Syllabus to Professional Programme2012(New) Syllabus as announced
by the Institute on 17.09.2016
Question 1 Please clarify which students are covered under the modified switchover
Scheme announced by the Institute on 17.09.2016 ?
Ans. : All students registered in Professional Programme2007 (Old) Syllabus who shall
be switching over or have already switched over to 2012 (New) Syllabus shall be
covered under the modified switchover Scheme announced by the Institute.
Question 2 Please clarify whether the Professional Programme 2007 (Old) Syllabus
students shall be allowed further attempts under the 2007 (Old) Syllabus ?
Ans. : No. All Professional Programme2007 (Old) Syllabus Students shall be required to
compulsorily switchover to Professional Programme2012 (New) Syllabus from
December, 2016 Session and no further examinations will be conducted under
Professional Programme2007 (Old) Syllabus.
Question 3 What are the steps to be taken by me now ?
Ans. : You will have to use the online portal and use the switchover option from the
dropdown Menu. Thereafter, you have to enroll for December, 2016 Session of
Examinations in Professional Programme 2012 (New) Syllabus. In case you directly
try to enroll, the system will automatically prompt you to submit the switchover
request. After enrollment, you have to wait till the middle of October, 2016 for
updated status of paper-wise exemptions in your Online Account as well as under
the Preliminary Examination Enrollment Status on the website.
Question 4 Please clarify whether all Professional Programme 2007 (Old) Syllabus
students who shall be switching over or have already switched over to
Professional Programme (New) Syllabus shall be eligible for exemption from
the paper “Information Technology and Systems Audit” paper under
Professional Programme2012 (New) Syllabus ?
Ans. : Yes. All 2007 Syllabus Students switching over or have already switched over to
Professional Programme2012 (New) Syllabus shall be granted exemption in
“Information Technology and Systems Audit Paper”. In other words, all students
registered under Professional Programme2007 (Old) Syllabus and already
switched over to Professional Programme2012 (New) Syllabus at any point of time
shall be eligible for this exemption. Such students shall be eligible for exemption in
the said paper even if they have already appeared in the examinations under
Professional Programme2012 (New) Syllabus.
Question 5 Please clarify whether all Professional Programme 2007(Old) Syllabus who
have passed or having exemption in “Strategic Management, Alliances and
International Trade” who shall be switching over or have already switched
over shall be eligible for exemption from the Elective Paper under Module-3
under 2012 (New) Syllabus) ?
Ans. : Yes. All those Students who have passed the “Strategic Management, Alliances and
International Trade” paper under Professional Programme2007 (Old) Syllabus
shall be granted exemption in the Elective Paper under Module-3 of Professional
Programme2012 (New) Syllabus.

Question 6 What is the meaning of the word ‘cleared/exempted’ in the announcement?


Ans. : A student who has passed Module-3 under Professional Programme 2007(Old)
Syllabus or is having an exemption in the paper “Strategic Management, Alliances
and International Trade” on the basis of 60% Mark Criteria shall be eligible for
exemption from the Elective Paper under Module-3 of Professional Programme
2012(New) Syllabus. The exemptions based on 60% Marks Criteria in any previous
examinations is automatically reflected in the Online Student Account. If this
exemption is reflected in Strategic Management, Alliances and International Trade
paper, it will automatically convert itself to the Elective Paper after 10th October,
2016 in case you switchover now.
Question 7 The announcement on switchover and the exemptions in Information
Technology and Systems Audit paper and Elective Paper on the basis of
passing Strategic Management, Alliances and International Trade are for one
time (December, 2016 Session) or perpetual ?
Ans. : Exemptions so granted as per the decision of the Institute are perpetual in nature
till the time Student himself cancels this benefit.
Question 8 I do NOT desire to claim the exemptions as above. What should be done in
such cases ?
Ans. : Please submit a formal request for cancellation of such exemptions at
exemption@icsi.edu for necessary action at the end of the Institute. The
exemptions so cancelled shall not be reversed under any circumstances.
Question 9 I desire to change the Combination of Modules based on the modified
switchover scheme as announced ?
Ans. : In case the change of the Combination is directly based on the modified switchover
scheme announcement, you shall have to submit additional fees or ask for refund,
as the case may be, at our E-Mail id enroll@icsi.edu on or before the 10thOctober,
2016.
Question 10 Please clarify from which examination session the proposed exemptions shall
be applicable ?
Ans. : These exemptions shall come into force with effect from CS December, 2016
Session of Examinations onwards.
Question 11 Please clarify from which date the proposed exemptions shall be granted and
will be reflected in the online account of the students ?
Ans. : The exemptions to the eligible students shall be granted after 10th October, 2016
(which is the last date for enrollment to December, 2016 Session of Examination).
Question 12 After switchover to the 2012 (New) Syllabus, I will be left with two / three /
four papers spread across different modules. Shall I be eligible to get the
benefit of aggregate marks by adding the marks scored by me in papers
under different modules ?
Ans. : Students who shall be enrolling and appearing in ALL the remaining papers /
modules under 2012 (New) Syllabus after switchover, shall be eligible to get the
benefit of aggregate marks by adding the marks scored by them in papers under
different modules. For instance, if a student is required to pass three papers under
2012(New) Syllabus under three different modules and if he scores 45, 46 and 59
Marks each in the said papers shall pass the examinations on the basis of scoring

50% aggregate marks across modules and minimum 40% marks in each paper, if
appears in all such remaining papers on switchover, in one sitting
Question 13 When shall the refund of examination fee, if any, shall be processed? Do I
have to claim the refund ?
Ans. : The refunds, if any, of excess examination fee after implementing the modified
switchover scheme shall be processed after the December, 2016 Session of
Examinations. Yes, you shall submit a formal request at enroll@icsi.edu for refund
of the excess amount, if any.
Question 14 I have cleared Strategic Management, Alliances and International Trade
paper under 2007(Old) Syllabus and would be exempted in Elective Subject
under 2012 (New Syllabus). During switchover which Elective Subject should
I choose ?
Ans. : You may choose any Elective Subject which will be deemed as exempted as and
when the exemptions as per the modified switchover scheme are incorporated in
the system in the middle of October, 2016.
Question 15 Should I wait for the exemptions as per the modified switchover scheme to be
incorporated or enrolled immediately ?
Ans. : You should enroll on an immediate basis by the stipulated dates i.e. 25th
September, 2016 without late fee. The refund after the incorporation of the
exemptions as per the modified switchover scheme shall be made to you thereafter.
Question 16 I have passed Module-I of the Professional Programme 2007(Old) Syllabus
comprising of two papers. In which papers I shall be required to appear
during December, 2016 Session of Examinations to complete the Professional
Programme Stage ?
Ans. : You will have to appear in the following six papers spread in three Modules under

ATTENTION STUDENTS!
Important Announcement on Switchover from Professional Programme 2007(Old) Syllabus
to 2012 (New) Syllabus

The Council of the Institute in its meeting held on 17th September, 2016 decided as under :
1. All 2007 (Old) Syllabus Students shall be compulsorily required to switchover to 2012 (New) Syllabus
from December, 2016 Session and no further examinations will be conducted under 2007(Old)
Syllabus.
2. All 2007 (Old) Syllabus Students switching over/ switched over to 2012 (New) Syllabus shall be
granted exemption in Information Technology and Systems Audit Paper. All students registered
under 2007 (Old) Syllabus and already switched over to 2012 (New) Syllabus at any point of time shall
be eligible for this exemption. Such students shall be eligible for exemption in the said paper even if
they have appeared in the examinations under 2012 (New) Syllabus.
3. All 2007 (Old) Syllabus Students who have cleared/ exempted the Strategic Management, Alliances
and International Trade paper shall be granted exemption in the Elective Paper under Module-3 of
2012 (New) Syllabus.
4. These exemptions shall come into force with effect from CS December, 2016 Session of Examinations.

The “Chartered Secretary” Journal is published by the ICSI, with a view to ensure
continuous up-gradation of the knowledge of the Members. The Journal is equally
important for the students of the Institute. Students who are interested to purchase the
journal can subscribe for the same by remitting the nominal subscription fees of Rs. 500/-
per annum. Students can either subscribe for the Journal at the time of registration in
each stage of CS Course or separately through our Chartered Secretary division.

Fees Waiver Scheme for Students of State of Jammu & Kashmir and North-Eastern States

The Institute has recently launched a Fee Waiver Scheme for students of Jammu & Kashmir and
North Eastern States of India to provide an opportunity to the youth of these States to come to the
mainstream. The Government of India is announcing special packages for socio-economic
development of these States and the Institute is also playing a vital role in the development of
society at large. The fee waiver scheme includes waiving the Fee for all students registering for
the Foundation and Executive Programme Stages from North Eastern States (Arunachal Pradesh,
Assam, Manipur, Meghalaya, Mizoram, Nagaland and Tripura, Sikkim) and State of Jammu and
Kashmir till 31st March, 2018. All students belonging to North Eastern States and State of Jammu
and Kashmir who have passed the 10+2 Examinations and Bachelor’s Degree Examinations /CPT
of ICAI/Foundation pass of ICAI-COST irrespective of the percentage of marks shall be eligible for
Fee Waiver while registering for Foundation Programme and Executive Programme Stage
respectively.
The initiative is expected to play a significant role in empowerment of the youth of such areas.
Students are requested to disseminate this information amongst their friends or relatives who
are keen to join CS Course from these states.

Examination
1. DECLARATION OF JUNE, 2017 EXAMINATION RESULTS

The results of Professional Programme and Executive Programme examinations held in


June, 2017 are tentatively to be declared in the month of August, 2017. The date of
declaration of the result would be announced on the website of the Institute
(www.icsi.edu.). The results along with individual candidate’s subject-wise break-up of
marks would be made available on Institute’s website after the declaration of results.

2. ISSUING OF MARKS-SHEETS OF JUNE, 2017 EXAMINATION

According to the decision taken by the Institute, the dispatch of Result-cum-Marks


Statements for Executive Programme Examination in physical form has been discontinued.
Instead formal E-Result-cum-Marks Statements for Executive Programme Examination
June, 2017 would be uploaded on the website: www.icsi.edu for downloading by the
students for their reference, use and records. However, the Result-cum-Marks-Statements
of Professional Programme would continue to be issued in physical form.

3. ANNOUNCEMENT: OPENING OF NEW EXAMINATION CENTRES

CORPORATE COMPLIANCE EXECUTIVE CERTIFICATE FOR STUDENTS

The Institute launched the ‘Corporate Compliance Executive Certificate’ in terms of Chapter IVA
(Regulation 28A & 28B) of the Company Secretaries Regulations, 1982 on 4th October, 2013.
ELIGIBILITY FOR AWARD OF CORPORATE COMPLIANCE EXECUTIVE CERTIFICATE
A person who –
— is currently registered as a student of the Company Secretaryship course of the Institute;
— has completed at least one group of the Intermediate/Executive Programme Examination of the
Company Secretaryship Course, and
— has completed a training of Six months under Regulation 28A of the Company Secretaries
Regulations, 1982, which may include skill oriented practical/class room training for two weeks.
PROCEDURE
An eligible student may apply for award of Corporate Compliance Executive Certificate by submitting an
application in specified format (available on the website of the Institute www.icsi.edu), after making
payment of a fee of Rs. 2000 (two thousand only), either in cash (at counters of the Institute across the
county) or by way of Demand Draft in favour of ‘The Institute of Company Secretaries of India’ payable at
New Delhi.
STATUS OF HOLDER OF CORPORATE COMPLIANCE EXECUTIVE CERTIFICATE
— The student who is awarded Corporate Compliance Executive Certificate of the Institute shall
be entitled to use the descriptive letters “Corporate Compliance Executive”.
— The grant of Certificate of Corporate Compliance Executive Certificate shall not confer on the
Corporate Compliance Executive the rights of a member, nor entitle him to claim membership of
the Institute.
VALIDITY OF CERTIFICATE
— The Corporate Compliance Executive certificate is valid for a period of three years (financial years)
and is renewable on completion of four Programme Credit Hours (PCH) and payment of requisite
fee as the Council may determine from time to time.
OTHER DETAILS
— The student shall have to complete the course of Corporate Compliance Executive Certificate
including the training requirements within the registration period.
— The student having awarded the Corporate Compliance Executive Certificate may continue to
pursue the regular Company Secretaryship course if he so desires.
— Except to the extent provided in this Chapter IVA (Regulations 28A & 28B) of the Company
Secretaries Regulations, 1982 or as decided by the Council from time to time, regulations in
Chapter IV and VI relating to ‘Registered Students’ and ‘Examinations’ shall mutatis-mutandis
apply to the ‘Corporate Compliance Executive Certificate Course’.
— A student after having awarded the Corporate Compliance Executive Certificate shall secure four
Programme Credit Hours (PCH) for renewal of Corporate Compliance Executive Certificate.
— There shall be no exemption from training.

LICENTIATE - ICSI
Regulation 29 & 30 under Chapter-V of the Company Secretaries Regulations, 1982 provides for Licentiate ICSI.
ELIGIBILITY FOR AWARD OF LICENTIATE ICSI
A person who –
- has completed the Final examination or Professional Programme examination conducted by the Institute may,
within six months from the date of declaration of results in which he has passed the Final examination or
Professional Programme examination can apply for enrollment as a licentiate
- the Council, however, may condone the delay in applying for licentiateship by any person for reasons to be
recoded in writing.
PROCEDURE
An eligible student may apply for enrollment as Licentiate ICSI by submitting an application in prescribed form ST-8
alongwith annual subscription of Rs. 1000/- in cash (at counters of the Institute across the country) or by way of
Demand Draft in favour of ‘The Institute of Company Secretaries of India’ payable at New Delhi along with copies of
date of birth, professional programme pass certificate and graduation certificate/foundation pass certificate duly
attested by any member of the Council/Regional Council/Satellite Chapter of the Institute or any Officer of the
Institute.
STATUS OF LICENTIATES
- The person enrolled as a Licentiate of the Institute shall be entitled to use the descriptive letters “Licentiate
ICSI” to indicate that he has qualified in the Final examination or Professional Programme examination of the
Institute.
- The grant of licentiateship shall not confer on such licentiate any rights of a member nor entitle him to claim
any form of membership of the Institute or its Regional Council or Chapter, as the case may be.
- The licentiate may be permitted to borrow books from the library of the Institute, Regional Council or Chapter
or participate in the activities of the Institute, its Regional Council or Chapter as the case may be, subject to
such conditions as may be imposed by the Council, Regional Council or Chapter, as the case may be.
VALIDITY OF CERTIFICATE
- A licentiate shall not ordinarily be eligible to renew his enrolment for more than five years after passing the
Final Examination or Professional Programme examination.
OTHER DETAILS
- The Licentiate will be provided Chartered Secretary Journal of the Institute free of cost.
- The student enrolled as a Licentiate ICSI may apply for ACS Membership on attaining the eligibility for ACS by
surrendering his Licentiateship.
- A Licentiate may apply in the prescribed form for exemption from training requirements (except MSOP) along
with the requisite documents of work experience. eMSOP can be undergone through online mode by the
eligible candidates for acquiring ACS Membership.
- The annual licentiate subscription becomes due and payable on the first date of April every year and non-
payment of annual subscription on or before the thirtieth of June of a year shall disentitle the person to use the
descriptive letters “Licentiate ICSI” from 1st July of that year, until his annual subscription for the year is
received by the Institute.
- The name of the person so disentitled shall be published in the Journal.
