DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Contract made and entered into this ____ day of ______________, at
__________________________, Philippines, by and between:

LEVI M. PALOMATA, of legal age, widower and a resident of Buenasuerte, Nabas, Aklan,
Philippines hereinafter referred to as “SELLER”;

-and-

JOEY J. PALOMATA, of legal age, married and a resident of Buenavista, Nabas, Aklan
hereinafter referred to as “BUYER”;

WITNESSETH : that

WHEREAS, the SELLER is the absolute owner of parcel of vacant lots located at Barangay
Buenasuerte, Nabas, Aklan, covered by the following Tax Declaration and descriptions:

“A parcel of land with an area of 221 sqm more or less, Lot 3593-G adjacent to Lot 3593-F
occupied by Blas Palomata, portion of 2,648 sqm covered by ARP. No. 05-004-0982, LOT No.
3593 in the name of Levi M. Palomata issued by the Office of the Municipality Assessor of Nabas,
Aklan Bounded in its North LOT 3594 PT, on its East LOT 3594 PT, on its South LOT 3591, 3592
and on its West LOT 3590 Situated in the Buenasuerte Nabas, Aklan.”

WHEREAS, the SELLER is selling his lot, described above, consisting the aggregate area of
Two Hundred Twenty One Square Meters (221 sqm) in all, covered by Tax Declaration No.
05-004-0982, hereinafter referred to as the “Property”,

WHEREAS, the BUYER has offered to buy said Property and the SELLER is willing to SELL,
ASSIGN, TRANSFER and CONVEY to the BUYER, subject to the terms and conditions set forth
hereunder.

BUYER is willing to pay, and SELLER is willing to accept a full cash offer price of FIFTY
THOUSAND PESOS (Php 50,000.00) only for the entire Property.

WHEREAS, this Deed of Sale is made on the condition and warranty that SELLER or any other
person does not hold a genuine Transfer Certificate of Title (TCT) to the property. If ever the
SELLER discover that he or any other person holds a TCT to the property, SELLER warrant to
surrender the same to the BUYER, without any consideration, for proper documentations and
transfer to the name of the latter That the SELLER is the legitimate owner of the said property,
which is free from any liens and encumbrances and can be registered and transferred to BUYER
without any problem, upon full payment and execution of this Deed of Absolute Sale.

SELLER and BUYER freely and mutually agree to always cooperate in the consummation and
execution of all their contractual and legal obligations for their common good and benefit.
IN WITNESS WHEREOF, the PARTIES hereto have signed this DEED OF ABSOLUTE
SALE on the date & place first above-written.
