DEED OF ABSOLUTE SALE OF SHARES

This Deed of Absolute Sale of Shares (the “Deed”) is made and entered into by and
between:

1. ________________, Filipino, of legal age, single, and residing at _________ (“Seller”);

2. ___________________, Filipino, of legal age, single, and residing at __________________

(“Buyer”).

RECITALS:

A. Seller is the legal and registered owner of One (1) common share (the “Subject
Share”) of the outstanding capital stock of Polar Gains Real Estate Incorporated. (the
“Company”);
B. Seller has agreed to sell the Subject Share to the Buyer, and Buyer has agreed to
purchase the Subject Share from the Seller, under the terms and conditions
hereinafter set forth.

NOW THEREFORE, for and in consideration of One Hundred Pesos (Php 100.00), Seller
hereby absolutely and irrevocably sells, assigns, transfers and conveys to Buyer, and Buyer
hereby purchases, acquires and accepts from Seller, the Subject Share.

All capital gains and documentary stamp taxes accruing on the sale of the Subject Share
shall be for the account of Seller.
