MENSAGEM DA ADMINISTRAÇÃO¹
Adquirimos R$ 2,7 bilhões em VGV de terrenos, nas cidades de São Paulo e Porto Alegre,
majoritariamente por meio de permutas, garantindo nosso volume de lançamentos para os
próximos anos;
Obtivemos boas negociações em nossos contratos de alugueis das sedes de nossas praças
e das imobiliárias, consolidando nossa missão contínua de redução do G&A que fechou o
ano em R$ 131 milhões, menor patamar nominal desde 2011;
A agência de rating Standard & Poor’s atribuiu o rating AA em escala nacional, atestando a
qualidade da nossa estrutura financeira;
Geramos R$ 292 milhões de caixa, levando a alavancagem para 41% (dívida líquida sobre
patrimônio líquido);
Além disso, nossos lançamentos de 2018 apresentaram forte velocidade de vendas, sendo que hoje
já se encontram mais de 60% vendidos.
Nossa DRE ainda encontra-se pressionada pelo alto volume de distratos em 2018, concentrados
no estado do Rio de Janeiro. Mantemos hoje em nosso balanço um patamar confortável de provisão
de distrato para minimizar os efeitos futuros.
Para 2019, continuaremos tendo como foco a diminuição do volume de estoque pronto, a redução
do G&A e a aquisição de bons terrenos em permuta.
Temos previsão de crescer os lançamentos este ano de 2019, mas só o faremos se continuarmos
com boa performance de vendas dos novos empreendimentos e dos estoques. Seguimos
perseguindo o principal objetivo de nosso planejamento estratégico que é voltar a dar alto retorno
(ROE) aos nossos acionistas.

DISTRATOS
A Even entende que a análise dos distratos não deve ser feita em relação às vendas brutas do trimestre
corrente, uma vez que os distratos não têm correlação direta com as vendas do mesmo período. A maior
parte dos distratos ocorre próximo do momento da entrega dos empreendimentos, portanto nossa análise
considera a relação entre os distratos e o volume entregue dos últimos doze meses. A consideração de um
período maior do que um trimestre busca minimizar distorções.

ESTOQUE
O estoque encerrou 2018 em R$ 2,0 bilhões em valor potencial de vendas (parte Even), o que representa
14,8 meses de vendas, no ritmo de vendas brutas dos últimos 12 meses.
O estoque de unidades prontas encontra-se em patamar acima do que a companhia considera ideal. Vale
lembrar que esse estoque é fortemente impactado pelos distratos do ano (que ocorrem majoritariamente no
momento da entrega dos empreendimentos). A companhia está sempre buscando a melhor equação de VSO
e VPL gerado nesse estoque, levando em consideração o alto custo de capital do país. Em 2019, há
expectativa de redução dos distratos e devemos portanto continuar observando uma redução no volume de
estoque pronto.

As unidades a comercializar indicam uma margem bruta potencial de 28,3%, assumindo os custos totais das
unidades em estoque. Para o cálculo desta margem bruta, já deduzimos a alíquota de PIS e COFINS de cada
empreendimento.

melhor expectativa de preço de venda considerando o atual mercado.

unidades distratadas ao estoque, cujo preço atual de mercado encontra-se abaixo do preço praticado na
época da venda.

TERRENOS (LAND BANK)
No 4º trimestre foram adquiridos, majoritariamente por meio de permuta, 4 novos terrenos em São Paulo e no
Rio Grande do Sul, com valor potencial de vendas de R$ 456 milhões (parte Even). Ao longo de 2018 foram
adquiridos 18 novos terrenos com VGV potencial somado de R$ 2,22 bilhões (parte Even).

COMPROMISSO POR AQUISIÇÃO DE TERRENOS
Conforme normas contábeis, os terrenos são refletidos contabilmente apenas por ocasião da obtenção da
escritura definitiva, independente do grau de negociação.

No 4º trimestre foram entregues 7 projetos que equivalem a R$ 352,5 milhões (VGV de lançamento parte
Even) e 1.419 unidades. Em 2018 o volume de entregas foi de R$ 736,5 milhões (VGV de lançamento parte
Even) e totalizando 2.853 unidades.

REPASSES E RECEBIMENTO
O processo de repasse (financiamento bancário para os clientes) continua sendo foco da companhia, dado a
sua relevância para o fluxo de caixa.
Conforme a próxima tabela, o recebimento total de clientes (unidades em obra e concluídas) no ano de 2018
foi de R$ 1,61 bilhão (R$ 377 milhões no 4º trimestre).

RECEITA
No 4º trimestre, obtivemos uma receita operacional bruta de vendas e serviços de R$ 404,7 milhões. No ano
a receita operacional bruta totalizou R$ 1,514 bilhão.

Após a incidência dos impostos, a receita operacional líquida do 4º trimestre totalizou R$ 394,4 milhões. No
ano de 2018 a receita operacional líquida atingiu R$ 1,475 bilhão.

LUCRO BRUTO E MARGEM BRUTA
O lucro bruto foi de R$ 39,0 milhões no 4º trimestre. No ano o lucro bruto foi de R$ 202,8 milhões.
A margem bruta no 4º trimestre foi de 18,3%, expurgando os efeitos dos encargos financeiros apropriados ao
custo (dívida corporativa e financiamento à produção). Excluindo também o Rio de janeiro a margem foi de
24,7%. A margem bruta das unidades distratadas no trimestre foi de 29,5%, impactando negativamente nosso
lucro bruto.

É importante destacar que a Even atualiza o custo orçado dos empreendimentos mensalmente, não apenas
considerando a variação do INCC no período, mas considerando o custo orçado efetivamente atualizado pela
área técnica.
Na tabela abaixo podemos observar o custo a incorrer anual de todos os empreendimentos em fase de obra,
incluindo as unidades vendidas e não vendidas (estoque).
No 4T18 as despesas operacionais totalizaram R$ 129,0 milhões, e R$ 363,4 no ano de 2018. O detalhamento
encontra-se a seguir:
Despesas comerciais:
Do total das despesas comerciais, R$ 6,9 milhões correspondem a despesas com estoque pronto (IPTU,
condomínio e manutenção) que tendem a diminuir ao longo dos próximos trimestres devido à expectativa de
diminuição do volume de estoque.

Em 1º de janeiro de 2018, entraram em vigor os pronunciamentos contábeis IFRS 9/CPC 48 - Instrumentos
Financeiros e IFRS 15/CPC 47 - Receita. Para o setor de incorporação, o IBRACON emitiu o Comunicado
Técnico 2/2018 orientando os auditores independentes na emissão de relatórios de revisão sobre as ITRs de
2018, dando seu entendimento de que a orientação disposta pela CVM (Ofício nº 01/2018) refere-se
exclusivamente à manutenção dos critérios sobre o reconhecimento de receita pelo POC. Dada esta
orientação, as provisões de distratos calculadas até 31 de dezembro de 2017, são com base nas evidências
objetivas de perdas. Ou seja, pelo IFRS 9 a provisão passa a incorporar a previsão de distratos futuros,
inclusive dos contratos adimplentes (esperados para os próximos 12 meses), levando em consideração, entre
outros, as experiências passadas.
Em 12 de dezembro de 2018, a CVM emitiu um Ofício Circular estabelecendo que a provisão para distratos
deva ser realizada na ocasião da determinação da receita a ser apropriada. Dessa forma, a Companhia
passou a apresentar a provisão como contrapartida da receita e do custo incorrido das vendas realizadas,
afetando assim a lucro bruto consolidado, bem como procedeu a reclassificação das cifras do exercício de
2017 para permitir adequada comparação.
A provisão estabelecida à partir de 1º de janeiro de 2018, pelo conceitos do IFRS 9 com característica de
provisão para realização de ativos financeiros, manteve sua classificação como “outras despesas”.
Impairment de Terrenos:
No 4T18 a Companhia estava em processo de negociação para venda e adequação de margem de dois
terrenos. Ambos os projetos estão localizados na cidade de São Paulo, cujo valor de mercado dos mesmos
encontravam-se abaixo do valor registrado no balanço. A soma dessas operações resultou em um impacto
negativo de R$ 30 milhões no 4T18 (conforme tabela da página anterior).
RESULTADO FINANCEIRO
O resultado financeiro do 4º trimestre foi positivo em R$ 7,7 milhões. No acumulado do ano o resultado
financeiro foi positivo em R$ 46,8 milhões. O detalhamento encontra-se a seguir:

ESTRUTURA FINANCEIRA
Em 31 de dezembro de 2018, o saldo de disponibilidades era de R$ 824,9 milhões (inclui R$ 156,4 milhões
de caixa restrito)
Os empréstimos, financiamentos à produção e debêntures totalizaram R$ 1,57 bilhão (6,6% inferior ao saldo
de 31 de dezembro de 2017, R$ 1,68 bilhão), sendo R$ 912,4 milhões de dívida de financiamento à produção
(SFH e CRI), que são integralmente garantidas pelos recebíveis ou estoque dos empreendimentos e a
diferença de R$ 654,7 milhões correspondente a dívidas corporativas.

No 4º trimestre foram pagos R$ 189,9 milhões de principal das dívidas corporativas e R$ 10,8 milhões de
juros referentes a essas dívidas. Em 2018 esses valores são respectivamente R$ 400,8 milhões de principal
e R$ 61,9 milhões de juros. Foram captados, dentro do trimestre R$ 65,2 milhões e R$ 193,0 milhões no ano.
A geração de caixa do 4º trimestre, foi de R$ 3,3 milhões, totalizando R$ 292,3 milhões no ano de 2018,
excluindo Recompra de ações, conforme quadro abaixo:

Em 31/12/2018, a companhia detinha 3.124.467 ações em tesouraria, o que representa 1,44% das ações
totais.
A Companhia iniciou um programa de recompra de ações em tesouraria em outubro de 2018. Foi comprado
no âmbito do programa 2.831.400 ações no valor aproximado de R$ 13,7 milhões.
Encerramos o 4º trimestre com R$ 522,7 milhões de recebíveis de unidades concluídas. Estes valores, em
sua maior parte, estão em processo de repasse para os bancos (financiamento para o cliente).
O contas a receber apropriado (R$ 1,1 bilhão) ficou estável em relação ao 3º trimestre de 2018. O saldo de
contas a receber das unidades vendidas e ainda não concluídas não está totalmente refletido como ativo nas
demonstrações financeiras, uma vez que o saldo é reconhecido na medida da evolução da construção.
De acordo com o cronograma abaixo, do total de recebíveis de R$ 2,2 bilhões (contas a receber apropriado
mais o contas a receber a apropriar no balanço), R$ 280,2 milhões serão recebidos durante o período de
construção, ou seja, recebíveis de unidades não concluídas, e a parcela de R$ 1,9 bilhão teria o seguinte
cronograma de recebimento considerando a hipótese de recebimento integral em até 120 dias a contar da
data da entrega dos empreendimentos:

O saldo de contas a receber é atualizado pela variação do INCC até a entrega das chaves e, posteriormente,
pela variação do índice de preços (IPCA ou IGPM), acrescido de juros de 12% ao ano, apropriados de forma
pro rata temporis. O saldo de contas a receber está líquido de permutas.
Vale lembrar que estes valores poderão ser quitados pelo cliente, repassados para os bancos (financiamento
para o cliente) ou securitizados.

MESSAGE FROM MANAGEMENT¹
In line with the Company’s strategic planning, followed in our release throughout the year of 2018,
we conquered some more new important goals:
We acquired R$ 2.7 billion in PSV of lands in the cities of São Paulo and Porto Alegre, mainly
through swaps, guaranteeing our launches volume for the next upcoming years;
We obtained good negotiations on the rental contracts of our headquarters and of our real
estate houses, consolidating our continuous mission of G&A reduction that ended the year
in R$ 131 million, the lower nominal floor since 2011;
We raised two long term debts (8 years) of R$ 225 million value, with settlement indexed to
the sales of finished inventory;
The rating agency Standard & Poor’s attributed the rating br.AA in national scale, attesting
our financial structure quality;
We sold R$ 746 million of finished units, reducing our finished inventory in R$ 150 million in
the year;
We generated R$ 292 million of cash, taking our leverage to 41% (net debt to equity);
Besides that, our 2018 launches presented a strong sales speed, and today they are more than 60%
sold.
Our Income Statement is still pressured by the high volume of cancellations in 2018, mainly in the
state of Rio de Janeiro. We maintain in our balance today a comfortable floor of provision for
termination to minimize future effects.
For 2019, we will continue having as focus the decrease of the finished inventory volume, the
reduction of G&A and the acquisition of good lands through swap.
We estimate that we will increase the volume of launches for this year of 2019, but we will only do it
if we keep with a good sales performance of our new projects and of our inventory. We will keep
reaching our main goal of our strategic planning which is to go back to give a high return (ROE) to
our shareholders.

CANCELLATIONS
Even understands that the analysis of cancellations should not be based on the ratio between cancellations
and gross sales in current quarters, as we believe cancellations in a given quarter have no relation with sales
in the same period. Given that the majority of cancellations occur close to the delivery of projects, our analysis
considers the ratio between cancellations and volume delivered in the last twelve months. Considering a period
longer than one quarter is a way to minimize distortions.

INVENTORY
The inventory ended 2018 amounting R$ 2.0 billion in potential sales value (Even’s share), equivalent to 14.8
months of gross sales, based on the pace of gross sales in the last 12 months.
Inventory of completed units is above the level that the Company considers ideal. It is important emphasize
that this inventory has been highly impacted by cancellations during the year (which occur mostly close to the
delivery of the projects). The Company is always searching for the ideal balance between SOS and the NPV
generated from this inventory, always taking into consideration the country’s high capital costs rates. In 2019,
we expect a decrease of cancellations and we should observe a reduction of the inventory volume of completed
units.

Gross profit came to R$ 39.0 million in 4Q18. Annual gross profit R$ 202.8 million. Fourth quarter gross margin
stood at 18.3%, excluding the effects of financial charges appropriated to coast (corporate debt and production
financing). Also excluding Rio de Janeiro, the margin was 24.7%. The gross margin of the cancelled unities at
the quarter was 29.5%, negatively influencing our gross profit.

It is important to note that Even updates the budgeted cost of projects every month not only based on the
period variation in the INCC, but also considering the actual budgeted cost effectively updated by the technical
department.
The table below shows annual costs to be incurred from all projects under construction, including units sold
and units in inventory.
In the fourth quarter, operational expenses totalled R$ 129.0 million, and R$ 363.4 in the year of 2018. The
breakdown is as follows:
Selling expenses:
Out of the total of the selling expenses, R$ 6.9 million are related to the finished inventory expenses (property
taxes, service charges and maintenance) that are likely to decrease throughout the upcoming quarters due to
the expectation of a decrease in the inventory volume .

On January 1, 2018, the accounting pronouncements IFRS 9 / CPC 48 - Financial Instruments and IFRS 15 /
CPC 47 – Revenue, came into force. IBRACON issued a Technical Notice 2/2018 to the real estate sector,
guiding the independent auditors on the issuance of review reports about the 2018 ITRs, giving its
understanding that the CVM (Ofício n. 01/2018) orientation is exclusively referred to the maintenance of the
revenue recognition by the POC criteria. Giving this orientation, the provisions for termination calculated until
December 31, 2017, are based on the objective evidence of loss. Under IFRS 9 the provision incorporates
the future terminations forecast, including the defaulters (expected for the next 12 months), considering,
among others, past experiences.
On December 12, 2018, CVM issued an Ofício Circular, stablishing that the provision for termination has to
be done in the occasion of the revenue to be recognized determination. Thus, the Company started to
present as a counterpart of the revenue and the coast to be incurred of the sales done, affecting the accrued
gross profit, as well the reclassification of the numbers of 2017 exercise to allow the adequate comparison.
The provision stablishes from January 01, 2018, according to the concept of IFRS 9 with characteristics of
provision for the realization of financial assets, its classification maintains as “other expenses”.
Land Impairment:
In the fourth quarter, the Company was in a negotiation process of selling and adequation of margin of two
lands. Both projects are localized in the city of São Paulo, which market value is under the value registered
in the balance. Those operations resulted a negative impact of R$ 30 million in the fourth quarter (as of the
table of the previous page).
FINANCIAL RESULT
In the fourth quarter, the financial result was positive by R$ 7.7 million. In 2018, the financial result was positive
in R$ 46.8 million. The breakdown is as follows:

FINANCIAL STRUCTURE
On December 31, 2018, cash and cash equivalents totaled R$ 824.9 million (including R$ 156.4 million of
restrict cash).
Loans, production financing and debentures came to R$ 1.57 billion (6.6% lower than the R$ 1.68 billion posted
on December 31, 2017), of which R$ 912.4 million referred to production financing debt (Housing Finance
System – SFH and CRI), which are fully guaranteed by the projects receivables or inventory, and the remaining
R$ 654.7 million corresponding to corporate debts.

In the fourth quarter it was paid R$ 189.9 million of corporate debt principal and R$ 10.8 million of interest
referred to these debts. In 2018, those amounts are, respectively, R$ 400.8 million of debt principal and R$
61.9 million of interest. It was raised in the quarter R$ 65.2 million in new debts and R$ 193.0 in the year.
Cash generation in the third quarter was R$ 3.3 million, totaling R$ 292.3 million in the year of 2018, excluding
share buyback, as shown in the table below.

On December 31, 2018, the company had 3,124,467 treasury shares, equivalent to 1.44% of all Even’s shares.
The Company started the Repurchase Program of shares in treasury in October of 2018. It was purchased
2,831,400 shares in the value of R$ 13.7 million in the scope of the Program.
We ended 4Q18 with receivables from completed units of R$ 522.7 million. These amounts are mostly in the
process of being transferred to the banks (client financing).
Accounts to receive recognized (R$ 1.1 billion) was stable compared to the 3rd quarter of 2018. The balance
of accounts receivable from units sold and not yet completed is not fully reflected under assets in the financial
statements, since the balance is recognized as construction progresses.
According to the schedule below, out of total receivables of R$ 2.2 billion (accounts to receive recognized +
accounts to receive to be recognized in the balance sheet) R$ 280.2 million will be received during the
construction period, i.e., receivables from unfinished units. The remaining R$ 1.9 billion has the following
receivable schedule, considering full receipt within 120 days as of the project delivery date:

The balance of accounts receivable is adjusted by the variation in the INCC until the delivery of the keys and
subsequently by the variation in the price index adopted (IPCA or IGPM), plus annual interest of 12%,
recognized on a pro rata temporis basis. The balance of accounts receivable is net of swaps.
It is worth noting that these amounts may be settled by the client, transferred to the banks (client financing) or
securitized.
COMMITTEE
In order to improve corporate governance, the company set up throughout 2016 four Board committees: Audit
Committee, Financial Committee, People Committee and Related Parties Committee.
Each committee consists of at least one director and a non-executive specialist company. The duties of the
committees are designated in their specific regulations. The committees report quarterly to the Council.

About the Company
Even has been working in the real estate sector for more than 40 years and is one of the largest builders and
developers in the metropolitan region of São Paulo. It is present, primarily and strategically, in the cities of São
Paulo, Rio de Janeiro and Porto Alegre. The company is vertically oriented, executing all development stages
of its projects, from lot prospecting, property development and brokerage activities to the project's construction.
Even owns two sales companies: Even Vendas and Even More, both of which operating in 100% of the
