TRIPARTITE AGREEMENT BETWEEN HERMES, STOCKIST AND RETAILER

This agreement is entered on ____________ of _______________ at Chennai between HERMES i Tickets Private
Limited (which expression unless it be repugnant to the context or meaning there of shall mean and include its
successors and assigns unless the context otherwise excludes) of the First Party.

M/s _________________________________________________________________ a Partnership / Proprietary

company having its office at _______________________________________________ herein after referred to as the
STOCKIEST, (which expression unless it be repugnant to the context or meaning there of shall mean and include its
successors and assigns unless the context otherwise excludes) of the Second Party.

AND

M/s ___________________________________________________________________ a Partnership / Proprietary

company having its office at ________________________________________________ herein after referred to as the
RETAILER, (which expression unless it be repugnant to the context or meaning there of shall mean and include its
successors and assigns unless the context otherwise excludes) of the Third Party.

1. Your appointment is as a retailer for marketing the TSS services as terminals under Stockiest

M/s_________________________________________________________________________________________

2. The retailer shall not have any right of ownership on TSS properties including software and other sale of tickets
provided by TSS / HERMES. The retailer should provide a computer, printer, UPS etc. as per TSS / HERMES
specification to start the operations. The retailer and stockiest agree that the said software is a property of HERMES /
TSS and the system of retailer cannot be used for any other purpose other then that of doing business of TSS till such
time the retailer ceases to be a TSS retailer.

3. The retailer shall not move his place of business to any other place other than the address mentioned in this
agreement without prior approval of TSS / HERMES.

4. The retailer is allowed to sell all the products through his terminal (using TSS software) as prescribed by TSS
/HERMES from time to time. The retailer is liable for all the transactions recorded in the server through his terminal ID.

5. The retailer confirms that he/She has an unlimited Internet Broad Band connection at the location of Business outlet.

6. The retailer shall be responsible for the security of the software and will not allow any tampering of the same. The
retailer shall be liable to TSS / HERMES for any tampering or misusing of the software.

7. The retailer shall provide the required consumable such a paper, printer ribbon etc. for the business.

8. The retailer shall also indemnify TSS / HERMES from and against any claim, losses, liability, cost and expenses which
the customer / end user may suffer or incur by reason of the retailer or its employee by making misrepresentation.

9. On termination / withdrawal of TSS terminal, the retailer will allow TSS / HERMES to remove the software from the
system, failing which TSS / HERMES will initiate legal action and claim damages from the retailer.

10. The retailer agrees to abide by the terms and conditions of TSS / HERMES that may be in effect from time to time.
11. The retailer undertakes that the terminal shall not be used for any illegal or porn or any other activities which is
considered illegal by the local administration and or State Laws.
12. The retailer shall protect the intellectual property and other rights of TSS/ HERMES and shall allow representative/s
of concerned State Government to examine all records and files.
13.TSS/ HERMES shall hold all rights to suspend or withdraw the terminal if the retailer breaches any of the conditions
and the decision of TSS/ HERMES shall be final and binding on the retailer.
14. The retailer and the stockiest agree and indemnify TSS/ HERMES that TSS/ HERMES are only the enablers and the
sale of ticket- providers of travel products of third party (Airlines, Railways, Bus operators etc) and TSS / HERMES
cannot be held responsible for any problems that may arise out of the actions or inactions of the third party transport
providers like Airlines, Railways and Bus operators etc.
15. This letter of appointment contains the entire understanding with respect to the subject matter contained herein and
supersedes all prior agreements and understanding both oral and written between the parties with respect to
subject matter Henceforth this letter of appointment is and agreement made & entered between us.
16. This agreement shall be governed by the laws of india under jurisdiction of chennai high court only.
17. The competent Court of Chennai shall have the exclusive jurisdiction power to entertain any dispute that may arise
