WHEREAS, ce11ain claims are pending in the within action involving Plaintiff Jacob

Frydman ("Frydman") United Realty Advisors, L.P. ("United") and P:rime United Holdings, LLC

("P1·ime") and Defendants Steven Vegh {"Vegh") Fishoff Family Foundation ("FFF"); Benjamin

Fishoff("Fishoff'); Whitegate Funding, LLC ("WF"); Pincus Rand ("Rand"); ElanJaffa ("Jaffa") and Jaffa

Holdings, LLC (".II-I''). Frydman, United and Plime are each individually referred to as a Party and

collectively referred to as the Frydman Parties, and Vegh FFF, Fishoff, WF, Rand, Jaffa and JH

are each also individually referred to as a "Party" and collectively as the ''Defondant Parties" and

together with the Frydman Parties are collectively referred to as the Paiiies; and

\VHEREAS, the Frydman Parties have alleged that the Defendant Pa1iies, acting in conceit

with others, published Disparaging Statements or Defamatory Statements (as defined below in

Paragraphs 5b, and 6) about Frydman and his various businesses (collectively the "Frydman

Entities"), including without limitation United Realty, United Realty Advisors, United Realty

Trust, Prime United Holdings, Cabot Lodge, White Acre Equities, Hudson York Capital,

Lambdastar, Surrey Equities and Senergy, on the Internet that are false, defamato1y and constitute

libel per se, and their doing so was allegedly wanton, willful and malicious; and

WHEREAS, the Parties to the Settlement Ai,•reement have agreed to settle any and all

disputes and potential disputes between and among them, and have agreed to dismissal v.ith

prejudice of each of the claims, counterclaims, defenses and affim1ative defenses asserted by, or

which could have been asserted by the Frydman Pmties against the Defendant Pa1ties in the within

action; and dismissal with prejudice of each of the claims, counterclaims, defenses and affinnative

defenses asserted by, or which could be or have been asserted by the Defendant Parties and their

respective Affiliates against each of the Frydman Parties and their respective Affiliates in the

within action, provided however, that each of the claims asserted by, or which could have been, or

which may hereafler may be asserted by the Frydman Pm1ies against any other defendant in the

within action are not dismissed, and the Frydman Parties have the right to co1ttinue to pursue such

claims in the within action without restriction, and the dismissal of claims against the Defendant

Parties shall not in any way impact, release, dismiss or otherwise effect any of the claims which

are not expressly dismissed as herein provided.

Pursuant to the Settlement Agreement, and good cause appearing therefor;

I. This Court has jurisdiction of the subject matter hereof and the parties

hereto.

2. Venue is proper in this Court.

3. The injunctive provisions of this Order shall apply to Defondant Parties,

and each of their respective Affiliates (the "Restrained Defendants"), and all those

acting in conceit with the Restrained Defendants.

4. The Restrained Defendants, and all those acting in concert with them,

shall btl and hereby are permanently enjoined and restrained from, directly or

indirectly doing, or from causing any other person to do, or from assisting any other

person in doing, any of the following;

a. Creating, publishing or posting any statements about Frydman, any of his

family members Monica Frydman, Jared Frydman, Joshua Frydman, Jaime
Frydman, Madeline Libin, Alex Libin, and any of their spouses or children
(the "Frydman Family Members"), or any entity, association, business or
company which employs Frydman or any of the F1ydman Family Members, or
in which Frydman or any of the Frydman Family Members has any interest
whatsoever, or with which Frydman or any of the Frydman Family Members
is directly or indirectly affiliated, or of which Ftydman or any of the F1ydman
Family Members is an officer, director, owner, manager, partner, trustee,
beneficiary, control person, or with which in any other way Frydman or any of
the Frydman Family Members is directly or indirectly involved (also
collectively the "Frydman Entities"), and each of the Frydman Entities'
respective officers, managers, employees, partners, agents, servants, attorneys,
representatives, products, goods, or services, which defame, disparage or
contain libelous statements about Frydman, the F1ydman Family Members 01·
the Frydman Entities; or using, creating, publishing or posting the Frydman
name and likeness or the name and likeness of any of the Frydman Family
Members, or ai1y name, mark or Internet domain name that incorporates
Frydman's, the Frydman Family Members' or the Fzydman Entities' names or
marks or any names or marks which are confusingly similar to or a colorable
imitation of the F1ydman, Frydman Family Members' or F1ydman Entities'
names or marks or any name or mark associated with Frydman or any of the
Frydman Family Members or Frydman Entities, including without limitation
"Frydman'', "Libin", "United Really", "Cabot Lodge", "Prime United",
"United Capital", "Ledgerock", "LambdaStar", "Hudson York", "Hudson-

Buddha'', or any name or mark which i:s confusingly similar to or a colorable

imitation thereof (collectively, the "Frydman Marks");

b. Using or displaying the Frydman or any of the Frydman Family Memhers' or

Frydman Entities' name, mark or likeness on any websites, domains, biogs,
lntemet postings or advertising, emails, communications, products, or
promotional mate1ials in any manner whatsoever, including without limitation
in any false, disparaging and/or deceptive manner;

c. Using in any manner any name, mark or Internet domain name that
incorporates the Frydman or any of the F1ydman Family Members· or
F1ydman Entities' name or any other name which is associated with Frydman
or auy of the Frydman Family Members or Frydman Entities, or which is
confusingly similar to or a colorable imitation of such names;

d. Doing any act or thing calculated or likely to cause confusion or mistake in

the minds of members of the public or prospective customers, investors or
business associates of Frydman, the Frydman Family Members or the
Frydman Entities, or any person with whom Frydman, the Frydman Family
Members or the F1ydman Entities may have or may develop a business
relationship or business opportunity, as to Frydman or any of the Frydman
Family Members or Frydman Entities or any businesses, investments,
offerings, products or services sponsored or offered by Frydman or any of the
Frydman Family Members or F1ydman Entities as to the knowledge,
credibility, trustworthiness, veracity, ethics, performance, performance results,
dependability, honor, credibility, responsibility, desirability, capability, or
source of the investments, products or services offered for sale, distributed or
sold, or which is likely to disparage Frydman, the Frydman Family Members
or the Frydman Entities or deceive members of the public, or prospective
customers, investors or business associates of Frydman, the Frydman Family
Members or the Frydman Entities, or any person with whom Frydman, the
Frydman Family Members or the Frydman Entities may have or may develop
a business relationship or business oppmtunily, or which is likely to confuse
such persons into believing that there is some connection between the
Restrained Defendants and Frydman or any of the Frydman Family Members
or Frydman Entities;

c. Committing any acts which will tarnish, blur or dilute, or are likely to tarnish,
blur, disparage or dilute Ftydman, the Frydman Family Members, the
Frydman Entities or the Frydman Marks;

f. Making any representations that Frydman, the Frydman Family Members or

the Frydman Entities have acted in any improper manner, or which reveal any
information about Frydman, the Frydman Family Members or the Frydman
Entities which has not been consented to in writing, in advance by Frydman;
and

g. Making or inducing others to make any disparaging or false, misleading or

deceptive statement of fact, or representation of fact regarding Frydman, the
Fl'ydman Family Members or the Frydman Entities or any of their businesses,
investments, products, offerings, services, transactions, properties or
developments.

5. The Restrained Defendants shall take all reasonable steps to remove any of the

Disparaging Statements or Defamatory Statements (defined below in subparagraph b.

and in Paragraph 6) published or posted from the Internet, including without

limitation authorizing counsel for the Frydman Patiies to request pennanent removal

of Disparaging Statements or Defamatory Statements from the websites where they

are posted and from Internet search engines, including without limitation Google,

Yahoo! and Bing, and URLs (defined below in subparagraph c.) where the

Disparaging Statements or Defamatory Statements are published, posted or located or

are re-published. re-posted or linked, and same shall be permanently removed from

the Internet.

a. The Disparaging Statements or Defamatory Statements were published using

several anonymous naines, monikers and aliases. including without limitation
"United Realty Trust," "Jacob Frydman." "jacob_frydman_scam," "JAKE
THE SNAKE," "JAKE," "HIS ALIAS," "JAK," JACOB FRYDMAN
UNffED REALTY 11lUST," "LENDERS SCREWED BY JACOB
FRYDMAN," "Former Employee," "Jacobfrydmanfraud," "Ex Employee
Whistle Blower," "PutJacoblnJail,"

b. The "Disparaging Statements" or "Defamatory Statements" are that Frydman

and/or his business United Realty or United Realty Trust:

6. "Disparaging Statements" are statements, regardless of truth, which in any way

derogate or cast the Frydman Parties, the Frydman Family Members or the Frydman Entities

in a bad light, or question or negatively remark on the integrity, character, knowledge,

credibility, trustworthiness, veracity, ethics, performance, performance results, dependability,

honor, credibility, responsibility, desirability, capability, payment history, litigation, or

dealings of Frydman, the Frydman Family Members or the Frydman Entities, or which

tarnish, blur or dilute, or are likely to tarnish, blur or dilute Frydman, the Frydman Family

Members, the Frydman Entities or the Frydman Marks. For purposes hereof: (i) "affiliate",

affiliates, or "affiliated with'" means with respect to any person, any other person which is

controlling, controlled by or under common control with (directly or indirectly through any

person) the person referred to, and, if the person refened to is a natural person, a family

member of such person (but expressly excluding each defendant in the within action who is

not a Party to the Settlement Agreement and each of such person's affiliates); (ii) "control"

(including, 1>1ilh correlative meaning, the tenns "controlled by" and "under common control

with") or "controlling" as used with respect to any person, means the possession, directly or

indirectly, oft11e power to direct or cause the direction of the management and policies of

such person, whether through the ownership of voting securities, by contract or otherwise;

{iii) "person" means any individual, sole proprietorship, partnership, joint venture, limited

liability company, limited liability partnership, trust, estate, unincorporated organization,

association, corporation, foundation, charity, institution or any other entity; and (iv) "family

member" means, as applied to any person \Vl10 is an individual, such individual's spouse,

parent. stepparent, sibling, child, stepchild, grandparent, grandchild or other descendent

thereof (whether natural or adopted).

7. The Restrained Defendants shall take all reasonable steps including authorizing

counsel for the Frydman Parties to make such request on behalf of the Restrained

Defendants, requesting removal from webmasters, domain hosts and Internet service

providers, and from the lntemet search engines, including, without limitation, Google,

Yahoo! and Bing, to remove any additional webpages in the future on which any

Disparaging Statements, Defamatory Statements and/or URLs, including, without

limitation, those referenced above in paragraph 5 of this Order, are referenced and/or

republished, including but not limited to index, directory, and search results pages, and

same shall be permanently removed from the Internet.

8. The claims advanced by the Frydman Parties against each of the Defendant

Parties and any claims v-;hich could have been asserted by the Defendant Parties against the

Frydman Parties are hereby dismissed with prejudice and each of the Defendant Parties is

severed from this action. Each oftbe claims a5se1ted by the Frydman Parties against any of

the other defendimts in this action who are not Parties to the Settlement Agreement are not

dismissed, and each ofsuch_cl_aims and any other claims_ which any of the Frydman Parties or

any of their affiliates have or !_!lay hereafter have against any of the defendants who are not

Parties to the Settlement Agreement are expressly preserved, and the Frydman Pruiies have

the right to continue to pursue such claims (the "Other Claims"), and the dismissal of claims

against the Defendant Parties shall not in any way impact, release, dismiss or otberwisefo.ffect (56/c
