Offer Letter with Aggrement

I. Any employee of company name to terminate their employment or to accept employment with any
competitor, supplier or any customer with whom you have a connection.
2. Any customer or vendor of company name to move his existing business with company name to a
third party or to terminate his business relationship with company name.
3. Any existing employee to become associated with, or perform services of any type for any third party.

VI CONFIDENTIALITY

In consideration of the opportunities, training and access to new techniques and know-how that will be made
available to you, you will be required to comply with the confidentiality policy of the Company/Client. Therefore,
all employees are expected to maintain secrecy and confidentiality of all confidential Information (as defined
from time to time in the Confidentiality Policy of the Company /Client) and shall not use or divulge or disclose
any such confidential Information except as may be required under obligation of law in the course of your
employment. This agreement shall endure during your employment and for a period of one year from the
cessation of your employment with company name (irrespective of the circumstances of, or the reasons for,
the cessation).

VII GENERAL

a. We trust that you have not provided us with any false declaration or willfully suppress any material
information. If you have, you will be liable for removal from service without notice period. Please note that
you are required to inform us if there are any agreements, oral or written, which you have entered into and
which relate to your commitments under this Agreement.

b. Your employment terms may be specifically enforced legally, if required. In this connection, if any of the
provisions of this Agreement are declared or found to be void or unenforceable due to any reason
whatsoever, the remaining provisions of this Agreement shall continue in full force and effect.

c. These employment terms supersede and replace any existing agreement or understanding, if any,
between company name and you relating to the same subject matter.

d. Working Hours & Working Days:


 Work timings are morning 10:00 AM till 7:00 PM with one hour break for lunch. You may be required
to work in shifts and/or in extended working hours, as permitted by law, if required as per business
needs. The same are subject to change from time to time.
 Monday to Friday are working week days, unless a particular date is mentioned in the approved
Holiday calendar.
 Saturday and Sunday are weekly non-working days.
 company name would require prior information if on a particular day these timings cannot be adhered
to .

e. Holidays:
There is a published list of 10 Holidays in annual calendar to be followed by all company name employees.

f. Leaves:
Employees are entitled to general leaves on a pro-rata basis at the beginning of the year and one
earned leave at the beginning of every month. During the probation period, employees are eligible for
leaves as per the probation clause in leave policy. In addition, employees are eligible for Marriage,
Maternity/Paternity & Bereavement Leaves as per the policy. Any leaves beyond the eligibility stated
above will result in Loss of Pay.

VIII NOTICE PERIOD

This contract of employment is terminable, without reasons, by either party giving one month notice. The
company reserves the right to pay or recover salary in lieu of notice period.
Further, the Company may at its discretion relieve you from such date as it may deem fit even prior to the
expiry of the notice period. In the event of you having any incomplete assignment, the company will have
the discretion to relieve you only at the end of the notice period.

IX PERFORMANCE

All employees will undergo periodic performance reviews. In case of unsatisfactory performance, the
company reserves the right to terminate the employment.

X TERMINATION

The Company retains the right to terminate employment by making payment in lieu of notice. Also, the
Company retains the right to terminate this Agreement for cause if you:

(a) Fail, refuse or not able to perform any duties assigned to you that are consistent with the duties of similarly situated
individuals or are otherwise required under this Agreement;
(b) If during the period of your services, the management comes to the conclusion that you have committed any
misconduct, the Management may dismiss you from services as per service rules/standing orders of the
company.
(c) Commit a material breach of your obligations or agreements under this Agreement or the Confidentiality, non-
competition and Proprietary Rights Agreement;
(d) Commit an act of gross negligence or misconduct with respect to the Company or otherwise act
with willful disregard for the Company's best interests;
(d) Are convicted of, or plead guilty to, or do not contest, any offence involving moral turpitude; or, (e)
Violate any law relating to exchange control, securities regulation, or tax.

Your termination for cause as per the clauses stipulated above shall be effective immediately upon the
Company's mailing or written transmission of notice of such termination.

X OTHER TERMS & CONDITIONS

You shall be required to sign certain mandatory agreements, including but not limited to the Confidentiality,
Intellectual Property Rights, the Code of Conduct and your employment shall be governed by all the rules and
regulations, as amended from time to time, of the Company.

Please confirm that the above terms are acceptable to you and that you accept the appointment by signing a copy
of this letter of appointment.

3. Please note that the medical reimbursement amount is subject to production of original bills and to the
maximum amount indicated above. Medical Allowance is monthly component of your salary
4. The aforesaid shall be subject to Income tax as per the prevalent law
5. Your compensation details are confidential and should not be discussed with anyone
