BOARD RESOLUTION

We, the Board of Directors of TAWID CANDIJAY BOHOL AGRICULTURE

COOPERATIVE (TCBAC), all of legal age, Filipinos and with office address at Purok
1, Cogtong, Candijay, Bohol, do hereby state that:

We constitute all officers of this TCBAC, a cooperative duly organized and

existing with Cooperative Development Authoirty under Registration Number: 9520-
1070000000045244 and CIN No: 70201945244;

At the Special Board of Director’s meeting held on March 30, 2019 at Mr. Zosimo
C. Villanueva’s residence at Katanoy Nazarok, Tawid, Candijay Bohol, which quorum
was present, the following resolution was unanimously approved:

WHEREAS, the name of the Board of Directors are the following, to wit:
Adolfo B. Amper (Chairman of the Board), Marlon J. Galvadores (Vice Chairman),
Zosimo C. Villanueva (Board of Director), BraulioM. Bernales (Board of Director),
Mario U. Bermoy (Board of Director);

WHEREAS, Neciforo U. Bermoy is the Treasurer of this Cooperative, Samuel

G. Bayron is the General Manager, Angelito O. Piloton is the Secretary, Elizabeth G.
Bermoy is the Auditor and Rosalinda G. Galvadores the Bookkeeper of the
Cooperative;

WHEREAS, the Cooperative shall apply for its business registration at Bureau of
Internal Revenue at Tagbilaran City for its Tax Identification and its Tax Exemption and
other documentations in line with its business;

WHEREAS, Mr. Neciforo U. Bermoy is hereby appointed as official

representative of this Cooperative to facilitate the application at the Bureau of Internal
Revenue (BIR) at Tagbilaran City;

WHEREAS, the cooperative, TCBAC will open a Savings Deposit Account at

First Consolidated Bank, Guindulman Branch, Guindulman, Bohol;

WHEREAS, the Any Two of Four signatories are the following: 1. Mr.
Neciforo U. Bermoy (Treasurer), 2. Mr. Marlon J. Galvadores (Vice Chairman of the
Board), 3. Mr. Samuel G. Bayron (General Manager) and 4. Mr. Adolfo B. Amper
(Chairman of the Board);

WHEREAS, the cooperative will submit a zerox copies of its Articles of

Cooperation and By-laws, Mayor’s Permit and other documents to BIR Tagbilaran City
and to First Consolidated Bank, Guindulman Branch, Guindulman, Bohol and all other
requirements which may require;

WHEREAS, after the discussion, the Vice Chairman, Mr. Marlon J. Galvadores,
upon motion duly made and seconded, and it was unanimously
 RESOLVED, as it is hereby resolved that the discussion among the Board of
Directors and Officers of TAWID CANDIJAY BOHOL AGRICULTURE
COOPERATIVE be properly recorded in the minutes and with Board Resolution;

RESOLVED, finally that the Bureau of Internal Revenue (BIR) Tagbilaran City
and the Bank, (FCB Guindulman Branch), be furnished a copy of this board resolution.

IN WITNESS WHEREOF, we set our hands this 8th day of April in the year of
our Lord Two Thousand and Nineteen (2019), at the Municipality of Candijay, Province
of Bohol.
